Process to Purchase by Tender – Terms and Conditions

To be eligible to participate in the tender process for The Emerson Apartment 9.02, within Ed.Square, Edmondson Park, you must agree to the below terms and conditions.

1. These terms and conditions outline the process for purchasing a Property by way of tender during the initial sales release period (Tender). By expressing your interest to tender on the Property, you agree to be bound by and comply with these terms and conditions.

2. Expression Of Interest opens at 11am (AEST) on Friday 2 June 2023 and closes at 3pm (AEST) on Wednesday 21 June 2023 (EOI Period). To participate in the Tender, you must:

a. attend an appointment conducted by Frasers Property Australia regarding the Property; and

b. during the EOI Period, complete and sign a Tender Form

c. provide photo ID for each nominated purchaser

d. email the completed and signed tender form to edsquare@frasersproperty.com.au, together with a copy of photo identification for each person named on the Tender Form.

The name(s) entered on the Tender Form are to be the names to be entered onto any corresponding Contract entered into for a Property. The name(s) will not be permitted to be changed at a later date.

3. To tender for a Property, you must complete and sign the Tender Form and email the completed form to edsquare@frasersproperty.com.au by 3pm (AEST) on Wednesday 21 June 2023

4. If the Tender Form is incomplete or completed incorrectly, we may not be able to accept your tender.

5. The Registered Party with the highest tender price above reserve will be the winning tender for each Property (Winning Tenderer), provided that the tender offer is accepted by the Vendor. In the event there is more than one equal offer, each party will be given the opportunity to revise their offer. Frasers Property Australia are not obligated to accept any offer deemed unreasonable as per their discretion.

6. The Ed.Square Sales Team will contact the Winning Tenderer by 5pm (AEST) on Thursday 22 June 2023

7. The Winning Tenderer must pay a refundable administration fee of $2000 via credit/debit card (Administration Fee) to the bank account specified by The Ed.Square Sales Team within 2 hours of being contacted by the Ed.Square Sales Team.

8. A contract for sale and purchase of the Property (Contract) will be sent to the Winning Tenderer’s nominated solicitor or conveyancer by Thursday 22 June 2023.

9. The purchaser under the Contract must exchange the Contract by 5pm (AEST) on Thursday 29 June 2023

10. Payment of the deposit under the Contract and other conditions of purchase are governed by the Contract.

11. If Winning Tenderer does not execute and exchange the Contract by 5pm (AEST) on Thursday 29 June 2023, the Registered Party who submitted the next highest tender price above the reserve price will become the Winning Tenderer.

12. If following the Tender Period, the Ed.Square Sales Team is unable to contact you on your nominated telephone number, the team will make 2 further attempts to call you before contacting the Registered Party with the next highest tender price, provided that the tender offer is accepted by the Vendor. If the Ed.Square Sales Team is unable to contact you by telephone after making those further attempts, the Registered Party will be deemed to have forfeited its Registration and any opportunity to purchase a Property

13. You may be prevented, delayed or impaired in your participation in the Tender due to infrastructure failure like internet or telecommunications outages or impairment, including due to technical breakdown or failure, viruses or technical issues with your equipment. You agree not to make a claim against Frasers Property if you are unable to participate in the Tender.

14. These terms and conditions are governed by the laws in force in New South Wales. Reference to Frasers Property Australia means Frasers Property AHL Pty Ltd ACN 008 443 696, its related bodies corporate (as defined under the Corporations Act 2001 (Cth) and includes its officers, employees, contractors or agents.

15. If any provision of these terms and conditions is held to be invalid, void or for any reason unenforceable, such provision is deemed to be struck out and will not affect the validity and enforceability of the remaining provisions All information contained within the Contract takes precedence over these terms and conditions.

16. Privacy Collection Statement – Frasers Property Australia is collecting your personal information so we can process registrations for the Tender and conduct the Tender process for the purchase of the Properties as described in these Terms and Conditions. We will also use your personal information for the following purposes:

a. to send you ongoing marketing and other information (including, if you consent, by email or SMS) about the products and services of Frasers Property Australia, our related companies and other third parties, whether as part of the Prosperity or otherwise;

b. to operate, manage and improve our business and our products and services, including by analysing future customer needs and conducting surveys; and

c. to comply with our legal obligations and to manage and resolve complaints.

We may disclose your personal information to our related companies, joint venture/alliance partners, advisers and agents, service providers (including administrative, financial, research or other service providers), credit reporting or reference agencies, insurance investigators or suppliers of third party products and services for any of the purposes set out above. Some of these third parties may be located overseas, so your personal information may be disclosed to countries including Australia, New Zealand, USA, Canada, Singapore, Hong Kong, China, Germany and the UK.
