Who we are Gefion Group specializes in developing residential properties in the Greater Copenhagen Area. Through our large network and our business associates we find unique properties and sites that we develop and sell, either on our own or in collaboration with investors. Our focus is on developing properties with untapped potential that can prove good investments. We develop all types of properties – freehold units, cooperative units, rental units, student units, detached houses and terraced houses. In addition to residential units, we develop commercial units, i.e. retail, office buildings and hotels. We primarily develop properties with the intention of selling them, either under pre-sale contracts direct to end-users or to investors on buy-to-let basis. ➞

Hvem er vi Gefion Group er specialiseret i udvikling af boligejendomme i Storkøbenhavn. Ved hjælp af vores store netværk og samarbejdspartnere finder vi unikke ejendomme og byggegrunde, som vi projektudvikler og sælger, enten selvstændigt eller sammen med investorer. Vores fokus er at udvikle ejendomme, som har et uudnyttet potentiale, og som derfor kan blive en god investering. Vi udvikler alle former for ejendomme, herunder ejerlejligheder, andelsboliger, lejeboliger, studie- og kollegieboliger, villaer og rækkehuse. Udover boliger udvikler vi også erhvervsejendomme, bl.a. retail, kontorer og hoteller. Who we are Gefion Group was formed in 2013 on the initiative of Thomas W. Færch and Henrik Nissen. Before the formation of the company, the two founders had worked on property development projects for fifteen years. Thomas was a lawyer specializing in real property, while Henrik worked as a project developer. The establishment of Gefion Group marked the realisation of their long-standing wish to become partners. Both Henrik and Thomas are dedicated and dynamic by nature, and even within the short span of years since formation, their individual skills and strengths have made their alliance a success in a rapidly growing business. Hvem er vi Gefion Group blev stiftet i 2013 af Thomas W. Færch og Henrik Nissen som initiativtagere. Forud for etableringen af virksomheden havde de begge i 15 år arbejdet med projektudvikling af fast ejendom, Thomas som advokat med speciale inden for fast ejendom og Henrik som projektudvikler. Med Gefion Group blev et mangeårigt ønske om et partnerskab realiseret. Henrik og Thomas er begge lige dele engagerede og dynamiske af natur, og med hver deres styrker og særlige kompetencer har partnerskabet allerede på få år vist sig særdeles succesfuldt i en virksomhed i rivende vækst. Strategy Realizing our vision makes special demands on us. Bonds – Development financing

Obligationer – Udviklingsfinansiering Combining traditional bank & bond financing with property development is a very attractive solution for all parties involved.

At kombinere traditionel bank og obligationsfinansiering med udvikling af ejendomme er en særdeles attraktiv løsning for alle involverede parter.

Bond financing is used for acquisition of the property and the banks finance the construction when all permits and other requirements are met. The bond financing is secured through share pledge in the property owning companies while the bank financing is secured with mortgage in the property.

Obligationsfinansiering bruges typisk i forbindelse med erhvervelse af ejendommen, hvorefter en bank finansierer opførelsen når alle tilladelser og krav er indhentet og opfyldt. Obligationsfinansieringen er som oftest sikret ved en kombination af pant i ejendommen og projektselskabet. Bankernes finansiering er altid sikret ved pant i ejendommen.

Our typical bond financing model is split in a 1st and a 2nd lien loan with diffferent interest p.a. and security structure. The duration of our bond loans are between 15-24 months. All loans and interests are repaid before Gefion Group is entitled to any profit.

Vores typiske obligationsfinansieringsmodel er delt op i 1. og 2. prioritetsobligationer med forskellig rente og sikkerhedsstruktur. Obligationslånene løber typisk over en periode på mellem 15-24 måneder. Alle lån og renter er tilbagebetalt før Gefion Group er berettiget til nogen form for profit.

CA SE: Tobaksvejen Gefion Group acquired the property Tobaksvejen 2C in June 2017, through a subsidiary. The 5.533 m2 office building in Copenhagen has been converted into 175 student apartments. All building permits were in place and a turn-key construction contract was signed. The acquisition was financed by a DKK 65m 1st lien bond loan and a DKK 20m 2nd lien bond loan. The loans were secured by pledge over all the shares in Holding Co. and the Property Co. The duration of the loans was 15 months with an option to extend for another 6 months. Interest will be paid when the bond loans are repaid. The construction of the property was financed through a commercial bank. The project will be completed in August 2018 according to the plan and the loans will be repaid.

C AS E : Tobaksvejen Gefion Group erhvervede i juni 2017 ejendommen Tobaksvejen 2C. Den 5.533 m2 store erhvervsejendom er blevet konverteret til 175 nye studieboliger. Købet blev finansieret med et 1. prioritets obligationslån på kr. 65 mio. og et 2. prioritets obligationslån på kr. 20 mio. Lånene var sikret ved pant i projektselskabet og har en løbetid på 15 måneder med mulighed for 6 mdr.’s forlængelse. Renter betales når obligationslånene tilbagebetales. Ombygningen af ejendommen blev finansieret af en dansk erhvervsbank. Projektet forventes færdiggjort i august 2018, hvor obligations- og bankfinansieringen tilbagebetales.

Equity – Development financing

Egenkapital – Udviklingsfinansiering Combining equity and bank financing is the traditional way of financing property development.

At kombinere egenkapital med bankfinansiering er den traditionelle måde at finansiere udvikling af ejendomme på.

Gefion Group has raised equity financing for several projects from external investors who wish exposure to the property market and believe in our ability to deliver high quality projects. With equity in place the banks normally offer construction financing when building permits and other customary requirements are met.

Gefion Group har rejst egenkapital-finansiering på adskillige projekter fra eksterne investorer, som ønsker eksponering, hhv. introduktion på ejendomsmarkedet og som tror på vores evne til at levere projekter af høj kvalitet. Med egenkapitalen på plads tilbyder bankerne normalt finansiering af opførelsen, når byggetilladelser og andre relevante tilladelser er opnået.

This financing model offers investors attractive fixed returns on their investments depending on the estimated completion time and overall capital structure of the project before Gefion Group is entitled to any profit.

Denne finansieringsmodel tilbyder investorerne attraktive faste renter på deres investeringer, afhængig af den forventede bygge­ periode og den overordnede finansielle struktur for projektet, før Gefion Group er berettiget til nogen form for profit.

CA SE: Blegdamsvej Gefion Group acquired the property Blegdamsvej 28-32 in July 2016, a 5,900 m2 office building in Copenhagen for conversion into 63 apartments. The acquisition was financed by a combination of DKK 53m in equity from external investors and DKK 30m in mortgage credit financing. Construction of the property will be financed partly by the equity raised and granted bank financing of DKK 77,5m. The equity investors are entitled to a pre-determined profit of their investment, before any other allocation is made. The project is estimated to be completed in Q1 2019.

Per Mikael Jensen, Board of Directors Per Mikael has worked in the media industry for 30 years, initially as a journalist, and in the last approximately 20 years he has held various management positions in the organizations of the leading daily newspapers Politiken and Jyllands-Posten. In 2006, he was appointed CEO of TV2 Danmark, and later he took over as CEO of Metro International, which was then the world’s leading newspaper publisher with operations in 23 countries. Per Mikael lived in New York and London for many years, but is now back in Denmark. He works as an advisor for business executives, company boards and business owners in Denmark and abroad.

Jens Rytter, CFO Jens is CFO at Gefion Group with the overall responsibility for the finance section of the company. Jens has extensive experience as chartered accountant with succeeding management functions in major Danish companies working with financial reporting, tax, compliance, controlling, projects etc.

Camilla Drachmann Gram, Senior Project Developer Camilla is the senior project developer in Gefion Group, working on all aspects of project development. With formal education and training as a construction designer and real estate agent, she has worked on property development for more than ten years and previously held positions in companies such as NCC Housing and Bonava.

Martin Schjørring, Technical Director Martin is the technical director of Gefion Group with responsibility for construction-­ related aspects of the group’s development projects. He has extensive experience from the construction industry, where he has been involved in various renovation and new build projects in large construction groups over the past 17 years. He previously worked as head of section in Bonava Denmark (formerly NCC Housing).

Martin Schjørring har en solid baggrund i entreprenørbranchen hvor han de sidste 17 år har gennemført forskellige renoverings- og nybygningsprojekter i større entreprenørkoncerner. Martin har tidligere arbejdet som sektionschef i Bonava Danmark, tidligere NCC Bolig.

Thomas Birkedal, Sales Director Thomas is sales director in Gefion Group, and is responsible for offering investment projects. The projects are offered either as financing projects or as student- and residential projects in company structures. Thomas has 20 years of experience from the real estate industry, including experience within identifying, structuring and offering investment projects.

Camilla Dalum, Group General Counsel Camilla is inhouse lawyer and manages all legal aspects of Gefion Group’s projects. Camilla previously worked as an inhouse lawyer in a property investment company and for several years was a lawyer in the real estate department of Accura law firm.

Erik Bjønness, Group Head of Finance Erik Bjønness is employed as group head of finance and is responsible for the financing of Gefion Group’s property development projects in Copenhagen. Erik is based out of Gefion Group’s Oslo office. Erik has 15 years of experience in finance and transactions in the shipping and real estate market including bond financing of properties in Norway, Sweden and Denmark at JOOL Markets AS. He holds an MA in finance from the University of Edinburgh.

Erik Bjønness, Finansdirektør Erik Bjønness er finansdirektør og har ansvaret for finansieringen af Gefion Groups ejendoms­ udviklingprojekter i København samt at servicere selskabets investorer. Erik har base på Gefion Groups kontor i Oslo. Erik har 15 års erfaring med finansiering og transaktioner i shipping- og ejendomsmarkedet herunder obligationsfinansiering af ejendomme i Norge, Sverige og Danmark hos JOOL Markets AS. Han er uddannet MA i finans fra University of Edinburgh i 2003.

Marianne Sørensen, Head of Finance Marianne’s responsibilities include the management of financing in Gefion Group. She has more than thirty years’ experience in the financial sector and has worked on property financing in the Amagerbanken bank, the government-owned Finansiel Stabilitet and most recently Kinnerton Capital.

Pierre Klausen, Senior Project Developer Pierre is senior project developer in Gefion Group, working on all aspects of project development. Pierre has an educational background in Forestry and Landscape Engineering. Previously, he has been working with real estate development in companies such as IBI, Sjælsø Gruppen, Dagrofa and Dansk Supermarked Group.

Bjørn Opstrup Laursen, Senior Project Developer Bjørn is Senior Project Developer in Gefion Group and works with all aspects of project development. Bjørn has an educational background from CBS and a professional background in retail at, among others, Dansk Supermarked and has recently worked on property development at Lidl Danmark.

Mads Brandi Perret-Gentil, Project Developer Mads is a project developer at Gefion Group, working on all aspects of project development. With an educational back­ ground as construction designer and carpenter, Mads has worked within property development and the contracting business for more than 15 years and has previously held positions in companies such as NCC and Copenhagen Property Investment.

Anders Refvik Tindbæk, Project Developer Anders is a project developer in Gefion Group, managing projects from start-up to handover. Anders has a BSc degree in Economics and Business Administration as well as an MSc in Strategy, Leadership and Organization from Copenhagen Business School. He has previously worked for Nykredit and Lintrup & Norgart commercial real estate agents.

Christian Rohde, Senior Project Manager Christian is project manager responsible for controlling the different building projects at Gefion Group. Christian Rohde is educated building constructor with extensive experience from the development business in which he, for more than 20 years, has completed primarily large building projects for companies such as Skanska, NCC and recently MT Højgaard. In addition, Christian has experience from the insurance business and the financial sector, working with project portefolios, building counselling and construction damage.

Karl Friedrich Bachmann, Project Manager Karl Friedrich Bachmann is employed as project manager and is responsible for managing various construction projects. He has a 20-year background in the construction industry with renovation and newbuilding projects in major construction companies and has previously worked as a developer in charge of the construction of the Frederiksberg and Frederiksberg Allé metro stations. Previously, Karl worked in Bonava Denmark’s Production Department, formerly NCC Bolig, which is in charge of the company's Danish construction projects.

Kenneth Eilersen, Project Manager Kenneth Sanggaard Eilersen is project manager controlling the various building projects at Gefion Group. With more than 18 years of experience from the building industry, Kenneth has broad experience with many different types of constructions; refurbishing, residential building and large construction projects such as the Copenhagen Metro Expansion, DR Koncerthuset and recently, railway bridges involving the train connections at the Femern bridge project. Kenneth recently worked at MT Højgaard’s department of infrastructure, responsible for the implementation af large constuctions.

Jens Mølhøj Olrik, Sales Executive Jens Mølhøj Olrik is sales executive at Gefion. Jens has 29 years of experience within the financial sector and has worked as Vice President/Senior Dealer at Danske Bank Markets, and as Senior Relationship Manager in Business Banking also at Danske Bank.

Karl Friedrich Bachmann, Projektleder Karl Friedrich Bachmann er ansat som projektleder og skal varetage styringen af forskellige byggeprojekter. Niklas Stentoft Klug, General Counsel Niklas is inhouse general counsel and manages the legal aspects of Gefion Group’s projects with a special focus on construction law. Niklas previously specialized in construction law as a lawyer at Molt Wengel law firm.

Hanne Sehested, Marketing Manager Hanne is head of marketing at Gefion Group working on all aspects of marketing and PR. Hanne holds a MSc in business administration and has more than 15 years of experience with marketing and PR in the property development business. Hanne has previously held positions in NCC, SJÆLSØ Gruppen and the science park Scion at DTU.

Hans Junker, Financial Controller Hans is employed as financial controller at Gefion Group and works with budgeting and finance across the development projects. Helle Pop Hansen, Accountant Helle is an acountant in Gefion Group and assists with the bookkeeping. Helle has many years of experience in accounting.

The property will have 8,000 m2 of residential space, 4,500 m2 of commercial space and an underground car park. In addition to the high-rise tower, the buildings of the former Danish National Archives Copenhagen are included in the project. These buildings are to be developed into an attractive business facility open to the public.

Gefion Group har i 2015 erhvervet byggegrunden Rødovre Stations­ center. Erhvervelsen var betinget af endelig vedtagelse af en byggeretsgivende lokalplan for området.
