customer agrees to be bound by the following terms and conditions : orders all orders are subject to acceptance by nike usa , inc . and its assignees (“nike ”) and such acceptance is conditional upon customer ’s acceptance of these terms and conditions and the terms and conditions of sale , which customer hereby acknowledges nike has provided to customer . customer understands and acknowledges that nike may amend or modify such terms and conditions and terms and conditions of sale upon notice to customer , which may be provided by any of the following means : ( a ) written notice mailed to customer ’s billing address ; ( b ) provision of such amended or modified terms and conditions or terms and conditions of sale on a nike invoice , order acknowledgment or order discrepancy form ; or ( c ) publication on nike ’s website for retailers . prices orders will be invoiced at the prices prevailing at the time such orders are fully recorded into nike ’s central ordering system . the amount reflected in any nike invoice will be deemed accepted and conclusively binding upon customer as an account stated unless customer notifies nike in writing within 30 days after the date such invoice is due . in the event a nike product is listed at an incorrect price due to typographical error or error in pricing information received from nike ’s suppliers , nike shall have the right to refuse or cancel any unshipped orders placed for product listed at the incorrect price . nike shall have the right to refuse or cancel any such orders at any time prior to delivery to customer , regardless of whether or not the order has been confirmed or payment has been received. if payment has been received, nike will , at customer ’s election , refund the payment or issue a credit to customer ’s account. if for any reason nike is not reasonably able to fulfill all or any portion of orders for its accounts , nike reserves the right to allocate its available product in its sole and unfettered discretion . terms of sale unless otherwise agreed by the parties , all nike goods will be sold f. o . b . shipping point. customer shall pay for all nike goods sold on open account when due pursuant to the terms and conditions of sale stated on nike ’s invoice . the terms and conditions , and the terms and conditions of sale contained in any nike invoice , in any nike sales order , in any nike order acknowledgment and in any nike discrepancy letter take precedence over any terms and conditions set forth in customer ’s purchase order or other similar document, and to the extent such terms and conditions or terms and conditions of sale are internally inconsistent, the terms and conditions of sale on nike ’s invoice will control . any persons representing that they are employees or agents of customer are authorized to place orders with nike . any sums not paid within net terms are subject to a service charge of 1.5 percent per month or the maximum rate permitted by law, whichever is lower . nike reserves the right to disallow discounts to any customer having an overdue balance . back orders unless otherwise agreed, all back orders will be shipped f. o . b . shipping point. no deductions are allowed for freight, parcel post, or ups charges . back orders will be created for all unshipped orders and will stay on the system until shipped or canceled. all back orders not shipped within 60 days of the requested ship date will be canceled unless an earlier cancellation is requested in writing by customer . claims claims deduction must be taken at time of payment and requires submission of appropriate supporting documentation and claim reason , except cancellation , return to stock , and defectives which require nike authorization prior to deduction . deduction for return can only be taken once authorized return product is physically returned . order processing store breakdown draw orders must be received by nike 45 days before the customer requested date . purchase order numbers or hard copies must be received by nike , for those customers who have purchase order requirements , no later than 30 days after the order deadline date . cancellation any request for cancellation of an order for nike goods must be made through the customer ’s nike sales representative . a request to cancel an order which has been entered into nike ’s order system must be made , in writing , at least 45 days prior to the original customer requested date and is subject to nike ’s approval . loss or damage in transit nike will not be responsible for nike goods lost or damaged in transit. customer will be responsible for checking its shipment upon delivery for total carton count and condition . any shortage in total carton count or evidence of damage to nike goods must be noted on the carrier ’s delivery receipt and reported to the carrier ’s local office . all claims must be filed with the carrier within nine months from the date of loss or damage . shortages in unopened cartons all shortages must be reported to the nike customer service department within 30 days from the payment due date of nike ’s invoice . cus tomer will be required to furnish nike with an invoice or shipping order number and an itemization of all shortages / overages by product code , size , and quantity. incomplete claims and claims filed more than 30 days after the nike payment due date will not be accepted . customer will be required to furnish customer ’s claim number , if any, when reporting a claim . return to stock policies nike does not accept returns to stock as a normal course of business nor as a guarantee of sale to any retailer . preauthorization is required on all returns to nike . footwear , apparel , equipment – all returns must be pre -authorized by nike sales . footwear , apparel and equipment items must be returned separately. defec tive and return to stock items must be returned separately. items sold as closeouts , irregulars , seconds or b - grades may not be returned ; sales are final . nike shipping order number or nike invoice number is required for return to stock claims . credit for the product will be issued at the netted invoice price minus any handling and processing fees . if the retailer doesn ’t provide the necessary documentation , nike will use the last

documented price for the product within nike ’s product file less customer ’s standard discounts minus any handling and processing fees . return to stock requests for a nike shipping error must be received within thirty days of the invoice date . merchandise must be returned in the same saleable condition as received. the following handling and processing fees will be levied unless the return is due to a nike error : • footwear $ 3 per pair • equipment $2 per retail unit • apparel 10% of netted wholesale of the garment retailer must prepay all freight charges . if the return is a result of a nike error , cred it for freight will be issued upon receipt of freight bill , unless nike pre -authorizes freight collect with nike carrier . defective return policies footwear , apparel , equipment – all returns must be pre authorized by nike customer service . footwear , apparel and equipment items must be returned separately. defective and return to stock items must be returned separately. items sold as closeouts , irregulars , seconds or b - grades may not be returned ; sales are final . customer must pay freight charges on all returns . unless nike pre -autho rizes the customer to use fedex ground, freight allowance will be given at nike ’s sole discretion , upon receipt of a freight bill . defective product credit will be issued at the invoiced price net of customer ’s discounts . if no invoice is provided, on the day nike is sues credit nike will use the last documented price for the product within nike ’s prod uct master file less customer ’s discount. closeout only customers who do not provide the invoice will receive the current closeout price . whether product is defective will be determined at the sole discretion of nike . nike will not issue credit for product that is deemed non - defective . nike will not return non - defective product unless retailer agrees to pay freight and provides nike with a carrier billing number . handling charges nike will not pay handling charges . time limit for audit claims nike invoices will not be subject to any audit claims by customer unless customer notifies nike in writing within 30 days after the date such invoice is due . limitation on damages \ statute of limitation – nike will not be liable for any loss of profit, interruption of business or any other special , consequential or incidental damages suffered or sustained by customer . any action for breach of contract ( other than for failure to pay for goods delivered, or for failure to deliver goods ordered and paid for ) must be commenced within one year from the earlier of the date of delivery of the goods or the date of termination of customer ’s account as provided herein . modifications except as specified herein , no supplement, modification or amendment of these terms and conditions will be binding unless executed in writing by nike . termination nike may immediately terminate customer ’s account with nike at any time in nike ’s sole and unfettered discretion , including , without limitation , customer ’s ability, if any, to purchase goods on credit or otherwise except with respect to goods ordered and paid for at the time of such termination . restrictions on sales / purchases / assignment customer will not : ( a ) sell nike goods other than to purchasers physically present at the store location ( s ) specifically au thorized by nike in writing ; ( b ) sell , transfer or assign its right as an authorized nike dealer without the express written consent of nike ; ( c ) sell or otherwise transfer or transship nike goods to another retailer , e -tailer , distributor , or broker ; ( d ) pur chase nike products from any source other than nike or directly or indirectly sell or offer to sell nike goods on behalf of, or for the account of, any other party ; or ( f ) solicit or take orders , or otherwise sell or offer to sell nike goods : ( i ) through the mail , ( ii ) by catalog , ( iii ) by telephone , or ( iv ) through any electronic means , includ ing the world wide web, e - mail or other internet channels . customer is permitted to advertise nike goods through electronic media in order to create or enhance consumer awareness of product performance features and / or indicate the availability of nike goods in customer ’s authorized, physical store location ( s ), provided customer com plies with nike ’s policies and procedures regarding the use of nike logos , trademarks , copyrights , and product and athlete images . violations of these conditions may result in the immediate termination of customer ’s account and all of customer ’s outstand ing orders . if customer opens or acquires additional retail outlet ( s ), customer must submit to nike a new application for permission to distribute nike products via such additional outlet or via the internet or other channels . customer may not sell from any such additional outlet or via the internet or other channel until and unless a new application is submitted for the additional outlet or for the internet or other channel and such application has been approved by nike in its sole and unfettered discretion . nike ’s approval of any application does not guarantee nike ’s approval of any other application . fair labor standards act nike hereby certifies that goods and services covered by any nike invoice were produced and furnished in compliance with the requirements of the fair labor standards act of 1938 as amended, and any regulations and orders issued thereunder . force majeure if a delivery date is specified, that date will be extended to the extent that delivery is delayed by reason of fire , flood, war , riot, strike , natural disaster , or any other event beyond nike ’s reasonable control and if, as a result of such delay, the goods ordered are unavailable , nike may substitute comparable goods .
