The 1980-81 recession saw a great toll of our manufacturing industries while the one a decade later included Black Friday and high interest rates that saw homes repossessed on an industrial scale. Fast forward to the credit crunch of 2008 and this time it was the consumer and manufacturing that was hit in a twin slump that lasted five quarters - set off by the sub-prime mortgage scandal in the USA. Now we have another spike in insolvencies. Will it be a recession? Who knows - but the current uncertainty triggered by the political situation isn’t helping. You can see by the variety of firms going to the wall in our Runners and Riders section that pretty much every section of business is being hit. In this issue we chart some aspects of the current wave of liquidations, plus we take a look at the mystery of vanishing business owners with Paul Carrotte and as always we draw your attention to our free Micro Debt Recovery Service.

Why all pre-packs should be scrutinised as creditors are ‘ripped off’

They are a great idea to save ailing firms and jobs but they are being abused says Harry Mottram. The business secretary in the next government needs to ensure all pre-packs are scrutinised by the Pool Odessa print should have been referred to the PrePack Pool but they didn’t want the scrutiny a former director of the Pool has told ICSM Credit. Stuart Hopewell said the Biggin Hill company was a case in point where the Pre-Pack Pool should have looked at the deal made with the administrator and buyers but couldn’t as the Pool does not have any powers to enforce scrutiny. He said: “At the moment it is up to the creditors of an insolvent company to take a view. It is very frustrating when this happens because if a firm is referred to the Pool then it increases confidence with a pre-pack and it is seen as more legitimate.” Pre-packs have come under sustained fire from the media, politicians, pension schemes and creditors for the way in which they have been seen to have legitimised phoenix firms who dump their debt and restart under a slightly different name having bought the assets from the administrators. Ian Carrotte of ICSM Credit said: “Odessa called in the administrators on October 18th this year following trading difficulties. However, a new business called Odessa Global Limited was incorporated at Companies House on October 1st, while Odessa Print Group continued to trade. Events like this can give pre-packs a bad name. All pre-packs should be scrutinised so as to ensure transparency.” The Pre-Pack Pool was formed to scrutinise firms that go into administration and seek a rescue or a 4

buyer with a pre-pack deal. However it is only an option to refer a pre-pack to the Pool as there is no compulsion with only a quarter of pre-packs referred in this way according to The Times newspaper. The Pool is made up of industry insolvency experts who can rule whether a pre-pack is reasonable or not. The idea is to try to save jobs and a business that has got into trouble by arranging for the firm to survive and continue trading while retaining the loyalty of suppliers and customers. The main issue is if the collapsed firm is bought by all or some of the previous directors then it is seen as little more than a phoenix. The staff will have lost wages, creditors will have lost much if not all of their cash and the owners can absolve themselves of their responsibilities. And then there’s the matter of the firm’s former pension scheme. The Financial Times investigated a number of firms using pre-packs over their treatment of their own pension schemes last year by looking at 148 pre-packs. They estimated the procedure allowed collapsed firms to offload £3.8bn onto the Government’s and the tax payer funded pension protection scheme. The newspaper

quoted Prem Sikka, a professor of accounting at Essex University, as saying: “Company directors can walk away from legal obligations to fund pension schemes with the full knowledge that Pension Protection Fund (PPF) will step in. Pre-pack insolvencies are harming pension schemes and are ripe for major reforms.” Meanwhile Stuart Hopewell said it was up to the Government to decide whether to make all pre-packs subject to compulsory scrutiny - but as he pointed out there’s the small matter of a General Election and a potential change of Government and business secretary.

It’s led to a 25% rise in restaurant insolvencies year on year as the likes of Jamie Oliver’s Italian and Gaucho hit the rocks. And if they don’t go out of business then restaurant chains in particular are closing large numbers of their less popular outlets to try and cut their losses.

Sophie Witts writing in Big Hospitality said in London landlords are increasingly nervous about offering long leases to restaurants due to the number of closures. She also highlighted the rise of the pop-up restaurant and an increasing number of so-called street food vendors as ICSM News

tastes and habits changed. According to the Daily Mirror this time last year two eateries were closing each week but now the figure is 15 and rising with Prezzo closing 94 outlets in March and Chimichanga axing 33 restaurants with the loss of 500 jobs. Carluccio’s shut 34 of its restaurants following a CVA while Eat closed ten of its outlets although it did open a new one at Madrid airport. And it should be stressed there are new start ups each week such as True North Restaurant at Dean Clough Mills in Halifax and Tokii in Marylebone in London this month Around 1,400 restaurants became insolvent in the UK in the last financial year and it’s not just the big chains who are suffering with the independents hit as well. It suggests a major shake-up in the industry is underway caused by economic uncertainty, changing habits and saturation. Accountants Hacker Young pointed to: ‘The Brexit related blow to consumer spending and a rise in raw material costs.’ A large number of restaurants and those in the hospitality industry are

Mystery of the disappearing owners of businesses that owe money to creditors A new trend has emerged reports Paul Carrotte. It’s the case of business owners who simply go AWOL meaning it’s hard to track them down and get paid When a sole trader decides to retire they will let their customers know, pay off their creditors, settle outstanding tax bills and dissolve the business in an orderly manner contacting Companies House to strike it off. That’s assuming they don’t sell it or hand it over to someone else to run.

ICSM Credit have identified a new breed of dodgy business owner – the ones that simply walk away from their liabilities without explanation. Paul Carrotte (pictured) of ICSM credit said he had come across an increasing number of cases where the owner of an ailing firm who was heavily in debt simply disappears. He said: “They don’t reply to emails or phone calls. They vacate their place of business and leave no forwarding address leaving creditors high and dry. When creditors make enquiries at companies house in some cases they find the company has applied to be struck off. If they owe money that is illegal – and creditors can object to a firm attempting to dissolve itself.” Companies House states that a company may not make an application for voluntary strike off if, at any time in the last 3 months, it has traded or otherwise carried on business; changed its name; engaged in any other activity except one which is necessary for the purpose of making an application for strike off or deciding whether to do so (for example, seeking professional advice on the application or paying the filing fee for the strike off application); concluding the affairs of the company, such as settling 6

trading or business debts; complying with any statutory requirement; made a disposal for value of property or rights that, immediately before ceasing to trade or otherwise carry on business, it held for the purpose of disposal for gain in the normal course of trading or otherwise carrying on business A company cannot apply to be struck off if it is the subject, or proposed subject, of: any insolvency proceedings such as liquidation, including where a petition has been presented but has not yet been dealt with; a section 895 scheme (that is a compromise or arrangement between a company and its creditors or members) Any interested party can object to a company’s application to be struck off the register and dissolved. An objection can only be considered by the registrar once notification has been published in the Gazette showing the registrar’s intention to strike the company off the register at the expiration of 2 months. It is important to send any objection to the registrar at the earliest opportunity after publication of the

Gazette notice and at least two weeks prior to the notice expiry date. largest decrease in volumes with 50 fewer cases compared with Q2 2019 (a 1.9 per cent decrease). The wholesale and retail trade, repair of vehicles industrial grouping also saw a significant number of cases, with a total of 2,409 underlying company insolvencies.

With so many big names going under it comes as no surprise that 2019 is shaping up to be the worst for business failures since the Credit Crunch. The Government’s Insolvency Service reports that the number of firms going into administration in Q3 is the highest since 2014 although compulsory liquidations are down on two years ago. The service said: “The seasonally adjusted figures show that there were 4,355 total underlying company insolvencies in Q2 2019 - a 0.4 per cent increase from Q2 2019. When compared to the same quarter last year, this was an increase of 1.6 per cent and the highest underlying level of insolvencies in any quarter since Q1 2014.” There were 484 administrations in total which is is 20% higher than Q2 2019 and the highest quarterly level since Q1 2014. The liquidation rate remains low, with 1 in every 239 companies liquidated in the 12 months ending Q3 2019 and this was slightly down from 1 in 237 companies in Q2 2019. One trend noted by ICSM Credit’s Paul Carrotte are firms who used to go into voluntary liquidation (usually through the owner retiring or deciding ICSM News

to call it a day) has fallen. He said: “We have seen instances of companies effectively stopping business and doing nothing. They have creditors chasing them for payment, but they attempt to avoid paying up and by changing addresses or moving away hope to dump their responsibilities.” The construction industry has been the worst hit by business failures this year with the highest number of new underlying company insolvencies with 3,106 Next is the accommodation and food services industry group that saw the largest increase in underlying insolvency volumes with 39 extra cases (a 1.7% increase). And the Insolvency Service said the administrative and support services grouping saw 2,585 underlying company insolvencies in Q3 2019, however the group also saw the

Being left a big debt by a collapsed customer can bring a small firm down and seriously damage a larger one.” In Scotland insolvencies were also up, and by a higher percentage than south of the border but one piece of good news was Northern Ireland saw a substantial drop in the number of firms going to the wall this year.
