Proposed AHCO Bylaw Changes October 2008 Drafted by Jeff Mach Edited by Mark Schneider October 17, 2008
The attached document presents proposed amendments to the Austin Healey Club of Oregon Constitution and Bylaws. In accordance with Article XI of the By-laws, the proposed amendments have been published in this issue (November 2008) of the Healey Northwest. The December issue of the newsletter will contain an official ballot regarding the amendments. Finally, there will be a vote taken at the January meeting to decide the final disposition of the amendments. The following draft of the amendment language reflects the comments received by the end of the day, Thursday October 16, 2008. 1. It is proposed to amend the Bylaws by adding a new paragraph, numbered V.K.6., which would establish the appointed Club officer position of Webmaster. The paragraph would read as follows: 6. Webmaster. The Webmaster will: • Serve as a member of the Executive Board • Establish, maintain, and end accounts with internet service providers; • Oversee and maintain the Club's website, including periodically redesigning or revising the Club website to keep the site fresh, add improved features, and make other desirable changes; • Receive, prepare, and post appropriate news, events, advertising, photographs, and other materials for the Club website; and • Submit original receipts for invoices for website related expenses to Treasurer for payment. 2. It is proposed to amend the Bylaws by adding a new paragraph, numbered V.K.7., which would establish the appointed position of Registered Agent. The paragraph would read as follows: 7. Registered Agent. The Registered Agent will: • Serve as the designated point-of-contact for the Club's registration as a non-profit organization with the State of Oregon. The registered agent is responsible for notifying the Executive Board of any notifications from the State concerning the Club's registration. 3. It is proposed to amend the Bylaws by adding two new responsibilities, as bulleted items, to the office of the treasurer, in paragraph V.D., which would read: D. Treasurer. The Treasurer will: • File State and federal tax returns, on behalf of the Club, as required; • Maintain general liability insurance for the Club. 4. Increased costs and declining Club attendance at monthly membership meetings has resulted in delays in authorizing the expenditure of funds on behalf of the Club. It is proposed to amend Article X to read, in part (strikeout text would be
deleted, bold text would be adopted): “The Activities Director may approve non-routine expenditures up to $50 $100 associated with organizing meetings, the President may approve non-routine expenditures up to $100 $250, and the Executive Board may approve expenditures up to $250 $500. All such expenditures shall be reported to the membership at the next following monthly membership meeting. Expenditures of Club funds that are not reasonable or ordinary expenses must be approved by a majority of vote of Club members at a general membership meeting. For expenditures of over $250 $500, other than for regalia, a two-thirds (2/3) majority of at least 25 members is required.” It also is proposed to amend Article VIII. B. to read, in part: “If an expenditure of Club funds of more than $250 $500, other than for expenses related to regalia , publication of Healey Northwest, membership directory, or Charity Committee donations, is proposed by the Executive Committee, approval for that expenditure must be obtained from the membership according to the rules regarding the expenditure of Club funds.” 5. Alternatively, or in addition to proposed bylaws change 4, above, it is proposed to amend Article X to read, in part to read: “For expenditures of over …, other than for regalia, a twothirds (2/3) majority of at least 25 15 members is required.” 6. It is proposed to amend Article VI, The Executive Board, by adding the Webmaster and the immediate past President as members of the Executive Board. It is further proposed to amend Article VI by deleting the Inter-Club Coordinator position. 7. It is proposed to amend Article X by adding the following language at the end of the paragraph: “A check, other than a Charity Committee donation, written for an amount of more than $500, will be signed by the Treasurer and one other member of the Executive Committee, who has their signature on file for the Club's bank account.”

Badgering Your Healey The Austin Healey Club of Oregon regalia now has a fresh stock of the club badge. The new badges are beautifully done and are configured as grill badges. That is, the badge is intended to be affixed to the grill of the car. This is accomplished by threading two 3" long rods into anchor points on the back of the badge, sliding these rods through the grill works, and locking the badge in the desired location with a small bar and nuts. The rods and nuts are part of the badge kit. An alternate method of displaying the badge is to mount it on a badge bar as shown in the image at right. To implement this one needs a badge plate and a badge clip. Oh yeah, a badge bar mounted on the front bumper is also sort of handy. There is an important piece of information that you will also need. The 3" threaded rods are of little use for a bar mounting.
Mounting the grill badge to the badge plate is achieved with two small screws instead. The required screw is metric. Specifically, the screw is a M4 x .70 thread pitch. I found a 10 mm was the the best length. The badge plate will need to have two 3/16" holes drilled in it to match the anchor points on the back of the badge. The holes may need to be relieved a little with a round file to achieve a full contact between the badge and plate. I also used a couple of washers as shims surrounding the two anchor points on the badge back. Finally, two fender washers and the two 10 mm metric screws complete the conversion of the grill badge to a bar mounting. Fasten the converted badge to a badge bar with the aforementioned clip and the job is done.

Hi Folks Our friends in the Dutch Healey Club have done it again. They've supplied us with a limited number of unique baseball style caps (above) celebrating Healey Meets Lemans 2008. Made of 100% brushed cotton, the beautiful British racing green color compliments the English & Dutch flags, the Austin Healey wings, and of course the Healey Meets LeMans 2008 logo. We sold out of the first batch sent before all the requests were filled, so don't miss out this time. $20.00 for each cap & $5.00 postage. Let us know how many you'd like. They make a wonderful Christmas gift The Healey shown in this picture, left, is one which Tom & Skip Monaco sold to Hans VanDe Kerkhof, member of the Dutch Healey Club. The car didn't look quite this nice when Hans received it, but it has been re-worked by his friend, Peter, in England and is now called the Ruddspeed car. It has gone to LeMans two years in a row.

AHCO Meeting October 4, 2008 Recorded by Mark Schneider The October 4, 2008 AHCO meeting was held at Tom and Skip Monaco's cottage in Seaside, OR. The day had begun with a gathering of members in Portland at 10:00 AM. The group departed the Cedar Mill area near Highway 26 and drove to the Skyline Drive, then proceeded to the west end of Skyline Dr. intersecting with Highway 30. The group then drove west on 30 to Scappoose. The tour left Highway 30 and spent the next two + hours driving through the Coast Range using several routes, including Highways 202 and 47. Finally, the group of about dozen BJ9s arrived at Monaco's and enjoyed a grand lunch.
rently 69 members registered to use the website. Bob is currently posting back issues of the Healey Northwest. The postings will go back to 2000. There was a little discussion about members registering on the website. Jeff Mach suggested that Bob Wallace conduct some training for the membership on how to operate the website. Bob said he would write an article for the newsletter/website on how to use the ANCO website. Bob identified the top three items on the website that have demonstrated the most readership.
sites receiving the closest scrutiny, i.e., Seaside, Eugene, Bend, and Welches. Jeff mentioned that there is a group of AHCO members in Eugene that have been discussing the Rendezvous activities, such as tours and meeting places for some time. Also that Skip Monaco and Mark Schneider were going to talk to community organizations during the weekend stay in Seaside. Jeff will be putting a request for input on site selection to the Rendezvous in the November newsletter. 2009 Northwest Meet - Jaci Koeber reported on efforts that the Koebers and Carters have expended on behalf of next year's Northwest Meet. They visited McMinnville and seeking lodging information and costs, dinning locations and nearby activities. The decision will likely be made at the November AHCO meeting. Jaci asked for input on ideas for activities. The McMinnville Red Lion has offered to hold a block of room at a rate in the $80-90.00 range.
The October meeting of the AHCO was called to order by President Jeff Mach at approximately 2:30 PM on Saturday October 4, 2008. The following minutes were recorded during the meeting. Committee Reports There were no reports from the Vice President, Treasurer, Library, or Advertising Officers. Several new members and new old members were introduced by the Membership Director, Skip Monaco. These included Dick and Kathy Lenihan, Kevin and Marie Cowan, and Richard and Jaci Breedens. The Editor, Glen Enright reminded the group that the Healey Northwest is scheduled to end publication at the end of the calendar year.
The membership Director reported that some new memberships are coming directly from the website. Jaci Koeber reported that the Regalia sales at the ABFM netted $1.2 K for the club. Jaci also discuss an idea for use of old regalia items members may no longer have for. These could be donated to a general pool of items and sold for the benefit of the charity committee.
