Bombardier (TSX: BBD.B) announced today its financial results for the second quarter of 2020 and provided an update on the actions the company is taking to manage the business through the COVID-19 pandemic. Bombardier also provided an update on the status of the previously announced divestitures undertaken to reshape the company’s capital structure. “Bombardier continues to take the right actions to manage the impact of the ongoing public health crisis while protecting the business for the long-term,” said Éric Martel, President and Chief Executive Officer, Bombardier Inc. “We begin the second half of the year with our global operations safely and successfully resumed and our production rates and workforce realigned to current market conditions and customer requirements. We’ve also improved our liquidity position with solid cash management, cost reduction actions and a new secured credit facility, providing additional flexibility as we work to address our balance sheet challenges and close the sale of Bombardier Transportation and our aerostructure business.”

On July 31, 2020, the European Commission provided conditional approval of the sale of Bombardier Transportation to Alstom, a significant milestone in obtaining the necessary regulatory approvals to complete the transaction. Bombardier and Alstom continue to work together to obtain the remaining approvals and complete the Works Councils consultations required prior to executing the definitive sale and purchase agreement. Bombardier expects the sale of its aerostructure business to Spirit AeroSystems Holdings, Inc. to close this fall.(1) Bombardier began the third quarter with pro-forma liquidity(2) of approximately $3.5 billion. This includes approximately $1.7 billion of cash on hand, access to the undrawn amount of $738 million on Transportation’s revolving credit facility as of June 30, 2020, and the new $1.0 billion senior secured credit facility announced on July 22, 2020 and expected to close in the third quarter.(1) Revenues of $2.7 billion during the second quarter reflect a lower level of production activity and deliveries in the quarter as operations at key Aviation and Transportation sites across North America and Europe were temporarily suspended for several weeks due to the global COVID-19 pandemic. Adjusted EBITDA(3) loss and adjusted EBIT loss were $319 million and $427 million, respectively, for the quarter. These results reflect an additional charge of $435 million at Transportation, largely related to incremental engineering, certification and retrofit costs associated with a number of late-stage projects mainly in the U.K. and Germany. At Aviation, earnings were lower year-over-year primarily as a result of disruptions from the global COVID-19 pandemic. Reported EBIT was $26 million for the quarter and reflects the 
$496 million accounting gain on the disposal of the CRJ program to Mitsubishi Heavy Industries, Ltd. closed on June 1, 2020. Free cash flow usage and cash usage from operating activities were $1.0 billion for the quarter. This was better than anticipated as the company resumed operations faster than expected and took additional actions to mitigate the full COVID-19 impact. These actions resulted in higher than expected customer deliveries both at Aviation and Transportation, lower inventory intake as production rates were realigned with market conditions and reduced discretionary spending across the business. The impact on free cash flows of the COVID-19 pandemic during the quarter is estimated at $700 to $900 million. While we are seeing some early encouraging trends in our end markets, including new interest in private air travel and the enhanced safety it provides, the continuing uncertainty surrounding the duration of the pandemic and the shape of the recovery continues to preclude us from providing financial guidance at this time. (4) However, based on our backlogs and the near-term production and delivery outlook, we currently Page 11 of 47
expect business activity to gradually recover in the second half of the year with improving cash usage in the third quarter and with the seasonal release of working capital in the fourth quarter.(1) Bombardier also announced that Mrs. Beatrice Weder di Mauro expressed her intention to resign from the Company’s Board of Directors for personal reasons. The Board accepted Mrs. Weder di Mauro’s resignation and thanks her for her four years of dedicated service and the insight and wisdom she brought to Bombardier during her tenure. SELECTED RESULTS (PDF) SEGMENTED RESULTS AND HIGHLIGHTS Aviation Results (PDF) • Revenues reached $1.2 billion during the second quarter, reflecting a lower level of production activity and deliveries as the Corporation suspended business aircraft operations in Canada and key aerostructures operations in Mexico and Belfast due to the COVID-19 pandemic. • Starting in the last weeks of April and through the month of May, operations gradually resumed with new safety measures in place, allowing Aviation to deliver 20 business aircraft during the quarter, including five Global 7500. • Bombardier’s worldwide customer service operations have continued to operate largely uninterrupted throughout the pandemic. Service centres have shown resilience maintaining a high level of activity at maintenance facilities, partially offset by lower revenues related to the decrease in customer flight utilization. • Adjusted EBITDA and adjusted EBIT margins of 4.5% and (1.6)%, respectively, reflect lower volumes during the quarter as result of disruptions from the global COVID-19 pandemic, combined with low contribution of early Global 7500 units. Reported EBIT of $442 million during the quarter reflects the $496 million accounting gain on the disposal of the CRJ Series aircraft program to Mitsubishi Heavy Industries, Ltd. o On June 5, 2020, Aviation announced the reduction of its workforce by approximately 2,500 employees to align production with current market conditions, forecasted to be down approximately 30% year-overyear.(1) The reduction resulted in a special charge of $41 million in the second quarter. • A significant share of the Corporation’s free cash flow usage during the first two quarters of 2020 is related to the impact of the COVID-19 pandemic on Aviation, mainly driven by a shortfall in deliveries and lower than anticipated advances associated with the low order intake environment. • As operations recover in the second half of the year, aircraft deliveries are set to accelerate relative to the first half of the year, towards a seasonal peak in the fourth quarter supported by Aviation’s $12.9 billion backlog.(1) Transportation Results (PDF) • Revenues for the quarter of $1.5 billion reflect a lower level of production activity as operations at key sites across Europe and the Americas were temporarily suspended due to the global COVID-19 pandemic and the impact of revised estimates on a number of late-stage projects mainly in the U.K. and Germany. • Starting in the last weeks of April and through the month of May, operations gradually resumed with new safety measures in place. With operations returning to normal, production is expected to accelerate in the second half, peaking seasonally in the fourth quarter generally in line with 2019 levels. to be recovered in 2021 and beyond, supporting future free cash flow generation.(1) • Adjusted EBIT loss for the second quarter of $383 million was significantly below expectations, reflecting an additional charge of $435 million at Transportation, largely related to incremental engineering, certification and retrofit costs associated with a number of late-stage projects mainly in the U.K. and Germany. Over two thirds of this charge is expected to impact 2020 free cash flows as Transportation reaches key engineering and entry-into-service milestones. Aeronava se afla la sol, în baza Douentza din Mali. Niciun militar nu a fost rănit în urma acestui incident. Militarii români executau, cu două elicoptere IAR-330 Puma L-RM, o misiune de recunoaștere și aterizaseră pentru realimentare pe Baza ONU din Douentza, înainte de a se întoarce în locația de bază din Gao. Pe timpul staționării în Baza Douentza, s-a manifestat o furtună violentă, în urma căreia unul dintre cele două elicoptere a fost răsturnat. The U.S. Air Force and Lockheed Martin [NYSE: LMT] successfully flight tested the second AGM-183A Air-Launched Rapid Response Weapon (ARRW) on the service’s B-52 Stratofortress out of Edwards Air Force Base, California, on Aug. 8, 2020. This captive carry flight was conducted with tactical hardware and fully instrumented to collect thermal, mechanical and digital data from the flight vehicle. This is the first Page 15 of 47
time a tactical ARRW missile has been assembled. Additional ground and flight testing will follow over the next two years.
The team overcame significant challenges driven by the COVID-19 pandemic to achieve this significant milestone for the program,” said Dave Berganini, ARRW program director at Lockheed Martin Missiles and Fire Control. “This captive carry mission is the pre-cursor for our first booster test flight planned for early 2020s.” Hypersonic weapons provide rapid response, time critical capability that will overcome distance in contested environments using high speed, altitude and maneuverability. An operational hypersonic air-launched weapon enables the U.S. to hold fixed, high value, time-sensitive targets at risk in contested environments from stand-off distances. STRATEGIC HIGHLIGHTS Business trends „ Cobham is a British systems and equipment manufacturer operating in the civil and military fields. In defence, the group operates in the land, naval and air segments and mainly provides defence electronics systems (countermeasures, electronic surveillance), security systems (oxygen systems), mission systems (refuelling, missile eject launchers), avionics systems and communications systems. The group is also a major player in pilot training and also operates in the space sector. „ During 2018, Cobham recorded a decline in revenue of nearly 11% to £1,863m (€2,105m), mainly due to declining activity in the Communications & Connectivity (21.2%) and Aviation Services (-14.0%) divisions. At constant scope and exchange rates, revenue declined slightly less sharply (-2.0%). „ The group's operating performance nevertheless improved in 2018. Operating margin reached 6% for the year, compared to 5.1% in 2017. However, it could decline again in 2019 due to the compensation that the group must pay to Boeing for delays in the delivery of in-flight refuelling systems for KC-46A Pegasus aircraft (up to £160m, or €183m). „ In September 2019, Cobham's shareholders, mainly investment funds, approved the acquisition of the entire group by U.S. private equity fund Advent International. Advent's offer values the British group at £4bn (€4.5bn). Home market „ The United Kingdom is the group's third-largest market after the U.S. and Australia. Cobham generated 7.7% of its revenue in the UK in 2018, compared with 12.3% four years earlier, a decline that was mainly due to the completion of the training contract with the UK Defence Helicopter Flying School (DHFS) in March 2018. Cobham signed a contract worth more than £50m (€57m) in February 2019 for the supply of electronic warfare training modules (radar jamming, communications jamming, threat simulation, etc.) as part of the NATO JEWCS (Joint Electronic Warfare Core Staff) programme. The programme is under the responsibility of the British Ministry of Defence (MoD). „ The MoD's future ASDOT (Air Support to Defence Operational Training) project, for which Cobham Aviation Services was competing (in partnership with Draken International, QinetiQ and 3SDL), was postponed due to the excessive costs of the bids submitted by the four competing groups respectively led by Cobham Aviation Services, Babcock Aerospace, Thales UK and Leonardo. The budget provided by the British Ministry of Defence was £1.25bn (€1.4bn). The programme, the first phase of which was to start in 2020, had an initial duration of 10 years, with an option for a fiveyear extension. Export markets „ Cobham is highly dependent on the U.S. market, which accounts for more than 50% of its turnover. The group supplies many systems and components for Lockheed Martin's F-35 Lightning II fighter aircraft as well as Boeing's KC-46A Pegasus tanker aircraft. „ In May 2019, Boeing selected Cobham to supply the oxygen system for the future U.S. Air Force T-7A Red Hawk (T-X programme) trainer aircraft, developed by the American company in partnership with Saab AB. „ In June 2019, Israel's Rafael Advanced Defence Systems and Cobham teamed up to offer Rafael's I-Derby missiles with the British company's Fox-10 launchers. Bombardier (TSX: BBD.B) and Alstom welcome the European Commission’s decision for conditional clearance of the proposed acquisition of Bombardier Transportation by Alstom. The Commission’s approval for the transaction is conditional on certain proposed engagements that consist of: • A transfer of Bombardier Transportation’s contribution to the V300 ZEFIRO very high-speed train and an offer of IP licence to Hitachi for the train co-developed by Hitachi and Bombardier Transportation for use in future very high-speed tenders in the UK; • The divestment of the Alstom Coradia Polyvalent and the Reichshoffen production site in France; • The divestment of the Bombardier TALENT 3 platform and dedicated production facilities located within the Hennigsdorf site in Germany; • Providing access to certain interfaces and products for some of Bombardier Transportation’s Signalling On-Board Units and Train Control Management Systems (TCMS). The divestitures will be done in compliance with all applicable social processes and consultations with employee representatives' bodies. The transaction remains subject to further regulatory approvals in several other jurisdictions and customary closing conditions. The closing of the transaction is expected for the first half of 2021.

De modul cum se aplică offsetul în programele majore de înzestrare depinde nu numai asigurarea logistică, dar și dezvoltarea unei industrii competitive în măsură să balanseze cheltuielile militare. Din acest punct de vedere Offsetul a fost și rămâne o pârghie puternică prin care cheltuielile militare pot fi echilibrate cu atingerea unor beneficii economice pentru țările importatoare de tehnică militară. Am prezentat prima dată conceptul offsetului, unui înalt oficial al statului român, în primăvara anului 1997. Așteptasem 7 ani o schimbare a regimului neo-comunist, instaurat după evenimentele din Decembrie 89, pentru a găsi, credeam eu atunci, un sol prielnic pentru plantarea unei semințe cu o valoare “biologică” dovedită în peisajul economic modern. Rețin și acum, peste ani, titlul de pe contracoperta JDW (Jane’s Defence Weekly), care-mi reținuse atenția asupra acestei problematici. Era asociat unui interviu cu Ministrul Apărării din Finlanda anului 1990, Elizabeth Rehn, legat de viitoarea achiziție a celor 64 de F-18 Hornet, care suna cam așa: “Offsets, key to Finland’s faith”, fiind prima mea întâlnire cu cuvântul “Offset”, ce părea un fel de magie pentru realizarea obiectivelor de dezvoltare economică ale Finlandei. Aveam apoi, în anii următori, în lipsa Google-ului și Internetului, să pun împreună piesele unui puzzle, care au inclus exemple legislative din Turcia, Norvegia, și alte țări și care s-au constituit mai apoi în primul proiect al legii offsetului, aprobată în final în anul 2012… Rolul offsetulu-Imagine Wikipedia Pentru ca principiul offsetului este în esență destul de simplu, asa cum se poate vedea din figura alăturată. Teoretic, pentru a echilibra deficitul economic și financiar rezultat din achizițiile de tehnică militară, odată cu aceasta se cere/oferă și “compensarea” acestora prin offset (“juste retour”). https://en.wikipedia.org/wiki/Offset_agreement Însă vorba românească, “practica ne omoară”, negocierile sunt în cea mai mare parte a cazurilor extrem de dificile și…nu există rețete, astfel de programe necesită inventivitate, imaginație și…multă energie. Poate că acesta este și motivul pentru care în România s-a luat hotărârea să fie omorât, după ce vreme de 20 ani fusese ținut ascuns sub lacăt, cât mai departe de ochii opiniei publice. Să nu uităm de “muieți sunt posmagii”…

Stăteam așadar în fața consilierului prezidențial, într-o cameră la Cotroceni, și îi explicam avantajele economice, sociale și politice, care ar fi decurs din promovarea unei asemenea legislații și în România: transfer de tehnologie, investiții, locuri de muncă în industrii cu valoarea adăugată ridicată, adăugând că programul strategic prezentat putea include și retehnologizarea și privatizarea cu firme străine a unor companii strategice ale economiei naționale, dând exemplu Tractorul Brașov, Semănătoarea sau Progresul Brăila. De notat că firme similare, John Deere și Caterpillar sunt două din companiile care dau indicele DOW30 al bursei americane… Moment in care consilierul prezidential cade pe spate într-un hohot de râs, spre uimirea celorlalte două persoane prezente, și îmi spune : “Domnule, dumneata vrei să salvezi Tractorul și Semănătoarea și americanii tocmai au venit să ne dea un credit de 450 milioane de dolari să cumpărăm mașini agricole de la ei ???” tema care avea să revină permanent în gândirea politică a tuturor administrațiilor românești, dornice să-și acrediteze statutul pe plan intern, care în concepția lor le-ar fi oferit un avantaj asupra adversarilor politici. Din păcate această mentalitate, specifică după cum se va putea vedea doar instituțiilor statului român, avea să se accentueze odată cu trecerea timpului, cauzând derapaje extreme de la practica internațională în domeniul relațiilor internaționale între state suverane, cu consecințe extrem de nefavorabile asupra economiei naționale, a mediului social și nivelului de trai și în cele din urmă și a capacității de apărare grav afectate în ultimii 20 ani de degradarea tehnologică și pierderea forței de muncă din industria de apărare. Acest site își propune să prezinte comparativ cu alte țări din Europa și din lume, atât situația legislativă cât și practicile și mecanismele instaurate în acest domeniu în România, să analizeze și să arate greșelile care s-au făcut în achizițiile întreprinse în ultimii ani cât și impactul negativ al acestora datorită renunțării și chiar interzicerii prin lege a offsetului, cu speranța ca măcar acum, când este deja trecut de al 12-lea ceas, să se declanșeze o schimbare necesară, fără de care însăși capacitatea economică și financiară a statului român nu va reuși să susțină efortul de 2 % din PIB pentru bugetul apărării care se bazează într-un procentaj semnificativ pe angajarea constantă de credite externe. facebook Întrebări firești, răspunsuri cel puțin demagogice. Putina fanfaronada cu “produsele românești” pe care nu le poate numi directorul general. Chiar nu vrem sa ne trezim? Sa spunem clar ce putem și ce nu putem sa facem. Sa plecam de la realitate și sa construim ceva serios. M-am plictisit sa văd SAUR-ul, sa mi se povestească despre marea și extraordinara industrie NATIONALA de Aparare. Deocamdată, singurele care au înțeles ca sunt standarde internaționale, ca este important sa contribui cu o componenta la un produs, ca nu este cazul sa aruncam bani in sacul fără fund al dezvoltării de produse originale sunt companiile cu capital privat. ROMARM este o fantoma sau o mașina de spălat bani pentru partidele la putere. Argumente: Șomajul tehnic la “nucleu” și programele de cercetare a rotirii roții și încălzirii apei calde. Memoria instituțională https://en.wikipedia.org/wiki/Institutional_memory Memoria instituțională este un ansamblu colectiv de fapte, concepte, experiențe și cunoștințe deținute de un grup de oameni. Concept Memoria instituțională a fost definită drept „cunoștințele stocate în cadrul organizației”. În cadrul oricărei organizații, instrumentele și tehnicile vor trebui adaptate pentru a răspunde nevoilor organizației respective. Aceste adaptări sunt dezvoltate în timp și predate noilor membri ai grupului, împiedicându-i să întâmpine aceleași probleme și să fie nevoiți să dezvolte o soluție care există deja. În acest fel, organizațiile economisesc timp și resurse care altfel ar putea fi pierdute. De exemplu, două ateliere de reparații auto ar putea avea același model de ascensor auto. Ascensoarele în sine și instrucțiunile scrise pentru ele sunt identice. Cu toate acestea, dacă un atelier are un plafon mai mic decât celălalt, angajații săi pot determina că ridicarea unei mașini peste o anumită înălțime poate provoca deteriorarea tavanului. Angajații actuali informează noii angajați despre această soluție. La rândul lor, aceștia informează viitorii angajați, chiar dacă persoana care a descoperit inițial problema nu mai lucrează acolo. Un exemplu în acest sens ar fi o organizație care continuă să depună un formular, chiar și după abrogarea legii care solicită acest document, de teama consecințelor legale care nu mai există. Memoria instituțională poate avea, de asemenea, influență asupra identității organizaționale , a alegerii persoanelor și a acțiunilor indivizilor care interacționează cu instituția. Cunoștințe instituționale Cunoștințele instituționale sunt obținute de organizațiile care traduc date istorice în cunoștințe și înțelepciune utilă. Memoria depinde de păstrarea datelor și, de asemenea, de abilitățile analitice necesare pentru utilizarea efectivă a acestora în cadrul organizației. În toate cazurile, sistemele sociale, culturile și organizațiile au interesul de a controla și de a valorifica amintirile instituționale. Structura organizațională determină cerințele de instruire și așteptările de comportament asociate cu diverse roluri. Aceasta face parte din cunoștințele instituționale implicite.
