Holland & Knight Again Recognized as “Best Law Firm for Women and Diversity”

For the fifth straight year, Holland & Knight has been named among the Best Law Firms for Women and Diversity by Seramount. The annual list recognizes 45 firms that use best practices in recruiting, retaining, promoting and developing women lawyers and lawyers from underrepresented groups, including people of color.

Seramount’s 2024 Best Law Firms for Women and Diversity application includes 648 questions about attorney demographics at different levels, flexibility, paid time off and parental leaves, and development and retention of women, people of color and other underrepresented groups. Questions about family-friendly benefits, mentoring and sponsorship participation are also included.

“We’re honored to once again be recognized by Seramount for our ongoing efforts to create a professional environment that supports the growth of all of our attorneys,” said Partner Tricia DeLeon (DAL), chair of Holland & Knight’s Women’s Initiative. “It is gratifying to see family-friendly policies increasing across the industry. Highlights of the 2024 Best Law Firms for Women and Diversity report include:

• Representation: 42 percent of lawyers are women, same as last year; 24 percent of lawyers are people of color, up from 23 percent last year; 33 percent of lawyers hired are people of color, down from 34 percent last year.

• Advancement: The percentage of women promoted to equity partner is 41 percent, up from 39 percent last year; the percentage of people of color promoted to equity partner is 22 percent, up from 17 percent last year.

This spring has been one of exciting change and growth for the firm. In April, new executive leadership took the helm at Holland & Knight. The Women’s Initiative congratulates and looks forward to working with Chair and Executive Officer Bob Grammig (TPA/WAS/NYC), Managing Partner David Whitestone (WAS) and Deputy Managing Partner Tiffani Lee (MIA), along with the firm’s new Diversity Partner O’Kelly McWilliams (WAS), during this exciting period of transition.

We also welcome our new Women’s Initiative Chair Tricia DeLeon (DAL) and Deputy Chair Jessica Early (BOS). They will do an amazing job in their new leadership roles. It has been my privilege to chair the Women’s Initiative for the past seven years. It’s been an eventful tenure with the COVID-19 pandemic, remote work and expansion of the firm, which now has more than 750 women attorneys. The program is in very capable hands, and I look forward to its continued success.

This edition of the newsletter comes on the heels of our second Women’s Initiative Regional Leadership Retreat. More than 80 women attorneys gathered at the firm’s office in Washington, D.C., for two days of professional development programming.

In March, the firm celebrated Women’s History Month and International Women’s Day on March 8 with various events, social media highlights and speakers. The Women’s Initiative hosted a virtual fireside chat with more than 385 attendees on March 18 with JetBlue Airways CEO Joanna Geraghty, who shared her career path to becoming the first woman to lead a major U.S. airline. A week later, more than 275 participants heard from Lauren Leader, CEO of All in Together, about women leaders who have overcome huge challenges to make a difference and foster systemic change.

Our women also collaborated with other organizations – including the National Association of Women Lawyers (NAWL), the Center for Women in Law (CWIL) and CenterForce’s Driving Diversity in Law & Leadership Summit – to focus on development through webinars and in-person conferences.

Lastly, special thanks to firm management, our local Women’s Initiative coordinators, our DEI team, our marketing and events folks, and the HK Institute programmers for your support throughout the years. It’s been greatly appreciated.

D.C. Office Hosts Successful Women’s Initiative Regional Leadership Retreat

After the success of its inaugural retreat in Dallas last fall, the Holland & Knight Women’s Initiative held another Regional Leadership Retreat on April 4-5 in the Washington, D.C., office. Business growth coach and author Deb Feder again led the two-day retreat.

More than 80 women attorneys from the firm’s Boston, Chicago, Washington, D.C., New York, Philadelphia, Richmond and Tysons offices attended the event, representing a wide range of practices, including Corporate Services, Corporate – Oil and Gas, Corporate – Trade Regulation, Financial Services, Healthcare Regulatory & Enforcement, Healthcare Transactions, Intellectual Property, Labor and Employment, Litigation, Public Policy & Regulation, Real Estate and Tax/Executive Compensation & Benefits.

Day 1

Introducing the theme, “Building a Strong Practice Through Connection and Collaboration,” Day 1 kicked off with a welcome lunch and networking. Three sessions followed, focusing on creating powerful introductions, developing a no-prep pitch and building a simple, effective and accountable networking plan.

Later in the evening, the Washington office hosted a mix-and-mingle cocktail reception before dinner. During the evening session, attendees focused on skills and strategies for building their practices by collaborating and cross-selling with our internal networks.

Day 2

Day 2 began with a breakfast to welcome several firm clients – including representatives from the University of Southern California, Finca International, Freddie Mac, First Washington Realty, Hoffman & Associates and Washington Soccer Properties LLC – and highlighted the theme of “Showing Up How You Want to Be Seen and Leading Your Powerful Career.”

The morning sessions focused on leadership and included discussions on communication styles, building trust and managing in-person and virtual platforms, as well as time management and productivity strategies. During lunch, Partner Christy Shiker (WAS) moderated an insightful and interactive panel with clients. The afternoon focused on staying in the present by understanding the secret weapons of mindfulness and self-care, as well as setting goals with intention and energy to execute the remainder of 2024 with a plan in place.

The retreat wrapped up with closing remarks and a social hour.

Positive Feedback and Future Events

Associate Sara Klock (WAS) shared her thoughts on the event, which was a positive experience for all who attended.

“What a wonderful two days,” said Sara. “It was amazing. I thought every session was meaningful, and the connection with our colleagues was real.”

An additional retreat has been planned for this fall on the West Coast. More details will be released later in the year.

Celebrating Women’s History Month

The Holland & Knight Women’s Initiative was proud to commemorate National Women’s History Month throughout March and celebrate the many accomplishments of women in law.

The Women’s Initiative proudly recognized International Women’s Day on March 8. International Women’s Day honors the social, economic, cultural and political achievements of women throughout history and across nations.

This year’s theme was #InspireInclusion, a call to foster a greater sense of belonging, relevance and empowerment and create a more inclusive world for all women. Holland & Knight commemorated the day on social media with #InspireInclusion messages and photos from the various offices – including Boston, Century City, Chicago, Jacksonville, Mexico City, Miami, Nashville and Washington, D.C. – as they hosted celebrations in appreciation of the firm’s women.

Holland & Knight also shared an International Women’s Day video that featured several members of firm leadership. Additionally, the firm kicked off a Women in Leadership video series with two videos released in March: Partner and Directors Committee Chair Kelly-Ann Cartwright (MIA) was featured on March 15, followed by a video featuring Deputy Managing Partner Tiffani Lee (MIA) on March 29.

Power Summit Attendees Learn to Lead Boldly, Drive Change

Holland & Knight was a proud sponsor of the 2024 Women’s Power Summit on Law and Leadership. The event, held April 10-12 in Austin, Texas, was organized by the Center for Women in Law

Partners Tricia DeLeon (DAL), Judy Nemsick (NYC), Theresa Wanat (HOU), Ashley Phillips and Jennifer Rangel, along with Associate Heather Montoya (all AUS), attended the summit on behalf of the firm.

The summit’s theme was Leading Boldly, Driving Change, and featured keynote speakers, including:

• The Honorable Mari Carmen Aponte, U.S. Ambassador to Panama and the first female Puerto Rican Ambassador, who offered unparalleled insights from her tenure in law and public service, emphasizing the power of resilience and strategic leadership

• Sara Moss, former vice chair, executive vice president and general counsel for The Estée Lauder Companies, who shared her expertise on navigating corporate law with integrity and foresight

Since 2009, the biennial invitation-only Women’s Power Summit has convened a Who’s Who of influential women in the legal profession to generate ideas and lead change. Speakers and attendees include leaders at the pinnacle of their careers who can lead progress and achieve results for women within their organizations and communities.

Fireside Chat with Joanna Geraghty

In honor of Women’s History Month, the Holland & Knight Women’s Initiative hosted a virtual fireside chat on March 18 with JetBlue Airways CEO Joanna Geraghty. The webinar, with more than 385 attendees, was moderated by Partner and Women’s Initiative Outgoing Chair Judy Nemsick (NYC).

During the webinar, Geraghty, a former Holland & Knight partner, discussed her career path and the challenges she has faced on her journey to becoming the first woman to lead a major U.S. airline.

Thinking back on her time with Holland & Knight, Geraghty explained how her business relationship with a former colleague who eventually became general counsel at JetBlue helped lead her to the next big move of her professional career as an attorney.

“The world comes around in crazy ways, and relationships matter,” Geraghty explained. “Treat people well all along the way because you never know who you’re going to bump in to, who you’re going to work for, who you’re going to work with, who may work with you over time, who may hire you as a client or may be someone you hire. If you treat people with kindness and fairness, that goes a long way.”

She also addressed her trailblazing role and responsibilities, the growing number of women in leadership positions in the aviation industry and the challenges that lie ahead in the competitive airline market.

“I’m very proud of what JetBlue has done in this space,” Geraghty said. “We’ve got an extremely diverse senior leadership team. My CFO is female, my CIO is female, my chief people officer is female, and so I feel really great about the team we built here.”

The program was well-received by participants, many of whom found Joanna inspiring, incredibly sincere, highly accomplished and yet also relatable and down to earth. As one attendee commented, “The tenor between the Joanna

and Judy was colloquial and seamless, and Joanna is an absolute master at succinctly giving advice and articulating her story in an engaging manner. I simply loved it.”

“I thought you produced a fabulous program yesterday –you don’t have to be a woman to be inspired by Joanna’s presentation,” said Partner Larry Childs (BHM). “She was refreshingly transparent about her pathway to the top, her experiences along the way and even her personal struggles to achieve work-life balance. I can’t recall hearing a CEO of a major company who was less full of herself. I also thought she brought forward concrete suggestions on how to achieve success in the corporate world. And, of course, the potential for some JetBlue flights out of Birmingham was exciting. Thanks for making this opportunity available to us.”

Numerous attendees echoed Larry’s comments, expressly noting Joanna’s candidness and relatability, and appreciating her practical career advice and insights.

Lessons on Leadership

The Holland & Knight Women’s Initiative hosted a virtual discussion on March 25 with Lauren Leader, co-founder and CEO of All in Together (AIT) and a frequent speaker, commentator and consultant on diversity and gender equity issues.

The webinar, “Lessons on Leadership from History’s Most Important Women,” considered women leaders throughout time – from Harriet Tubman to Ruth Bader Ginsburg – who have overcome long odds and huge challenges to make a difference and push forward seemingly impossible social movements and systemic change.

Leader kicked off her presentation by highlighting the creation of Women’s History Month, first established in 1978 in California, and International Women’s Day, which came to life following the women’s labor and suffrage movement in the U.S. during the 1900s.

While it’s evident that women are succeeding in the U.S., Leader reflected on the long road that still lies ahead.

“I think it’s a really remarkable time for women in this country, and it’s worth taking a moment to pat ourselves on the back for what’s been accomplished,” Leader shared. “But it’s also extraordinary to note that it took us this long to get one woman elected at the almost-highest office – there are 54 other nations around the world who have already elected women as heads of state, and we have not.”

According to the 2023 World Economic Forum Global Gender Gap Report – which measures gender equity on the basis of economic participation, health and survival, and political empowerment – the U.S. is ranked No. 43 in the world and lags behind compared to the previous year. Leader said that there are several lessons to be learned from Iceland, which takes the lead as the most genderequitable country in the report. Iceland set the precedent in 1975 when 90 percent of women in the country went on strike for gender equity. Shortly after in 1980, the country elected Vigdís Finnbogadóttir – the world’s first democratically elected women president – who passed a series of family-friendly policies and paved the way for more women leaders. Last year, Icelandic women, including the prime minister, went on a 24-hour strike for unequal pay and gender-based violence.

“In Iceland, there’s been a constant, concerted effort on building the infrastructure for women’s lives,” Leader said.

“What I think is really interesting about Iceland – and this applies to us, even though our country is much bigger and more diverse – is the collective power example. Women came together to fight for the rights they deserved, which continues until this day.”

Leader explored the lives of extraordinary women who were overlooked and underappreciated during their time, such as First Ladies Lady Bird Johnson and Nancy Reagan, who led tremendous change within the White House, and trailblazers like Constance Baker Motley, the first African American woman to argue a case before the U.S. Supreme Court and to serve as a federal judge. Their lives can teach us lessons about what it takes to lead and make an impact where we work or live.

Houston Attorneys Speak at Diversity in Law & Leadership Summit

Holland & Knight sponsored and had a notable presence at CenterForce’s Driving Diversity in Law & Leadership Summit in Houston on Feb. 22 as Partner Agnes Doyle and Associate Kelsie Knight (both HOU) spoke at the event.

Agnes spoke during a general counsel roundtable discussion on “Authenticity – Showing Up as Yourself.” The discussions were thought-provoking and spirited, covering an array of areas such as imposter syndrome, the challenges faced by diverse legal professionals and differences in perspectives, ideology and appearance that can impact whether you choose to show up as your authentic self in professional settings.

“Attendees heard from several legal professionals who provided accounts of the challenges they faced at various periods in their careers with truly being able to show up as their authentic self at work and how they overcame many of those challenges,” said Agnes. “I personally walked away with a renewed understanding that authenticity and showing up as your authentic self is a value-add to employers, as it fosters an environment of trust, belonging and buy-in, which in turn enables you to be confident in your skills and ultimately enhances what you have to offer.”

Kelsie was a panelist during “Redefining Success: From Burnout to Balance in a Multigenerational Workforce,” which explored shifting views around mental health, career fulfillment and work-life balance across generations, as well as offered insights on achieving harmony between professional success and personal well-being.

“I had a great time speaking on the panel and getting to know my fellow panelists, which started from our initial prep calls and has continued, as I have since ran into some of them around Houston,” said Kelsie. “CenterForce put on a great event filled with valuable information, great speakers and wonderful networking opportunities. I look forward to attending their events in the future!”

The Driving Diversity in Law & Leadership Summit is a vital platform for legal professionals to ignite change, featuring powerful discussions, practical strategies and unmatched networking opportunities.

New Report Details Diversity & Inclusion in Government Relations

The women of Holland & Knight’s Washington, D.C., office joined 131 & Counting and the Diversity in Government Relations (DGR) Coalition on April 10 to discuss the inaugural Diversity & Inclusion in Government Relations Survey Report.

The report is aimed at capturing demographic data about those working to shape policy at the national and local levels and providing insight into their experiences in the government affairs industry to help spur change.

Panelists included Kodiak Hill-Davis, senior vice president of government affairs, Niskanen Center; Amy L. Hinojosa, national president and CEO, MANA, A National Latina Organization; Charlyn Stanberry, vice president of government relations, National Association of Broadcasters; and Dr. Lauren Lyles-Stolz, vice president of reimbursement, innovation and advocacy, National Association of Chain Drug Stores (NACDS).

The survey found that “women, people of color, and people with disabilities were commonly having worse experiences of working within the government relations field than their peers who are men, white, or nondisabled.” The discussion not only unveiled these sobering statistics but also dissected their implications and, most importantly, illuminated the path forward.

Additional topics included:

• unpacking the report’s findings and understanding their significance

• empowering individuals with the knowledge and tools to navigate and thrive in the government relations industry

• providing hiring decision-makers with insights to foster inclusive workplaces on Capitol Hill and “K Street”

• charting a course toward a future where diversity is not only celebrated but embedded in the fabric of our profession

Following the discussion, attendees enjoyed an evening of cocktails and networking conversations with friends and colleagues.

The organization 131 & Counting was formed in 2019 with the help of Holland & Knight’s Public Policy & Regulation Group, Senior Policy Advisor Miranda Franco (WAS) and several women’s organizations. The bipartisan effort brings together women public policy professionals, congressional staff and lawmakers to foster meaningful conversations, uplift important issues and voices, and offer high-impact networking. The initiative’s name honors the 131 women who were elected and sworn into the 116th Congress. Today, there are 153 women in Congress.

Spotlight on Our Lawyers

Partner Amy Leder and Associate Nicole Lamanna (both NYC) helped lead the firm’s representation of Maersk Tankers A/S on its approximately $100 million acquisition of Penfield Marine. They were assisted by Associates Charnae Supplee (PHL), Mackenzie Zales (WAS) and Emily Nguyen (DAL).

Senior Counsel Cristina Papanikos (MIA) and Associate Suzanne Busser (FTL) helped represent the Walter and Lucille Rubin Foundation by fending off undue influence and lack of capacity claims that determined who would control an $80 million estate. The 11-day, non-jury trial involved nearly 20 testifying witnesses and took place from late October to late November 2023.

Partner Chris Schwing and Associate Emily McWey (both JAX) obtained a dismissal on behalf of all of the defendants on a large litigation matter involving laboratory and COVID-19 claims.

Associates Lauren Neville and Francesca Ferrara (both DAL) helped advise the New York branch of Natixis, along with Export Development Canada, Rabobank, Société Générale and Nord/LB, as arrangers, green loan coordinators and lenders on a $383 million build-transfer project financing of a Texas wind generation project.

Partner Pippa Balestrieri (SFO) led a team that represented Teatro della Pace Films LLC, a leading California-based film production company, in its recent acquisition of certain film library assets of The Saul Zaentz Company. The team also included Associates Amelia Occhino (WAS), Sydney Landers (MIA) and Emma O’Connell (CHI).

Associate Lauren Neville (DAL) helped advise the New York branch of Natixis as mandated lead arranger and agent and Desjardins Capital Markets as mandated lead arranger on a four-year, $650 million syndicated, secured, Green Loan Principles-aligned letter of credit facility for a subsidiary of Invenergy Renewables LLC. Natixis also acted as green loan coordinator for the financing.

Associate Maddie Fenton (PHL/SFO) is a member of Holland & Knight’s new DEI Task Force that helps clients seeking legal counsel on how to proceed with their DEI programs, policies and procedures. The task force is set up to engage in multiple topics and areas, including government contracts, nonprofit and tax-exempt entities, investigations and enforcement matters, and environmental, social and governance (ESG) programs. It also advises nonprofits, corporations, venture capitalists and asset management firms on DEI-focused aspects of compliance, strategy, legislative and policy surveillance, as well as enterprise-wide audits of programs, policies and commitments.

Associate Jenny Haberman (NYC) helped advise Fisher Brothers, a real estate company that owns, manages and operates properties across the country, along with institutional investors advised by J.P. Morgan Global Alternatives in securing a 20-year, 765,000-square-foot lease at 1345 Avenue of the Americas in New York. The deal marked the largest commercial office lease in the U.S. in 2023.

Senior Counsel Marybeth O’Keefe (SCT) helped advise Heartwood Partners in its sale of High Bar Brands LLC, a manufacturer and distributor of branded heavy-duty truck aftermarket accessories. Associates Jiyeon Barta (ORL), Allia Howard (DAL) and Bianca Poehailos (SCT) provided assistance.

Partner Ilene Pabian (MIA/FTL) helped lead a team that prevailed in the U.S. Court of Appeals for the Eleventh Circuit after it affirmed a federal district court’s decision in favor of the Dominican Republic and its water resources agency, Instituto Nacional de Recursos Hidráulicos (INDRHI).

Associate Morgan Allred (BHM) helped lead a team that represented major fast-food company Premier Kings Inc., a franchisee of Burger King Corp., in its Chapter 11 bankruptcy case, which involved a Section 363 sale of 166 of its 172 locations in five Southeastern states.

Associate Kelsie Knight (HOU) helped lead a team that advised QuarterNorth Energy (QNE) in its $1.29 billion acquisition by Talos Energy. The team included Partners Neely Munnerlyn (DAL) and Ashley Phillips (AUS), as well as Associate Caroline Spiers (HOU).

Senior Counsel Erin Hughes (NSH) advised on real estate matters for SportsMed Physical Therapy, a portfolio company of New York-based investor Hildred Capital Management, as it acquired Red Bank Physical Therapy, a leading provider of physical therapy services in Monmouth County, New Jersey.

Partner Melissa Wong (BOS), Associates Mackenzie Zales, Sara Klock (both WAS) and Alison Redick (TYS), as well as Senior Policy Advisor Miranda Franco (WAS), provided U.S. securities law advice to pharmaceutical company HighTide Therapeutics in connection with its initial public offering (IPO) and listing on the Hong Kong Stock Exchange.

Partners Rachel Marmor (BOS) and Caitlin Saladrigas (WPB), along with Associate Kristen Ricci (PHL), are helping lead a team that has been engaged to advise Comcast, dba Xfinity, as it investigates and responds to a cyberattack affecting more than 35 million Xfinity customers. Rachel is the privacy and security relationship partner for Comcast, a workstream client she brought to the firm in 2021. The team also includes Partner Ashley Shively (SFO) and Associate Sophie Kletzien (NYC).

Partner Marie Larsen (NYC) helped secure a significant win in the Delaware Court of Chancery in favor of Principal Growth Strategies, a subsidiary of Platinum Partners Value Arbitrage Fund (PPVA) and the joint official liquidators in the liquidation of PPVA. Principal Growth is seeking damages and recoveries from insurers, reinsurers and hedge fund parties under a variety of claims.

Associate Deborah Brundy (SFO) helped secure a victory for California nonprofit Grandma’s House of Hope by challenging the city of Anaheim’s refusal to issue a permit

to allow the organization to provide transitional housing for homeless women at a house in San Francisco.

Partners Tammy Knight (FTL), Neely Munnerlyn (DAL) and Christine Gay (MIA) were part of a team that advised business solutions and services company Conduent Inc. through its subsidiary Conduent Business Services LLC, as well as other subsidiaries, in the sale of its Curbside Management and Public Safety Solutions businesses to Modaxo, a division of Constellation Software Inc.

Partner Madeleine Tan (NYC) led the firm’s representation of Greenalia, a leading Spanish developer of renewable power projects, in securing $200 million of three-year credit facilities to support the development of its solar and wind projects in the U.S. The team also included Associates Jessica Gonzalez (HOU), Samantha Podlas (NSH) and Nicole Lamanna (NYC).

Associate Vanessa Suarez (AUS) helped lead a team that secured an international arbitration win for Texasbased Hupecol Operating Co. LLC in a dispute involving nearly $30 million in alleged damages. Senior Counsel Estefanny Pardo, as well as Associates Natalia Suárez (both BOG) and Heather Montoya (AUS), provided assistance.

Associate Maria De Bedout (NYC) was part of a team that advised Fibra UNO on its senior unsecured green bond placement for $600 million, the first of its kind issued by a Mexican real estate investment trust (FIBRA). The bond is placed at par with a coupon of 7.375 percent and a final bullet maturity of 10 years in February 2034.

Associate Rosa María Cuevas (MEX) helped advise UM B Bank in connection with the financing of the acquisition of 13 power plants currently owned by Iberdrola, a Spanish multinational electric utility company. The assets were purchased by an acquisition trust managed by Mexico Infrastructure Partners.

Associate Emily Smith (DAL) helped host Mitsubishi Heavy Industries Ltd. (MHI) for a dinner to celebrate the closing of its acquisition of Concentric LLC. The transaction was MHI’s largest acquisition in a decade.

Partner Stacy Hooper (NSH) helped advise EmVenio Research, the largest provider of community-based clinical trial sites served with mobile research units, in its acquisition by PCM Trials.

Partner Jessica Brown and Associate Ana Dragojevic (both SFO) helped advise Palomar Health on an innovative structural reorganization to partner with Mesa Rock Healthcare Management Inc., a newly created private nonprofit management services organization. The plan, which is the first of its kind in California, will empower Palomar Health to affiliate and align with other regional health systems while remaining an independent public health institution.

California’s Housing Accountability Act (HAA). The team also received support from California Gov. Gavin Newsom, state agencies and outside housing advocacy organizations.

Partner Gloria Skigen (SCT) led teams that represented Morgan Stanley Expansion Capital as it invested in two technology-focused companies. The team advised Morgan Stanley Expansion Capital on behalf of North Haven Expansion Equity IX in a $67 million financing of cPacket Networks. The team also advised Morgan Stanley Expansion Capital on behalf of North Haven Expansion Equity IX in a $25 million Series B preferred stock financing investment in Openprise.

Associate Kitty Xie (HOU) helped represent firm client Proman in the negotiation and execution of a joint venture agreement with Mitsubishi Corp. and a frontend engineering and design (FEED) agreement with contractors Mitsubishi Heavy Industries Ltd. The loan would help finance a project to expand an advanced battery pack assembly facility to support light-, medium- and heavy-duty electric vehicle (EV) and industrial equipment applications at ABS facilities in Springboro, Ohio, and Lake Orion, Michigan. Partner Glynna Christian (CHI/NYC) co-led the firm’s representation of Lorenzo’s House, a Chicago-based nonprofit focused on empowering young people and their families dealing with younger onset dementia, to establish the nonprofit’s 501(c)(3) status. The team acted as local counsel for land use, real estate and condominium matters.

Associate Laura Flint (ATL) prepared the oral argument to secure a 2-1 majority opinion from the Georgia Court of Appeals in favor of client Electrify America, an electric vehicle (EV) charging station company. Ultimately, the majority panel decided in favor of Electrify America that the EV charging station companies qualify as individual electric utility users under Georgia statute.

Partners Chelsea Maclean and Emily Lieban (both SFO) are representing MidPen Housing, one of the largest nonprofit developers, owners and managers of high-quality affordable housing in Northern California, as it secures approvals to build an affordable housing community in Moss Beach, California. The Holland & Knight team has been working with MidPen for several years, with this project dating back to 2018.

Associates Patty Garcia-Linares and Nicole Alvarez (both MIA), along with Law Clerk Lauren Robertson (NYC), helped win a board control dispute in the Delaware Court of Chancery by successfully opposing attempts to reinstate a bad actor to the client company’s board of directors, as well as winning a cross-motion to stay the Court of Chancery litigation entirely.

Associate Diana Andrade (TYS) was part of a team that advised Raft LLC in connection with its $60 million investment from Washington Harbour Partners LP, a leading private investment firm.

Partner Nicole Elliott and Senior Policy Advisor Lauren Maddox (both WAS) assisted the Education Finance Council (EFC) to help secure guidance from the U.S. Department of Treasury regarding qualified student loan bonds that had been stuck in place for nearly eight years. They also determined what was needed to advance the guidance, how best to facilitate the exchange of information and how to utilize contacts and relevant committee staff on Capitol Hill to weigh in and nudge Treasury Department and IRS officials to act expeditiously.

Partner Juliana Saa and Associate María Borrero (both BOG) advised eight lending institutions in the financing of two 5G toll highways to be constructed in Colombia. The deal was valued at 4.3 billion Colombian pesos (approximately $1.1 million) and involved clients Bancolombia, International Finance Corporation, BID Invest, Banco de Desarrollo de América Latina y el Caribe, J.P. For the 12th consecutive year, Holland & Knight has been honored with the Outstanding Services Award by the American Bar Association’s (ABA) Military Pro Bono Project – the only law firm to receive the honor every year since the project’s inception in 2012. Associate Talis Trevino (ATL) has been named to the Atlanta Legal Aid Society Board of Directors. Since 1924, Atlanta Legal Aid has offered free civil legal assistance for people with low income across metro Atlanta. More than 20,000 cases are represented each year by Atlanta Legal Aid’s staff of attorneys and volunteers.

Florida Supreme Court honored Partner Jamie Moses (ORL) with the 2024 Tobias Simon Pro Bono Service Award for her more than 25 years of pro bono volunteer

service. The award is the court’s highest recognition for pro bono service among private attorneys. Jamie has long served as a guardian ad litem for the Legal Aid Society of the Orange County Bar Association, and she handles appeals for the Florida Guardian ad Litem Office.

Partner Jennifer Sickler (HOU) was recognized for leading trademark practices by World Trademark Review in the 2024 edition of the WTR 1000. The guide also ranked Holland & Knight as a top global trademark practice and recognized the firm’s offerings in Washington, D.C., and Tennessee.

Senior Counsel Nancy Anderson (WAS) received the Klepper Prize for Volunteer Excellence from Legal Aid D.C. at the organization’s annual Servant of Justice Awards Dinner. Nancy was recognized for her assistance over the last eight years to clients wrestling with the government to obtain Social Security Disability Insurance (SSDI) and Supplemental Security Income (SSI) benefits, which provide financial support to adults unable to work due to disability, as well as children with physical and/or mental health conditions. The Klepper Prize is awarded each year to an attorney early in his or her career who is dedicated to providing pro bono legal representation and has made a significant volunteer contribution to Legal Aid.

During the program, “Minimizing Board of Director Liability Over the Life of an ESOP,” Lindsey examined current trends in ESOP litigation and legal developments that may impact the roles and responsibilities of board members and fiduciaries. She also shared valuable insights and strategies for effective ESOP governance while minimizing potential risks. During the presentation, “ESOPs and M&A: Exploring the Intersection, the Prudence and Process for Unsolicited Offers,” Renee led a discussion on financial, legal and governance processes to help identify threats to ESOPs. Partners Melissa Wong (BOS) and Susan Banks (DEN) spoke at the American Health Law Association (AHLA) Institute on Medicare and Medicaid Payment Issues Conference on March 20-22. Melissa discussed the shifting patterns observed in Medicare Advantage (MA) enrollment as it relates to the decrease in traditional feefor-service (FFS) Medicare. Susan discussed the layered statutes and guidelines that dictate Medicare payments, specifically focusing on the federal overpayments statute and related obligations for providers to return overpayments.

Holland & Knight proudly sponsored the Hispanic National Bar Association’s (HNBA) 2024 Corporate Counsel Conference, held March 20-22. Partner Danielle Garno (MIA/LAX) was part of a Fashion Law Panel during the Widener University Delaware Law School Women’s Law Caucus on March 19. In addition to exploring legal challenges within the industry – particularly related to intellectual property and fashion regulation –Danielle addressed the significance of promoting DEI and emphasized the importance of expanding networks and establishing support systems to grow women’s careers.

Partner Leila Batties (WAS), co-chair of the firm’s Black Affinity Group, was a panelist during the Gateway to Success Conference hosted by the National Bar Association on March 15 at Howard University School of Law. Associate Amy Fuentes (TYS) taught a course, “What’s New in Federal Contracting: A Procurement Policy

Update,” hosted by the National Contract Management Association (NCMA) on March 13. The session covered the latest trends and updates related to fraud and enforcement, labor and employment, and claims and disputes within federal contracting.

Senior Counsel Estefanny Pardo and Associate María Aponte (both BOG) spoke during the Holland & Knight webinar, “The File of the Environmental Licensing Process: Technical and Legal Strategies,” on March 13. They shared their experience in environmental law and the problems of filing environmental licenses, as well as analyzed cases and specified legal aspects that must be considered.

Partner Ari Alvarez (FTL) was a panelist during the Broward County Bar Association’s International Women’s Day Celebration on March 8. She addressed the struggles women face in rising within the legal profession, what it takes to reach the top of the legal industry and how to help women who are starting out in their careers.

Partner Inés Vesga (BOG) moderated the Diversity and Inclusion Forum Colombia 2024 on March 7. Representatives from various business associations –including Partner Turenna Ramírez (MEX) – spoke about the challenges and opportunities associated with diversity and inclusion policies in the business world.

Partner Danielle Garno (MIA/LAX) participated in the Florida International University Sports, Entertainment, Fashion & Art Law Society’s (FIU SEFA) 2024 Annual Symposium on March 7. She co-led the fashion and arts panel, part of a day-long seminar that offered attendees analysis and updates in legal fields ranging from branding to intellectual property.

Senior Counsel Laura Zielinski (MEX) moderated a panel, “Standards of Protection Under Arbitration Agreements,” on March 7. The presentation focused on Mexico’s significant involvement in international investment disputes and the safeguarding of foreign investments through treaties, as well as investigated the specifics of the U.S.-Mexico-Canada Agreement (USMCA) arbitration, emphasizing the agreement’s two-fold protection mechanisms.

Associate Rachel Deming (DAL) helped present the Holland & Knight webinar, “The Corporate Transparency

Act and Its Impact on Private Client Transactions,” on March 6. The speakers shared rules and issues that have arisen in the private client area and important related developments.

Partner Taite McDonald (WAS) was a speaker during the Holland & Knight presentation, “International Opportunities in Hydrogen and CCUS,” on March 5. The seminar featured an overview of U.S. and European market trends, key features of the Inflation Reduction Act (IRA) and related U.S. developments, United Kingdom CCUS and low-carbon hydrogen business models, and challenges and opportunities for international clean hydrogen development projects.

Associate Mary Kate Nicholson (WAS) participated in the Federal Bar Association’s 2024 Tax Law Conference on March 4-5. She moderated a discussion summarizing the incentives available under the Inflation Reduction Act (IRA) and how taxpayers can take advantage of them. The panelists will analyze recent IRS guidance, including proposed investment tax credit (ITC) and production tax credit (PTC) regulations, as well as explore taxpayers’ options for monetizing these credits.

During the panel “Navigating the Rapidly Evolving Information Blocking Regulatory Environment,” she discussed recent developments around information blocking rules and provided guidance on compliance for healthcare organizations.

Partner Chelsea McCarthy (CHI) co-led a Strafford webinar on Feb. 28 that guided counsel on Employee Retirement Income Security Act of 1974 (ERISA) preemption rules and their effects on litigating employee benefit claims. The speakers broke down the intricacies of preemption and explained how it affects retirement and health plan administration, as well as reviewed recent case law on the issue and outlined best practices for ERISA counsel.

Partner Megan Schmid (HOU) co-led the Holland & Knight webinar, “Drilling Down: Hot Topics in Oil and Gas Law,” on Feb. 28. The engaging discussion focused on recent oil and gas litigation, with practical tips for risk mitigation from a litigation viewpoint.

Associates Mary Kate Nicholson and Samantha Skabelund (both WAS) presented during the Holland & Knight webinar, “Tax Research,” on Feb. 28. They spoke

about the various tax research sources and databases and how to use them to best suit your research needs, the levels of authority and where various tax authorities should and should not be relied upon, and how to tailor your research for controversy or advisory issues.

Associate Jessica Kirk (DAL) joined a panel of fellow tax professionals on Feb. 28 as part of the Tax Dispute Resolution Clinic for students at Texas A&M University School of Law. She shared her insights and experiences on the ethics of tax practice, explored the complex landscape of legal ethics in the field and answered questions from students. She also spoke to students at Southern Methodist University’s Dedman School of Law on Feb. 26.

Partner Anita Mosner (WAS) participated in the Grand Debate at the IATA World Legal Symposium on Feb. 23, where she addressed hot topics in aviation law such as deregulation. Partner Judy Nemsick (NYC) also attended the event.

Partner Annie Gamez (MIA) participated in the MiamiDade Florida Association for Women Lawyers’ Annual Trial Skills Workshop held Feb. 22-23. On the first day, she presented on a panel with two local county court jurists on “Cross Examinations, Expert Witnesses and Impeachment.” On the second day, she served as faculty, along with a circuit court jurist and a local attorney, providing critique and feedback to four two-person, all-women teams in a mock trial.

Partner Megan Mocho (TYS), chair of the Federal Bar Association’s (FBA) Qui Tam Section, marked key milestones during the FBA’s Annual Hybrid Qui Tam Conference, held Feb. 22-23. Under Megan’s leadership, the event experienced significant increases in growth and influence, drawing nearly 400 attendees from across the nation. The conference delved into the pivotal role of the government in all aspects of False Claims Act (FCA) qui tam cases. From initial relator interviews to exercises in litigation, trial and appeals, the sessions provided invaluable insights into the complexities of FCA litigation.

Associate Lecelle Clarke (AUS) spoke at the 2024 Caselaw Update at the 25th Annual Changing Faces of Water Law Conference on Feb. 22. She summarized the key federal and Texas water law decisions over the last year and outlined the most significant legal developments

concerning Texas and federal water law, including a discussion of the seminal Sackett v. EPA U.S Supreme Court decision that resulted in the U.S. Environmental Protection Agency (EPA) revising the definition of “waters of the United States.”

Partner Kelly-Ann Cartwright (MIA) represented the firm at the Guyana Energy Conference & Supply Chain Expo 2024, held Feb. 19-22. The conference focused not only on the oil and gas sector, but mining, forestry, agriculture and supply chains. Partner Katharine Menéndez de la Cuesta (MIA) moderated a panel during the iLaw 2024 ILS Global Forum on International Law Conference on Feb. 16. During the panel, “So You’re an International Arbitrator: How to Approach and Handle Some of the Issues That May Arise,” the discussion shed light on a myriad of challenges international arbitrators may encounter, including the selection of applicable jurisdictional laws; navigating the complexities of substantive, procedural and specialized laws; and interpreting arbitration agreements.

Holland & Knight co-sponsored the 37th annual National Bar Association Commercial Law Section (NBA-CLS) Corporate Counsel Conference held Feb. 15-17. Partner Dianne Phillips (BOS) presented during the Licensed Site Professional Association’s (LSPA) monthly meeting on Feb. 13. She shared topics related to perand polyfluoroalkyl substances (PFAS) and offered practical takeaways from a review of the Massachusetts Department of Environmental Protection’s Notices of Audit Findings.

Partners Amy Edwards (WAS) and Emily Lieban, along with Associate Deborah Brundy (both SFO), served as panelists during the Holland & Knight webinar, “Beyond California: Unpacking the National Impact of California’s New Climate Disclosure Laws, Part I,” on Feb. 13. Partner Amy Simpson (CCC) spoke at the Fourth Annual Patent Trial & Appeal (PTAB) program on Jan. 30. During “Ethics and IPR: Staying Out of Trouble at the PTAB,” she analyzed pertinent ethics rules and PTAB conduct when representing clients before the U.S. Patent and Trademark Office (USPTO).

The firm’s Boston office, in partnership with the Asian American Lawyers Association of Massachusetts (AALAM), hosted an event on Jan. 30 to commemorate the Fred Korematsu Day of Civil Liberties and the Constitution with special guest Dr. Karen Korematsu. Partner Melissa Wong (BOS), president of AALAM, arranged the visit and fireside chat with Dr. Korematsu, founder and president of the Fred T. Korematsu Institute and the daughter of the late Japanese American civil rights icon. Dr. Korematsu travels the country advocating for civil liberties, social justice, civics and ethnic studies education.

Partner Chelsea Maclean (SFO) spoke at a Peninsula Solidarity Cohort virtual event, “YES in God’s Backyard! SB4 and the Implications for Faith Communities,” on Jan. 24. The webinar covered the impacts of California Senate Bill 4 (SB 4) on congregations considering building affordable housing. SB 4 directly affects faith communities in reducing homelessness and in making a difference in the housing affordability crisis in San Mateo County.

Associate Mary Kate Nicholson (WAS) moderated a panel at the American Bar Association’s (ABA) 2024 Midyear Tax Meeting on Jan. 19. During “Financing Renewable Energy Projects Post-IRA: Back to Basics,” panelists provided insight on the production tax credit (PTC), investment tax credit (ITC), associated bonus credits and considerations in financing renewable energy projects, as well as discussed structuring considerations for tax equity and transferability deals.

Partner Anne Beehler (NPB) spoke on the panel, “The Rogue Wave – Avoiding Liability as Receiver,” at the Loyola X Symposium on Jan. 19. The group discussed potential liability risks for court-appointed receivers, explored the boundaries of a receiver’s quasi-judicial immunity and defined actions that could expose receivers to legal jeopardy both during and after their tenure.

Partner Alexis Alonzo (CCC/LAX) moderated a panel at the 20th Annual Winter Forum on Real Estate Opportunity & Private Fund Investing on Jan. 19.
