Make Business Growth a Top Priority Two Key Areas to Master in Growing Your Home Business In focusing on the world of home-based business, our magazine’s cover stories usually focus on issues of business start-up. Our Summer 2017 issue changes this up, with a feature on growing your business. All homebased entrepreneurs should view growing your business as critical to survival. Growth will make your new start-up more resilient to future financial downturns and changes in demand for your products and services. In the “big picture,” looking at business cycles, we’re talking “start-up” and “growth” phases. You want to get the start-up phase done right, before moving on to growth. Each phase requires different skillsets. So when do you focus on phase two — home business growth? The usual “checkpoint” is after a start-up is stable and generating a profit. Each business is different. A start-up phase for most businesses lasts between 6 months and a year. The greater your initial capital investment, the longer the start-up phase. Going full-time may add time due to loss of “day job” income.

After business start-up, the mainstream way to grow a business is through expansion of your core business. Primary ways to expand a core business include increased marketing, online advertising, publicity, print advertising, greater networking, social media promotions, direct marketing, content marketing and more. Integral to this is a greater online footprint with an improved web presence, and investments in search engine optimization. Another key way to grow is through diversification. You find related businesses to expand into. For example, if you are in a direct sales program, look for another program in a different industry. Linking up with other homebased entrepreneurs, in a joint venture type structure, is another growth tactic. For example, you operate a specialty cleaning service business and you form a venture with a lawn service company, and each of you refers business to one another. An easy way to diversify is through sales of back-end products or services on your website. This allows you to increase revenue from existing clients who are already part of your online community. My story with Home Business Magazine provides a good case study in growth. After the initial magazine launch, we expanded marketing, maximized exposure on newsstands and magazine racks, and built up agency subscription sales. It took 6 months to get cash positive. After becoming stable, I looked for ways to expand HBM. I improved the product, expanded newsstand and subscribers through promotions, and grew the advertising base. I also aggressively diversified. I looked for ways to expand into related business, such as mailing list rental and ecommerce. We launched a newsletter and digital versions of the magazine, in the forms of eBooks and native apps. Dominant parts of my business have shifted to content distribution, an online EXPO and a podcast. Each business, however, will have its own particular requirements and success factors to achieve growth. In addition to greater revenue, growth will increase the long-term stability of your business. You’ll be protected from inevitable economic downturns and declines in demand. Get started today planning for your business’s growth, whether as a start-up or established business. Don’t get complacent after launch and positive cash flow. Start looking now for ways to expand and diversify.

There is general consensus that the very best way to innovate and to grow is to “make the pie bigger” — that is to grow categories and expand markets — instinctively recognizing that carving incremental market share out of the hide of your competition is a messy business. Surprisingly few companies systematically pursue true pie-growing strategies. In general, we find clients engaging across a range of activities — to drive desired growth, which we’ve summarized here. With a solid existing product in hand, most clients begin by transitioning further and further upmarket, striving (and often realizing) incremental pricing power and margin realization. A proliferation of customized and specialized products to address profitable niche markets and extract yet further value from the market is often how this plays out in the market. When that strategy begins to lose steam, clients turn to the lower end of the market, and work feverishly making lemonade from lemons. The lemonade in these situations will often take two forms, either the development of new business models designed to enable profit realization at the lower end of the market or mechanisms to fundamentally unlock non-consumption. And when those approaches collectively fail to drive further incremental growth, one is struggling to find desired growth. We’d argue that it’s not that growth potential is not there, it’s just hiding where they aren’t used to looking. Let’s introduce two concepts that we find helpful in surfacing these growth opportunities from the often over-looked areas of the market. Concept 1: Superconsumers. Who are they? They are the high-passion, high-profit consumers found in every category. They spend three to seven times more than the average person in a category. They are knowledgeable on the category (and passionate), willing
progress people seek. The most successful innovations are fueled by converting non-consumers into consumers and intermittent customers into regular, profitable ones. Q: Oh, you have gray hair. I dye my hair. SH: I don’t dye [my hair] because I am curious to see how I am going to look with this. I am sure in the next movie they will say, “Sorry you will have to dye it,” but I am enjoying watching them come in. I don’t have any Botox. Maybe later I will change my mind, but for now I am comfortable being fifty. I am comfortable in my own skin. Q: You play a mom in the movie How To Be A Latin Lover, and you are a mom in real life. How do you compare yourself with your character and to real life? SH: I was going to say I am not very different in the mother techniques like Sara (Salma’s character). I actually do not allow a cell phone, because my kid (Valentina Paloma Pinault) is only nine and for many reasons, I think it’s important that children learn to wish for things that they cannot have. I am very encouraging with her to do the things that she likes, though, and am not too strict, but I am with the cell

phone. You have to pick a few things to be very strict for and then you have to let children be who they are and let them develop with their space and their curiosity. You have to let them show you who they are and then you have to adjust to who they are, and try to be the best parent for each particular kid. It’s not the same for every kid. Q: What are you the proudest for about being Latin/Mexican? SH: There is something really beautiful
about being Latin, and it’s shown in this movie through my character. We don’t give up so easy on our own people. We don’t give up on our family. It doesn’t matter. We learn to forgive. We always open the doors of our houses, and we try to be there for them and to support them in the good times and the bad times. We hold this idea of honoring blood very, very, strongly. We don’t dismiss our family very easily. I am proud of that. We respect our elders. I think that in America, I see that when elderly people become inconvenient, they get put away. I believe we have to deal with inconvenience. For some, I think there are different cases. I do feel we have to respect elders’ wisdom and love and honor them and care for them in their old age because they were there for us. Or even if they were not, I think it is a virtue to respect our elders.

Face Offensive Competition by Protecting Your Business How to Simultaneously Form a Home Business and Limit Personal Liability Risks By Kyle Lawheed, Esq.
E
very successful business is competitive in the market in which it is a denizen. However, competition is not rooted in defense; it is rooted in offense — as in sports offense and balance must be balanced. Reducing prices to beat competitors is an offense strike in the market but always comes with risks. Using cheaper products can expose potential customers to harm, while also exposing everyone in the chain of the product to liability. As a large corporation (abiding by corporate procedures), personal liability can be avoided or “shielded” by the veil of the corporation. As a home business operating as a D/B/A or in Proper Name you have no defense or “shield” to protect you from personal liability. There are various types of business formations that can protect from personal liability but the importance of reducing the risks must first be explored.
Why Is It Important to Consider My Personal Liability Risks? The first place to start is why. Every business is a snowflake. As such past experience is not enough; it is important to think of the liability in the current business. Below considerations will be given in the contexts of particular home businesses. A home baker must take proper consideration of his risk. For instance, a home baker may inadvertently release salmonella upon consumers. A Notary working from her home may contain a hazard in her home which can cause injury to someone looking to use her service. Conversely, one who owns a private data entry home business exposes herself to little liability in most circumstances. Proper considerations to the risks you could face will ultimately shape the type of business you should form.
Types of Business Formations Generally speaking, there are four categories of business to form: personal businesses, partnerships, corporate businesses, and not for 28

profit businesses. Personal businesses, who are owned by one person, are typically nominated as sole proprietorships. Partnerships are group owned businesses. When Should a Home Business Owner Form a C Corporation, S Corporation or Limited Liability Company? C Corporations offer excellent shield to personal liability. In fact, the legal theory to sue an individual instead of the corporation requires herculean evidence to survive a motion dismissing the case. A corporation creates a “veil” which blocks personal suits. However, forming and maintaining a C Corporation is costly and complex. Most home business owners are not personally familiar with how to file for a C Corporation and will need to hire an expert (a qualified attorney or online service) to file The Articles of Incorporation with the resident state. Also, a tax expert would also be recommended to properly file the C Corporation taxes. Many home businesses do not have the resources and time for this process. However, where home business owners contract with government or large corporations, for substantial sums of money, this option would be attractive to reduce personal risk. S Corporations are similar to C Corporations but are not subject to as restrictive of tax measures, while also personally experiencing the flow through of profits and losses. Personal liability is also veiled as in a C Corporation. S Corporations require a small number of employees, which typically is not an issue for a home business. Limited Liability Company (LLC). As with the S and C types, this business type should be used when the business experiences substantial profits. LLCs (not a Limited Liability Partnership) have specific tax requirements and filing requirements which should be explored with a professional. LLCs offer personal liability protection similar to formal corporations and are more affordable. However, localities must adopt laws allowing this business type, which again should be explored with a business formation expert.
When Should a Home Business Owner Form a Non-Profit Corporation? An emerging business type is a non-profit corporation. Non-Profits (NP) offer excellent tax benefits to its members as well as liability protections. The excellent tax benefits come at the cost of using the business profits for a purpose other than enriching the Shareholders. However, for Non-Profits, liability can stem from two directions, internal and external. www.homebusinessmag.com

The most obvious internal liability a NP faces is improper accounting of profits and wages leading to personal liability in the form of unpaid taxes or forced dissolution of NP by regulating authorities. Other internal liabilities, which lead to personal liability for a director, can include: a NP defaulting on a personally guaranteed loan, intentional fraud or reckless business conduct, or co-mingling of NP funds. For the home business owner who wishes to have a place in the market and give back to her community with the profits (or another charitable purpose), a NP Corporation can be an attractive option. However, as in other corporations, corporate formalities must be abided which usually requires resources and expert advice.

Partnerships are a flexible business type which offer some liability protections if crafted appropriately. Partnerships which limit liability are restrictive by many factors but can include the business type, type of partners involved, or the locality in which it will be formed. A Limited Liability Partnership (LLP) in many ways is similar to a LLC. There is one key exception. In a LLP one member, managing member, can be personally exposed to liability. If other members or partners take on a managerial role, they too can be exposed to liability. In many, but not all localities, LLPs can only be formed by the denominated business types. For instance, in the United States of America, State of California, only lawyers, accountants, or architects may form LLPs. If your home business has little exposure to liability and may form a LLP, a LLP is a great business type as it offers LLC-like tax benefits and shields exposure to liability to all but the managerial partner. For example a family owned architecture business, which operates as a home business, could greatly benefit from this business type. When Should a Home Business Owner Form a Sole Proprietorship? A sole proprietorship (SP) is the simplest and most cost-effective business type to form. A SP is done in the name of the person who owns the business or in a doing-business-as (DBA) name. Local laws will govern what type of basic filings must be done to register the business. The gravamen found in most tax audits is improper accounting of profits and unproven write-offs. As there is no business to pay taxes, taxes must be paid personally and accounting must be extremely organized.

A SP or DBA should not be the long-term goal of any business. A SP or DBA offers no insulation but rather should be viewed as a way to test the market without committing serious funds or resources into a business venture. The risk for personal liability floats on the surface so as soon as one can commit to a more formal business type this should be done.
Balancing Personal Liability with Resources By projecting into the future and crystallizing future risks, one can properly form the right business type. Home business owners who realize smaller profits and have limited resources should consider starting as sole proprietorships and eventually forming a type of limited partnership. Home business owners who work for a cause and want excellent tax benefits at the cost of realizing business profits should form Non-Profit Businesses. Lastly, home business owners forming a profitable business with ample resources should form Limited Liability Companies with the intention of eventually transmuting the LLC into a S Corporation or C Corporation.
