Building a product code 1
Export information 3
The first part of building the product code is to select the base model of the furniture that you require.
The final product code for this specification would be ‘PRO/4/P5’ as is shown in the quick reference shown under the model.
•
All goods are exempt from UK VAT if your business is VAT registered in an EU country.
•
All pricing is in Euros and is ex-works. Export packaging is included.
•
The customer is responsible for all import tax duties unless agreed beforehand in writing by Boss Design.
•
Boss Design offer ex works pricing on all export orders, however where required we can facilitate the arrangement of transport.
•

To calculate a price simply find the model you require from the list and follow the row across to select a fabric band. In our example we would choose PRO/4 & leather grade ‘L1’. In our example this would be: Model & fabric/leather grade: €820 1

• Made from an organic single ribbon that sweeps from under the seat, through the arm and over the backrest creating an incredibly slim and refined shape that compliments the human form.
• Coza is certified as a Task Chair against EN1335 and ISO 9241.
• Coza is available in three standard colours: Pure White, Graphite Black and Azure Blue. Special colours are available upon request against a strict minimum batch quantity of 200 units.
• Choice of 4 or 5 star base with a choice of castors.
• Coza can be used as a workstation chair, as well as being suitable for touchdown and meeting settings.
• The upholstered seat can be finished in any fabric colour.

When delivering large furniture pieces including sofa ranges and tables we recommend discussing suitability of access with us to ensure that we can make the necessary arrangements to ensure safe and satisfactory delivery.
In situations where consistency of colour is essential, natural finishes can be colour matched as a special service. Please contact the Boss Design Sales Office for information concerning the appropriate procedures and increases that will apply to the price structure.

Care of Wood Finishes
Lead times
The fine finish applied during manufacture is a hard protective lacquer resistant to moderate heat and spillages of some beverages, but not alcohol. All spillages should be wiped off immediately with a damp cloth. The only cleaning necessary is again to wipe with a slightly damp cloth and buff with a soft duster.
Our standard factory leadtimes are generally between 4 and 6 weeks excluding shipping but are subject to change. For soft seating products the leadtime maybe affected by the upholstery fabrics/ leathers selected. If you require a delivery sooner than this, please contact:

We are passionate about caring for our society and the environment and take every step to ensure that our products, people and process have a positive impact on the environment. We work with credible suppliers who use only ethically sourced materials and components. We design our products with the environment in mind and quality permitting we ensure that they contain the highest possible level of end-of-life recylability. We work closely with our partners to deliver our end-of-life product management process. We arrange for redundant furniture to be collected and redistributed to charities and other good causes. Unsuitable furniture is always broken down and recycled to ensure zero products go to landfill.
Wipe with a slightly damp cloth and gently rub dry. A good proprietary hide food should be applied at least once a year, and more often if the leather is in a dry atmosphere or close to a heat source.
Warranty All Boss Design Group products are comprehensively guaranteed for a period of 5 years, fair wear and tear.

1 Definitions and Interpretation 1.1 In these Conditions the following words have the following meanings: “Company” means either Boss Design Ltd (Registered No: 1702024) whose registered office is at Boss Drive, New Road, Dudley, DY2 8SZ or Lyndon Design Limited (Registered No: 1618415) whose registered office is at 342 Swindon Road, Cheltenham, Gloucestershire, GL51 9JZ, as specified on the Company’s quotation, the Company’s written acceptance of the Customer’s order or as otherwise notified to the Customer in writing (as applicable); “Contract” means any contract between the Company and the Customer for the sale of Goods, incorporating these Conditions; “Customer” means the person(s), firm or company who purchases the Goods from the Company; “Force Majeure Event” has the meaning given in clause 10. “Goods” means any goods agreed in the Contract to be supplied to the Customer by the Company (including any part or parts of them).
2 Basis of Contract 2.1 The Contract will be subject to these Conditions to the exclusion of all other terms and conditions (including any terms or conditions which the Customer purports to apply under any purchase order, confirmation of order, specification or other document whatsoever and whenever). 2.2 Each order for Goods by the Customer from the Company shall be deemed to be an offer by the Customer to purchase Goods subject to these Conditions. It is the Customer’s obligation to ensure that the terms of its order and any applicable specification are complete and accurate. 2.3 Any variation to these Conditions and any representations about the Goods shall have no effect unless expressly agreed in writing and executed by the Company. 2.4
No order placed by the Customer shall be deemed to be accepted by the Company until a written acknowledgement of order is issued by the Company, or (if earlier) the Company commences manufacture of the Goods, their appropriation to the Customer’s order or despatch of the Goods to the Customer, at which point the Contract shall come into existence. Any order shall be accepted entirely at the discretion of the Company.
2.5 Any quotation or estimate made by the Company shall not constitute an offer and is given subject to these Conditions. Quotations will be valid for 30 days from date of issue. 2.6 Any order by the Customer accepted by the Company in whole or in part in accordance with Condition 2.4 may only be amended or cancelled by the Customer with the Company’s written consent. If the Customer amends or cancels an order with the Company’s written consent, it shall be liable to pay to the Company all costs reasonably incurred by the Company, or which the Company is committed to incur, in fulfilling the order up until the date of the Company’s acceptance of the amendment or cancellation,
together with the Company’s loss of profit on the Contract. 2.7 Any samples, drawings, descriptive matter, or advertising produced by the Company and any descriptions or illustrations contained in the Company’s catalogues or brochures are produced for the sole purpose of giving an approximate idea of the Goods described in them. They shall not form part of the Contract or have any contractual force.
4.4 The Customer will be deemed to have accepted the Goods as being in accordance with the Contract unless the Customer notifies the Company in writing of any defect or other failure of the Goods to conform with the Contract within 3 days of the date of delivery of the Goods where the defect or failure would be apparent upon reasonable inspection and testing of the Goods or within a reasonable time where the defect or failure would not be so apparent within 7 days of the date of delivery, failing which the Customer shall not be entitled to reject the Goods and the Company shall have no liability for such defect or failure, and the Customer shall be bound to pay the price as if the Goods had been delivered in accordance with the Contract. 4.5 Goods, once delivered, may not be returned unless their return is agreed in advance in writing by the Company, and subject to the following conditions:
3 Goods
(a) Goods are returned in a new and unused condition;
3.1 To the extent that the Goods are to be manufactured in accordance with a specification supplied by the Customer, the Customer shall indemnify the Company against all liabilities, costs, expenses, damages and losses (including any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal and other reasonable professional costs and expenses) suffered or incurred by the Company in connection with any claim made against the Company for actual or alleged infringement of a third party’s intellectual property rights arising out of or in connection with the Company’s use of the specification. This Condition 3.2 shall survive termination of the Contract.
(b) Any packaging remains unbroken and in reasonable condition;
3.2 The Company reserves the right to amend the specification of the Goods if required by any applicable statutory or regulatory requirements.
4 Delivery and Acceptance of Goods 4.1 Unless otherwise agreed in writing by the Company delivery of the Goods shall take place at the Company’s place of business during normal business hours and the Customer shall take delivery of the Goods as agreed between the parties. 4.2 Any dates specified by the Company for delivery of the Goods are intended to be an estimate only and time for delivery shall not be of the essence. If no dates are so specified, delivery will be within a reasonable time. The Company shall not be liable for any delay in delivery of the Goods that is caused by a Force Majeure Event or the Customer’s failure to provide the Supplier with adequate delivery instructions or any other instructions that are relevant to the supply of the Goods. 4.3 If for any reason the Customer does not accept delivery of any of the Goods when they are ready for delivery or the Company is unable to deliver the Goods on time because the Customer has not provided appropriate instructions, documents, licences or authorisations then the Goods will be deemed to have been delivered on the date and time specified by the Company as the time of delivery, risk shall pass to the Customer (including for loss or damage caused by the Company’s negligence) at such time and the Company shall store the Goods until delivery takes place and may charge the Customer the following charges: (a) where the Customer notifies the Company of the delay less than 72 hours prior to the time of delivery: - 5% of the value of the order per week of delay; or (b) in all other cases: - 2.5% of the value of the order per week of delay.
(c) Returns are made within 2 weeks of delivery of those Goods, all transport and other re-delivery costs of whatever nature are paid by the Customer; (d) Returned goods shall be accompanied by a written record of invoice number, date and a note of reasons for their return.
5 Passing of Risk and Legal Title 5.1 The Goods shall be at the risk of the Customer from the time of delivery. 5.2 Full legal, beneficial and equitable title to and property in the Goods shall remain vested in the Company (even though they have been delivered and risk has passed to the Customer) until payment in full, in cash or cleared funds, for all the Goods has been received by the Company and all other money payable by the Customer to the Company on any other account or under the Contract or any other contract has been received by the Company. 5.3 Until full legal, beneficial and equitable title to and property in the Goods passes to the Customer: (a)the Customer shall hold the Goods on a fiduciary basis as the Company’s bailee; (b)the Customer shall store the Goods at its premises in a proper manner in conditions which adequately protect and preserve the Goods separately from any other goods (whether or not supplied by the Company) and ensure that they are clearly identifiable as belonging to the Company and shall keep them insured against all risks for their full price from the time of delivery, without any charge to the Company; (c)the Customer shall not remove, deface or obscure any identifying mark or packaging on or relating to the Goods; (d)the Customer shall notify the Company immediately if it becomes subject to any of the events listed in Condition 10; (e)the Customer shall give the Company such information relating to the Goods as the Company may require from time to time; (f)the Company may at any time, on demand and without prior notice, require the Customer to deliver the Goods up to the Company and the Company may repossess and resell the Goods if any of the events specified in Condition 10 occurs or if any sum due to the Company from the Customer under the Contract or on any other account or under any other contract
is not paid when due; and (g) the Company hereby authorises the Customer to use and/ or sell the Goods in the normal course of the Customer’s business and to pass good title in the Goods to its customers, if they are purchasers in good faith without notice of the Company’s rights. This right shall automatically cease on the occurrence of any event set out in Condition 10 and/or if any sum owed to the Company by the Customer is not paid when due. If the Customer sells the Goods prior to paying the full price thereof title to the Goods shall pass from the Company to the Customer immediately before the time at which resale by the Customer occurs and the Customer shall hold the proceeds of sale on trust for the Company and shall immediately pay the proceeds of the sale into a separate bank account. At the Company’s request, the Customer shall assign to the Company all claims that the Customer may have against purchasers of the Goods from the Customer.
6 Price and Payment 6.1 Unless otherwise agreed by the Company in writing the price for the Goods shall be the price set by the Company on the date of delivery or deemed delivery of the Goods. 6.2 Unless otherwise agreed in writing the price for the Goods shall be exclusive of any value added tax and all costs or charges in relation to packaging, labelling, loading, unloading, carriage, freight and insurance all of which amounts the Customer will pay, where appropriate, in addition when it is due to pay for the Goods. 6.3 The Company may invoice the Customer for the Goods on or at any time after the time of delivery. 6.4 Payment of the price for the Goods is due in full and in cleared funds within 30 days of the date of invoice. Time for payment shall be of the essence. 6.5 The Customer shall make all payments due under the Contract in full without any deduction whether by way of set-off, withholding, counterclaim, discount, abatement or otherwise. 6.6 If any sum due from the Customer to the Company under the Contract or any other contract is not paid on or before the due date for payment then all sums then owing by the Customer to the Company shall become due and payable immediately and the Company shall be entitled to: (a) cancel or suspend its performance of the Contract or any order including suspending deliveries of the Goods; (b) require the Customer to pay for Goods prior to their despatch or collection from the Company’s place of business; and (c) charge the Customer: (i) interest calculated on a daily basis on all overdue amounts (both before and after judgment) until actual payment at the rate of four (4) per cent per annum above the base lending rate of Barclays Bank plc prevailing from time to time until payment is made in full; and (ii) the cost of obtaining judgment or payment to include all reasonable professional costs (including legal fees) and other costs of issuing proceedings or otherwise pursuing a debt recovery procedure.
7 Warranty of Quality of Goods 7.1 If the Customer establishes to the Company’s reasonable satisfaction that there is a defect in the materials or workmanship

of the Goods manufactured or there is some other failure by the Company in relation to the conformity of the Goods with the Contract, then provided the Customer has returned the Goods to the Company together with written notification of such alleged defect within 7 days of the time when the Customer discovers or ought to have discovered the defect and in any event within five (5) years of the delivery of the Goods to the Customer the Company shall at its option, at its sole discretion and within a reasonable time: (a) repair or make good such defect or failure in such Goods free of charge to the Customer (including all costs of transportation of any Goods or materials to and from the Customer for that purpose); (b) replace such Goods with Goods which are in all respects in accordance with the Contract; or (c) issue a credit note to the Customer in respect of the whole or part of the Contract price of such Goods as appropriate having taken back such Goods or materials relating to such Goods, provided that the liability of the Company under this Condition 6 shall in no event exceed the purchase price of such Goods and performance of any one of the above options shall constitute an entire discharge of the Company’s liability under this warranty. 7.2 The Company shall be under no liability under the warranty at Condition 7.1 above: (a) in respect of any defect arising from fair wear and tear, wilful damage, negligence, abnormal working conditions, failure to follow the Company’s instructions (whether oral or in writing), misuse or alteration or repair of the Goods without the Company’s approval; (b) if the total price for the Goods has not been paid by the due date for payment; (c) for any Goods manufactured or appropriated to the Contract in accordance with any design, specification, instruction or recommendation made to the Company by the Customer; (d) in respect of any type of defect, damage or wear specifically excluded by the Company by notice in writing; or (e) if the Customer makes any further use of the Goods after giving notice in accordance with Condition 7.1; (f) for any defects in the fabric used for the Goods. 7.3 The warranties set out in this Contract are the only warranties which shall be given by the Company and all warranties, conditions and other terms implied by statute or common law are, to the fullest extent permitted by law, excluded from the Contract.
8 Exclusion and Limitation of Liability 8.1 Subject to Condition 7.2 and 7.3, the Company’s total liability in contract, tort (including negligence or breach of statutory duty), misrepresentation or otherwise, arising in connection with the performance or contemplated performance of this Contract shall be limited to the price of the Goods.
8.2 Subject to Condition 7.3, the Company shall not be liable to the Customer for any loss of profit or other economic loss (direct or indirect), indirect or consequential loss or damage, costs, expenses or other claims for consequential compensation whatsoever (howsoever caused) or loss or damage (contractual, tortious, breach of statutory duty or otherwise) which arises out of or in connection with the Contract, or for any liability incurred by the Customer to any other person for any economic loss, claim for damages or awards howsoever arising from the Goods or otherwise. 8.3 Nothing in these Conditions excludes or limits the liability of the Company for death or personal injury caused by the Company’s negligence, or for fraudulent misrepresentation, or for any other matter for which it would be unlawful for the Company to exclude or limit liability.
9 Subcontracting, Assignment and Third Party Rights 9.1 The Customer shall not be entitled to assign, charge, subcontract or transfer the Contract or any part of it without the prior written consent of the Company. The Company may assign, charge, subcontract or transfer the Contract or any part of it to any person. 9.2 The Contracts (Rights of Third Parties) Act 1999 shall not apply to the Contract and no third party shall have the benefit of or the right to enforce these Conditions.
10 Force Majeure The Company reserves the right to suspend or cancel the Contract in whole or in part (without liability to the Customer) if it is prevented from or delayed in the carrying on of its business and its obligations under the Contract due to any circumstances beyond the reasonable control of the Company including, without limitation, acts of God, flood, lightning, war, revolution, act of terrorism, riot or civil commotion, strikes, lock outs or other industrial action (whether of the affected party’s own employees or others), failure of supplies of power, fuel, transport, equipment, raw materials or other goods or services (“Force Majeure Event”) provided that, if the event of force majeure continues for a continuous period in excess of 3 months, the Customer shall be entitled to give 2 month’s prior notice in writing to the Company to terminate the Contract.
11 Breach of Contract or Insolvency 11.1 Without limiting its other rights or remedies, the Company may immediately suspend performance of the Contract, cancel any outstanding delivery of the Goods, stop any Goods in transit or by notice in writing to the Customer terminate the Contract without liability to the Company if: (a) the Customer commits a material breach of any of its obligations under the Contract which is incapable of remedy or fails to remedy a breach of its obligations under the Contract which is capable of remedy, or persists in any breach of any of its obligations under the Contract after having been requested
in writing by the Company to remedy or desist from such breach within a period of 14 days; or (b)the Customer commits an act of insolvency or is declared bankrupt or has a receiver, manager, administrator or administrative receiver appointed over its assets, undertakings or income or if an order is made, a petition is presented to any Court or a resolution is passed for liquidation and winding up of the Customer (except that where a winding up is for the purposes of amalgamation or reconstruction and the resultant company is or agrees to be bound hereby) or if the Customer makes any arrangement with its creditors or any procedure analogous to the above in any jurisdiction; or (c)any sum payable under the Contract is not paid within fourteen days of its due date for payment in accordance with this contract; or (d)the Customer suspends, threatens to suspend, ceases or threatens to cease to carry on all or a substantial part of its business; or (e)the Customer’s financial position deteriorates to such an extent that in the Company’s opinion the Customer’s capability to adequately fulfil its obligations under the Contract has been placed in jeopardy.
13.2 A notice shall be deemed to have been received: if delivered personally, when left at the address referred to in Condition 12.1; if sent by pre-paid first class post or other next working day delivery service, at 9.00 am on the second working day after posting; if delivered by commercial courier, on the date and at the time that the courier’s delivery receipt is signed; or, if sent by by fax, one working day after transmission. 13.3 The provisions of this condition shall not apply to the service of any proceedings or other documents in any legal action.
14 General 14.1 Any intellectual property rights created by the Company in the course of the performance of the Contract or otherwise in the manufacture of the Goods shall remain the Company’s property. Nothing in the Contract shall be deemed to have given the Customer a licence or any other right to use any of the intellectual property rights of the Company. 14.2 Both the Company and the Customer shall each keep confidential and shall not, without the prior written agreement of the other, disclose to any third party or otherwise make public the terms of the Contract or any other confidential or sensitive information of the other party.
11.2 Notwithstanding any such termination or suspension in accordance with Condition 10.1 the Customer shall immediately pay the Company for all Goods delivered up to and including the date of suspension or termination together with any interest.
14.3 The waiver by either party of any breach of the Contract shall not prevent the subsequent enforcement of that breach and shall not be deemed to be a waiver of any subsequent breach of that or any other provision.
11.3 Termination of the contract for any reason shall be without prejudice to the rights and remedies of either party which may have accrued up to termination.
14.4 If any condition is held to be invalid for any reason, such invalidity will not affect the rest of the Contract which will remain valid and enforceable in all respects.
11.4 Conditions which expressly or by implication survive termination of the Contract shall continue in full force and effect.
14.5 The Contract sets out the entire agreement and understanding between the Customer and the Company in connection with the sale of the Goods and shall supersede and replace all documentation previously issued by the Company purporting to set out its terms and conditions of sale of the Goods.
12 Non-Solicitation 12.1 The Customer undertakes with the Company that, during the term of the Contract and for the period of 6 months after its termination, it shall not without the prior written consent of the Company; (a) make any offer of employment or enter into any discussion or negotiations with a view to making any offer of employment to any person employed by the Customer at any time during the term of the Contract; and/or
15 Law and Jurisdiction 15.1 This Contract shall be governed by and be construed in all respects in accordance with English law and all disputes or claims arising out of or relating to this Contract shall be subject to the exclusive jurisdiction of the English courts to which the parties irrevocably submit.
(b) solicit or attempt to solicit services from any employee on their own account or entice or attempt to entice any employee away from the Company.
13 Notices 13.1 Any notice given to a party under or in connection with the Contract shall be in writing, addressed to that party at its registered office (if it is a company) or its principal place of business (in any other case) or such other address as that party may have specified to the other party in writing in accordance with this condition, and shall be delivered personally, sent by pre-paid first class post or other next working day delivery service, commercial courier, fax.
Boss Design Ltd pursue a policy of continuous improvement and reserve the right to introduce modifications when required and to withdraw models without previous notification.

1 Définitions et interprétation 1.1 Aux fins des présentes conditions générales, les définitions suivantes s’appliquent: société » désigne Boss Design Ltd (immatriculée sous le numéro : 1702024) dont le siège est situé à Boss Drive, New Road, Dudley, DY2 8SZ ; « contrat » désigne tout contrat entre la société et le client pour la vente de marchandises, auquel sont intégrées les présentes conditions générales ; « client » désigne la personne (ou les personnes), l’entreprise ou la société achetant les marchandises auprès de la société ; « marchandises » désigne les marchandises convenues dans le contrat à fournir au client par la société (y compris une ou plusieurs parties de celles-ci).
2 Fondements du contrat 2.1 Sous réserve de toute dérogation prise à la clause 2.2, le contrat sera soumis aux présentes conditions générales à l’exclusion de toutes les autres conditions générales (y compris les conditions générales que prétend appliquer le client en vertu de toute commande, confirmation de commande, spécification ou de tout autre document de quelque nature que ce soit et à quelque moment que ce soit). 2.2 Chaque commande de marchandises du client auprès de la société est réputée être une offre d’achat de marchandises de la part du client soumise aux présentes conditions. Il incombe au client de veiller à ce que les termes de sa commande et toute spécification applicable soient complets et exacts. 2.3 Toute modification des présentes conditions et toute observation concernant les marchandises sont sans effet, sauf convention expresse par écrit et signée par la société. 2.4 Aucune commande passée par le client ne sera réputée acceptée par la société jusqu’à ce qu’une confirmation écrite de commande ne soit émise par la société ou (si elle est antérieure) jusqu’à ce que la société commence la fabrication des marchandises, leur affectation à la commande du client ou l’envoi des marchandises au client. Toute commande doit être acceptée à l’entière discrétion de la société. 2.5 Tout devis ou toute estimation établi par la société est donné sous réserve des présentes conditions. Sans préjudice du droit de la société de ne pas accepter une commande, les devis seront valables pendant 30 jours à compter de leur date d’émission. 2.6 Le client peut uniquement annuler une commande (ou une partie d’une commande) que la société a déjà acceptée, avec l’accord préalable de la société par écrit et à condition que le client indemnise la société intégralement selon les termes établis par la société.
3 Livraison et acceptation des marchandises 3.1 Sauf convention contraire par écrit par la société, la livraison des marchandises aura lieu au siège de la société aux heures normales de bureau et le client est tenu de réceptionner les marchandises comme convenu entre les parties.
3.2 Toutes les dates spécifiées par la société pour la livraison des marchandises visent uniquement à fournir une estimation et le délai de livraison ne doit pas être considéré comme une condition essentielle du contrat. Si aucune date n’est spécifiée, la livraison aura lieu dans un délai raisonnable. 3.3 Si pour une raison quelconque le client n’accepte pas la livraison de l’une des marchandises quand ces dernières sont prêtes pour la livraison ou si la société n’est pas en mesure de livrer les marchandises à temps parce que le client n’a pas fourni les instructions, les documents, les licences ou les autorisations nécessaires, les marchandises sont alors réputées avoir été livrées, le risque est transféré au client (y compris en cas de perte ou de dommages qui peuvent résulter d’une négligence de la part de la société) et la société peut appliquer les frais suivants : (a)lorsque l’avis de retard est inférieur à 72 heures à partir de la livraison : - 5 % de la valeur de la commande par semaine de retard ; ou (b)dans tous les autres cas : - 2,5 % de la valeur de la commande par semaine de retard. 3.4 Le client sera réputé avoir accepté les marchandises comme conformes au contrat, sauf si le client informe la société par écrit de tout défaut des marchandises ou autre défaillance de conformité avec les dispositions du contrat dans les 3 jours suivant la date de livraison des marchandises lorsque le défaut ou la défaillance apparaît lors de l’inspection raisonnable et l’essai des marchandises ou dans un délai raisonnable lorsque le défaut ou la défaillance n’apparaît pas clairement dans les 7 jours suivant la date de livraison. À défaut, le client n’aura pas le droit de refuser les marchandises, la société n’aura aucune responsabilité en ce qui concerne un tel défaut ou une telle défaillance, et le client sera tenu de payer le prix comme si les marchandises avaient été livrées conformément au contrat. 3.5 Les marchandises, une fois livrées, ne peuvent pas être retournées sauf si leur retour est convenu à l’avance par écrit par la société, et sous réserve des conditions suivantes: (a)Les marchandises sont retournées dans un état neuf et inutilisé ; (b)Tout emballage est intact et dans un état convenable ; (c)Les retours ont lieu dans les 2 semaines suivant la livraison de ces marchandises, les frais de transport et les autres frais de restitution, quelle qu’en soit la nature, sont payés par le client ; (d)Les marchandises retournées doivent être accompagnées d’un document écrit avec le numéro de facture, la date et une note expliquant les raisons de leur retour.
4 Transfert des risques et propriété juridique 4.1 Le transfert au client des risques liés aux marchandises intervient au moment de la livraison. 4.2 La pleine propriété juridique effective des marchandises demeure acquise à la société (même si elles ont été livrées et que le risque a été transmis au client) jusqu’à ce que le paiement intégral, en espèces ou sous forme de fonds disponibles, pour toutes les marchandises ait été reçu par la société et que toutes les autres sommes payables par le client à la société sur tout autre compte
ou en vertu du contrat ou de tout autre contrat aient été reçues par la société. 4.3 Jusqu’à ce que la pleine propriété juridique effective des marchandises soit transmise au client : (a)le client doit conserver les marchandises à titre fiduciaire en tant que dépositaire de la société ; (b)le client doit stocker les marchandises dans ses locaux d’une manière appropriée dans des conditions qui protègent et conservent de manière adéquate les marchandises séparément des autres (qu’elles soient fournies ou non par la société), veiller à ce qu’elles soient clairement identifiables comme appartenant à la société et les assurer, sans frais pour la société ; (c)la société peut à tout moment, sur demande et sans préavis, exiger que le client livre les marchandises à la société et la société peut reprendre et revendre les marchandises si l’un des événements spécifiés dans la clause 10 se produit ou si toute somme due à la société de la part du client en vertu du contrat ou sur tout autre compte ou selon tout autre contrat n’a pas été payée à l’échéance ; et (d)la société autorise le client à utiliser et/ou à vendre les marchandises dans le cours normal des activités du client et à transférer légalement la propriété des marchandises à ses clients, s’ils sont des acheteurs de bonne foi sans préjudice des droits de la société. Ce droit cesse automatiquement à l’apparition d’un événement défini à la clause 10 et/ou si une somme due à la société par le client n’est pas payée à l’échéance. Si le client vend les marchandises avant de payer la totalité du prix de celles-ci, le client doit conserver le produit de la vente en fiducie pour la société et doit immédiatement verser le produit de la vente sur un compte bancaire distinct. À la demande de la société, le client doit céder à la société toutes les créances que le client peut détenir contre les personnes ayant acheté les marchandises auprès du client.
5 Prix et paiement 5.1 Sauf convention contraire de la société par écrit le prix des marchandises est le prix fixé par la société à la date de livraison ou de livraison présumée des marchandises. 5.2 Sauf convention contraire par écrit le prix des marchandises doit exclure toute taxe sur la valeur ajoutée et tous les coûts ou frais relatifs à l’emballage, l’étiquetage, le chargement, le déchargement, le transport, le fret et l’assurance, le tout, à la charge du client, le cas échéant, réglé au moment où les marchandises doivent être payées. 5.3 Le paiement du prix des marchandises est dû dans les 30 jours suivant la date de la facture. Le délai de paiement est une condition essentielle. 5.4 Le client est tenu d’honorer tous les paiements dus conformément au contrat sans aucune déduction que ce soit par voie de compensation, à la retenue, demande reconventionnelle, escompte, abattement ou autrement. 5.5 Si une somme due par le client à la société en vertu du contrat ou tout autre contrat n’a pas été payée à la date d’échéance de
paiement ou avant, toutes les sommes alors dues par le client à la société deviendront exigibles et payables immédiatement et la société pourra : (a)annuler ou suspendre l’exécution du contrat ou de toute commande comprenant la suspension des livraisons des marchandises ; (b)exiger que le client paye les marchandises avant leur expédition ou leur enlèvement depuis le siège de la société ; et (c)facturer au client (i)les intérêts calculés sur une base journalière sur tous les montants en souffrance (à la fois avant et après jugement) jusqu’au paiement effectif au taux de quatre (4) pour cent par an au-dessus du taux d’intérêt de base de Barclays Bank plc en vigueur de temps en temps jusqu’à complet paiement ; (ii)et les frais relatifs à l’exécution du jugement ou du paiement comprenant tous les coûts professionnels raisonnables (y compris les honoraires d’avocat) et tous les autres frais liés à l’ouverture d’une procédure ou à une procédure de recouvrement de créances.
6 Garantie de la qualité des marchandises 6.1 Si le client établit à la satisfaction raisonnable de la société qu’il existe un défaut dans les matériaux ou dans la fabrication des marchandises manufacturées ou s’il existe un autre manquement de la société en ce qui concerne la conformité des marchandises avec le contrat, à condition que le client ait retourné les marchandises à la société avec une notification écrite d’un tel défaut présumé dans les 7 jours suivant le moment où le client découvre ou aurait dû découvrir le défaut et en tout cas dans les cinq (5) ans suivant la livraison des marchandises au client, la société devra à son gré, à sa seule discrétion et dans un délai raisonnable : (a)réparer ou corriger un tel défaut ou défaillance sur ces marchandises gratuitement pour le client (y compris tous les frais de transport de marchandises ou de matériaux en provenance et à destination du client à cet effet) ; (b)remplacer ces marchandises par des marchandises qui sont à tous égards conformes aux dispositions du contrat ; ou (c)émettre une note de crédit au client pour la totalité ou une partie du prix du contrat de ces marchandises, le cas échéant après avoir repris ces marchandises ou les matériaux relatifs à ces marchandises, à condition que la responsabilité de la société en vertu de la présente clause 6 n’excède en aucun cas le prix d’achat de ces produits et que l’exécution de l’une quelconque des options ci-dessus constitue une décharge complète de la responsabilité de la société en vertu de la présente garantie. 6.2 La société ne sera pas responsable en vertu de la garantie énoncée à la clause 6.1 ci-dessus : (a)à l’égard de tout défaut résultant de l’usure normale, d’un dommage intentionnel, d’une négligence, de conditions de travail anormales, du non respect des instructions de la société (que ce soit par voie orale ou par écrit), de l’usage abusif, de la modification ou de la réparation des marchandises sans

l’approbation de la société ;
9 Force majeure
(b)si le prix total des marchandises n’a pas été réglé à la date de paiement ;
9.1 La société se réserve le droit de suspendre ou d’annuler le contrat en totalité ou en partie (sans responsabilité envers le client) si elle est empêchée ou retardée dans l’exercice de son activité et de ses obligations en vertu du contrat en raison de circonstances indépendantes du contrôle raisonnable de la société, y compris, sans limitation, tout cas de force majeure, les inondations, la foudre, la guerre, la révolution, tout acte de terrorisme, émeute ou troubles civils [mais excluant] les grèves, lock-out, ou autres actions industrielles (qu’elles touchent les employés de la partie concernée ou autre), l’impossibilité d’être approvisionné en électricité, carburant, transport, équipement, matières premières ou autres marchandises ou services, dans la mesure où, si le cas de force majeure dure plus de 3 mois, le client aura le droit de donner un préavis écrit à la société pour mettre fin au contrat.
(c)pour toutes les marchandises fabriquées ou affectées au contrat conformément à toute conception, spécification, instruction ou recommandation faite à la société par le client ; (d)à l’égard de tout type de défaut, dommage ou usure expressément exclu par la société par notification écrite ; ou (e)si le client fait une utilisation ultérieure de la marchandise après avoir donné une notification conformément à la clause 6.1 ; (f)
pour tout défaut dans le tissu utilisé pour les marchandises.
6.3 Les garanties énoncées dans le présent contrat sont les seules garanties données par la société et toutes les garanties, conditions et autres termes implicites en droit ou en common law sont, dans toute la mesure permise par la loi, exclus du contrat.
7 Exclusion et limitation de responsabilité 7.1 La responsabilité totale de la société qu’elle soit contractuelle, délictuelle (même en cas de négligence ou de manquement à une obligation légale), due à une fausse déclaration ou autre, survenant dans le cadre de l’exécution ou de l’exécution prévue du présent contrat est limitée au prix des marchandises. 7.2 La société décline toute responsabilité à l’égard du client pour toute perte de profit ou autre perte économique (directe ou indirecte), perte ou dommage indirect ou consécutif, frais, dépenses ou autres demandes d’indemnisation indirecte quelles qu’elles soient (pour quelque cause que ce soit) ou perte ou dommage (violation contractuelle, délictuelle, violation des obligations statutaires ou autre) résultant du contrat ou en rapport avec le contrat ou pour toute responsabilité encourue par le client à l’égard d’une tierce personne en raison d’une perte économique, d’une demande de dommages et intérêts ou d’indemnisation quelle qu’en soit la cause, résultant des marchandises ou autre. 7.3 Aucune disposition des présentes conditions n’exclut ou ne limite la responsabilité de la société en cas de décès ou de blessures causés par la négligence de la société ou une déclaration frauduleuse.
8 Sous-traitance, cession et droits des tiers 8.1 Le client n’est pas autorisé à céder, grever, sous-traiter ou transférer le contrat ou une partie de celui-ci sans le consentement écrit préalable de la société. La société peut céder, grever, sous-traiter ou transférer le contrat ou une partie de celuici à toute personne. 8.2 La loi britannique de 1999 sur les contrats (droits des tiers) : Contracts (Rights of Third Parties) Act 1999 n’est pas applicable au contrat et aucun tiers n’aura le profit ou le droit de faire respecter les présentes conditions.
10 Rupture de contrat ou insolvabilité 10.1 La société peut suspendre sans délai l’exécution du contrat ou la livraison restante des marchandises, arrêter les marchandises en transit ou par notification écrite au client résilier le contrat sans encourir aucune responsabilité si : (a)le client commet une violation substantielle de ses obligations en vertu du contrat qui s’avère être irrémédiable ou ne parvient pas à remédier à une violation de ses obligations en vertu du contrat qui est remédiable ou poursuit la violation de ses obligations en vertu du contrat après que la société lui ait demandé par écrit de remédier ou de cesser cette violation dans un délai de 14 jours ; ou (b)le client est mis en faillite, fait l’objet d’une procédure de concordat individuel (individual voluntary arrangement), de liquidation, de mise sous séquestre, sous administration ou dans un concordat relatif au débiteur (corporate voluntary arrangement) tel que défini par la loi britannique sur l’insolvabilité de 1986 (Insolvency Act 1986) ou toute procédure analogue à ce qui précède ; ou (c)toute somme payable en vertu du contrat n’est pas payée dans les quatorze jours suivant la date d’échéance conformément au présent contrat. 10.2 Nonobstant toute résiliation ou suspension conformément à la clause 10.1, le client doit payer à la société toutes les marchandises livrées jusqu’à la date de suspension ou de résiliation incluse.

12 Généralités 12.1 Tous les droits de propriété intellectuelle créés par la société dans le cadre de l’exécution du contrat ou autrement dans la fabrication des marchandises restent la propriété de la société. Aucune disposition du présent contrat n’est réputée avoir donné au client une licence ou tout autre droit d’utiliser l’un des droits de propriété intellectuelle de la société. 12.2 La société et le client doivent chacun préserver le caractère confidentiel et ne doivent pas, sans l’accord écrit préalable de l’autre, divulguer à un tiers ou autrement rendre publics les termes du contrat ou toute autre information confidentielle ou sensible de l’autre partie. 12.3 La renonciation par l’une ou l’autre des parties à faire valoir ses droits quant à tout manquement à une disposition du contrat ne l’empêche pas d’obtenir la sanction ultérieure de celui-ci et ne doit pas être interprétée comme une renonciation à faire valoir ses droits en cas de manquement ultérieur à la même disposition ou à toute autre disposition. 12.4 Si une condition est jugée invalide pour une raison quelconque, cette invalidité n’affectera pas le reste du contrat qui restera valide et exécutoire à tous égards. 12.5 Le contrat définit la totalité de l’accord entre le client et la société dans le cadre de la vente des marchandises et annule et remplace tous les documents émis antérieurement par la société visant à définir ses conditions générales de vente des marchandises.
13 Droit et juridiction 13.1 Le présent contrat est régi et sera interprété à tous égards conformément au droit anglais et tous les litiges ou contestations résultant du contrat ou en rapport avec celui-ci sont soumis à la compétence exclusive des tribunaux anglais à laquelle les parties se soumettent irrévocablement.
10.3 La résiliation du contrat pour une raison quelconque n’affecte en rien les droits et recours de l’une des parties qui peuvent avoir été accumulés jusqu’à la résiliation.
11 Non-sollicitation 11.1 Le client s’engage avec la société, pendant la durée du contrat et pour une période de 6 mois après sa résiliation, qu’il s’abstiendra, sans le consentement écrit préalable de la Société, de : (a)faire une offre d’emploi ou entamer toute discussion ou négociation en vue de faire une offre d’emploi à toute personne

1 Definitionen und Interpretationen 1.1 In diesen Bedingungen haben folgende Begriffe die folgende Bedeutung: "Unternehmen“ steht für Boss Design Ltd (Eintragungsnummer: 1702024) mit eingetragenem Geschäftssitz in Boss Drive, New Road, Dudley, DY2 8SZ; "Vertrag“ ist ein jeglicher Vertrag zwischen dem Unternehmen und dem Kunden über den Verkauf von Waren, bei dem diese Bedingungen eingeschlossen sind; "Kunde“ ist die Person/sind die Personen, Firma oder Unternehmen, welche/s die Ware vom Unternehmen kauft; "Ware“ ist jegliche Ware, (einschließlich jeglicher Teile dieser), die vertragsgemäß vom Unternehmen an den Kunden geliefert wird.
2 Vertragsgrundlagen 2.1 Vorbehaltlich jeglicher Änderungen unter Bedingung 2.2 unterliegt der Vertrag den vorliegenden Bedingungen unter Ausschluss aller anderen allgemeinen Bedingungen (einschließlich jeglicher allgemeinen Bedingungen, die nach Meinung des Kunden gemäß einem Kaufauftrag, einer Auftragsbestätigung, einer Spezifikation oder einem anderen Dokument jeglicher Art anzuwenden sind). 2.2 Jegliche Warenbestellung vom Unternehmen seitens des Kunden wird als Angebot des Kunden zum Kauf der Ware gemäß diesen Bedingungen erachtet. Der Kunde ist verpflichtet, sicherzustellen, dass die Bedingungen seines Auftrags sowie jegliche zutreffende Spezifikation vollständig und korrekt sind. 2.3 Jegliche Abweichungen von diesen Bedingungen sowie jegliche Erklärungen zu der Ware haben keine Bedeutung, es sei denn, sie werden ausdrücklich schriftlich mit dem Unternehmen abgestimmt und von diesem unterzeichnet. 2.4 Eine Bestellung seitens des Kunden wird erst dann als vom Unternehmen akzeptiert erachtet, wenn das Unternehmen eine schriftliche Bestätigung der Bestellung erteilt oder (wenn früher) das Unternehmen mit der Herstellung der Ware beginnt, diese entsprechend des Kundenauftrags konkretisiert oder die Ware an den Kunden absendet. Alle Bestellungen werden nach alleinigem Ermessen des Unternehmens akzeptiert. 2.5 Alle vom Unternehmen vorgelegten Kostenvoranschläge oder -schätzungen unterliegen den vorliegenden Bedingungen. Unbeschadet der Rechte des Unternehmens zur Annahme einer Bestellung gelten Kostenvoranschläge für 30 Tage ab ihrem Ausgabedatum. 2.6 Der Kunde kann eine Bestellung (oder einen Teil dieser), die vom Unternehmen akzeptiert wurde, nur mit der vorherigen schriftlichen Zustimmung des Unternehmens stornieren, vorausgesetzt, dass der Kunde das Unternehmen entsprechend der vom Unternehmen festgelegten Bedingungen völlig schadlos hält.
Kunde übernimmt die Lieferung der Ware entsprechend der Vereinbarungen zwischen den Parteien. 3.2 Alle vom Unternehmen für die Lieferung der Ware spezifizierten Daten sind lediglich ungefährer Art und Lieferzeiten sind unverbindlich. Wenn keine Daten spezifiziert sind, dann erfolgt die Lieferung innerhalb eines angemessenen Zeitraums. 3.3 Wenn der Kunde die Lieferung von Waren aus irgendwelchen Gründen nicht akzeptiert, wenn diese lieferbereit sind, oder wenn das Unternehmen die Ware nicht rechtzeitig liefern kann, weil der Kunde keine entsprechenden Anweisung, Dokumente, Lizenzen oder Genehmigungen vorgelegt hat, dann wird die Ware als geliefert erachtet und das Risiko geht auf den Kunden über (einschließlich Verlust oder Schäden die durch Nachlässigkeit des Unternehmens verursacht wurden) und das Unternehmen erhebt die folgenden Gebühren: (a) wenn die Verschiebungsmitteilung weniger als 72 Stunden ab Liefertermin erfolgt: - 5% des Auftragswerts pro Woche der Verschiebung; oder (b) in allen anderen Fällen: - 2,5% des Auftragswerts pro Woche der Verschiebung. 3.4 Es wird erachtet, dass der Kunde die Ware als dem Vertrag entsprechend akzeptiert hat, es sei denn der Kunde benachrichtigt das Unternehmen schriftlich über Mängel oder anderen Fehler der Ware, die nicht mit dem Vertrag übereinstimmen, innerhalb von 3 Tagen ab Lieferdatum der Ware, wenn ein Mangel oder ein Versagen nach angemessener Inspektion und Testen der Ware offensichtlich geworden wäre, oder innerhalb eines angemessenen Zeitraums, wenn ein Mangel oder Fehler nicht sofort offensichtlich gewesen wäre, innerhalb von 7 Tagen ab Lieferdatum, und der Kunde ist anderenfalls nicht berechtigt, die Ware zurückzuweisen, und das Unternehmen ist in keiner Weise für einen solchen Mangel oder Fehler haftbar und der Kunde ist so zur Zahlung des Preises verpflichtet, als ob die Ware vertragsgemäß geliefert worden wäre. 3.5 Gelieferte Ware kann nur dann zurückgegeben werden, wenn ihre Rückgabe im Voraus schriftlich mit dem Unternehmen abgestimmt wurde, wobei dies den folgenden Bedingungen unterliegt: (a) Waren werden in neuem und ungebrauchtem Zustand zurückgesandt; (b) alle Verpackung ist unversehrt und in angemessenem Zustand; (c) die Rückgabe erfolgt innerhalb von 2 Wochen ab Lieferung dieser Ware, alle Transport- oder erneuten Lieferkosten jeglicher Art werden vom Kunden übernommen; (d) rückgesandte Ware wird von einer schriftlichen Unterlage mit Rechnungsnummer, Datum und Angabe des Grunds für die Rückgabe begleitet.
diese geliefert wurde und ihr Risiko auf den Kunden übertragen wurde), bis das Unternehmen eine volle Bezahlung in bar oder verfügbaren Mitteln für alle Ware erhalten hat und alle vom Kunden an das Unternehmen zu zahlenden Gelder von anderen Rechnungen oder gemäß dem Vertrag oder allen anderen Verträgen vom Unternehmen erhalten wurden. 4.3 Bis der volle Rechtstitel sowie Nutzung- und Eigentumsrecht und Eigentum der Ware auf den Kunden übergeht: (a)soll der Kunde die Ware treuhänderisch als Verwahrer des Unternehmens übernehmen; (b)soll der Kunde die Ware an seinem Standort ordnungsgemäß unter solchen Bedingungen lagern, welche die Ware ausreichend schützen und erhalten, getrennt von anderen Waren (egal, ob diese vom Unternehmen geliefert wurden oder nicht) und gewährleisten, dass sie deutlich als Eigentum des Unternehmens identifizierbar ist, und soll sie versichern, ohne dass dem Unternehmen hierfür Kosten entstehen; (c)kann das Unternehmen gegebenenfalls auf Verlangen und ohne vorherige Mitteilung verlangen, dass der Kunde die Ware an das Unternehmen liefert, und das Unternehmen kann erneuten Besitz der Ware ergreifen und diese verkaufen, wenn einer der in Bedingung 10 aufgeführten Vorfälle eintritt, oder wenn dem Unternehmen vom Kunden eine vertragsgemäße Geldsumme oder eine Summe für eine andere Rechnung unter einem anderen Vertrag bei Fälligkeit nicht gezahlt wird; (d)genehmigt das Unternehmen dem Kunden hiermit die Nutzung und/oder den Verkauf der Waren entsprechend des normalen Geschäftsablaufs des Unternehmens sowie die Übertragung des Eigentumsrechts an seine Kunden, wenn es sich bei diesen um gutgläubige Käufer handelt, ohne Hinweis auf die Rechte des Unternehmens. Dieses Recht verfällt automatisch bei Eintritt eines der in Bedingung 10 aufgeführten Vorfälle oder wenn eine dem Unternehmen vom Kunden geschuldete Geldsumme nicht gezahlt wird, wenn diese fällig wird. Wenn der Kunde die Ware verkauft, bevor er deren vollen Preis bezahlt hat, dann soll der Kunde den Verkaufserlös als Treuhänder für das Unternehmen verwahren und den Verkaufserlös sofort in ein separates Bankkonto einzahlen. Der Kunde soll dem Unternehmen auf dessen Antrag alle Ansprüche, die der Kunden gegenüber Käufern der Ware gegenüber dem Kunden hat, übertragen.
5 Preise und Zahlung 5.1 Wenn nicht anderweitig schriftlich vom Unternehmen abgestimmt, ist der Preis der Ware der Preis, der vom Unternehmen am Datum der Lieferung oder erachteten Lieferung der Ware bestimmt wird.
3 Lieferung und Annahme der Ware
4.1 Das Risiko für die Ware geht ab Zeitpunkt der Lieferung auf den Kunden über.
5.2 Wenn nicht anderweitig schriftlich abgestimmt, dann ist der Preis für die Ware exklusive aller Mehrwertsteuer und aller Kosten oder Gebühren in Verbindung mit Verpackung, Etikettierung, Laden, Abladen, Transport, Fracht und Versicherung, die alle gegebenenfalls vom Kunden zusätzlich übernommen werden, wenn die Zahlung der Ware fällig wird.
3.1 Wenn nicht anderweitig schriftlich mit dem Unternehmen abgestimmt, erfolgt die Lieferung der Ware an die Geschäftsstelle des Unternehmens während normaler Geschäftszeiten und der

4 Risikoübertragung und Rechtstitel
5.4 Der Kunde nimmt alle vertragsmäßigen Zahlungen ohne Abzüge, egal ob durch Aufrechnung, Rückbehalt, Gegenanspruch, Diskont, Ermäßigung oder anderweitig, vor. 5.5 Wenn eine Geldsumme, die seitens des Kunden gemäß diesem oder einem anderen Vertrag an das Unternehmen fällig ist, nicht am oder vor dem Fälligkeitsdatum gezahlt wird, dann werden alle Summen, die dem der Kunde dem Unternehmen schuldet, sofort fällig und zahlbar und das Unternehmen ist zu Folgenden berechtigt: (a)Stornieren oder Einstellung seiner Vertragsleistung oder von Bestellungen, einschließlich Einstellung der Warenlieferungen; (b)Verlangen, dass der Kunde die Ware vor deren Versand oder Abholung von der Geschäftsniederlassung des Unternehmens bezahlt; (c)Anrechnen Folgender für den Kunden, nämlich (i)auf täglicher Basis berechnete Zinsen für alle überfälligen Beträge (sowohl vor als auch nach richterlicher Anordnung) bis zur tatsächlichen Zahlung zu einem Zinssatz von vier (4) Prozent pro Jahr über dem Basiszinssatz der Barclays Bank plc in der jeweils gültigen Höhe, bis volle Zahlung erfolgt ist; (ii)sowie der Kosten für die Einholung eines Urteils oder Zahlung einschließlich aller angemessen professionellen Kosten (einschließlich Anwaltskosten) und anderer Kosten für die Einleitung von Verfahren oder anderweit in der Verfolgung einer Forderungseinziehung.
6 Gewährleistung der Warenqualität 6.1 Wenn der Kunde gegenüber dem Unternehmen zu dessen angemessener Zufriedenheit geltend macht, dass ein Mangel in den Materialien oder der Arbeitsausführung der hergestellten Ware besteht oder seitens des Unternehmens ein anderer Fehler vorliegt, was die die Übereinstimmung der Ware mit dem Vertrag betrifft, dann wird das Unternehmen, vorausgesetzt, dass der Kunde die Ware zusammen mit der schriftlichen Mitteilung eines solchen angeblichen Mangels innerhalb von 7 Tage ab dem Zeitpunkt, an dem der Kunde den Mangel hätte festgestellt haben sollen, und auf jeden Fall innerhalb von fünf (5) Jahren ab Lieferung der Ware an den Kunden zurückgesandt hat, nach seiner Wahl und eigenem Ermessen sowie innerhalb eines angemessenen Zeitraums: (a)einen solchen Mangel oder Fehler an dieser Ware ohne Kosten für den Kunden (einschließlich aller diesbezüglichen Transportkosten für Ware oder Materialien zum und vom Kunden) reparieren oder beheben; (b)diese Ware durch Ware ersetzen, die in jeglicher Hinsicht mit dem Vertrag übereinstimmt; oder (c)dem Kunden nach Rücknahme der Ware oder Materialien in Bezug auf diese entsprechend für den ganzen Vertragspreis der Ware oder einen Teil dieses eine Gutschrift ausstellen, vorausgesetzt, dass die Haftung des Unternehmens gemäß Bedingung 6 in keinem Fall den Kaufpreis dieser Ware überschreitet, und die Leistung einer der obigen Optionen stellt die volle Erfüllung der Haftung des Unternehmens entsprechend

diesem Vertrag dar. 6.2 Das Unternehmen haftet in keiner Weise für die Gewährleistung in der obigen Bedingung 6.1 für Folgende: (a)Mängel infolge von normalem Verschleiß, mutwilliger Beschädigung, Fahrlässigkeit, abnormalen Arbeitsbedingungen, Nichtbeachtung der Anweisungen des Unternehmens (egal ob mündlich oder schriftlich), Missbrauch oder Änderung oder Reparatur der Ware ohne Genehmigung des Unternehmens; (b)wenn der volle Preis der Ware bis zum Fälligkeitsdatum der Bezahlung nicht gezahlt wurde; (c)für Ware, die vertragsgemäß entsprechend einem Design, einer Spezifikation, einer Anweisung oder Empfehlung seitens des Kunden an das Unternehmen hergestellt oder spezifisch in diesen einbezogen wurde; (d)für alle Arten von Mängeln, Schäden oder Verschleiß, die vom Unternehmen spezifisch durch schriftliche Mitteilung ausgeschlossen wurden; oder (e)wenn der Kunde nach einer Mitteilung gemäß Bedingung 6.1 die Ware weiterverwendet; (f)für Mängel im für die Ware verwendeten Stoff. 6.3 Die in diesem Vertrag gegebenen Gewährleistungen sind die einzigen Gewährleistungen, die vom Unternehmen gegeben werden und alle anderen Gewährleistungen, Bedingungen und anderen Bestimmungen, egal ob sie auf Gesetz oder Gewohnheitsrecht beruhen, sind, soweit dies gesetzlich zulässig ist, vom Vertrag ausgeschlossen.
7 Ausschluss und Begrenzung der Haftung 7.1 Die gesamte Haftung des Unternehmens für Schadenersatz (einschließlich Fahrlässigkeit oder Verletzung einer gesetzlich vorgeschriebenen Pflicht), falsche Darstellung oder anderweitig in Verbindung mit der Erfüllung oder beabsichtigten Erfüllung dieses Vertrags ist auf den Preis der Ware beschränkt. 7.2 Das Unternehmen haftet dem Kunden gegenüber nicht für Gewinnverlust oder anderen wirtschaftlichen Verlust (egal ob direkt oder indirekt), indirekten oder Folgeverlust oder -schaden, Kosten, Auslagen oder andere Ansprüche für Folgeschäden jeglicher Art (ungeachtet ihrer Verursachung) oder Verlust oder Schaden (vertragsbezogen, infolge unerlaubter Handlung, Verletzung gesetzlich vorgeschriebener Pflichten oder anderweitig), die infolge des oder in Verbindung mit dem Vertrag entstehen, oder für Haftung seitens des Kunden gegenüber einer anderen Person für wirtschaftlichen Verlust, Schadensersatzanspruch oder Schiedssprüche jeglicher Art, die sich durch die Ware oder anderweitig ergeben. 7.3 Diese Bedingungen schließen nicht aus oder beschränken nicht die Haftung des Unternehmens für Tod oder Körperverletzung, die durch Fahrlässigkeit des Unternehmens verursacht werden, oder für arglistige Täuschung.
8 Unterauftragsvergabe, Abtretung und Rechte Dritter 8.1 Der Kunde ist nicht berechtigt, den Vertrag oder Teile dessen ohne vorherige schriftliche Zustimmung des Unternehmens abzutreten, zu übertragen, an einen Unterauftragnehmer zu vergeben oder den Vertrag weiterzugegeben. Das Unternehmen kann den Vertrag oder Teile dessen an eine jegliche Person abtreten, übertragen in Unterauftrag geben oder den Vertrag weitergeben. 8.2 Der sogenannte Contracts Act 1999 (Rights of Third Parties, d.h. Vertragsgesetz - Rechte Dritter) gilt nicht für den Vertrag und keine dritte Partei hat den Vorteil oder das Recht zur Durchsetzung dieser Bedingungen.
9 Höhere Gewalt Das Unternehmen behält sich das Recht vor, den Vertrag (ohne Haftung gegenüber dem Kunden) im ganzen oder teilweise auszusetzen oder zu stornieren, wenn es an der Fortführung seines Geschäfts und seiner Verpflichtungen gemäß dem Vertrags infolge von Umständen, die außerhalb der angemessen Kontrolle des Unternehmens liegen, behindert oder aufgehalten wird, einschließlich und ohne Einschränkung von Naturereignissen, Überschwemmung, Blitzschlag, Krieg, Revolution, Terrorismus, Aufständen oder Zivilunruhen [jedoch ausschließlich] Streik, Aussperrungen oder anderen Arbeitskämpfen (sei dies durch die Mitarbeiter der betroffenen Partei oder anderer), Versorgungsausfall von Strom, Kraftstoff, Transport, Ausrüstung, Rohmaterialien oder anderer Waren oder Serviceleistungen, vorausgesetzt dass, wenn der Vorfall höherer Gewalt ununterbrochen für mehr als 3 Monate andauert, der Kunde berechtigt ist, den Vertrag durch schriftliche Mitteilung an das Unternehmen zu kündigen.
10 Vertragsbruch oder Zahlungsunfähigkeit 10.1 Das Unternehmen kann ohne weitergehende Haftung für das Unternehmen die Vertragsleistungen sofort aussetzen, alle ausstehenden Warenlieferungen stornieren, Waren in Transit stoppen oder den Vertrag durch schriftliche Mitteilung an den Kunden kündigen, wenn: (a)der Kunde einen wesentlichen Vertragsbruch hinsichtlich seiner vertragsmäßigen Verpflichtungen begeht, der nicht behoben werden kann, oder Verletzung seiner Verpflichtungen gemäß diesem Vertrag, die behoben werden kann, nicht behebt, oder eine Verletzung seiner Pflichten gemäß dem Vertrag fortsetzt, nachdem er vom Unternehmen schriftlich aufgefordert wurde, diese Verletzung innerhalb eines Zeitraum von 14 Tagen zu beheben oder von dieser abzulassen; (b)der Kunde ein Konkursverfahren einleitet, sich einem individuellen freiwilligen Vergleich unterstellt, sein Geschäft auflöst, sich einer Zwangsverwaltung, Vermögensverwaltung unterstellt oder freiwilligen Unternehmensvergleich entsprechend der Definition des Insolvency Act 1986 (englische Insolvenzverordnung) oder einem entsprechenden Verfahren unterstellt;
(c)eine unter dem Vertrag fällige Summe nicht innerhalb von vierzehn Tagen ihres Fälligkeitsdatums entsprechend diesem Vertrag bezahlt wird. 10.2 Ungeachtet einer solchen Kündigung oder Aussetzung entsprechend Bedingung 10.1 soll der Kunde das Unternehmen für alle Ware bezahlen, die bis zum und einschließlich des Datums der Aussetzung oder Kündigung geliefert wurden. 10.3 Die Kündigung des Vertrags aus welchen Gründen auch immer erfolgt ohne Beeinträchtigung der Rechte und Abhilfe jeder Partei, die bis zum Kündigungszeitpunkt entstanden sind.
11 Abwerbeverbot

13 Gesetz und Gerichtsbarkeit 13.1 Dieser Vertrag unterliegt in jeglicher Hinsicht den Gesetzen Englands und wird entsprechend dieser ausgelegt und alle Streitigkeiten, die sich aus diesem oder in Verbindung mit diesem Vertrag ergeben, unterliegen der exklusiven Gerichtsbarkeit der englischen Gerichte, denen sich die Parteien unwiderruflich unterwerfen.
11.1 Der Kunde erklärt gegenüber dem Unternehmen, dass er während der Laufzeit des Vertrags und für einen Zeitraum von 6 Monaten nach dessen Ablauf ohne schriftliche Genehmigung des Unternehmens (a) kein Stellenagebot an einen Mitarbeiter des Unternehmens zum Zeitpunkt der Laufzeit des Vertrags vorlegen wird und auch keine Diskussionen oder Verhandlungen hinsichtlich eines solchen Angebots eingehen wird; und/oder (b) nicht die Services eines Mitarbeiters außerhalb des Unternehmens zu suchen oder dies zu versuchen oder einen Mitarbeiter vom Unternehmen abzuwerben oder dies zu versuchen.
12 Allgemeines 12.1 Alle geistigen Eigentumsrechte, die dem Unternehmen im Verlauf der Erfüllung des Vertrags oder anderweitig bei der Herstellung der Ware entstehen, bleiben Eigentum des Unternehmens. Nichts in diesem Vertrag wird so ausgelegt, dass erachtet wird, dass der Kunde hierdurch eine Lizenz oder andere Rechte für die Nutzung von geistigen Eigentumsrechten des Unternehmens erhält. 12.2 Sowohl das Unternehmen als auch der Kunde sollen die Bedingungen des Vertrags oder anderen vertrauliche oder sensible Informationen der anderen Partei vertraulich behandeln und diese ohne vorherige schriftliche Vereinbarung der anderen Partei nicht einer dritten Partei bekannt geben oder anderweitig öffentlich zugänglich machen. 12.3 Der Verzicht einer der Parteien, was eine Zuwiderhandlung des Vertrags betrifft, verhindert nicht die nachfolgende Geltendmachung dieser Zuwiderhandlung und wird nicht als Verzicht hinsichtlich nachfolgender Zuwiderhandlung dieser oder anderer Bedingungen erachtet. 12.4 Sollte eine der Bedingungen aus irgendwelchen Gründen als ungültig erachtet werden, dann hat diese Ungültigkeit keine Auswirkung auf den übrigen Vertrag, der in jeglicher Hinsicht gültig und durchsetzbar bleibt. 12.5 Der Vertrag stellt die gesamte Vereinbarung und Übereinkommen zwischen dem Kunden und dem Unternehmen in Verbindung mit

1 Definiciones e interpretación 1.1 En estas condiciones las palabras a continuación tienen los siguientes significados: "Compañía" significa Boss Design Ltd (Número de registro: 1702024) cuyo domicilio social está en Boss Drive, New Road, Dudley, DY2 8SZ; "Contrato" significa cualquier contrato entre la Compañía y el Cliente para la venta de Mercancías incluyendo estas condiciones; "Cliente" significa la persona o personas, la firma o Compañía que compra las Mercancías de la Compañía; "Mercancías" significa cualquier Mercancía convenida en el contrato que será proveída por la Compañía al Cliente (incluyendo cualquier parte o partes de ellas).

4 Transferencia del riesgo y del derecho legal 3 Entrega y aceptación de las Mercancías 3.1 A no ser que la Compañía acuerde lo contrario por escrito, la entrega de las Mercancías se efectuará en el lugar de negocio
4.1 Las Mercancías estarán bajo el riesgo del Cliente desde su entrega. 4.2 El derecho legal, beneficioso y equitativo completo a, y la
propiedad de las Mercancías permanecerán conferidos en la Compañía (aun cuando se hayan entregado y el riesgo se haya transferido al Cliente) hasta que el pago por completo, en efectivo o fondos ingresados, de todas las Mercancías haya sido recibido por la Compañía y el resto del dinero pagadero por el Cliente a la Compañía en cualquier otra cuenta o bajo el Contrato o cualquier otro contrato haya sido recibido por la Compañía. 4.3 Hasta que el derecho legal, beneficioso y equitativo a, y la propiedad de las Mercancías sea transferido al Cliente: (a) el Cliente mantendrá las Mercancías sobre una base fiduciaria como el depositario de la Compañía; (b) el Cliente almacenará las Mercancías en sus instalaciones de una manera apropiada en condiciones que protejan y preserven adecuadamente las Mercancías, por separado de cualquier otra Mercancías (proveído o no por la Compañía) y se cerciorará de que están claramente identificables como pertenecientes a la Compañía y las asegurará, sin ninguna carga a la Compañía; (c) la Compañía podrá en cualquier momento, bajo petición y sin previo aviso, requerir al Cliente que entregue las Mercancías a la Compañía y la Compañía podrá recobrar y revender las Mercancías si cualquiera de los acontecimientos especificados en la condición 10 se diera o si cualquier suma debida a la Compañía por el Cliente bajo el Contrato o cualquier otra cuenta o bajo cualquier otro contrato no es pagada cuando fuera debido; y (d) la Compañía autoriza por la presente al Cliente a utilizar y/o vender las Mercancías en el curso normal del negocio del Cliente y a transferir el derecho válido sobre las Mercancías a sus Clientes, si son compradores de buena fé sin el aviso de los derechos de la Compañía. Este derecho cesará automáticamente en la incidencia de cualquier acontecimiento establecido en la condición 10 y/o si cualquier suma debida a la Compañía por el Cliente no es pagada cuando fuera debida. Si el Cliente vende las Mercancías antes de pagar el precio total del mismo el Cliente mantendrá los ingresos de la venta en fideicomiso para la Compañía y pagará inmediatamente los ingresos de la venta en una cuenta bancaria aparte. A petición de la Compañía, el Cliente asignará a la Compañía todas las reclamaciones que el Cliente pueda tener contra los compradores de las Mercancías del Cliente.
5 Precio y Pago 5.1 A no ser que se acuerde lo contrario por la Compañía y por escrito, el precio de las Mercancías será el precio fijado por la Compañía en la fecha de la entrega o de la entrega estimada de las Mercancías. 5.2 A no ser que se acuerde lo contrario por escrito el precio de las Mercancías será exclusivo de cualquier impuesto de valor añadido y de todos los costes o cargas en lo referente al empaquetado, al etiquetado, al proceso de cargar y descargar, al transporte, a la carga y al seguro, cuyas cantidades todas el Cliente pagara, cuando sea apropiado, además de cuando sea debido pagar por las Mercancías.
5.3 El pago del precio por las Mercancías es debido en el plazo de 30 días de la fecha de la factura. La hora del pago será de obligación 5.4 El Cliente hará todos los pagos debidos bajo el Contrato sin ninguna deducción ya sea en virtud de compensación, retención, contrademanda, descuento, suspensión o de otra manera. 5.5 Si cualquier suma que deba el Cliente a la Compañía bajo el contrato o cualquier otro contrato no fuera pagada en o antes de la fecha debida para el pago, entonces todas las sumas que deba el Cliente a la Compañía serán debidas y pagaderas inmediatamente y la Compañía tendrá derecho a: (a) cancelar o suspender su ejecución del contrato o de cualquier pedido incluyendo entregas suspendidas de las Mercancías; (b) requerir al Cliente el pago de las Mercancías antes de su envío o recogida del lugar del negocio de la Compañía; y (c) cargar al Cliente (i) interés calculado sobre una base diaria en todas las cantidades atrasadas (ambas antes y después de la sentencia) hasta el pago real a una tasa de cuatro (4) por ciento por año sobre el tipo de interés bancario básico de Barclays Bank plc que prevalecerá de tanto en tanto hasta que el pago se haya realizado por completo; (ii) y el coste de obtener sentencia o el pago para incluir todos los costes profesionales razonables (incluyendo cuotas legales) y otros costes de emitir procedimientos o de otra forma llevar a cabo procedimientos de recuperación de la deuda.
6 Garantía de la calidad de las Mercancías 6.1 Si el Cliente establece, bajo la satisfacción razonable de la Compañía, que hay un defecto en los materiales o en la fabricación de las Mercancías o que existe cualquier otro fallo de la Compañía en lo referente a la conformidad de las Mercancías con el Contrato, entonces siempre que el Cliente haya devuelto las Mercancías a la Compañía junto con una notificación escrita del defecto indicado en el plazo de 7 días desde la fecha en que el Cliente descubre o debería haber descubierto el defecto y en cualquier caso dentro de cinco (5) años de la entrega de las Mercancías al Cliente, la Compañía bajo su opción, a su entera discreción y dentro de un tiempo razonable: (a) reparará o rectificará tal defecto o falta en dichas Mercancías gratuitamente al Cliente (incluyendo todos los costes de transporte de cualquier Mercancía o materiales al y del Cliente para este propósito); (b) substituirá tales Mercancías por las Mercancías que en todos los aspectos están de acuerdo con el contrato; o (c) emitirá una nota de crédito al Cliente por lo que se refiere al conjunto o parte del precio del Contrato de tales Mercancías según lo apropiado habiendo devuelto esas Mercancías o materiales referente a tales Mercancías, siempre que la responsabilidad de la Compañía bajo esta condición 6 nunca exceda el precio de compra de dichas Mercancías y el rendimiento de cualquiera de las opciones antedichas constituirá una exoneración total de la responsabilidad de la Compañía bajo esta garantía.

6.2 La Compañía no tendrá responsabilidad alguna de garantía bajo la condición 6.1 arriba:
cargar, subcontratar o transferir el Contrato o cualquier parte de él a cualquier persona.
(a) por lo que se refiere a cualquier defecto que surja del desgaste natural del uso, daños intencionados, negligencia, condiciones de trabajo anormales, falta de seguir las instrucciones de la Compañía (tanto si fueran orales o por escrito), uso erróneo o alteración o reparación de las Mercancías sin la aprobación de la Compañía;
8.1 La Ley inglesa de 1999 sobre contratos (en cuanto a derechos de terceras partes), The Contracts (Rights of Third Parties) Act 1999, no se aplicará al Contrato y ninguna tercera parte disfrutará del beneficio o el derecho a imponer estas Condiciones.
(b) si el precio total de las Mercancías no se ha pagado en la fecha debida del pago; (c) para cualquier Mercancía fabricada o apropiada al contrato de acuerdo con cualquier diseño, especificación, instrucción o recomendación hechos a la Compañía por el Cliente; (d) por lo que se refiere a cualquier tipo de defecto, de daño o de desgaste excluidos específicamente por la Compañía mediante notificación por escrito; o (e) si el Cliente hace otro uso de las Mercancías después de dar notificación de acuerdo con la cláusula 6.1; (f) para cualquier defecto del tejido usado en las Mercancías. 6.3 Las garantías establecidas en este contrato son las únicas garantías que serán dadas por la Compañía y todas las garantías, las condiciones y otros términos implicados por regulación o derecho consuetudinario estarán, en la mayor medida posible que permita la ley, excluidas del contrato.
7 Exclusión y Limitación de responsabilidad 7.1 La responsabilidad total de la Compañía en contrato, obligación extra contractual (negligencia incluyendo o incumplimiento de deber legal), la mala representación o de otra manera que surja con respecto al rendimiento o al rendimiento contemplado en este Contrato estará limitada al precio de las Mercancías. 7.2 La Compañía no tendrá obligación hacia el Cliente de ninguna pérdida de beneficios u otra pérdida económica (directa o indirecta), pérdidas o daños indirectos o derivados, costes, gastos u otras reclamaciones de compensación derivada, cualesquiera que sean (sin importar la manera en que estén causados) o la pérdida o daño (contractual, ilícita, incumplimiento del deber legal o de otra manera) que surja con respecto o en conexión al Contrato, o por cualquier responsabilidad incurrida por el Cliente a cualquier otra persona por pérdida económica alguna, reclamación de daños o concesiones cualquiera que sea la forma en que surjan de las Mercancías o de otra manera. 7.3 Nada en estas Condiciones excluye o limita la responsabilidad de la Compañía por muerte o lesiones personales causadas por la negligencia de la Compañía, o por una falsa declaración fraudulenta.
8 Subcontratación, Asignación y Derechos de terceros 8.1 el Cliente no tendrá derecho a asignar, cargar, subcontratar o transferir el Contrato o cualquier parte de él sin el consentimiento previo por escrito de la Compañía. La Compañía podrá asignar,
9 Fuerza mayor La Compañía se reserva el derecho de suspender o de cancelar el Contrato al completo o parcialmente (sin responsabilidad hacia el Cliente) si no pudiera o se retrasa en la continuación de su negocio y de sus obligaciones bajo el contrato debido a circunstancias más allá del control razonable de la Compañía incluyendo, sin limitación, desastres naturales, inundación, relámpagos, guerra, revolución, acto de terrorismo, tumultos o conmoción civil [pero excluyendo] huelgas, desahucios u otra acción industrial (tanto de los propios empleados u otros de la parte afectada), falta de suministros de energía, combustible, transporte, equipo, materias primas u otras Mercancías o servicios siempre que, si el acontecimiento de fuerza mayor continúe por un período continuo superior a 3 meses, el Cliente tendrá derecho a dar aviso por escrito a la Compañía para terminar el Contrato.
11.1 El Cliente se compromete con la Compañía a que, durante el plazo del Contrato y durante un período de 6 meses tras su rescisión, sin el consentimiento previo por escrito de la Compañía, no; (a) realizará oferta alguna de empleo o entablará conversaciones o negociaciones con objeto de hacer una oferta de empleo a cualquier persona empleada por el Cliente en cualquier momento durante el plazo del contrato; y/o (b) solicitará o intentará solicitar servicios de cualquier empleado por su propia cuenta ni incitará o intentará incitar a cualquier empleado a que deje la Compañía.
12 General 12.1 Cualquier derecho de propiedad intelectual creada por la Compañía durante el curso del rendimiento del contrato o en la fabricación de las Mercancías seguirá siendo la propiedad de la Compañía. Nada del contrato se interpretará como la dotación de una licencia al Cliente o cualquier otro derecho a utilizar los derechos de propiedad intelectual de la Compañía.
10 Incumplimiento del contrato o Insolvencia
12.2 Tanto la Compañía como el Cliente permanecerán cada uno confidenciales y sin el acuerdo previo por escrito del otro no divulgará a terceros o de otra manera hará público los términos del contrato o de cualquier otra información confidencial o sensible de la otra parte.
10.1 La Compañía podrá suspender inmediatamente el rendimiento del Contrato, cancelar cualquier entrega pendiente de las Mercancías, parar cualquier Mercancía en tránsito o por notificación por escrito al Cliente rescindir el Contrato sin responsabilidad hacia la Compañía si:
12.3 La renuncia por cualquier parte de algún incumplimiento del contrato no impedirá la ejecución subsecuente de ese incumplimiento y no se considerará que es una renuncia de ningún incumplimiento subsecuente de eso o de cualquier otra disposición.
(a) el Cliente comete un incumplimiento primordial de cualquiera de sus obligaciones bajo el Contrato que es incapaz de remediar o no remedia un incumplimiento de sus obligaciones bajo el Contrato que es capaz de remediar, o persiste en cualquier incumplimiento de sus obligaciones bajo el Contrato después de haber sido solicitado por la Compañía y por escrito remediar o desistir del incumplimiento dentro de un período de 14 días; o (b) el Cliente entra en bancarrota, llega a un acuerdo voluntario individual, liquidación, custodia, administración o un acuerdo voluntario corporativo según lo definido por la ley inglesa de 1986 sobre insolvencia, Insolvency Act 1986, o cualquier procedimiento análogo al antedicho; o (c) cualquier suma pagadera bajo el Contrato no es pagada en el plazo de catorce días desde su fecha debida de pago conforme a este contrato. 10.2 Independientemente de cualquier rescisión o suspensión de acuerdo con la condición 10.1 el Cliente pagará a la Compañía todas las Mercancías entregadas hasta e incluyendo la fecha de la suspensión o de la rescisión.
12.4 Si una condición se considerase inválida por cualquier razón, tal invalidez no afectará al resto del Contrato que seguirá siendo válido y ejecutorio en todos los aspectos. 12.5 El Contrato establece el completo acuerdo y comprensión entre el Cliente y la Compañía con respecto a la venta de las Mercancías y reemplazará y substituirá toda la documentación publicada previamente por la Compañía que pretendía establecer en sus términos y condiciones de la venta de las Mercancías.
13 Ley y Jurisdicción 13.1 Este Contrato será regido e interpretado en todos los aspectos de acuerdo con las leyes inglesas y toda disputa o reclamación que surja de, o referente a este Contrato estarán sujetas a la jurisdicción exclusiva de las juzgados ingleses a los cuales los partidos se someten irrevocablemente.
10.3 La rescisión del contrato por cualquier razón será sin prejuicio alguno a los derechos y remedios de cualquiera de las partes que estas pudieran haber acumulado hasta la rescisión.
