general information Definition Clause The “Company” means Searchlight Electric Ltd, The “Buyer” means the person who buys or agrees to buy from the company. General All quotations are given and orders accepted subject to the full Conditions of Sale. The Company will not accept any terms and conditions other than those specified nor any addition or variation there to unless agreed in writing between the parties. Terms All accounts are nett and are due for settlement on the last day of the month following date of invoice. Interest at a rate of 1.5% per annum above the base lending rate from time to time of Barclays Bank Plc, together with any expenses incurred in collecting payment will be added to the agreed price in respect of any part thereof not paid on or before the due date. Risk Risk shall pass to the Buyer. Delivery is to be made at the Company’s address, at the time when the Company notifies the Buyer that the goods are available for collection, or if delivery is to be made elsewhere than at the Company’s address at the time of delivery or, if the Buyer wrongfully fails to take delivery. Retention of Title Notwithstanding delivery and the passing of risk in the Goods, or any other provision of these Conditions, the property in the Goods shall not pass to the Buyer until the Company has received in cash or cleared funds all sums due to it in respect of; 1. the goods, and 2. all other goods agreed to be sold by the Company to the Buyer for which payment is then due. 3.Until such time as the property in the Goods passes to the Buyer, the Buyer shall: i.hold the Goods as the Company’s fiduciary agent and bailee; ii. keep the Goods separate from those of the Buyer and third parties; iii.keep the Goods properly stored, protected and insured and identified as the Company’s property. iv.Until such time as the property in the Goods passes to the Buyer (and provided the Goods are still in existence and have not been resold), the Company shall be entitled at any time to require the Buyer to deliver up the Goods to the Company, and if the Buyer fails to do so forthwith, to enter upon any premises of the Buyer or any third party where the Goods are stored and repossess the Goods. Prices Whilst every endeavour will be made to supply goods at the prices quoted and/or acknowledged, the Company reserves the right to invoice at prices ruling at date of despatch. All prices quoted by our representatives are subject to verification by Head Office. Delivery Although the Company shall make every effort to deliver on

the date in the contract, time for delivery shall not be of the essence and the Company shall not be liable for any loss or damage resulting from any delay in delivery. The Company may deliver the goods by separate instalments. Each separate instalment shall be invoiced and paid for in accordance with the contract provisions. Failure of the Buyer to pay for any or more of the said instalments of the goods on the due dates shall entitle the Company without notice to suspend further deliveries of the goods pending payment by the Buyer; and/or to treat the contract as repudiated by the Buyer. If the Buyer refuses to accept delivery, the goods may be stored by the Company at the Buyer’s risk and expense until the Buyer accepts delivery. Loss or Damage in Transit Unless goods have been checked on receipt, they should be signed for “Unexamined.” Claims for shortage or damage in transit cannot be entertained unless notified in writing both to the carrier and ourselves within three days of receipt of goods or in the case of non-delivery within ten days of our invoice. Cancellations The written consent of the Company must be obtained before cancellation of any order and the Company reserves the right to make a handling charge for goods returned to stock. Under no circumstances may goods be returned without the Company’s written consent and returns note number and when returned must be in their original packaging to ensure no damage is sustained during transit.

becomes bankrupt or has a receiver appointed, or a distress is levied on any part of its assets or business or goes into liquidation or makes any composition with its creditors, the Buyer shall be entitled (whether in respect of this contract or any other) to withhold any further deliveries to the Buyer and/ or cancel the contract without any liability; appropriate any payments made by the Buyer to such of the goods (whether supplied under this contract or any other) as the Company shall think fit; immediate payment of all such sums whatever owing by the Buyer to the Company notwithstanding any previous agreement to the contrary: and/or exercise any of its rights pursuant to retention of title. Force Majeure The Company shall not be liable for any default due to any act of God, war, strikes, lock-outs or other industrial action, difficulties in obtaining labour or parts, governmental or other restrictions or regulations or other event beyond the reasonable control of the Company.
