3 NOVEMBER Festival @ All locations Loy Krathong is a peaceful and significant festival of lights. Participants release – into the sea, a river or a lake – pre-prepared candlelit floating vessels, made from sliced banana-tree trunk, that they have filled with symbolic emblems, such as coins, hair snippets and nail clippings. The festival’s purposes are (1) to thank the Goddess of water, Phra Mae Khongkha, for the use water and to apologise for polluting it, (2) to pay respect to the Buddha footprints on Nammatanati river bank in India and (3) to symbolically let go of unhappiness and sickness

The second edition of the Thailand Yacht Show will take place between February 22-25 at Ao Po Grand Marina, Phuket. The Thailand Yacht Show is a superyacht charter show, which offer facilities for much larger vessels than have been able to display at the previous industry events in the area; superyachts in excess of 100m will be able to come into the marina. RICHARD POPE How did you first get involved in property development? A: I started out at 24 years old with an engineering degree and lots of ambition. Eventually, I was able to do my own developments, focused mainly in Notting Hill in London. I still have several properties there. I first came to Phuket for the King’s Cup Regatta in 2006. Then on one of my trips to Phuket in 2007, I inspected the Kata Rocks site and knew as, a developer, that I needed to buy straight away. It checked all the right boxes: oceanfront, west facing for sunsets, perfect slope, huge rocks placed like ornaments in front of a resort that looks out at the majestic Koh Pu island. What makes Kata Rocks so special? Khun Chanyo Manakulsawasd Operations Director of MGC Marine (Asia) Co., Ltd. Have you always worked in the marine business? I’m an engineer and I started my career with Caterpillar – the market leaders in big earthmoving equipment and diesel engines. I was lucky to gain experience across the whole company, including sales and marketing and, while working in the ‘off-highway’ department, supplying big generators, I got my introduction to the commercial marine industry – and had the opportunity to introduce Caterpillar to the yachting market. After five years, I joined MTU, DaimlerChrysler OffHighway supplying marine engines – mainly to government. Here, again, I had the opportunity to break new ground, taking the company into commercial engine supply. One of my achievements was putting the company’s MTU engines on the the commercial market. Next, I was offered the job of Thailand Country Manager for Emerson, manufacturers of industrial products – a big change of product focus but an exciting challenge. After seven years with Emerson, I was approached by Dr Sunhavut Thamchuanviriya, MGC’s Group MD. MGC had just launched their yacht division in 2015 and Dr Sunhavut, having seen me at many yacht shows, said to me, “You obviously love this yachting business. Why don’t you come and join us to run our yachting division?”
MGC is a major player in the luxury car business. What made them move into yachting? MGC was founded in 2000 and sells luxury cars such as BMW, Aston Martin, Maserati and Rolls-Royce. Our products are top-end and our customers, who are used to buying luxury items, and are therefore potential yacht buyers, are already confident of our ability to deliver high-end service. So there was a natural fit. Why did MGC choose Azimut Yachts instead of another brand? We were approached by many yacht builders, but it was obvious that we needed a top brand. Azimut has a long history, dating back to 1969, and a reputation built on delivering quality. Something else that suits our business model is that the founder still runs the business. Then there’s their innovation; they bring out a new model every year and, since joining forces with Benetti, they have a production capacity of 300 yachts per year. Do you think there’s still room for major growth in yachting in Thailand? Yes! Government and private sector are working together to create the opportunity for foreign yachts over 30 metres to operate in Thai waters; that will generate massive revenue from servicing and provisioning the yachts themselves, as well as the high spend of owners, crew and guests while they are ashore shopping, dining and generally enjoying the destination.

Do you expect to see the number of Thai yacht owners grow?
Because the government has heavily promoted the Thailand Yacht Show ( TYS) at Ao Po Marina, the Thai market knows about this show more than the longrunning PIMEX [now the Phuket Rendezvous]. So in terms of attracting Thai buyers, TYS is in the lead. PIMEX tends to attract people who are already into yachting.
Yes. The potential of the Thai market is mostly unexplored. It’s all about the luxury lifestyle. When wealthy individuals realise that the cost of keeping a yacht is not much more than keeping their supercar, yacht ownership becomes attractive to them – especially when they can buy an established top brand from a company, like MGC, who they know and trust to take care of them and their purchase. We had a recent example where a 30-year-old successful Thai executive just bought a new Azimut from us; in fact we have already sold five yachts in our first year of operation. The most popular model is the 43-foot, which for the Thai market is the entry-level. What about marina capacity? Will that limit growth? Actually government is supportive of marina building and we have seen new marinas built in Krabi and another marina projected on Phuket’s east coast, while Pattaya’s Ocean Marina still has plenty of room to expand. With its high level focus on quality tourism, the government recognises that yachting brings in a much higher spend per person – approximately four times – than ‘traditional’ tourists. Furthermore, financial support has been made available by the government to develop the Thailand Yacht Show, aimed at attracting superyachts to Thailand, at Phuket’s Ao Po Marina. Do boat shows play an important role in marketing luxury yachts? Yes, boat shows have an important role to play, but we think the organisers need to put more effort into attracting Thai buyers. They do a good job bringing visitors, including potential expat buyers, from overseas
Which of the two Phuket boat shows do you think offers the best potential to sell boats?
If you had to compare Azimut Yachts to a luxury car brand, which brand would that be? You have to understand why we chose Azimut. A key selling point is the breadth of their range: they start with 34-footers, move through the flybridge and long-distance ranges with bigger yachts, and then up to 80+ foot at the top end. If you compare this to the luxury car brands, you could say they start at BMW, move on through Aston Martin and end up at Rolls-Royce. So to answer your question, Azimut covers the whole spectrum. What about yacht management & after sales service? Our MGC showrooms and service centres have an excellent reputation. We just launched our new marine service facility at Ocean Marina and we have a service team that carries out warranty claims and does all servicing in Pattaya and in Phuket. Then we have an advisor who liaises between owners and Azimut head office and there is a quality assurance system in place for reporting back to Azimut. We also offer a complete yacht management service for our owners, including the provision of captain and crew as well as management of the yacht in the marina. Finally, we provide our own finance scheme too – very hard to find in Thailand – and already have owners who have bought Azimut using this scheme. Combined with an insurance option that we offer, we cover everything a yacht owner needs. If I order a new Azimut yacht, how long will I have to wait for delivery? It depends on the model. For one of the newly launched models, you would need to join a queue, but for established models (except the Grande Collection), there is stock held in Italy and your new yacht can be here in Phuket within three months. Will you help me sell my existing yacht, or even take it as a part exchange against the new model? Yes, we will support your new purchase by taking your current Azimut yacht into our used boat sales portfolio.

Customers dine in a lush garden setting right at the sea’s edge with white sand underfoot and enjoy spectacular ocean and island panoramas during the day and a romantic atmosphere at night. Nikita’s boasts no fewer than 18 cocktails, but we settle for a traditional gin and tonic. A Tomato Bruschetta comes as appetizer, followed by an unusual dish, a spicy salad with glass noodles and peeled prawns. The wine list is well chosen – 12 whites and 15 reds, plus five choices available by the glass. A competitively priced Santa Alicia cabernet sauvignon from Chile – full bodied with supple tannins – provides a perfect complement to our meal. Seeking something distinctive for the main course, my friend orders a firm-fleshed and succulent Mahi-mahi (dorado). Served with a creamy white sauce laced with Thai herbs and mashed potato, it is pronounced superb. My choice is a whole, Deep-fried white snapper in fish sauce (sweet and sour sauce is also available) with a Thai inspired salad of crisp slivers of green mango and peanuts. Delectable. It is worth noting that many of the vegetables served here are sourced from Nikita’s own farm. Famous for its thin-crust pizzas – all cooked in a wood-fired oven – the choice includes classics such as Margarita with mozzarella, tomato and basil. All Nikita’s pizzas are celebrated for their lavish toppings. Then there’s English style fish and chips, coated in beer batter, a house speciality. Though Nikita’s emphasis is on seafood and international dishes, there is an impressive range of authentic Thai dishes. BOOK NOW

Marinated yellowtail scad fish on mashed potatoes and corn beer @ ETHO’S RESTAURANT AND LOUNGE Ingredients 100g yellowtail scad fillet | 100g mashed potato | 30g corn beer | 15g capers | 20g dill | 15g endives | 30g crispy seaweed | 10g lemon basil microgreen | 50g chopped onion | 20g kaffir lime leaves | 30g orange zest | 100g orange juice Corn Beer 200g sweetcorn | 1 bottle beer (marinate for 8 hours) Method Remove bones from fish fillets and put skin side down in a deep dish. Scatter with onion, lime leaves, bay leaves and orange zest. Combine orange juice and spices in a saucepan. Bring to boil, remove from heat and cool. Pour cold marinade over fillets. Refrigerate for 3 hours. Drain the fillets and place on plates with onion rings. Garnish with remaining ingredients. Serve with corn beer.

Koh Yao Yai, or ‘Big Long Island’, is nestled in the middle of stunning Phang Nga Bay. Surrounded by epic limestone crags, it epitomizes every fantasy of a tropical island paradise. Koh Yao Yai is a sleepy island rich in towering palm trees and lush vegetation. The island’s beaches are ample, covered in soft white sand, and its hidden turquoise bays often deserted. Koh Yao Yai’s coast is hugged by dense mangroves rich in regional wildlife, and sunsets viewed from the island are truly spectacular. Miraculously, Koh Yao Yai has managed to avoid becoming another overcrowded, hectic beach resort as tourism development on this 30km-long island lags behind its frenetic island neighbour to the west.
Life in Koh Yao Yai putters along at a leisurely pace and this laid-back vibe provides the perfect atmosphere for exploring all the island has to offer. The coast roads are long and winding and although not fantastically well maintained, they and the off-the-beaten-path dirt tracks, are manageable. Crossing the island by motorbike affords breathtaking sea views, the chance to wander past rice paddies and green fields and the opportunity to appreciate the authentic ‘shabby chic’ of the wooden stilt and teakwood houses as well as the intricate architectural details of the island’s various mosques. Koh Yao Yai feels and looks old in a very charming way. A day on the island genuinely feels like a throwback to a simpler time, light years away from rapid development, crowded roads and technological advances. The local inhabitants of Koh Yao Yai are proud of the island’s rustic charm, and have all of the best intentions of keeping the island’s current appeal intact. The local community is predominantly Muslim, and much of the island’s livelihood relies on the fishing industry, farming and rubber tree plantations. The local people are very open to engaging in conversation with tourists, even if their English is not fluent. There’s a smile, a nod or a wave waiting on every corner of Koh Yao Yai. Watching the locals interact with each other is like observing a big family at a long overdue reunion. Everyone knows each other, jokes are cracked, hugs are shared and there’s a distinct feeling that each community member on Koh Yao Yai looks out for the others.

Known for its rustic charm and slower pace of life, Koh Yao Yai is quite possibly the most unspoiled island in the Phuket and Krabi region.
Whilst exploring Koh Yao Yai, it’s important to respect the local inhabitants’ traditional way of life. The locals are conservative Thai Muslims. It’s not acceptable to go shirtless or wear a bikini unless you’re on the beach. There’s nothing in the way of nightlife and certainly no party scene on Koh Yao Yai. Alcohol, outside of the sparse scattering of hotels and bungalows, is not readily available as most shops and restaurants don’t sell or serve it. Dogs are not welcome, and you’ll need to leave your pork yearning behind for the duration of your stay on the island. Although there is a scattering of bungalows and homestays on the island, accommodation on Koh Yao Yai tends to be mid-range to luxury. Koh Yao Yai attracts a more mindful type of solo traveller, couples on romantic getaways, and families looking for a quiet beach holiday. It’s possible to reserve bungalows and homestays over the phone but it’s
also recommended to have a Thai friend to help in booking clarification. If arranged beforehand, local bungalow and homestay owners are happy to meet guests at the pier and provide transportation back to the selected accommodation. The beaches of Koh Yao Yai are worth dipping into. Most are covered in white sand and are often deserted. The shallow bays with turquoise waters are idyllic, as well as calm and safe for swimming. However, it’s important to pay attention to the tides as most of these narrow beaches turn to mud flats at low tide. There is one exception on Koh Yao Yai and that’s the beach known as Loh Paret on the west coast. Here, it’s possible to swim all day without the worry of watching the tides or having to get out of the water before it turns to mud flats. Loh Paret is also the best place to experience Koh Yao Yai’s spectacular sunset views.

Life on the island putters along at a slower pace; a day on Koh Yao Yai feels like stepping back in time.
Aside from exploring the island’s coastline and beaches by motorbike, there are a variety of other activities available around the island. Local tour operators are quick to offer mangrove and local karst island kayaking trips. Fishing and diving excursions are also available, and snorkelling trips are offered at nearby islands. ATV off-roading is also available on Koh Yao Yai, and for those interested in sustainability, agricultural tours are a unique way to experience the island’s rubber plantations and abundant coconut groves.
GETTING THERE Koh Yao Yai is only accessible by boat. Several ferries from Phuket, Phang Nga and Krabi run throughout the day and resorts and tour operators are able to organise speedboat and long-tail boat transfers. Car and passenger ferries leave from Chianvanich pier on the outskirts of Phuket Town to Loh Jark pier on Koh Yao Yai’s southwest coast. The ferry to Phuket’s Laem Hin departs from Koh Yao Yai’s Laem Yai pier, near Loh Paret Beach. Bang Rong Pier on Phuket’s east coast is the launching point for ferries to Klong Hia pier in the north of Koh Yao Yai.

Another interesting and recommended activity is stopping by one of the island’s local fresh markets. Here it’s possible to find delicious phad Thai wrapped in banana leaves, local Muslim curries, fresh fruit and sweet treats for a fraction of the price you will find anywhere else in Thailand. If a particular food item catches your eye, note that the local ladies and market vendors are eager to let you try before you buy. Speaking of food, the local Thai restaurants on Koh Yao Yai serve up authentic, fresh cuisine at extremely cheap prices. Seafood options, although more expensive, are still highly affordable. There are a few coffee shops around the island, as well as many street carts selling delicious fried chicken, sticky rice, juicy mangos and noodle soup. Western fare is readily available in the high-end resorts, and made to order in most bungalows and homestays if the ingredients are on hand. Known for its rustic charm and slower pace of life, Koh Yao Yai is quite possibly the most unspoiled island in the Phuket and Krabi region. Accessible only by boat, the island’s pristine appearance and traditional way of life are appealing to those looking to experience the Thailand of yesteryear.

...or dissolve it
There are people in this world who bury their heads in the sand and wish that problems would go away, while others like to identify a problem and tackle it head on. There are still others who are smart enough to know that not every problem actually needs to be solved. Recently we were contacted by a family who had planned to invest in Thailand by co-investment in a Thai company. However, their plans changed and they instead used a different structure for their investment. As happens sometimes, other matters took precedence and the family forgot to maintain the company. They neither appointed auditors and accountants, nor carried out any business activities with regards to the company. This inactivity lasted six years and eventually the family wanted to check whether or not to just ‘let the company die naturally’ i.e. just leave it as it was, or whether any action was required. Interestingly, and this is often the case, making enquiries on this matter with different government departments yielded a mix of different answers. Approaching the Department of Business Development, it became apparent that the relevant company had been denoted as ‘struck off ’. The legal effect of this denotation is that technically the company should not be able to carry out any acts due to this status; it loses its ‘legal personality’ or legal standing at this time.
However, very importantly, what might have been overlooked is that the status ‘struck off ’ does not protect the directors or management of the relevant company from liabilities relating to any aspects of the prior operation of the company, nor does it protect against any liabilities or penalties which may be imposed on the company.
The relevant issues which impact upon such a company are: (a) obligations and liabilities relating to the Act Prescribing Offences Related To Registered Partnerships, Limited Partnership, Limited Company, Association and Foundation, B.E. 2499: Under section 18, if a limited company fails to make a balance sheet, then the company shall be liable to a fine not more than 20,000 THB. (b) obligations and liabilities relating to the Revenue Code: Under section 26, a person who is liable to tax shall be liable to a fine double the amount of tax payable; in addition, under section 27, in the event that person fails to pay or remit within the time prescribed under this Code, he or she shall pay a surcharge of 1.5 percent per month of the amount of tax payable or remittable, excluding additional fine. Under section 37, the penalties for the attempts to evade or avoid tax, shall be imprisonment from 3 months to 7 years and a fine from 2,000 THB to 200,000 THB. Under section 37 Bis, a person who intentionally fails to file tax returns in order to evade, or in an attempt to evade, tax shall be liable for a fine of not more than 5,000 THB or imprisonment for a term not exceeding 6 months or both. (c) obligations and liabilities relating to the Accounting Act: Under section 28, if any person charged with an accounting duty fails to cause the accounts to be properly undertaken for the operation of business, such person shall be liable to a fine not exceeding 30,000 THB and an additional fine at a daily rate of 1,000 THB until due compliance with legal requirements.

The best way of managing an organised, controlled, orderly and proper winding down and cessation of a company’s activities is to organise a formal dissolution in accordance with Chapter 5 of CCC, Liquidation of Limited Company. This requires a meeting of the Board of Directors and two separate General Meetings of the Shareholders to consider the issue of company dissolution, unless required otherwise by the Articles of Association of the company. In addition, assets and liabilities must be dealt with so that there are no longer any outstanding debts; bank accounts must be deactivated, all employees paid, and any remaining capital of the company divided per shareholdings and paid back to the shareholders – or if no such funds are available, such is recorded. Notwithstanding the agonizing procedures of having to deal with the accounts, or lack thereof, in the event of the death of a company if you ensure that the company is debt-free it can eventually rest in peace. If you do have your name associated with a Thai company and you have just ‘let if go’, you are advised to consider the above and decide whether you need to take any action.

n some western countries, during the process to transfer ownership of real estate, the law obliges the interested parties to use the services of a public body or representative to protect the buyer by making ‘due diligence’ compulsory.

In Thailand however, parties can directly go to the relevant administration to register the ownership or rights in immovable property transfer. But some choose not to. Consequently, some buyers take the risk to be engage (in a purchase) without performing a competent and comprehensive due diligence process and unfortunately stand to lose a lot of money if they don’t comply.
In Phuket, land use restrictions are encompassed under three laws with the relative ministerial regulations. • The Building Control Act • The City Planning Act • The National Environmental Control and Maintenance Act All of these have been enacted within the last 40 years. Due diligence is implemented basically on the title deed, the building, the owner or holder of the immovable rights and legal relations between them and third parties. The title allows certain private use and grants rights to use, possess, own, or to transfer rights by freehold and leasehold. There are three titles to be considered: the Nor Sor Sii Djor (chanote), the Nor Sor Sam Gor and the Nor Nor Sam. The due diligence report regarding the title deed will show all historical transactions and any encumbrances as servitude or mortgage.

The said building has also to be free of any debt, charge or other restriction of private or public laws other than the usual easements. To avoid future legal litigation, the construction must correspond to the correct permit issued. In condominium projects, rules and regulations are even stronger, and some developers use the word ‘condominium’ only for marketing purposes with the result that at the end of negociations the condominium license won’t be issued and the unit will not be registered under your name. In the case of land and building, the owner of both can differ, in this case, one of the assets can be subject to checks made for each particular owner as to his/her criminal and civil background which could impact on the legal process of acquisition. A Thai company can also be the owner of the whole asset. In this case, the buyer can purchase shares and become director of the company. The due diligence procedure will request specific verification in accounting and tax domains. For the above reasons, the first step of your real estate investment should be followed through with due diligence. It makes perfect sense.

Accorhotels Southern Thailand once again organized the exciting and challenging event, the 3rd “Heartbreak” Hill MiniMarathon 2017 at Khao Khad, Cape Panwa. Mr. James Murphy, Area General Manager for Accor luxury hotel brands in Southern Thailand welcomed the guests of honor and runners in the early morning of September 17 after a warm up exercise. It was our honor to welcome Mr. Noraphat Plodthong, Phuket Governor alongside with Phuket Vice Governor, Mr. Snith Sriwihok; the Deputy Commander, Third Naval Area Command; Phuket Public Relations Director of NBT Phuket; Director of Tourism and Sports, Phuket; Director of Sports Authority of Thailand Phuket Offi ce and followers and also general managers from AccorHotels Southern along with Talents and Culture AccorHotels Southern. The Phuket Governor conducted the opening ceremony, then the 3,500 participants were ready to tackle either the 6km Fun run or the mini marathon 13km. As the excitement built runners started the course, a new location for the annual Heartbreak Hill event. The run led them through Khao Khad View Point up to the hills and along the beach and past the rubber trees around Cape Panwa area. It was the first year the route was held In this scenic location having changed from the Naithon area to this new course. The challenge was running up and down hills alongside entertaining groups from cheerleader groups and music along the way. The annual AccorHotels Heatbreak Hill Mini Marathon’s major purpose is to raise funds for local schools in Phuket and nearby provinces and support their Projects AccorHotels Yim
Kids and Planet 21, which are part of Accor Hotels Corporate Social Responsibility. This charity fundraising is a good cause with 3,500 running tickets sold and over 2,500 runners joining the event. Encouraging the runners on the hills were cheerleader groups, DJs and other forms of entertainment. Additionally the event served to encourage everyone to strengthen their bodies with exercise and maintain a healthy lifestyle that provides a social connection between runners, hotel guests, associates, school children, university students, government officers and the local communities of Phuket and nearby provinces. There is no other mini marathon on the island that has this type of challenge and excitement. All of this takes place in the natural scenery around Cape Panwa, Khao Kad View Point, Ao Yon and the area. It is hoped the hill will be renamed “Heartbreak Hill” in honor of the event as a reminder to those people training in the future for the mini marathon. The race started at Ban Ao Nam Bo School on Sunday, September 17 at 6am with an award presentation, vouchers presentation and activities. The event was successfully organized by many sponsors and valuable support from government offices, administrative offices, organizations, participants and the Accor Hotels team. We are looking forward to collaborating with everyone again at the next annual event.
