Reynolds-Lorillard Merger 012
Industry Leaders Magazine AUGUST 2014
Reynolds American Inc. the second-largest Tobacco maker in the U.S., announced on July 15th 2014 that it is planning to buy rival Lorillard Tobacco Company for $27.4 billion - including debt. Trivia: the bid is the largest deal by a woman CEO. Led by Susan Cameron the merger is seen as a way resist market domination of its much bigger rival, the Altria Group, and to combat the steady decline of smokers that has triggered a prophetic warning in tobacco industry. Combining the two companies, Reynolds, maker of Camel and Pall Mall, will now make a sinister rival to Altria Group Inc., owner of Philips Morris USA. Thus, the companies affirmed that they will sell Kool, Salem, Winston, Maverick and Blu e-Cig brands to Imperial Tobacco Group for $7.1 bn to ease regulatory apprehension over fierce rivalry. Imperial will additionally buy Lorillard’s manufacturing and R&D facilities in Greensboro, North Carolina. The merger comes as public interest in traditional cigarettes has witnessed declines over increasing taxes, smoking bans, and social stigma and health concerns. According to market research firm Euromonitor International, U.S. cigarette sales in the U.S. last year, fell about 2.6 percent to 285 billion cigarettes. As per the terms of the deal, Reynolds will pay $68.88 in cash and stock for every Lorillard share, including debt, making the total transaction valued at $27.4 billion. British American Tobacco firm, which already owns 42 percent of Reynolds, will now spend $4.7 billion additional shares to uphold their stake in the combined company and help finance the deal. The worldwide market for Internet of things will develop more than triple from US$1.9 trillion in 2013 to US$7.1 trillion in 2020, as per figures from global market research firm IDC. Over the next few years, IDC expects product offerings will be differentiated, while competition for the most part will heap on, especially around comprehensive solution offerings that infuse smart analytics and applications IDC characterizes the internet of things as a network of networks of uniquely identifiable endpoints (or ‘things’) that convey without human interaction utilizing IP integration — whether locally or universally. In layman’s term Internet of Things is all about ‘us’ and ‘data’. The ultimate pitch of Internet of Things is to take the world to elevated evolutionary standards – in terms of technology matters. In the last few years, we’ve seen it all – smart homes, smart cars, smart watches, smart camera, a smart garden. A smart beginning to the ‘Internet of Things’! The research company predicts that the introduction base of internet of things unit will develop at 17.5 percent CAGR over the forecast period to 28.1 billion in 2020. It evaluates that, as of the end of 2013, there were 9.1 billion units introduced. The research company also recognized the challenges faced as competition priorities in developing regions, global versatility, protection and lack of standards as well as an ecosystem for developments. “The worldwide IoT market is exploding, and IDC’s research examines the full breadth of its ecosystem, including intelligent and embedded systems shipments, connectivity services, infrastructure, purpose-built IoT platforms, applications, security, analytics, and professional services,” added Carrie MacGillivray, Program Vice President, Mobile Services, IoT, and Network Infrastructure at IDC. The recent wave of adapting Robots, outbidding humans and replacing them in factories and industries around the world is taking place. Human fascination with Robots has resulted into robots in many shapes and sizes, sometimes, even social humanoids. A growing group of Japanese scientists are trying to create ultra-humanoids robots – breathing and all, motivated by their philosophical pursuit, to comprehend what it ‘means’ to be human. Lead by Hiroshi Ishiguro, the Director of the Intelligent Robotics Laboratory at Osaka University, the scientists in his research team are keen to erase the line between technology, philosophy, psychology and art, taking inspiration from real-world studies in order to examine existential issues that were once aloof for speculation by famous personalities like Philip K. Dick or Sigmund Freud. Ishiguro has even created a humanoid modeled after himself. To build his doppelganger, Ishiguro used “silicone rubber, pneumatic actuators, powerful electronics, and hair from his own scalp”. British photographer, Luisa Whitton spent several months in Japan, working with a scientist Hiroshi Ishiguro, and created a digital diary of the whole ‘sonzai-kan’ experience in her work ‘What About the Heart?’ Whitton prefers to call it an eastern perspective “In Japan, robotics is seen as an opportunity to create companions, not to develop warfare or weapons. The pursuit for these answers is motivated by gaining knowledge about life, and death. If robotics continues in this eastern approach, human life will benefit from these conversations.” May we just say, Siri and Asimo will soon have friends here from the Far East! “For many smallholder coffee farmers, climate change impacts are already outpacing their ability to cope, the biannual report said. 022
Industry Leaders Magazine AUGUST 2014
The Coffee Barometer 2014, delivered by a group of environment and development associations including Oxfam-Novib, Hivos and WWF warns that regions suitable for coffee cultivation will decrease considerably by 2020. “The situation is alarming” it says. According to the report, coffee harvest seasons have turned increasing unpredictable due to severe droughts, like that in Brazil this year, warmer temperatures or heavy rains. Unpredictable temperatures and rainfall can influence coffee plantations directly, making it harder for them to grow. Such conditions also prove to be favorable for pests and diseases such as the berry borer (small beetle like pest) and coffee rust (coffee disease caused by a harmful fungus ‘Hemileia Vastatrix’) to breed, which has hit Central America and Colombia in the past three years. World’s coffee consumption is growing steadily at around 2.5 percent for every year, with the fastest pace in emerging markets in Eastern Europe and Asia and coffee-producing countries themselves. According to the Coffee Barometer report, demand for coffee is expected to reach 165 million bags in 2020, which would entail an increase of around 15 per cent in green bean production over the next five years. Sadly, the effects of environmental change are most likely to make meeting those demands difficult. Brazil, Guatemala, Tanzania and Vietnam are already experiencing environmental change impacts, and are expected to encounter changes in the sustainability of their coffee cultivation areas. Sjoerd Panhuysen, lead author of the Barometer, calls for world’s top coffee manufacturers “to take more responsibility to invest collectively in the climate adaptation process, and ensure effective and long-term support for coffee farmers in all producing countries” Industry Leaders Magazine AUGUST 2014

As a part of an initiative to revive parts of the coast hit by Hurricane Sandy in 2012, BIG and Dutch firm ‘One Architecture’ co-developed the Big U Scheme, a socially sustainable flood defense system. 026
Industry Leaders Magazine AUGUST 2014
Internationally acclaimed Danish studio Bjarke Ingels Group (BIG) was built on one powerful notion: to be the key driver in the evolutionary process of the society. BIG’s architecture is infused with radical concepts such as hedonistic sustainability, vertical suburbia and utopian pragmatism. A realistic utopian architecture that places creating socially, economically and environmentally ideal structure as a practical objective and this philosophy has sent BIG sky-high in the world of architecture. From a power-station with a ski slope, to a lush wind-powered resort community, and now a flood barrier disguised as a park, there is nothing Bjarke Ingels Group cannot do. BIG and Dutch Firm One Architecture has been granted $335 million from federal funds as a part of the project to upgrade Lower Manhattan’s storm defenses. Dubbed as the Big U project, is one of the six winners in the Rebuild by Design initiative to restore parts of the U.S. that were hit by Hurricane Sandy. The Big U will establish the waterfront in the Big Apple as a valuable and appealing public zone, with plenty of social, environmental and economic advantages, apart from protecting the heart of the city and its subways.
Big U
A much more extensive part of the project designed by combined efforts by both the firms, the ‘Big U’, is the ultimate shape, the barrier would assume. The Big U scheme is a protective ribbon that will be wrapping a ceaseless 10-mile from 57th Street on the West Side to all the way down south around the battery to 42nd Street on the Lower East Side protecting buildings from torrential floods and storm surges. The first phase of the Big U project i.e. The Bridging Berm was chosen to safeguard the Lower East Side and the East Village since those were the regions first hit during the Superstorm Sandy and are considered highly vulnerable to storm surges. Both the regions witnessed a major Con Edison substation fire, which led to a dayslong power outage, and floodwaters so high that they streamed from the East River all way down to First Avenue. Industry Leaders Magazine AUGUST 2014
029
The Bridging Berm will be planted with a collection of salt-tolerant flora – resilient trees, shrubs and perennials, and will be endowed with public spaces and viewpoints where people can farm, sunbathe, eat and engage with world class gardens. The massive battery berm will also serve as a route into the East River Park. A Maritime museum will be constructed where the coast guard building stands today. The museum will be more of an environmental education facility that will feature a “reverse aquarium”, which will enable visitors to observe tidal variations and rises in the sea level.
Bjarke Ingels, ‘starchitect’ and face of the architectural firm BIG Big U project will ultimately incorporate three ‘autonomous-flood protection’ zones which are connected sections running from West 57th Street, down to The Battery Park and up to East 42nd Street. The stretch will have deployable walls attached to the underside of the FDR Drive and ready to come down in events of heavy floods. All of the three sections will create plenty of new public spaces and each will encompass of a physically discreet floodprotection zone, which can be secluded from the others in case of emergency. So when you visit these zones, all you’ll see is pavilions and plenty of landscape, but all of this will be discreetly pose as the infrastructure that will protect the Big Apple from flooding.
The Big U is an example of what we call social infrastructure. The High Line shows how a decommissioned piece of infrastructure – the abandoned elevated railway – can be transformed into a public space and g reen landscape.

It was then that the Housing and Urban Development cabinet awarded them with $335 million federal funds for the public infrastructure project that emanates social and environmental amenity. The project is an incredible collaboration of communities and talent: ‘ten world-class, interdisciplinary teams of scientists, engineers, designers, and architects spent nine months understanding the issues and designing solutions’. The extensive part of the project was chosen for first phase keeping in mind the high population density, including numerous lower-income residents in public housing, and the presence of essential electrical infrastructure. Another crucial basis on which it was selected was the accessibility of government Sandy-related funds for that would not open a window for additional private capital, as stated by Henk Ovink, a special adviser to U.S. Housing and Urban Development Secretary Shaun Donovan.
When Superstorm Sandy left Manhattan with disastrous impacts, organizers planned a “Rebuild by Design” initiative to stop a reprise of the catastrophic event which is headed by Henk Ovink.

As a part of former Mayor Michael Bloomberg’s ambitious versatility plans, the berm and the $335 million it pulled are additionally an initial installment on Democratic Mayor Bill de Blasio’s $3.7 billion comprehensive plan for shoring up the city and enhancing its defenses. The $335 million will finance a 10-to-20 foot tall berm and bridges over the Franklin D. Roosevelt East River Drive, which will let New Yorkers get to the East River waterfront along a stretch that was a key channel throughout the Sandy storm surge. The project was brought forth as an approach to integrate climate adaption with enhancing recreational opportunities for the dwellers of the city by merging hard and soft infrastructure that has been fine-tuned in countries such as Denmark and Netherlands for decades.

The Big U project was chosen out of 148 design plans. All of these 148 ideas revolved around bringing community-driven solutions through the amalgamation of engineering and designs that would work best to protect the Big Apple. Inspiration for such ideas came from around the world, for example, Rotterdam in Netherlands which viewed water crisis as an opportunity when finding a solution.
Bjarke Ingels Group Henk Ovink was the director of the Office of Spatial Planning and Water Management; it implied the responsibility to keep cities like Amsterdam dry which was prominently below the sea-level. Ovink wanted to bring fresh pliability filled approach in the coastal U.S. cities rather than the negligent and inconsiderate approach to water management n San Francisco.

Henk Ovink With the Big U scheme, New York City has finally received the tag of being a ‘costal region’ and started incorporating sustainable solutions to the many problems it faces. This however, did not happen until Bloomberg came along and began bedecking the city with new waterside parks and green space along a waterfront that was once taken for granted as an industrial belt. Before the Big U project, water was never seen as an asset. Utilizing water as an asset and presenting eco-sustainable solution will take more time since this is a region where no one truly thinks about water. It’s a social movement and would require some serious energy for the culture shift to take place. Astonishingly, official from cities like New York and New Jersey are now open to eco-solutions in the result of Sandy and its distressing economic impact. So the day is not far when the Big U approach for protecting from storm surges may be utilized for other coastal cities in the near future. The East Side Wall from the Big U project will be one of the six projects that will receive funding from the $920 million honored by HUD to Rebuild by Design.

It is said to counterbalance USA’s trade deficit through the reshoring marvel that is continuously gaining momentum by providing skilled manufacturing, high-paying jobs. Fewer than 100 companies have settled on “reshoring” in the USA, by bringing some of their production jobs from places like China and Mexico. Some of which are Caterpillar, GE, Ford, and Whirlpool that have reshored a few of their overseas operations, to name a few. General Electric, a year ago happened to move its assembling unit of washing machines, fridges and heathers back from the dragon’s country to an industrial factory in Kentucky. In the same way search giant Google, has decided to make it Nexus Q, a new media streamer in San Jose, the capital of Silicon Valley. According to the numbers provided by Reshoring Initiative, a non-profit group based in Chicago, close to 500,000 manufacturing jobs has come back to homeland in recent years, out of which around 50,000 attribute to reshoring efforts. The reshoring phenomenon seems to have stemmed from a multiplicity of factors, right from soaring labor costs in China and other places to upgradation of hightech manufacturing base. It also includes reattaining competitive over countries such as Japan and India to boost innovation. What is far more optimistic to learn is that it’s not just lowskill; assembly line jobs that are coming back, but also advanced manufacturing industries where far more technical skills are required. It includes aerospace, automobiles and medical devices and industrial and energy equipments industries. Industry Leaders Magazine AUGUST 2014

Harry Moser, founder of Reshoring Initiative explains: “Chinese wages have been rising, expressed in U.S. dollars, at 15 to 18 percent per year, for the last 18 years, whereas in the U.S., it’s stayed stationary.” Among other factors includes delivery time and quality of good produced. “Turns out you can’t innovate the product very well if you don’t manufacture the product,” Moser said. “So when you can bring together the engineering manager, the engineer and the factory worker, get them together as a team, improve the product, improve the process by which the product is made, it works a lot better.” Simultaneously, there has been a rise in other costs, shipping for example, has increased to such an extent, that it is safe to say that manufacturing locally would be much cheaper.

Moser was recently invited to participate in Obama’s insourcing initiative, where he explained: the expense of taking manufacturing abroad has been uncontrollably disparaged, and more and more American firms are now starting to understand that the aggregate cost of taking manufacturing overseas doesn’t justify offshoring in any case. Although offshoring is still growing, it’s started to grow at a much slower rate. In the meantime, the rate of reshoring is grabbing pace. Industry Leaders Magazine AUGUST 2014

In an Accenture study of 287 manufacturing executives from various industries, - researchers distinguished that there has been a critical underestimation of overseas manufacturing costs. The real problem goes like this: many times supply chain executives, who are incentivized to uncover least expensive approach to production, utilize a method called price variance, which is a standard bookkeeping metric that bares the cost-effectiveness of production. A major setback at using price variance is that a lot of considerable auxiliary expenses and variables such as overhead and corporate strategy development are often missed due to impetus inclinations to exploit price variance mechanism. Another reason to trigger reshoring, according to Bill Waddell, a manufacturing expert, is the existence of currency manipulation in China. Chinese banks falsely reduce conversion rates from Yuan to American dollars, to make it seem less expensive for American firms to produce abroad, giving Chinese manufacturers a wider window at competing. The issue affects US companies quite differently. The pressure on local manufacturers increases, while large publicly traded companies are at an advantage from the falsely lowered Yuan, for having invested profoundly in Chinese manufacturing units. The currency manipulation has led to complicated battles, which have been to a great extent stalled in Congress. Industry Leaders Magazine AUGUST 2014

United States witnessed a 35% ghastly decline in the number of manufacturing jobs between 1998 and 2010. Most of it attributes to economic recovery being given a priority rather than reshoring efforts. However, HIS Global Insight, an economic research firm, predicts that the number of manufacturing jobs will rise by 3.2% in 2014 and by 1.6% increase in all jobs. Moser estimates a far greater number of companies will be willing to reshore some of their manufacturing jobs, thanks to the rise in recalculation of costs of producing overseas. To have a deeper understanding of the total cost of manufacturing overseas, Moser and his team decided to design Total Cost of Ownership software, which is basically, a matrix of 36 diverse expense components. Organizations input various factors and the matrix provides data on where it would be less expensive, manufacturing domestically or overseas.

From Moser’s data gathers from 10 recent examples of firms having taken used the tool to calculate the total costs, it came out that in 60 percent of cases, the total costs of ownership is in fact quite lower, averaging at 22 percent less compared to overseas such as China and Mexico. Another reason is the growing sense amongst consumers for making a difference, for supporting their communities. Recently, Wal-Mart held a ‘Made in USA’ event for suppliers, which was attended by 500 manufacturers. “With changes in energy and automation processes overseas, it is increasingly cost-effective and efficient to manufacture closest to the point of consumption. We can better respond to trends and consumer demands while providing great products at affordable prices” says Michelle Gleoeckler, Wal-Mart’s executive vice president of consumables and US manufacturing. Wal-Mart will be spending 250 billion US dollars on products to support domestic manufacturing and creating American jobs. A survey of 105 companies conducted in January and February 2014 by David SimchiLevi, an engineering professor and supply-chain expert at MIT, revealed that 39% of companies were considering moving some of their manufacturing back home. The numbers are only likely to increase if the coming generation of entrepreneurs and supply chain executives are not as much inclined towards offshore. Industry Leaders Magazine AUGUST 2014

Originally from Wilmette, Illinois, a suburb of Chicago, Rose comes from a very modest background. Rose then, moved to France over a decade ago, to study at the American University of Paris. After spending a year at the Institut Pail Bocuse in Lyon, the young man served as an apprentice at Bruneau Restaurant in Brussels. In 2003 Rose landed his first gig as a head chef, running a kitchen and managing a team. A year later, he moved back to Paris, where he joined the hotel Le Meurice, working under three-star chef Yannick Alléno. Rose then has a few brief stints at Auberge des Abers in Brittany and Le Pré du Moulin in Sérignan du Comtat, near Avignon, all combined into an enriching experience that would define his life for years to come. He’s often cited calling Jean-Luc L’Hourre his mentor. During this time, he discovered that it’s quite a difficult job to be a chef, and requires a lot of work, a lot more training and it would be an even longer journey, and regardless you must always enjoy the process of learning even if it is never-ending.

There were a few other Michelin influential top chefs including Bocuse, Jean-Pierre Bruneau, and Yannick Alleno who helped him learn the basics in the world of soulful and joyous cooking. Rose discovered that kindheartedness is a key ingredient to success. It can be measured from the way you run your kitchen to the way you treat your associates. Alleno helped him realize that it’s all about cheerful cooking, while the rest is all style. Bruneau, on the other hand helped Rose discover that sometimes it’s better to have exceptional skill and good products than to be a creative genius. In early 2006, Rose made the decision of honoring the city of lights with French cuisine. He opened the first Spring Restaurant, with a modest 16 seats in the 9th Arrondissement, a 17th century building. He quicly won over critics and became a darling chef amongst reviewers such as Michelin Guide, Le Figaro, and many food enthusiasts. A time came, when wait for dinner tables reached five months! This is when Rose knew he needed a much bigger place to serve, and hence in the summer of 2010, he moved near the Louvre in the Les Halles neighborhood. The current Spring restaurant is almost ten times as large as the original one with 2,100 square feet and a huge open kitchen.

“I like to think of Spring as celebration of the French tradition,” says Rose. “It’s all about abundance, generosity, quality and simple tastes.” People often ask him, if he’s keen on opening a second restaurant. It then you get a glimpse of his entrepreneurial skills, Daniel Rose says, “I’m very much in the phase where I’m learning how to run a restaurant, be the chef, manage the team, keep my eye on the books. In order to run a successful restaurant, you have to be good at all of them. You have to be at least good or know whom to give the tasks to.” “In Paris it’s not business. There are people that are interested, but it’s not about business. It’s about gourmandise. It’s about eating,” he added. We guess we already know. Industry Leaders Magazine AUGUST 2014

With only paid sponsors authorized to mention FIFA or the World Cup in marketing their products, a large number of SMEs were at the risk of ending up in court. However, by putting innovation and creativity, nothing could stop them from achieving record sales during the biggest game of the year. For example, most souvenir shops at airports and major tourist spots capitalized on the golden opportunity, making record sales from three million crazy football fanatics who would stop there before heading to the stadiums. Most of the business spent months and months planning their inventory to make sure there is no room for error. Their efforts were mainly concentrated to make the most of sales opportunities through effective management of product life cycle. Fan behavior and real-time consumption statistics were also taken in consideration, as well as how they’d react as the games unwind. Online home-sharing service Airbnb Inc. saw a huge boom in its renting services due to limited availability of good hotels in Brazil in some areas as well as its wide acceptance from the government just before the games started. In the month long FIFA World Cup, Airbnb saw a rise of more than 50,000 individuals paying to stay in Airbnb accommodations. Brazil’s renowned soccer player, Ronaldinho, offered his house for renting to Airbnb for a whopping $15,000 a day during the FIFA World Cup. On the other hand, Airbnb made huge profits from clever Brazilian Airbnb hosts who would let their accommodations at much cheaper costs with better amenities in order to cash against nearby high-priced hotels.
