COMPANY PROFILE Candle company Parcan has always been a family company, founded in 1975 in Heiloo. At that time the factory had six employees and one production line. Since 1977 we are located in Heerhugowaard (located in North Holland, just above Alkmaar). In 2012 IBS Capital Management took over the companyâ&#x20AC;&#x2122;s from its founder and has been held under the leadership of Managing Director CornĂŠ Berkhof. Nowadays, we have modern equipement with various production lines, our staff consists of over 140 employees and our candles are sold in more than 15 countries. PRIVATE LABEL Our core business is producing under private label for e.g. supermarkets, department stores, house hold stores, drug stores, garden centers, catering wholesalers and discount formulas both national and abroad. Through our modern machinery we can achieve a large production capacity with consistent quality at competitive prices. This we perform all within a short period of time. In addition, we are very flexible in our processes, so we can quickly respond to your question. We manufacture quality candles in the desired sizes, colors and fragrances and we take care that the label and packaging meet your corporate identity perfectly. Our large storage capacity ensures fast delivery times because the goods can be available upon request. Flexibility, customization and creativity makes us the perfect partner for your private label candles.

COLOR PERCEPTION

Our candles are standard available in more than 75 colors, but in sufficient quantities any new color is possible.

FRAGRANCE PERCEPTION

A fragrance can also be added to our pillar candles, tea lights and candles in glass. Currently there are over 30 scents available, but in sufficient quantities any new fragrance is possible.

OUR OWN BRANDS Besides your private label, we offer our products under our own brands La Lune, Starcandle and Diamond. We manufacture our candles of pure raw materials which meet the European quality standards. The candles have optimum burning properties.

PRODUCTION For our production we use technologically, high-quality machines of German origin. Each production line is provided with a packaging machine. We produce 24 hours a day, 7 days a week and thereby use three production methods. Depending on the type of candle, we extrude, press or pour the candles. Besides the standard packaging, we can also offer customized packaging. Since we can also pack the candles in shelf or pallet displays, you can put our products directly on the shelves or in the shop on delivery.

Pillar candles For years, pillar candles have been a popular product within our range. They are therefore available in many sizes. In addition to a variety of colors, we also produce pillar candles with scents. You can choose either a flat head or a clock head.

We produce tea lights with a burning time of 4, 6 or 8 hours and maxi tea lights with a burning time of 9 hours for the poured version and 10 hours for the pressed version. The special feature of tea lights in a clear plastic cup is the distribution of the color through the sides. We manufacture these tea lights with a burning time of 4.5 hours in a standard diameter of 38 mm and a height of 17 mm. We also deliver maxi tea lights with a burning time of approximately 7 hours in a diameter of 56 mm and a height of 21 mm. SAFETY The safety of people is central in everything we do. Safety for our employees during the production and consumer safety when using our candles.

Safety/User instructions DO Always put your candles straight up It is essential that the candles are placed straight up and stable. This is not only more safe - unstable candles fall faster - but also better for the flame: candles burn optimal only if the fuse is completely straight. Always choose a heat-resistant, non-combustible surface Other objects may catch fire or get damaged by the burning fuse or hot wax. Therefore be careful when you light up a candle. Always extinguish all candles when you leave the room A burning candle may never be left unattended. Candles burn with an open flame and therefore there should always be someone nearby. Cut the fuse regularly If a fuse is longer than the recommended length of approximately 1 cm, the candle start smoking faster. Through shortening the fuse with scissors, there is less chance that the candle start smoking. Extinguish the candle and shorten the fuse until about 1 cm. Cut off the edge if necessary You can cut off the edge if it gets too high. Extinguish the candle and wait until the wax has cooled somewhat, but is still warm. Use a sharp knife to cut away the excess wax. DO NOT Never put candles in a draught The draught of an open window or door can disturb the burning process, making the candle dripple or smoke or cause the candle to burn on one side only. Never put candles too close together A burning candle generates heat. If candles are placed too close to each other, there can be a lot of heat, creating the candles to melt or warp. We recommend that you place the candles at a sufficient distance from each other: a distance of about 10 cm is the minimum recommended distance. Never light up candles close to flammable objects Burning candles have an open flame. Candles can accidentally fall or be knocked over and thereby set fire to other objects. We strongly advise not to place candles near flammable objects. Never extinguish candles with water Water can cause the hot wax to splash. Always use a candle snuffer or blow out the candles carefully without letting to splash the hot wax. Never put matches or pieces in the melted wax The melted wax should always be kept clean. Remains of matches, fuses and other contaminants can disturb the burning process and ensure that the candles burn less clean.

SAFETY SYMBOLS Our products meet the European standards for safety. On the packaging of our candles we mention safety symbols, also called safety pictograms. These safety pictograms symbolize the safety measures to be taken into account when using candles. Each type of candle has its own regulations, but the most important advice that we give you: Never leave burning candles unattended.

Do not place a burnt match or other materials in the candle-grease. It may case a second flame which results in the candle burining not the correct way.

Warning

The wick should not be longer than 1 cm. If the wick is longer it may smoke and flicker. If necessary, cut the wick before lighting the candle.

Burn candles out of the reach of children and pets.

Do not place a burning candle close to a heat source such as sunlight, a heater or a fireplace. Candles which are placed close a to heat may drip.

Do not place candles in a draft. A candle placed in a draft wil always smoke and drip.

Extinguish a candle 1 cm from the bottom. The heat may cause the holder or coaster to burst.

Make sure that the side of a pillar candle does not get too high. Cut it down, if it gets higher than 1 cm.

Place a candle on a non flammable coaster or in a non flammable holder. Of course, make sure the candle is placed in an adequateway and can not fall over.

Do not move a burning candle.

Never place a burning candle near curtains or other flammable objects. It is open fire, therefore caution is always necessary.

Do not extinguish a candle with water.

This is the expected burning time. The exact burning time can never be determined because this is also affected by the surrounding temperature, drafts and the wick used.

Use, preferably, a suffer. This prevents drops of wax on table cloths, clothing etc. If you do not have a suffer, blow carefully and hold your hand behing the candle.

Place a tea light in a hot plate with holes for ventilation. A candle needs oxygen to burn. Without it the candle will go out. Moreover, without ventilation, the heat in the hot plate may increase.

CONDENSED GENERAL SALE TERMS AND CONDITIONS 1. Definitions and general 1.1 The general terms and conditions, hereinafter called ‘Conditions’ apply to any proposal, offer and agreement between the counter party and Kaarsenfabriek Parcan BV with its statutory seat in Heerhugowaard, hereinafter called ‘Parcan’. 1.2 The condensed general terms and conditions are an extraction of the general terms and conditions, which are set by Parcan at the Chamber of Commerce in Alkmaar under number D1325. Where these condensed Conditions do not provide the general conditions apply. 1.3 Any deviations from the Conditions are only valid if expressly agreed in writing. 1.4 If any provision of Conditions is by any court of competent jurisdiction declared void or voidable or to be wholly or partly illegal, invalid, unenforceable or unreasonable it shall to the extent of such illegality, invalidity, unenforceability or unreasonableness be deemed severable and the remaining provisions of these Conditions and the remainder of such specific provision shall continue in full force and effect. 1.5 All agreements between Parcan and the Counter party to which these Conditions apply shall be governed by Dutch law. 2. Applicability 2.1 The Conditions apply to all proposals, prices, quotations, samples, agreements, deliveries and the execution of activities by Parcan B.V. to the Counter party, unless expressly stipulated by Parties and agreed in writing. 2.2 The applicability of any general purchase terms and conditions or other terms and conditions used or referred to by Counter party is herewith expressly rejected. 3. Quotations and Acceptance of Orders 3.1 All proposals and quotations made by Parcan are without obligation, unless a term of acceptance is given. Orders shall be deemed to be an offer by the Counter party, and are only binding on Parcan on the earlier of (i) Parcan sending the Counter party an acknowledgement of order in writing, or (ii) Parcan commencing the manufacture of goods in order to fulfill the order. 3.2 A quotation or offer expires if the product for which the quotation or offer is made is no longer available. Quotations and/or offers are not automatically applicable to future orders. 3.3 No quotation or offer is binding for Parcan if the Counter party reasonably understands that a quotation or offer, or part thereof, contains an apparent mistake or type error. 3.4 If the acceptance deviates, in whole or in part, from the offer contained in the quotation or offer, such offer shall not be binding for Parcan. In such event, the Agreement shall not be entered into in accordance with such deviating acceptance, unless otherwise agreed by Parcan. 4. Quality 4.1 Parcan warrants that at the time the goods leave Parcan’s factory they will comply with the specification agreed by the parties. Parcan shall not be liable for breach of this warranty unless Parcan receives from the Counter party written notice of the breach within eight days after delivery of the goods, and Parcan is given a reasonable opportunity thereafter to examine the goods and in occurring situations, repair and/or alter the goods. 5. Prices and Payment Guarantee 5.1 Prices mentioned in quotations or offers are exclusive of any VAT or any equivalent local tax, which will be payable to Parcan by the Counter party in accordance with the law applicable from time to time against receipt of an appropriate invoice. Prior to delivery Parcan can demand advance payment or a payment guarantee in a form required by Parcan. 6. Delivery 6.1 Parcan will arrange delivery of the goods to, and the Counter party will accept delivery of the goods at, the agreed place of delivery and according to the terms of delivery set out in the Agreement. If the Parties have agreed on the applicability of the Incoterms, such Incoterms prevail in the event of conflicting terms.

7. Ownership and Risk 7.1 The goods are solely for the risk of the Counter party as of the moment of delivery, meaning the moment that the goods are made available to, or in, or deemed to be in possession of the Counter party, including the risk of whole or partial loss, decrease of quality or damage of the goods. 7.2 All goods supplied and delivered by Parcan shall remain in the legal and beneficial ownership of Parcan and are held by the Counter party only as bailee for the benefit of Parcan until the Counter party has paid the price in full to Parcan (and any VAT or equivalent sales tax thereon). The Counter party may resell or process the goods as part of the normal conduct of its business, unless Parcan has asked the Counter party to return the goods. 8. Intellectual Property All intellectual property rights in and relating to the goods, their manufacture, development or creation (including improvements thereto) shall be or remain vested in Parcan. 9. Payment 9.1 Payment shall be made in full and in cleared funds within the period stated in the invoice. 9.2 If the Counter party fails to pay an invoice in due time, the Counter party is automatically and legally in default, without any further written notice required. In such event Parcan is entitled to the legal interest on the outstanding amount. 9.3 The Counter party may not for any reason suspend payment or make any deduction by way of set-off. 9.4 In the event that payments remain outstanding and unpaid, Parcan is entitled to relinquish the claim, in which case the Counter party is also required to pay, next to the total amount owed, all legal and extrajudicial costs, including enforcement costs. 9.5 In the case of receivership, bankruptcy or liquidation of the Counter Party, all outstanding claims of Parcan are payable immediately. 9.6 Objections to the outstanding amount payable by the Counter party do not suspend the Counter party from its payment obligation. 10. Duty of care The Counter party shall at all times handle the supplied goods with reasonable care and in conformity with Parcan verbal or written instructions as to storage, use or maintenance of the goods, and shall perform no actions which might affect the quality or safety of the goods or the reputation of Parcanâ&#x20AC;&#x2122;s brands and it shall cause all measures to be taken to ensure that, in the event the goods are sold to a third party, such third party shall also comply with this Condition. 11. Liability 11.1 Any liability of Parcan is limited to reimbursement of actual direct damages and, if it is covered by its liability insurance, limited to the amount of the actual payment by the insurer in a specific case. Any liability is further limited, of which the limit is included in the full version of the Conditions. 12. Confidentiality and no analysis 12.1 The Counter party shall not disclose to any other party any confidential information belonging to Parcan or any associated company of Parcan (including, without limitation, specifications, formulae, manufacturing processes, know-how and any technical or economic information), or use such information for any purpose except as expressly authorised in writing by Parcan for a period of ten years. 13 Force Majeure 13.1 If, as a result of force majeure, Parcan is not able to comply with its obligation to deliver, then Parcan shall be entitled, without being in default, to postpone delivery of the goods until such time as the force majeure has terminated. 14. Termination 14.1 Parcan may terminate, without prejudice to accrued rights, all or part of the Agreement (i) by 30 days written notice, or (ii) by written notice with immediate effect if the Counter party is in arrears of any amount owed to Parcan, if Parcan has good reasons to believe that the Counter party shall not comply with its obligations under the Agreement or the Counter party becomes bankrupt or insolvent, or the Counter party is in breach of contract and does not remedy such breach (if remediable) within 30 days of receiving notice of the breach.
