Although some of these due diligence reports might give a good background to the industry, the key drivers and the competitive landscape, they usually offer neither strategic insights, nor a clear view of what the acquisition target needs to do to be successful over the next five-to-ten years. The report might validate key assumptions in the Information Memorandum, but does it identify opportunities and issues that management hadn’t even considered? Investors are finding that due diligence providers often fail to give them the real clarity and the
actionable insights that they need to help them decide how much to bid. Without clear findings and recommendations from due diligence providers, potential investors find themselves losing deals – or worse: overpaying for an acquisition. These outcomes lead, in turn, to escalating costs at investment firms, and acquisitions that struggle to deliver a decent return on exit. Obviously, in order to offer commercial and operational due diligence support to investors, a consulting firm has to be able to demonstrate capabilities such as in-depth experience in the sector, flexibility, a fact-based analysis approach, an ability to deliver to tight timescales, and the skills to synthesize a lot of information into a clear picture. However, these are just the minimum requirements. Sustainability Private Equity Adviser of the Year
Firm Profile Phil Case, director, PwC, examines how sustainability issues have risen up the private equity agenda and are driving opportunities of their own. Managing ESG issues to protect and create value Our 2013 Global Survey of Private Equity (PE) House views on Environmental, Social and Governance (ESG) issues (Putting a Price on Value) canvassed the views of 103 Houses in 18 countries. One of the findings was that a key driver for action on ESG issues was pressure from Limited Partners (LPs). Over the autumn and winter of 2014/15, we therefore conducted a dialogue with a variety of LPs internationally (60 LPs in 14 countries) to understand their perspectives. As with the PE Survey, almost all LP participants (97%) believed that the importance of ESG issues would continue to rise over the next 2 years. Most (83%) already have a Responsible Investment Policy, and many (71%) indicated that they would turn down an investment on ESG grounds, or impose ESG terms as a condition of investment. It’s clear from our work that many LPs see ESG issues as important to value protection and enhancement – and therefore as part of their fiduciary duty to investors. Equally, that many GPs are working to integrate consideration of ESG issues throughout the investment life cycle, from pre-acquisition, through the hold period, to preparation for exit. Challenges remain for both GPs and LPs – for example, in prioritising scarce resources on managing only material ESG issues, in setting realistic KPIs and reporting progress effectively, and in capturing the precise value of ESG initiatives. Nevertheless, the need for, and broad benefits of, a responsible investment approach are now doubted by few, and the direction of travel for this agenda seems clear.

Firm Profile Daniel J. McCarthy, Hill Farrer partner, received his undergraduate degree from Harvard University and his law degree from University of Michigan Law School. He joined Hill Farrer out of law school in 1981 and has been a partner there since 1991. By its nature, the practice of bankruptcy law is compromise-oriented, but not every dispute can be settled. When bankruptcy matters are contentious and need to be litigated, other attorneys frequently refer their clients to Mr. McCarthy. In a two month trial in late 2014, he also successfully defended a purchaser’s acquisition of an eight-unit condominium building at a foreclosure sale in an action brought to avoid the sale. In a recent written order awarding sanctions against an opposing party, one bankruptcy judge described Mr. McCarthy as follows: “the Court is aware that, although all of his written communications show extreme patience and courtesy, Mr. McCarthy is an aggressive litigator.” Mr. McCarthy has held Martindale-Hubbell’s “AV” highest possible rating for Legal Ability and Ethical Standards since 1999. In 2014 and 2015, as well as in past years, he was selected by Super Lawyers Magazine for recognition as a top attorney in the area of Business Bankruptcy in Southern California. Mr. McCarthy has published articles on bankruptcy law, and he is an editorial consultant for the two volume practice guide California Debt Collection and Enforcement of Judgments. Firm Profile Viscogliosi Bros. LLC Approaches $2 Billion in Medical Device M&A Transactions New York-based Anthony G. Viscogliosi, Principal of Viscogliosi Bros. LLC (VB) was the first merchant banker to identify and help realize the global market growth potential for innovative orthopedic device technologies. Viscogliosi’s pioneering work during a 20-year career in the field has contributed to consistent advances in sales and innovations estimated at $43 billion in 2014. Thirty percent of the market has been generated by private equity or venture capital funds founded by firms such as VB. As an analyst on Wall Street in the early 1990s, Viscogliosi first identified orthopaedic devices as a distinct segment of the medical instruments market. In 1999 his confidence in the potential of this market led him to create the boutique merchant banking firm of Viscogliosi Bros. LLC, (VB) (with brothers John and Marc). The mission was to develop and fund innovative technologies that had shown proven potential to restore the functionality of diseased or traumatized bones and joints – especially hips, knees and spin treatments. Most of the existing market was in technologies that mitigated the pain of osteoarthritis but sacrificed some of the mechanical integrity of joints. VB has completed numerous, ground-breaking transactions in orthopaedics, notably Small Bone Innovations, Inc., a start-up specializing in devices for the upper and lower limbs. This company was acquired by Stryker Corp. in June, 2014 for an announced price of $375 mm. Just prior to this the firm’s investment in Knee Creations LLC was acquired by Zimmer Holdings, while VB investors also benefitted from the sale of Ascent Healthcare Solutions, Inc., a company that VB helped to create, to Stryker for $525 million. Since its inception VB-led investments have so far yielded a total of more than $1.8 billion in proceeds from all transactions. The firm’s first major transaction came with the sale for $350 million by VB of Spine Solutions Inc. a spinal disk replacement developer to Johnson & Johnson’s orthopaedics arm.
These investments derived from VB’s success in its fundraising efforts with a range of international institutions including several sovereign wealth funds and mainstream banks and investment firms such as UK’s 3i, Goldman Sachs, Khazanah Nasional Berhad and NGN Corp. These investors were among many others who participated in a series of equity and debt rounds worth more than $620 mm. The firm’s current portfolio includes Paradigm Spine Inc., Centinel Spine and Woven Orthopedics LLC. Overall, investments in 2014 in the Life Sciences sector (Biotechnology and Medical Devices combined) rose to the highest level since 2008 with $8.6 billion invested into 789 deals, a 29 percent increase in dollars but a 3 percent drop in deals compared 2013. In Q4, the Life Sciences sector captured $2.8 billion going into 202 deals, a 62 percent increase in dollars invested while deal volume remained relatively flat compared to Q3 2014. Dollars invested into Life Sciences companies accounted for 18 percent of total venture capital investments in 2014.

Another exit in the spine business was VB’s investment in Spine Next LLC - an $80 mm transaction with Abbott Laboratories and, in 2005, the sale of VB investments in Cortek Inc. to Alphatec Spine Inc. VB’s investment in Soteira , a spinout from the firm’s portfolio, was acquired in 2012 by Globus Medical, Inc., and its investment in another spine-related company, K2M Inc., was realized in a $200 mm acquisition of K2M by Welsh, Carson in 2010.
