THE PRESIDENT

THE FOOTBALL THAT UNITES US!

The 2023-24 season crowned the new champions of Liga Portugal Betclic and Liga Portugal 2 SABSEG, Sporting CP and Santa Clara, respectively, and broke all attendance records in Professional Football, with over 4 million spectators in the two competitions.

This season began with the motto ‘Football is You!’, aiming for the strong return of Fans and Families to the stadiums. And what a return it was. The response and results were historic! They prove that when we unite around a common goal, we can achieve what might seem impossible to others.

Another demonstration of the strength we can achieve together was how, in 2023-24, our Professional Football asserted itself internationally, being called to lead the European Leagues and, consequently, being represented on the UEFA Executive Committee.

The strengthening of ties with the main stakeholders of European Football has been evident in recent months, reflecting the inclusive spirit that has also always characterized Liga Portugal's actions at the national level, concerning all agents, whether through the District and Regional Associations or through the Class Associations.

In line with this unifying approach, the Political Measures Agenda for the Restructuring of Professional Football in Portugal was developed in the Social Dialogue Commission. This document was delivered to all political parties before the elections on March 10, which marked the start of a new governmental cycle.

This unifying direction, as we have seen, bears fruit. A unifying direction identified as one of the major pillars of the 2023-27 Strategic Plan, which will guide the Action Plan outlined for this four-year period. A unifying direction from which we will not deviate one inch.

After the tremendous success of the ‘Football is You!’ campaign, the slogan of the 2023-24 season that reaffirmed our commitment to connecting with the Fans, it is time to take another step towards the Football we envision. The Football that unites us with the fans. The Football that unites us with our partners.

The Football that unites all those who are part of it. The Football that unites all those who truly love it. Therefore, there could be no better slogan for 2024-25 than "The Football That Unites Us!"

In this new season, we will celebrate the game that ignites everyone's passion. We will celebrate the Football of Unity. The Unity of all Agents. Players, Coaches, Clubs, Referees, Fans, Executives.

All those who make up this vast universe of Professional Football.

But we will also celebrate the Football that unites us with the Community. The Football of causes, which promotes positive values and healthy lifestyles. The Football that gives back all that Society provides and makes it – according to the latest edition of the Portuguese Professional Football Annual Report, prepared by EY and referring to the 2022-23 season – one of the most robust industries in the Country. Liga Portugal and the 34 Sports Societies contributed over €228 million in taxes, over 3,500 jobs, and more than €667 million to the GDP.

These numbers highlight the economic impact of this activity, but they also make clear its social and cultural influence, which we intend to enhance even more in 2024-25 by promoting principles and values that are, for us, unbreakable.

Football with Social Responsibility, clearly expressed in the work we have developed and will continue to develop through the Fundação do Futebol – Liga Portugal.

After two terms marked by the imperative to rebuild Liga Portugal financially – the first (2015-19) for recovery and the second (2019-23) for consolidation – an objective fully achieved, as evidenced by eight years of positive accounts, which not only eliminated the risk of technical insolvency but also established us as a solid, credible, and highly professional institution, it is now time for Liga Portugal to definitively establish itself as a major driver of Portuguese Football development.

In this regard, within the scope of the partnership between Liga Portugal and EY, a thorough strategic planning work has emerged for the 2023-27 cycle of Liga Portugal.

POSITIONING 2023-27

Better prepared than ever for the future, we must embrace, without fear, the challenges that lie ahead. These are numerous and crucial for the development of Professional Football as an industry.

This four-year period will be absolutely vital. Consolidating the model of centralizing media rights is a goal from which we must not deviate an inch, continuing to implement measures that allow us to elevate our product.

The internationalization of Liga Portugal as a brand, seeking new markets, is another challenge that awaits us for the economic valorization of Professional Football, essential to maintain sustainability and increase the competitiveness of our Sports Societies, as well as reducing the context costs of the activity, a goal for which we will continue to fight determinedly.

The Strategic Plan for 2023-27, developed by Liga Portugal in partnership with EY, shows us the way and outlines the axes that should guide us throughout this four-year period. It tells us that Professional Football competes in an increasingly diversified market, that of entertainment, and that the fan must be at the center of all decisions. Because fans are the soul of this industry. It shows us that Liga Portugal must continue on the path of professionalization and integrity, increasing the demands on everyone who is part of the industry. It urges us to the need to be united around a greater good, Professional Football and the defense of its interests, which has in Liga Portugal its greatest guarantor. It makes us aware of the need for Professional Football to serve the community, not shirking its social responsibility.

Built on the values of Liga Portugal - Credibility, Unity, Talent, and Spectacle - this Strategic Plan for 2023-27 aims to guide Liga Portugal's activities in responding to the challenges that lie on the horizon.

2.1 CHALLENGES OF PORTUGUESE PROFESSIONAL FOOTBALL

The football industry is undergoing significant transformation, and the Strategic Plan for 2023-27 has identified the seven main challenges facing the industry.

Engaging with the Fans

With the industry's growth, the financial perspective has taken on a central dimension, sometimes resulting in a deteriorating relationship with the fans. Thus, it is crucial to understand their consumption habits and how these are changing, in order to create strategies that enable effective re-engagement.

Enhancing Competitions, Including Women’s Football

With the ongoing transformation and industrialization of football, there have been changes in European competition formats, akin to other European leagues. Similarly, there has been positive progress in women's football.

These paradigm shifts pose challenges and opportunities to national leagues, including Liga Portugal and Portuguese Professional Football.

Valuing Clubs

In a period of significant challenges for Portuguese Professional Football, it is crucial to assist our Clubs in increasing their value, with a special focus on financial matters, given the risks threatening the current business model of Portuguese football, which relies on training, valuing, and selling talent.

Development of Liga Portugal

The increasing complexity of the Portuguese and international Professional Football landscape requires Liga Portugal to engage in continuous improvement and development processes to sustain its growth and better lead the paradigm shift in Portuguese Professional Football.

Internationalization of Liga Portugal

Globalization has increased the significance and importance of international markets in European leagues. Therefore, given the upcoming centralization of media rights and the potential importance of selling international media rights, it becomes imperative for Liga Portugal to prioritize and effectively execute the internationalization process.

Reducing Contextual Costs

The football industry stands out as one of the industries that provides the most visibility to Portugal abroad. However, there are various contextual costs that act as barriers to the development of Portuguese football’s competitiveness, hindering its ability to compete with foreign Clubs and leagues.

Centralization of Media Rights

Centralization is urgent for Portuguese football as it will promote improved financial conditions among Clubs, thereby allowing for greater competitive balance and enabling various Clubs to develop. However, it will bring numerous challenges that Liga Portugal and Portuguese Professional Football will need to address.

The Mission, Vision, and Values articulate the essence of the organization's aspirations, defining its stance towards the world. They represent how an organization positions itself towards its stakeholders, indicating where it wants to go and how it will get there.

For each defined strategic axis, a set of 29 strategic objectives has been identified, which will materialize into 142 macro activities.

This axis places the fan at the center of decision-making, aiming to create a stronger relationship and address the growing distance between fans and football as an industry. It is crucial to understand the fan and bring them closer to football. This axis comprises four strategic objectives:

The unity among all stakeholders axis aims to align interests among various stakeholders by promoting a collective value enhancement effort for Professional Football. This axis comprises three strategic objectives:

The football with social responsibility axis promotes football as a vehicle for social responsibility given its high visibility and societal impact. This axis comprises four strategic objectives:

29. Incorporate Environmental, Social, and Governance (ESG) standards into the industry.

A plan of action with 14 macro activities has been defined to achieve these six objectives.

3.1

Liga Portugal reorganized its business structure, creating autonomous business units for its activities, and then consolidated all the companies both financially and in terms of the activities carried out.

Liga Portugal, as the parent company of the group, oversees the core activities of the institution – associational and institutional activities, and the organization of professional competitions.

At the associational and institutional level, crucial matters for the development of the Professional Football industry are discussed among the Presidents of the Sports Societies According to the statutes, the League's Board of Directors holds all administrative and management decisions, with the General Assembly being the supreme body of Liga Portugal.

At the center of all its decisions will always be the Sports Societies and the development of Portuguese Professional Football. The League annually promotes Working Groups to foster debate among executives and managers of Sports Societies on common concerns related to various areas of work.

In addition to the regular organization and scheduling of matches, competitions require integration and participation from various departments of Liga Portugal in constant communication and coordination, emphasizing the quality of the spectacle and the participants of the game.

Liga Portugal Infraestruturas aims to maximize the management, promotion, administration, and exploitation of the real estate assets owned by Liga Portugal.

Liga Portugal's mission is to grow and maximize Professional Football in Portugal, understanding that its responsibility extends beyond merely organizing competitions. To align with its goal of becoming a league of excellence, a significant project to construct a new headquarters building, tailored to the increasing demands of this industry, has been initiated.

Liga Portugal Infrastructures will facilitate the management and maximization of its own assets, including the Arena Liga Portugal building located in Porto. This investment is expected to bring numerous positive projects for all stakeholders involved, particularly the affiliated clubs of Liga Portugal.

Liga Portugal Comercial focuses on the commercialization, licensing, design, and production of products related to professional sports competitions, as well as the promotion, activation, and internationalization of the Liga Portugal brand. Its ultimate goal is to monetize, enhance recognition, value, and projection of Liga Portugal and its Sports Societies.

Another purpose of this entity is the organization and management of events. Thus, events organized within the scope of Liga Portugal's activities are managed by this entity.

Liga Portugal is fundamentally the aggregator of the 34 Sports Societies that make up Professional Football. Based on this premise, Liga Portugal Comercial was created to market, produce, and promote products related to its competitions.

Liga Portugal Comercial operates in five business areas: Commercial & Sponsorships, Marketing Events & Activations, Arena Liga Portugal Experience and Official Products, Business Development & Internationalization, and eSports, each of which plays a fundamental role in achieving the company's and group's objectives.

Liga Portugal Centralização is tasked with studying and defining a proposal for the future centralized commercialization model of television and multimedia broadcasting rights, and other audiovisual content related to professional football competitions in Portugal. It also oversees the subsequent commercialization of these rights.

In accordance with the guidelines set forth by Decree-Law No. 22-B/2021 of March 22, regarding the centralized commercialization of media rights associated with Liga I and Liga II professional football competitions, Liga Portugal Centralização is focused on achieving the following goals:

• Submission of a centralized commercialization model project to the Competition Authority (AdC) and the Government by June 2026;

• Initiating centralized commercialization starting from the 2028-29 season, with the fundamental aim of promoting the growth and development of Portuguese Professional Football.

Football and Social Responsibility should definitely move in the same direction and side by side.

In this regard, and because Liga Portugal is aware of its duties in this field and the impact it can have on society, it has developed various Social Responsibility and Environmental Sustainability actions through the Fundação do Futebol, with the primary goal of maintaining the connection between these two worlds.

The creation of a structured foundation was an ambition of the current Liga management, with the project advancing to help promote a fairer society with and for football.

The Fundação do Futebol – Liga Portugal assumes the mission of being a link between Sports Societies and Social Responsibility, working for Football in society!

Liga Portugal's positioning clearly identifies the need to invest in the education of the people who bring Football to the Portuguese and international public, with the aim of having increasingly professional Football in Portugal.

The Liga Portugal Business School aims to develop training solutions to create skills and develop talent among sports professionals, while also promoting general knowledge in Sports and particularly in Professional Football.

The Liga Portugal Business School was created to deepen and transmit specialized knowledge, ensuring the accreditation and certification needs of various sports professionals. At the same time, it aims to fill existing gaps, providing all interested parties with the transmission of specific knowledge related to the sports landscape.

Consequently, its goal is to facilitate contact with the professional sports reality through direct relationships with various entities in Sports and Football, creating experiences and enabling close connections with the entire surrounding environment.

Combining theory with practice, the training offerings of Liga Portugal Business School aim to provide comprehensive courses guided by innovation and excellence.

Another area of responsibility for this entity will be the connection with the business sector through entrepreneurship projects, enhanced by the new headquarters building of Liga Portugal.

GOAL REGARDING SPECTATORS IN THE STADIUMS

The Activity Plan and Consolidated Budget of Liga Portugal is the document that encompasses all the projects and activities and the respective budget to be developed within the universe of the Liga Portugal Group.

This organization of Liga's activities aligns with the implementation of the project of autonomy and specialization of specific areas, as described in the previous chapter.

Thus, although a medium and long-term Strategic Plan is developed, it is in the document now presented, the Activity Plan and Budget, that the measures to be implemented are practically materialized, both materially and financially.

In a consolidated manner, a total of 429 projects and activities are planned to be developed throughout the 2024-25 season, which are listed in chapter 5 of this document, accompanied by the respective execution schedule.

Given the existing business structure, Liga Portugal will be organized into 11 departments. In addition to these Liga Portugal departments, all work transversally for the various companies in the group. These areas ensure the execution of actions and leverage the defined strategy, enabling the previously presented strategic objectives to be achieved.

The activities to be developed by each department will be presented in a macro manner, based on the individual strategic objectives of each business unit that currently represents the corporate structure of Liga Portugal. Globally, these activities are aligned with the strategic positioning defined for the organization.

4.1.1. COMPETITIONS

The Competitions Department is responsible for organizing the three competitions in the professional football calendar in Portugal: Liga Portugal Betclic, Liga Portugal 2 SABSEG, and Allianz CUP. The 2024-25 Activity Plan envisions continuous monitoring of the games that make up these three competitions, which take place from August to May of the sports season. The main objectives include the preparation and follow-up with the sports societies, the verification of numerous regulatory requirements, the constant professionalization of sports professionals, and the continuous analysis of national and international competitive models.

The preparation of the sports calendar is the first step, undertaken months before the start of the sports season, and is a fundamental starting point for the usual and crucial monitoring by the Permanent Calendar Commission. This commission faces the significant challenge of ensuring the equitable scheduling of games within the rules that protect professional football as a whole. Maintaining close relations with the sports societies and daily monitoring of compliance with regulations is a duty of this department. The department's employees are assigned to different areas of coordination, such as competition, delegates, match center, administrative services, and others.

The success of organizing the three competitions in the Portuguese professional landscape is not confined to a single department. The interconnection with other areas of Liga Portugal is essential to ensure the smooth running of the Competitions, with a strong emphasis on the proximity to the Economic Control and Licensing Department. This department includes the Technical Inspection Committee, which monitors the sports infrastructures that host more than 600 games per sports season.

LIGA PORTUGAL

The Delegates project, encompassing recruitment, evaluation, and mentorship, is an increasingly firm and significant investment, aimed at affirming and recognizing this role as a guarantor of an increasingly transparent and comprehensive organization. Within this vision, there is a strong focus on areas such as health, safety, and technology (highlighting the introduction of the new Club Portal, which will improve regulatory compliance and the organization of professional competitions).

The coaches' forum and the exchange of delegates with La Liga acknowledge the constant motivation for learning and sharing knowledge.

Finally, the creation of the Technical Direction has enhanced the development of skills in less explored areas, supporting strategic decision-making to improve the quality of our competitions.

4.1.2. FINANCE

The Finance Department is responsible for the diverse administrative and financial functions of Liga Portugal. This includes the financial monitoring of the entire Liga Portugal Group, which is experiencing clear growth in activity across each of its companies, as well as fulfilling the accounting and tax obligations of the different companies within the Group.

This department handles the daily accounting of all documents, enabling the monthly closing of accounts. For the annual closing of accounts, the department prepares the annual financial statements in accordance with current accounting standards, developing the individual Activity and Accounts Report for each company, as well as the consolidated document for the entire Liga Portugal Group.

The Activity Plan and Budget is the key forecasting tool for the entire organization, defining the objectives, actions, and strategies for each sports season. Once approved by the respective Boards of Directors (for associated companies) and by Liga Portugal members in the General Assembly (consolidated Group document), this department conducts a centralized and rigorous review to timely and efficiently identify budget deviations and implement corrective measures at both economic and financial levels.

Procurement and supply management is also a crucial area, ensuring compliance with internal control processes, as well as infrastructure management, which provides the necessary support services for the proper maintenance and management of Liga Portugal's spaces.

With the progressive increase in the activity of the various Group companies, external services and fleet management are becoming more relevant and complex.

The Finance Department is a support area that spans the entire organization, and the precision in executing its activities is essential for the Liga Portugal Group to achieve its goals each sports season.

4.1.3. ECONOMIC CONTROL AND LICENSING

This department is responsible for the preparation and implementation of an economic control model based on rigorous and stringent pillars where all Sports Societies, monitored with total responsibility, can participate in professional competitions with rules and goals consistent with the excellence and transparency demanded by the business.

Licensing for professional competitions is becoming increasingly demanding, with more stringent criteria to be met. Its fairness is based on a manual that includes various criteria and a compliance schedule for those who wish to apply for professional competitions.

All documentation submitted by the Sports Societies regarding the various criteria, as well as their monitoring, is carefully processed and reported to the

audit committee established under Ordinance 50/2013.

In terms of infrastructure, this department is part of the Technical Inspection Committee responsible for licensing the various stadiums and their subsequent monitoring, with a focus on the pitch and lighting.

4.1.4. STRATEGIC PLANNING

This department acts as a hub for the production, analysis, and sharing of relevant information for management.

With the definition of the new Strategic Plan for 2023-27, it is essential to monitor and oversee the activity plan for each season and each business unit, created annually to ensure the achievement of the organization's medium and long-term objectives and strategies.

With the increasing focus on the professionalization of the sector, Liga Portugal aims to organize and systematize information from an industry perspective that generates wealth and continuous development. Hence, the Liga Portugal Barometer and Observatory were established, responsible for producing studies and research on Professional Football, seeking specialized information about the industry. In line with this goal, and within the partnership with the consultancy EY, the 8th Edition of the Portuguese Professional Football Annual Report 2023-24 is planned. This document is a vital tool for measuring and monitoring the Professional Football industry.

This department also includes the Liga Portugal Data Center. The data area is becoming increasingly relevant within the organization, aiming to provide different areas of Liga Portugal and all stakeholders with maximum information. Through a centralized data platform, information from various sources is compiled, continuously updated, and made available in a useful and dynamic manner, allowing for multiple analyses and forecasts that provide foundational elements for various studies and publications.

4.1.5. HUMAN RESOURCES

The Human Resources Department plays a central role in the overall strategy of Liga Portugal and its associates, developing the organization's human capital to align the individual objectives of employees with the goals defined by the organization for the sports season.

One of the main responsibilities of the department is to attract, select, and hire the best talent for the organization. In this regard, the Recruitment & Selection area involves creating effective recruitment strategies, conducting thorough interviews, and implementing transparent processes to ensure the selection of the best professionals.

The onboarding of new employees plays a crucial role in the employee experience and, consequently, in the long-term success of Liga Portugal's relationship with its employees. The success of the integration process by the department and the organization contributes to the productivity, engagement, and retention of employees.

In addition to recruitment, selection, and integration, the Human Resources Department is also responsible for the continuous development of employees. This process involves identifying training needs and implementing a Training Plan tailored to the employees' requirements.

With regard to the performance evaluation management system, it consists of a continuous process of setting objectives and evaluating both individual and collective performance throughout each sports season. This system aims to guide conduct by the values of credibility, unity, talent, and entertainment, representing a commitment to the promotion and development of the organization's human capital.

The Human Resources department also plays an important role in managing

employee compensation and benefits, whether through defining a remuneration and extra benefits policy or through the diligent compliance with legal rules and regulations.

Finally, the department assumes a significant role in consolidating the organizational culture of Liga Portugal, contributing to the attraction and retention of talent. Periodically, an organizational climate diagnosis is conducted through the Employee Satisfaction Survey.

4.1.6. LEGAL

The Legal Department of Liga Portugal is organized into two areas, namely the Legal area in the strict sense and the Registrations and Contract Registration area. The Legal area performs functions similar to those of a Legal Department of a large company. This department is responsible for drafting contracts, providing legal consultancy, and advising the administration and control bodies, as well as all other departments of Liga Portugal.

Given the special nature of Liga Portugal, a professional league with public powers including regulation, the Legal Department leads, according to the Board's guidelines, the regulatory drafting process of the association. This process involves the ordinary associated Sports Societies, coordinating the Legal and Regulatory Working Group, and consulting the main stakeholders such as class associations and the Federation. Additionally, the Legal Department participates in negotiations and drafting contracts of various kinds, related to the sponsorship of Liga Portugal and its competitions, service provision, and commercialization of various rights, including media rights and properties visible during matches.

As Liga Portugal is an association of employer entities, the Legal Department also leads collective negotiations aiming at the conclusion, termination, or negotiation of collective labor regulation instruments. Furthermore, accompanying the creation of various associated entities, such as the Fundação do Futebol and other companies, the Legal Department provides legal advice to the administration bodies and the activities of a group of six entities.

On the other hand, the Registrations and Contract Registration area is responsible for registering the sports employment contracts of Professional Football players, as well as the contracts of the coaches who manage the teams in the competitions organized by Liga Portugal. This area is also responsible for registering all sports agents operating in these competitions, issuing the respective licenses. In a function that is becoming increasingly relevant to the health and image of the competitions and competitive balance, the Registrations and Contract Registration area organizes and oversees the quadrennial process of salary verification and control.

4.1.7. TECHNOLOGY

the technological area is present and fundamental in all professional activities, increasingly playing a differentiating role in the results of companies and organizations. Through intelligent and strategic use of technology, it is possible to achieve excellent performances, reduce costs, and improve operational efficiency. In football, technology has revolutionized how athletes train, compete, and recover from injuries. Technological advances have led to the development of equipment and devices that enhance the overall performance of players and teams, providing accurate and real-time data on athlete performance and tactical schemes.

Regarding internal management and information handling processes, the Technology Department has achieved unprecedented efficiency. The digitization of documents and adoption of data management and storage systems allow for quick and easy access to relevant information, eliminating the need for paper and physical files. A prime example of this is the dematerialization of the entire Competition Licensing process, notably consolidating all documentation related to various criteria into a single platform with automatic management of submission periods.

It's also noteworthy to mention the significant team and competition management modules available through the Clubs Portal, which streamline tasks

such as filling out regulatory documents and game reports. This is complemented by a unified platform for contract registration and player registrations.

Another example is the secure information transfer bridge being established between Liga Portugal and the FPF, ensuring that the entire process is restricted to strictly necessary agents and safeguarded by robust digital security practices. Through continuous investment in innovative technological solutions, it's possible to strengthen clubs' competitiveness, enhance fan experience, and drive the growth and modernization of Portuguese football as a whole.

Projects directly in focus for the Technology Department's development plan at Liga Portugal include ELiga, Data Warehouse, Ticketing Digitization, MatchDay Module, support for the construction of a new Liga Portugal website and app, among others.

4.1.8. COMMUNICATION, CONTENT, AND MEDIA

The Corporate Communication area aims to fully support all activities of Liga Portugal, both internally and externally, promoting relationships with the media to ensure efficient and clear coverage of competitions as well as the political and practical decisions of Liga Portugal, always aiming for positive communication. In this context, information will be produced and systematized about Liga Portugal's activities, as well as incidents/information related to the activities of the Sports Societies and sports activities in general.

The preparation of a daily press review and the continuous monitoring of all sports information published in the media will remain part of the planning. One of the objectives is also to maintain close and constant contact with the media, in order to advise them on issues and topics associated with Liga Portugal and its competitions.

In the lead-up to Centralization, supporting our Clubs is a fundamental goal for Liga Portugal, so they can invest in better TV infrastructures and the required conditions to accommodate a centralized reality. Consulting the Clubs is a commitment of the current Management of Liga Portugal and is not only a priority but essential. A good television product is essential to attract fans to the stadiums, an objective to which we are increasingly dedicated.

Still in the context of the continuous investment in audiovisual content, it is essential to invest in the growth process of Liga Portugal's OTT, launched on January 15, 2024. Liga TV is a free streaming platform intended to be the channel for all Clubs, available on all digital platforms and fueled with content from competitions, events, interviews, and reports, among other formats always aimed at fans.

Maintaining written publications - Liga-te magazines, Plano B, and Matchbook for the Final Four - is a reality, as well as investing in digital development, which includes the project for a new website and a new application. The Digital area plays a crucial role in promoting professional competitions and the relationship with Liga Portugal's different partners. Due to its diversity, it covers various aspects ranging from web advertising to social media management and databases, and gamification strategy. The monitoring of the entire digital ecosystem is done rigorously, ensuring the pre-established metrics are met. Due to the constant evolution of the digital universe, it is necessary to ensure appropriate monitoring, adapting existing platforms to new realities, while also developing new platforms and new engagement tools, exponentially increasing fan interest in professional competitions.

SUPPORT TO THE EXECUTIVE BOARD

This department provides direct support to the President, the Executive Board, and the Governing Bodies of Liga Portugal throughout the sports season. It is responsible for organizing, coordinating, and executing all activities related to advisory, secretarial, and protocol tasks of the Executive Board, as well as assisting in the interconnection between various Liga stakeholders, public and private entities.

DADE manages all logistics associated with meetings, representation acts and visits, invitations, as well as the correct implementation of protocol norms in events organized by Liga Portugal, and supports various organizational processes. It oversees the Protocol area, which issues invitations, coordinates confirmations, prepares seating arrangements, and welcomes guests on event days organized by Liga Portugal, ensuring the strengthening of Liga Portugal's relationships with its Governing Bodies, Sports and Football Entities, Sponsors, and Partners.

Following the unanimous ratification by the General Assembly of the European Leagues (EL) on November 30, 2023, Pedro Proença was confirmed as President of the organization for the remainder of the 2021-2025 term. EL represents the Professional Football Leagues across Europe, comprising 40 leagues and associations of professional clubs from 34 countries, indirectly representing over 1150 clubs. EL's mission is to strengthen and protect the national competitions organized by the national leagues, promoting a sustainable and competitively balanced environment for clubs.

Pedro Proença's appointment as President marked a significant moment for Liga Portugal and Portuguese football in general, culminating in the creation of an International Relations Department at Liga Portugal. This department promotes greater interaction with stakeholders in Professional Football, aiming to support and enhance the defense of Portuguese Professional Football and expand the reach and influence of Liga Portugal in the international football scene, especially at the European level.

4.1.10. SUPPORT TO THE JUDICIAL BODIES

This department ensures the operations of the Jurisdictional Council and the Committee of Instructors of Liga Portugal throughout the sports season. Regarding the Jurisdictional Council, this department manages all logistics and secretarial support for the meetings of that body, as well as handles all procedural matters, from initiation to final decision, within the scope of internal discipline and arbitration, as stipulated in the Statutes and General Regulations of Liga Portugal.

For the Committee of Instructors, the department is responsible for providing all administrative and operational support to the body in charge of the instruction and investigation of disciplinary procedures within the scope of sports justice. This includes disseminating the decisions of the Professional Section of the Disciplinary Council of the Portuguese Football Federation, ensuring the holding of disciplinary hearings at Liga Portugal headquarters, following up on hierarchical appeals and judicial decisions, recording disciplinary sanctions, and preparing cost accounts as provided for in the Disciplinary Regulation.

4.1.11. INTEGRATED MANAGEMENT SYSTEM

The Integrated Management System Department aims to ensure compliance with the normative requirements for Quality, Information Security, AntiCorruption, and Good Governance implemented and certified at Liga Portugal and the Fundação do Futebol.

This department seeks to promote the organization's transversal commitment to adopting the best international practices and strictly complying with all

applicable legal standards, regulatory requirements, or contractual obligations. The organization considers the constant updating and improvement of support processes for business activities fundamental to ensure transparency and excellence, in accordance with the objectives defined in its Management Policies.

In the context of the new version of the ISO/IEC 27001 – Information Security Management System, the current sports season will see the initiation of the transition process for certification according to the ISO/IEC 27001:2022 standard, promoting the adaptation and updating of existing processes and controls to meet the requirements of the new standard.

4.2

ACTIVITY PLAN 2024-25

Liga Portugal Infraestruturas is the company responsible for the management, promotion, administration, operation, and leasing of real estate assets of the Liga Portugal group.

4.2.1. MANAGEMENT OF CONTRACTS AND PARTNERSHIPS FOR THE ARENA LIGA PORTUGAL

To ensure the full operation of the Arena Liga Portugal, it is necessary to establish strategic partnerships that allow for efficient exploitation of the building. Thus, Liga Portugal Infrastructures is negotiating new contracts and partnerships with various external entities.

Through these collaborations, it is expected that both Liga Portugal and the involved partners will significantly benefit in terms of the exploitation of activities related to Professional Football, as well as beyond this scope.

4.2.2. MONITORING, CONSTRUCTION, AND INAUGURATION OF THE ARENA LIGA PORTUGAL

The Arena Liga Portugal has been under construction since February 22, 2022, the date on which the symbolic laying of the foundation stone took place at the site. This arena will become the future home of Professional Football, with its inauguration scheduled for the early months of the 2024-25 season. The event is expected to bring together and celebrate all stakeholders of Professional Football.

The completion of the construction and the beginning of the operation of the building by Liga Portugal Infraestruturas is therefore expected at the start of the 2024-25 season. This season will thus be a landmark year for the world of Portuguese Professional Football.

Hence, the current activity plan and budget foresee thorough monitoring of the final phase of the construction of this building, culminating with its commencement of use and operation.

4.2.3. PROPERTY MANAGEMENT – ARENA LIGA PORTUGAL

The Arena Liga Portugal will be a building with numerous facilities, housing various entities, including both entities from the Liga Portugal Group and external entities, with which Liga Portugal Infraestruturas will establish cooperation partnerships.

The overall management of the building will thus be the responsibility of Liga Portugal Infraestruturas, aimed at optimizing the spaces and ensuring the building’s self-sustainability.

The areas of operation are diverse and include the management of spaces for events, featuring an auditorium with a capacity of approximately 300 people, a multipurpose room, and other multifunctional spaces both inside and outside the building. There will be a floor entirely dedicated to training, a strategic focus area for Arena Liga Portugal; two floors to be occupied by external entities; and five spaces as part of the Arena Liga Portugal Experience, namely, a Liga Portugal Store for the sale of Liga Portugal and Sports Societies products, the experiential museum of Portuguese Professional Football – Liga Portugal Legacy, a restaurant and bar area, an intuitive and differentiated football space “Arena Lab” –dedicated to activities related to sports performance and development, and an area for hosting children's parties – Liga Portugal Kids.

Furthermore, it will provide a unique experience to the surrounding community, with a Fan Square and green spaces perfect for events and social interaction.

4.2.4. PROPERTY MANAGEMENT – RUA CASTILHO PROPERTY

Liga Portugal Infraestruturas, responsible for the management, promotion, administration, operation, and leasing of real estate assets of the Liga Portugal group, manages the property located on Rua Castilho in Lisbon, which is currently available for rent to third parties.

4.2.5. PROPERTY MANAGEMENT – EDIFÍCIO CAPITÓLIO PROPERTY

Since January 2009, Liga Portugal has owned a property located on Avenida de França, in Edifício Capitólio, Porto. Given that Liga Portugal Infraestruturas is responsible for the management, promotion, administration, and operation of Liga Portugal Group’s real estate assets, it was concluded that the administration of this property should also be assigned to this entity. Thus, a lease agreement was signed between Liga Portugal and Liga Portugal Infraestruturas, granting the latter the responsibility for operating this property, which is currently leased to third parties.

4.2.6. CROSS-FUNCTIONAL ACTIVITIES

Various activities will be carried out by Liga Portugal Infraestruturas, such as Board of Directors meetings, meetings with different stakeholders, and other work meetings.

4.3.1. COMMERCIAL AND SPONSORSHIPS

This area is responsible for the ongoing management of sponsors and partners, including strategic and operational planning, sponsor support, return analysis, added value of sponsorships, and ensuring contract execution.

Generating commercial revenue is another main activity of this area, which is responsible for market prospecting and commercial acquisition to boost Liga Portugal’s revenues and make its competitions and events viable.

It also undertakes all conceptual and operational activities aimed at developing new commercial properties, expanding and optimizing Liga Portugal’s and the Sports Societies' funding sources.

4.3.2.

MARKETING, EVENTS & ACTIVATIONS

The Marketing, Events, and Activations area is responsible for organizing events, marketing operations, and brand activations for Liga Portugal, always keeping the fans and the excellence of the spectacle at the center of its actions.

4.3.3.

PROMOTION

The promotion area is responsible for developing and executing promotional actions throughout the sports season. The goal is to promote competitions, dynamism, innovation, and increasing engagement with fans, driving the passion for football.

4.3.4.

BUSINESS DEVELOPMENT & INTERNATIONALIZATION

This business area is responsible for developing, creating, and negotiating new properties, products, and services to increase the offerings available from Liga Portugal for revenue generation. The idea is to adopt a strategy to enhance the value of football, producing knowledge and contributing to the projection of the Liga Portugal brand.

Additionally, it will implement a well-structured internationalization strategy, essential for the growth of national football beyond borders, bringing benefits to Sports Societies and Liga Portugal by attracting new investors and establishing partnerships with various stakeholders and market players.

The Official Products area is responsible for developing and marketing merchandise for all the sports societies that make up Liga Portugal. This department is responsible for managing all public sales spaces, both physical and online, and handling logistics with suppliers, sports societies, and partners. Consequently, the Liga Portugal Store aims to create a close relationship between club and fan through the available products. The revamped online store, set to launch at the start of the 2024-25 season, will offer a unique shopping experience, leading to a significant increase in sales volume. By entering one of the world's largest marketplaces, we will spread the names of our teams to all corners of the globe.

4.3.6.

ESPORTS

Finally, the eSports area aims to solidify, maximize, and attract younger age groups through digital means, enhancing the positioning of this product for Liga Portugal and the Sports Societies.

4.3.7. CROSS-FUNCTIONAL

Various activities will be carried out by Liga Portugal Comercial, such as Board of Directors meetings, meetings with different stakeholders, and other work meetings.

4.4.1.

OBJECT TO BE MARKETED

The definition of strategies underlying a commercialization model presupposes, beforehand, a clear delimitation of the product to be commercialized and the identification of how the characteristics and specificities of this product can add value to the sales process.

Although this topic has already been discussed in the previous season, considering its complexity and the impact it may have on the valuation of the audiovisual product, Liga Centralização believes that this discussion should continue in the 2024-25 season to allow for a more solid and sustained decision, also keeping in mind the constant evolution of the media rights market.

Therefore, it is expected that, in the 2024-25 season, Liga Portugal Centralização will be in a position to present a proposal defining the object to be commercialized, as well as strategies to ensure the availability of audiovisual content deemed essential for enhancing the value of the audiovisual product.

4.4.2.

REQUEST FOR PROPOSAL CONCEPT

Following the Request for Proposal Concept previously launched in the market, which aimed to obtain conceptual proposals from the market to develop the centralization project, this procedure will continue in the 2024-25 season, with the goal of analyzing, evaluating, and presenting the conclusions.

To achieve this, we will rely on the support of our legal advisors and external consultants, whose contributions will allow us to present well-founded conclusions to facilitate decision-making on this matter.

4.4.3.

COMMERCIALIZATION REGULATION PROJECT

For the centralized commercialization process of media rights, Liga Portugal Centralização must submit a commercialization regulation project to the AdC (Portuguese Competition Authority) and the Government by June 2026. This project must be constructed in accordance with the guidelines expressed by

the AdC in its opinion titled “Recommendation on Changes in the Marketing of Television and Multimedia Broadcasting Rights of the First and Second Portuguese Football Divisions.”

It should be noted that following specific topics discussed with the AdC last season, and continuing with the construction of the Commercialization Regulation, Liga Centralização aims to adjust this document in 2024-25, taking into account the recommendations resulting from the analysis and comments made by the said entity.

4.4.4. COMMERCIALIZATION MODEL

Alongside the commercialization regulation project, Liga Portugal Centralização must present a centralized commercialization model for media rights to the AdC and the Government by June 2026. This model should include:

• The types of lots;

• The distribution format(s);

• The content of each lot;

• The specific rules for each lot;

• The duration of the commercialization contract;

• The exclusivity vs. non-exclusivity regime;

• Other relevant aspects.

Liga Centralização will work with an external consulting firm to support the analysis, evaluation, and valuation of potential commercialization models, aiding in the decision-making process to implement the best model.

4.4.5.

COORDINATION WITH THE COMPETITION AUTHORITY (ADC);

In parallel to the activities described in points 4.4.2. and 4.4.3., and considering that the documents to be prepared must be subject to the binding opinion of the AdC (Portuguese Competition Authority), Liga Portugal Centralização will maintain regular work meetings with this institution, as has been done in previous seasons. The goal is to align expectations and viewpoints on the work developed, as well as on the final product to be presented.

4.4.6. REVENUE SHARING KEY

The centralized commercialization model for media rights associated with professional football competitions will revolutionize the current paradigm of portuguese football, facilitating the implementation of more equitable revenuesharing criteria, which will contribute to improved sporting competitiveness and game quality and reduce revenue discrepancies between different clubs.

In the 2021-22 season, a proposal for revenue sharing of audiovisual rights among the 34 clubs associated with Liga Portugal was presented and approved at the Presidents' Summit. This proposal assumes that 50% of the revenue will be distributed equally among the clubs, 25% according to sporting merit, and the remaining 25% according to social engagement.

The centralized commercialization model of media rights associated with professional football competitions will revolutionize the current paradigm of Portuguese football.

4.4.7.

ACTIVITY PLAN 2024-25

INTERNATIONAL EXPANSION PLAN

A better understanding of the international market will allow us to grasp the necessary adaptations to the product to be commercialized and how to achieve them, as well as to define the strategies to be implemented.

Although the centralized sales process for rights is not yet in force, it is important to plan and create the support bases to adopt an efficient expansion plan when the time comes.

Since the 2022-23 season, Liga Portugal Centralização, aiming to familiarize itself with new markets and international players and to experience different approaches, has initiated an internationalization project for the Allianz CUP in partnership with the current holder of the competition’s media rights.

Continuing this strategy, in the 2024-25 season, Liga Centralização intends to proceed with this internationalization process.

4.4.8. CROSS-FUNCTIONAL ACTIVITIES

Various activities will be carried out by Liga Portugal Centralização, such as Board of Directors meetings, meetings of technical subgroups, meetings with different stakeholders, and other work meetings.

4.4.9.

COORDINATION OF STUDIES/SPECIALIZED SERVICES

Given the complexity of the topics addressed in these work forums, which often require deep and specialized analysis, there is a need to hire specific external consulting and legal advisory services in different areas to support the evaluation of hypotheses and the recommendation of solutions.

Thus, the Liga Portugal Centralização team will coordinate and supervise these and any other specialized services conducted by external entities, with the aim of systematizing complex information, studying the feasibility of solutions, and supporting strategic decisions.

4.5.1.

CENTRALIZED PROJECTS

The Fundação do Futebol – Liga Portugal remains an active participant in initiatives under the Liga Portugal banner, associating itself with centralized projects. The Final Four of the Allianz CUP, a highly impactful and mediacentric event organized entirely by Liga Portugal, will include various Social Responsibility and Environmental Sustainability actions to which the Fundação do Futebol – Liga Portugal will contribute. The same applies to the Thinking Football Summit, the largest football event in Portugal, which will feature excellent social and environmental interventions, thereby enhancing the event.

4.5.2.

INSTITUTIONAL PROJECTS

The Fundação do Futebol – Liga Portugal will develop impactful actions in partnership with other organizations/institutions/foundations, fostering synergies for the benefit of Professional Football and its community of fans and followers. This season will continue the commitment to the motto “One Club, One Community, One Foundation,” with a strong focus on monitoring and supporting Clubs in their own projects. Promoting and supporting Professional Football’s involvement in various areas of society will be a priority.

4.5.3.

POSITIONING PROJECTS

Give the Fundação do Futebol – Liga Portugal a higher visibility is the goal to be cemented in the coming season. This objective is achievable through the continuation of projects such as the Liga-te à Fundação program, the Monthly Social Responsibility Award, the production of inserts in editions of Liga Portugal’s ‘Liga-te’ magazine, and the latest project, the Solidarity Game, which will position the Foundation alongside the highest level of professional football.

Given that knowledge is the foundation for the professionalization of football, the Liga Portugal Business School primarily aims to provide excellent training to various sports agents, equipping them to perform their roles in a demanding and ever-changing sector.

In compliance with the regulations of the Competitions Organized by Liga Portugal, which mandate that sports agents included in the technical sheet of the game must have attended specific training organized by Liga Portugal, training sessions of three hours each have been created to be implemented at the start of the 2024-25 season.

The training offerings of Liga Portugal Business School aim to foster the acquisition of new knowledge and stimulate continuous training for all sports professionals, as well as those aspiring to join the workforce of the Sports Societies and Liga Portugal. In partnership with Católica Porto Business School, two short courses will be implemented next season: one in the area of Security and another preparing for the FIFA Agents exam. Additionally, webinars in Health and Safety and workshops in Communication and Marketing are scheduled.

We embark on the second season of what we identified a year ago as the most important and defining period in the history of Liga Portugal. A four-year period during which, we said at the time, the future of Professional Football would be decided, necessarily sustained by structural decisions, carefully considered to face the numerous challenges ahead.

Challenges that we will face with the ambition that has characterized us. This ambition is one of the secrets of the success we have experienced over the past few years. It was this ambition that made us establish the season that has just ended as the one that would mark the return of Families and Fans to the stadiums, in a campaign under the motto ‘The Football is You!’, crowned with tremendous success, as evidenced by the record number of fans who attended the matches of the two professional competitions: over 4.2 million, an increase of about 10 percent compared to 2022-23.

We, therefore, have reasons to face the future with optimism! A future sustained by the Unity of all the professionals that make up the universe of Professional Football. A future that unites Football and the Community through Social Responsibility.

This is why we chose the motto ‘The Football that Unites Us’ for 2024-25. To all who truly love it.

BUDGET PROPOSAL 2024-25

Liga Portugal is currently a solid and robust institution, thanks to the professionalism and rigor that have allowed us to regain the trust of all our partners. And to attract new and significant brands, which increasingly want to be associated with Professional Football. These are clear signs of the vitality and credibility that are now recognized in us.

The signs are, therefore, frankly positive. But none of us should or can forget the point from which we started, in 2015, when Liga Portugal was on the brink of economic-financial insolvency. Just as we should not or cannot forget the work, effort, dedication, and professionalism that have allowed us, in these nine years, to reverse a dramatic situation and reach the level of excellence at which we stand today, without false modesty.

We must not forget where we came from and what we needed to get here because we have an obligation to prevent a return to a past of bad memories.

We have known, over these years, how to carry out planned activities, designed for the evolution of Liga Portugal, without jeopardizing the need for sustained balance in the most diverse areas, but always prioritizing the financial aspect, the most important pillar in the stability of any organization. Naturally, and firstly, in its financial aspect - an essential pillar of stability in all organized structures.

After a first four-year period of reorganization and profound financial rehabilitation, goals whose achievement counted on the indispensable collaboration of all the Clubs, which allowed the coverage of all the negative carried-over results, accumulated in the years prior to 2015, amounting to five million euros, in the 2019-2023 four-year period we achieved the goal of consolidating Liga Portugal as a solid and credible institution, which allowed us to enter the 2023-2027 four-year period with unique conditions to affirm the organization on the national and international stage. Always faithful to the principles of Credibility, Talent, Spectacle, and Unity, which are already our hallmark, and to which we add the stabilization of the best international brands. It is in this spirit of ambition, based on a commitment to unity, that we set out for another new season, focused on what should be the pillars and positioning of an organization like Liga Portugal.

In the exercise currently under review, the proposed budget is, as always, balanced, keeping Liga Portugal on the path of achieving and executing its positive results, maintaining the trend that has marked all exercises since 201516, fully meeting the various goals/plans/decisions approved at the various General Assemblies of the organization.

The Activity Plan under analysis is characterized by the continuity of the recognized excellence in the organization of professional competitions, fully respecting the economic sustainability of the Institution and, naturally, its Associates.

In the 2022-23 season, new associated companies were created, such as the Business School, Liga Centralização, Liga Comercial, and Liga Infraestruturas, which joined the Fundação do Futebol.

The results of the Fundação do Futebol, Liga Infraestruturas, and the Business School were, in 2023-24, integrated into the associative results, while Liga Centralização and Liga Comercial, due to the nature of their respective activities, were reflected in the commercial results. This will remain the case in 2024-25, in which we anticipate positive results in all companies, with the natural exception of Liga Centralização, due to the intrinsic reasons related to future investment in this matter.

The expenses of Liga Portugal will continue, as they have for the past nine years, to be scrutinized extremely rigorously, not only by the various efficient internal control mechanisms introduced and improved over the seasons but also by prudent investment in the structure, which we want to be organized, efficient, committed, professional, competent, and adjusted to reality. This is the formula that will allow the achievement of the various proposed objectives, considering the natural satisfaction of our Associates and the football industry.

Under the premise of maintaining the organized and professional work executed by this Board, and solidifying the financial stability of the Institution, the budget for the 2024-25 season forecasts total revenues of €31,536,004 and expenses of €30,423,726. We anticipate another positive operating result of around €1,112,278, based on meticulous management of its expenses and revenues.

The document we present translates into a naturally evolving budget, solidifying the maturity and total financial stabilization of Liga Portugal.

This Board will maintain the rigorous management and operation path of previous seasons, without, on the other hand, ceasing to invest in and execute specific and relevant projects, providing professional and structural robustness to the organization and its competitions, to sustainably develop important strategic activities.

The future of Professional Football is, once again, challenging. And with the goal of facing it, Liga Portugal will continue the relentless pursuit of more and better services, new business models, and sources of funding.

We will remain attentive and active in the fight for the support measures identified as urgent so that the impact of Professional Football as an industry is duly recognized, putting an end to the glaring inequalities it faces today when compared to other sectors of activity.

Liga Portugal will do everything to ensure that these goals are achieved with the necessary urgency. The current Board will not deviate from its focus, vision, and planning, so thoughtfully outlined in the pursuit of achieving the goals set towards a stronger and more robust Professional Football.

EVOLUTION OF REVENUES, EXPENSES, AND OPERATING RESULTS OF THE LIGA PORTUGAL GROUP

OPERATING RESULT

BUDGET PROPOSAL 2024-25

For the 2024-25 season, the consolidated operating result of the Liga Portugal Group is estimated to be €1.112 million. In this second year of presenting the budget in a consolidated manner, we observe that the various companies show balanced values and are expected to execute the proposed activity plan, constrained by strict adherence to this budget.

Regarding Liga Portugal Centralização, the budget proposal is deficit-driven. This is because, to build the future model for centralized sale of television and multimedia rights, as well as other audiovisual content of professional football competitions in Portugal, Liga Portugal Centralização will continue to allocate its technical team to this project and will also need to use external consultancy/ advisory services.

Given the presence of various new business units, particularly with the exploitation of the new headquarters building, Arena Liga Portugal, where there is no historical data for many of the planned activities, the budgeting of various items was based not only on already contracted and known information but also on estimated average assumptions and indicators.

INCOME

The consolidated revenues of the Liga Portugal Group amount to €31.5 million for the 2024-25 season. Revenues from the exploitation of professional competitions naturally carry significant weight, while associative revenues continue to be highly relevant due to registrations and transfers, as well as fines and protests.

Regarding associated companies, notable revenues come from Liga Portugal Comercial, which during this analysis period will mainly include statistical collection services, revenues from the Arena Liga Experience and Official Products, as well as all revenues related to the Thinking Football Summit and the Allianz CUP Final events.

Other significant revenues for the 2024-25 season come from the Liga Portugal Business School’s training area, including the continuation of postgraduate programs and the launch of other specialized and continuous training courses. In Liga Portugal Centralização, revenues are also expected from the sale of international media rights for the Allianz CUP.

6.2.1. ASSOCIATIVE AND LIGA PORTUGAL INCOME

The estimated associative and Liga Portugal revenues for the upcoming season are around €9.4 million, representing 30% of total revenues. The categories of registrations and transfers, as well as fines and protests, continue to be highly significant, collectively accounting for about 40% of the total revenues in this category.

Moreover, revenues from sports betting are also significant in this revenue structure. Given their current prominence and trend, it is anticipated that they will constitute approximately 23% of associative and Liga Portugal revenues for the upcoming season.

Lastly, with the transition to a new building next season, the necessary recognition of the capital gain from the current Liga headquarters will be accounted for due to the related accounting movements.

Thus, the projected distribution of associative and Liga Portugal revenues for the 2024-25 sports season is as follows:

Regarding online betting, it is worth mentioning that this revenue directly derives from the Special Online Gaming Tax (IEJO). Future discussions and approvals of the State Budget for 2025 might bring changes to this tax calculation, as happened in the 2020 State Budget. These potential changes cannot currently be predicted in the Liga Portugal's budget.

Therefore, maintaining prudence in budgeting most of these revenues, a moderate stability in these revenues is expected. However, their execution can be quite variable due to their nature.

6.2.2. OPERATING INCOME FROM PROFESSIONAL COMPETITIONS

Revenues from the exploitation of professional competitions are evidently highly significant in the Liga's revenue structure, representing a substantial 70% of total revenues for the season under analysis. Revenues of this nature are projected to be around €22.2 million.

Naming Sponsors' contracts continue to hold immense relevance in the Liga's revenue structure, accounting for 34% of revenues from the exploitation of professional competitions.

The existing contracts with Sponsors and Official Partners, resulting from the development of new commercial properties and the expansion and optimization of Liga Portugal's funding sources, represent about 35% of revenues.

Regarding Other Revenues, which constitute 31% of this type of revenue, an increase of 62% is anticipated for the upcoming season compared to the current season. This increase is mainly due to the already planned update of the VAR Protocol value for the 2024-25 season and the subsequent invoicing to the Sports Societies, as well as the exploration of new business areas such as the Arena Liga Experience and Official Products.

DISTRIBUTION TO SPORTS SOCIETIES

The Liga Portugal distributes funds to the Sports Societies both directly, by distributing amounts to them, and indirectly, by covering the expenses related to organizing competitions. As shown in the analysis of the chart below, this item has seen a positive evolution over time, except for the 2020-21 season, which saw a reduction in the competitive framework and, consequently, a lower distribution of funds to the Sports Societies. For the 2024-25 season, despite the change in the League Cup's competitive framework, a slight increase in this item compared to the current season's execution forecast is still anticipated, thus maintaining the amount of €9.8 million.

EVOLUTION OF FUNDS DISTRIBUTION TO SPORTS SOCIETIES

BUDGET PROPOSAL 2024-25

6.3.1. DIRECT DISTRIBUTION

Regarding direct distribution for the 2024-25 season, an estimated total of €1.5 million in Allianz CUP prizes is projected to be distributed, reflecting a reduction compared to 2023-24 due to the decreased competitive framework and consequent reduction in associated revenues.

As for the quotas of B teams, to be distributed equally among the teams participating in Liga Portugal 2 SABSEG, and maintaining the amounts payable by each B team as outlined in the respective regulation, this item is expected to remain stable for this season, given that two B teams will continue to compete in 2024-25.

Furthermore, since 2018-19, with the approved change in the TV quotas concept by the Sports Societies, a solidarity mechanism amounting to €300,000 has been established to provide direct support to Sports Societies relegated to Liga Portugal 2 SABSEG. Additionally, although noted as indirect distribution in this management document, a fund of €550,000 is highlighted to address unforeseen events that may arise.

Another significant amount to be distributed in the 2024-25 season results from ticket sales for professional competitions and the exploitation of properties and rights ceded by clubs to Liga Portugal for partnership with an entity that buys and resells them to the public. This represents about 24% of the total amount directly distributed to the Sports Societies.

For the 2024-25 season, in addition to the funds related to sports betting, where Liga Portugal merely intermediates the operation, the direct distribution will be as follows:

6.3.2. INDIRECT DISTRIBUTION

Indirect distribution encompasses all expenses borne by Liga Portugal intrinsic to organizing professional competitions. In this regard, Liga Portugal plans to continue supporting Sports Societies in general, specifically regarding expenses related to anti-doping control operations within professional competitions and the acquisition of balls for the sport.

As mentioned earlier, and as has been the case since 2018-19, with the approved change in the concept of TV quotas by the Sports Societies, a fund was established to address unforeseen circumstances that may arise, amounting to €550,000.

Expenses for refereeing, observers, and delegates are the most significant in this category, collectively representing about 78% of the item under analysis. Therefore, for the 2024-25 sports season, the following distribution is anticipated:

6.4 EXPENSES

Driven by the constant investment in new and essential projects and new revenue drivers, and fundamentally in the continuous improvement of the organization, an increase in expenses of around 28% is projected for the next season. The Liga Portugal expense budget for the 2024-25 season, in general, is distributed as follows:

6.4.1. ORGANIZATIONS AND ENTITIES

All protocols and agreements in force in 2023-24 will continue in the 2024-25 season, aiming for stability and greater involvement among all entities involved in Professional Football. The presented budget reflects the signing of a new protocol between Liga Portugal and the Portuguese Football Federation for the 2024-2028 cycle, with an increase in projected expenses for the upcoming sports season. The entity with the most significant values in this category is the Portuguese Football Federation, representing about 70% of the total item.

Therefore, the following distribution to various organizations and entities is projected for the next sports season:

6.4.2. STRUCTURE AND SERVICES

The consolidation of Liga Portugal's structure and services has always been a priority in its various activity plans. The current plan continues this approach, emphasizing the specialization of resources to enhance the robustness and efficiency of the development and modernization processes. Achieving a cohesive and highly competent team is a goal for all organizations.

Investment in technological projects directly linked to the organization of competitions remains a central focus of this management instrument, aiming to increase competitiveness and enhance the value and projection of the competitions.

For the next season, the structure of Liga Portugal, along with all services outlined in the activity plan, forecasts the following expenditure distribution:

For the 2024-25 season, a consolidated treasury budget will be presented for the Liga Portugal Group, integrating its various subsidiaries: Liga Portugal Infraestruturas, Liga Portugal Comercial, Liga Portugal Centralização, Fundação do Futebol – Liga Portugal, and Liga Portugal Business School.

Recent seasons have focused on Liga Portugal's financial restructuring. Through the meticulous fulfillment of all agreements and payment plans established with various partners, and maintaining a prudent and careful treasury management, Liga Portugal has honored all commitments and is now on a clear path of positive accumulated treasury results.

The treasury challenges for the 2024-25 season are demanding for the Liga Portugal Group, justified by the widespread price increases observed this year and expected for the next. Additionally, the associated companies of the Liga Portugal Group are in a development and implementation phase, with their revenue streams at the beginning of activity not yet significant enough to balance their own treasury. Furthermore, the completion of the new Liga Portugal headquarters construction will result in substantial investment this season, necessitating financing. The following chart shows the evolution of operational cash flows over recent seasons: 6.6

Regarding investment activities, the 2024-25 season, considering the construction of the new Liga Portugal headquarters approved in the General Assembly in September 2020 and the continued investment for the next season, includes the projected investment and the associated financing for this significant and landmark project.
