THE PURPOSE of the VIRIGINA ANGUS
ASSOCIATION
The activities of the VIRGINIA ABERDEEN-ANGUS ASSOCIATION are manifold; the objectives are essentially basic. Its primary concern is to insure the continued success of Angus cattle and their breeders in general, and in Virginia in particular. To accomplish this, the purpose may be sub-divided into the following interlocking divisions.
To promote and expand the market for ABERDEEN-ANGUS Cattle; the commercial and breeding, as well as the show ring stock.
To improve the breed-always bearing in mind that the ultimate destination is the table-by unifying the work of experienced breeders and guiding the efforts of the novice towards the development of an ideal type.
To publicize and disseminate the public at large proofs of the superiority of Angus cattle and Angus beef, by mean of the written and spoken word, by pictures and photographs, and by association-sponsored exhibitions, shows and sales.
To assist and encourage boys and girls to select, raise, and properly fit Angus cattle for breeding, or for show or for shambles. To aid breeders with problems of management, herd improvement, selection or merchandising, both by public auction and by private treaty.
To maintain and guard the highest standards of integrity in the registration of cattle, without which the purebred business would disintegrate.
To serve as a repository of information relation to the breed in all its phases, and to make it available to breeders.
To further the spirit of cooperation and understanding of harmony and good-fellowship, among breeders, not only in Virginia, but wherever grass and corn are grown.
In short, the purpose of the VIRGINIA ABERDEEN-ANGUS ASSOCIATION is to make Angus beef more profitable to the grower and the butcher, and to make it available to every table in the land, at least once each day, to the ultimate betterment of national health, energy and hence, prosperity.

BYLAWS OF THE VIRGINIA ANGUS ASSOCIATION
VIRGINIA ANGUS ASSOCIATION (the Association), a nonstock corporation duly formed under the provisions of the Virginia Nonstock Corporation Act, Chapter 10, Title 13.1 of the Code of Virginia (the Code), hereby adopts the following Bylaws of the Association which shall govern the management and operation of the Association’s business and the regulation of its affairs, to the extent consistent with the Association’s Articles of Incorporation and applicable law.
ARTICLE I
(Objective and Authority)
The objectives of the Association are the promotion of the merits of the Angus breed of cattle, as well as the education of breeders in the qualities and care of such cattle. This is to be accomplished through Association schools, forums, meetings, publications, shows and sales. The Association shall perform such other acts incidental and supplementary thereto as will, in the judgement of the Association, best promote the interest of the Angus breed of cattle in Virginia.
The Association shall have all powers and authorities now or hereafter conferred upon nonstock, not-for-profit corporations organized under the laws of the Commonwealth of Virginia; provided, however, that (a) no part of the net earnings of the Association shall inure to the benefit of, or be distributable to its officers, directors, or other private persons, except that the Association shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth above, or (b) no substantial part of the activities of the Association shall be the carrying on of propaganda or otherwise attempting to influence legislation (except as provided in Section 501(g) of the Internal Revenue Code), and the Association shall not participate in, or intervene in, (including publishing or distribution of statements) any political campaign on behalf of any candidate for public office, and (c) the Association shall not carry on any other activities not permitted to be carried on by a corporation operating exclusively for agricultural purposes within the meaning of, and exempt from federal income tax under, Section 501(c) (5) of the Internal Revenue Code.
Sales of cattle of members may be managed or sponsored by the Association, inside or outside the Commonwealth of Virginia, with the approval of the Board of Directors and based upon it guidelines.
ARTICLE II (Members)
This Association is a Virginia nonstock corporation, therefore no shares of stock shall be issued to any persons. The association shall have the following classes of members.
Section One - Voting Members: The Association shall have the following types of voting members.
(1) Virginia Members: Any resident of Virginia or breeder who maintains an established breeding herd on a farm in Virginia and who is interested in breeding and promotion of Angus cattle, upon the payment of the annual dues and the discharge of such other obligations as may be duly prescribed by the Board of Directors.
(2) Life Members: Life members, who have been so designated by the Board of Directors for services rendered or donations or other payments made to the Association, upon election upon such terms and conditions as the Board of Directors may from time to time prescribe.
Section Two - Non Voting Members: The Association shall have the following types of non-voting members, who may not hold office as an officer or director in the Association.
(1)Honorary Members: Honorary members as elected by the Board of Directors, from time to time in its sole discretion, for persons who have rendered distinguished service in the advancement of Angus cattle in Virginia. An honorary member may also be a voting member if he complies with subparagraph (1) of Section One of this Article II.
(2)Associate Memberships: Members who are non-residents of Virginia upon election by the Board of Directors as associate members, upon the payment of annual dues and the discharge or such other obligations and upon such terms and conditions as may be duly prescribed from time to time by the Board of Directors. Associate membership shall permit such member only to offer for sale cattle in Association sponsored sales.
Section Three - Members : Members of the Association may be individuals, partnerships, corporations, or other such entities.

ARTICLE III
(Meetings of Members)
Section One - Annual Meeting Date: There shall be a meeting of the Association each year at a date approximately twelve months from the previous annual meeting of the Association, the time and place of such meeting to be established by the Board of Directors, with notice to the members as required by these Bylaws. At such annual meeting, the members shall elect directors and transact such other business of the Association as may be presented by the Board of Directors or the officers of the Association.
Section Two - Order of Business at Annual Meeting: The order of business at each annual meeting of the Association shall include, but not be limited to, the following items:
1. Meeting called to order
2. Reading and approval of minutes of preceding meeting.
3. Report of Secretary
4. Report of the Treasurer
5. Reports of committees and any other reports
6. Nomination and election of Directors
7. Unfinished business
8. New Business
Section Three - Special Meetings: The Association shall hold special meetings of the members on the call of the Board of Directors, determined by the majority vote of such directors, or upon the call of the holders of at least one-third of all votes entitled to be cast on any issue proposed to be considered at any such special meeting, which holders shall sign, date and deliver such request of the Association’s Secretary describing the purpose or purposes for which such meeting is to be held.
Section Four - Place of Meetings: Annual or special meetings of the members may be held either within or without the Commonwealth of Virginia.
Section Five - Notice of Meetings: Notice of any annual or special meeting shall be sent to each voting member not less that (10) days nor more than sixty (60) days prior to the date of such meeting. The voting members entitled to notice of each such meeting shall be determined by the Board of Directors, and a list of such members hall be prepared prior to any such meeting.
Section Six - Voting Rights: No member shall have any right to cumulative voting or to vote by proxy on any matters brought before any annual or special meeting of the Association.
Section Seven - Quorum and Vote: In the election of directors or any other matters which may come before the membership of the Association at any annual or special meeting, each voting member shall be entitled to one vote. There shall be no minimum number of members required to be present to constitute a quorum of the members to determine whether any business of the Association may be conducted at any such meeting. In any member vote, a vote of a majority of the votes entitled to be cast by the members present at a meeting shall be necessary for the adoption of any matter voted upon by the members, unless a greater proportion is required by statute; provided, however, that only a plurality of the votes cast by the members entitled to a vote at any meeting shall be necessary for the election of any member to the Board of Directors.
Section Eight - Violation Reporting: Any member reporting a violation of any bylaw or rule of this Association by another member shall do so in writing to the Secretary. The President shall convene the Executive Committee to determine whether the charges should be investigated, and if so , it shall issue a written notice to both accused and accuser to appear before the Executive Committee in no less that ten (10) days to make a full statement concerning the subject matter of the charges. In the even the Executive Committee should determine the charges to be valid and substantiated it shall report its findings to the Board of Directors.
Section Nine - Reprimand or Expulsion: The Board of Directors shall have the power and authority, at any regular or special meeting of the Board of Directors to reprimand, expel or impose other sanctions on any member of the Association for violation of any bylaw or rule of the Association. Conduct deemed to be prejudicial to the present or future functions of the Association may be considered to fall within the scope of this section. If the Board of Directors should determine that any action, other than dismissal of the charges, is indicated, the accused shall be requested to appear before the Board after having been given at least twenty (20) days written notice of the charges and of the time, date, and place of the meeting. Any order of expulsion shall not take effect until approved by at least a majority

of the members present at any such meeting at which the matter is considered; however, suspension of the privileges of membership may be directed by the Board of Directors until membership approval of any such expulsion order which was directed by the Board of Directors.
ARTICLE IV (Board of Directors)
Section One - Number: The Association shall be governed by a Board not to exceed sixteen directors. Four of the directors shall be elected annually by the members present at the annual meeting for terms of three years.
Section Two - Vacancy: When a vacancy shall occur on the Board of Directors or in any office, the Board of Directors may fill such office by appointment for the balance of the unexpired term.
Section Three - Re-election Eligibility: No Director shall be eligible for re-election to the Board after having served one full term until one year shall have elapsed after the expiration of his term, except for the President, President-Elect, and Treasurer, who may appointed by the Board of Directors to serve beyond such three year period.
Section Four - Quorum and Notice: The Board of Directors, of which a majority shall constitute a quorum, shall hold meetings bi-monthly at a time and place to be fixed by call of the President or by order of the Board of Directors. Special meetings of the Board of Directors may be called by the President or by order of a majority of the Board of Directors upon reasonable notice to the directors. Notice of regular or special meetings may be by word-of-mouth, letter or telegram delivered not less that twenty-four(24) hours before any such meeting.
Section Five - Committees: The Board of Directors is authorized to appoint committees from among its members and from members of the Association and to prescribe the duties and responsibilities thereof, either standing or special committees.
Section Six - Rules and Regulations: The Board of Directors shall have the power, at any regular or special meeting of the Board, to prescribe rules or regulations for the government of the Association not in conflict with these bylaws.
Section Seven - Executive Committee: An Executive Committee is authorized to meet at the call of the President for conducting the affairs and business of the Association between meetings of the Board of Directors, subject to subsequent ratification by the Board. The Executive Committee shall consist of at least three directors, in addition to the President, President-Elect and Treasurer, a majority of whom shall constitute a quorum.
Section Eight - Director Responsibility: Any director who fails to attend three (3) consecutive meetings of the Board without excuse, may be removed from the Board of Directors of the Association by a majority vote of the remaining directors. The unexpired terms shall be filled by appointment of the Board of Directors.
ARTICLE V (Officers)
Section One - Executive Officer: The Executive Officers of the Association shall consist of a President, President -Elect, Treasurer and Secretary. Each year following the annual meeting of the members, the Board of Directors shall elect a President-Elect. Treasurer and Secretary, and the current President-Elect shall automatically become President of the Association for the ensuing year.
Section Two - President’s Term: The President shall not be eligible for re-election for a second term in the year immediately succeeding his term but shall remain a member of the Board of Directors with voting privileges for the longer of the remainder of his term as a member of the Board for which he was elected or a term of one year immediately succeeding his serving as President of the Association.
Section Three - Presidents Duties: The President shall preside at all meetings of the Association and of the Board of Directors and Executive Committee, and shall maintain general supervision of the affairs of the Association, report to the Annual Meeting and perform the duties which usually pertain to the office.
Section Four - President-Elect’s Duties: The President-Elect shall assume the duties of the President in the absence or disability of the President. The President-Elect shall succeed to the office of the President upon the expiration of his term of office, or in the event of the death, resignation, removal or incapacity of the President.
Section Five - Treasurer’s Duties: The Treasurer shall be custodian of the funds, securities and property of the Association, attending to their collection preservation and disbursement. Disbursement of funds shall be only authorized by the Board of Directors.
Section Six - Secretary’s Duties: The duties of the Secretary shall be those usually pertaining to that office, including

keeping the minutes of the meetings of the Association and of the Board of Directors and Executive Committee, or designation a party to perform such function, keeping the membership records and conducting of such correspondence as may be delegated to the Secretary by the Board of Directors. The office of the Secretary may be held by the fieldman employed by the Association as such when so elected by the Board of Directors.
ARTICLE VI (Indemnification)
Section One - Limitation of Liability: To the full extent that Va. Code § 8.01-220.1:1 and the Virginia Nonstock Corporation Act, as the same exist on the date hereof or may hereafter be amended, permits the limitation of elimination of the liability of directors or officers, a director or officer of the Association shall not be liable for damages in any proceeding against him.
Section Two - Indemnification for Liability: The Association shall indemnify any director of officer of the Association who is or was a party to any proceeding by reason of the fact that he is or was such a director orofficer, and shall indemnify any director or officer of the Association who is or was serving at the request of the Association as a director, officer, partner, trustee, employee or agent of another corporation, partnership, joint venture, trust, employee benefit plan or other profit or not-profit enterprise, against all liabilities and expenses incurred in the proceedings, except such liabilities and expenses as are incurred because of his willful misconduct or knowing violation of the criminal law.
Section Three - Determination to Indemnify: Subject to the provisions of Section Seven of the Article, a determination to indemnify, a director of officer under Section Two of this Article shall be made, in the first instance, by a majority vote of a quorum of the Board of Directors, such quorum consisting of disinterested directors. If a quorum consisting of disinterested directors cannot be obtained, then the determination shall be made by majority vote of a committee designated by the Board of Directors (in which designation of interested directors may participate), the committee to consist solely of two or more disinterested directors. If such a committee cannot be designated, the determination shall be made by special legal counsel selected by a majority vote of a quorum consisting of disinterested directors, or, if the same cannot be obtained, by the committee described above. If neither a quorum consisting of disinterested directors or the committee described above can be obtained, the selection of special legal counsel shall be made by majority vote of the Board of Directors (in which selection interested directors may participate). Notwithstanding any other provision of this Article, in any instance, the determination to indemnify a director or officer may be made by vote of the members, except that interested directors of officers may not vote.
Section Four - Advances and Reimbursements of Expenses: Once a determination to indemnify has been made pursuant to the provisions of Section Three of the Article, the Association shall make advances for expenses of, and reimbursements for expenses incurred by, and director or officer in any proceeding described in Section Two of the Article, upon receipt of an undertaking from the director or officer to repay the same if it is ultimately determined that he is not entitled to indemnification. Such undertaking shall be unlimited, unsecured general obligation of the director or officer and shall be accepted without reference to his ability to make repayment. The director of officer also shall furnish the Association with a written statement of his good faith belief that he has met the standard of conduct described in Va. Code § 13.1-876, as amended.
Section Five - Indemnification of Agents and Employees: The Board of Directors may cause the Association to indemnify and make advances and reimbursements to any person not specified in Section Two of this Article who was or is a party to any proceeding by reason of the fact that he is or was an employee or agent of the Association, or is or was serving at the request of the Association as a director, officer, partner, trustee, employee or agent of another corporation, partnership, joint venture, trust, employee benefit plan or other profit or non-profit enterprise, to the same extent as if such person were specified as one to whom indemnification is granted in Section Two. The provisions of Section Two through Four of the Article shall be applicable to any indemnification, determination, advancements and reimbursements provided pursuant to this Section.
Section Six - Indemnification Insurance : The Association may purchase and maintain insurance to indemnify it against the whole or any portion of the liability assumed by it in accordance with this Article, and also may procure insurance in such amount as the Board of Directors may determine on behalf of any person who is or was a director, officer, employee or against of the Association or is or was serving at the request of the Association as a director, officer, partner, trustee, employee or agent of another corporation, partnership, joint venture,

trust, employee or agent of another corporation, partnership, joint venture, trust, employee benefit plan or other profit or no-profit enterprise, against any liability asserted against or incurred by such person in any such capacity, or arising from his status as such, whether or not the Association would have power to indemnify him against such liability under the provisions of this article.
Section Seven - New Majority of the Board of Directors: If there has been a change in the composition of a majority of the Board of Directors after the date of the alleged act or omission with respect to which indemnification is claimed, any determination as to indemnification, advancement or reimbursement of expenses with respect to any claim for indemnification, made pursuant to Sections Two or Five of the Article shall be made by special legal counsel agreed upon by the Board of Directors and the proposed indemnitee. If the Board of Directors and the proposed indemnitee are unable to agree upon such special legal counsel, the Board of Directors and the proposed indemnitee each shall select a nominee, and the nominees shall select such special legal counsel.
Section Eight - Applicability of this Article: The provisions of this Article shall be applicable to all actions, claims, suits or proceedings commenced after the adoption hereof, whether arising from any action taken, or failure to act, before or after such adoption. No amendment, modification or repeal of this Article shall diminish the rights provided hereby or diminish the right to indemnification with respect to any claim, issue or matter in any then pending or subsequent proceeding that is based in any material respect on any alleged action or failure to act prior to such amendment, modification or repeal. References in the Article to directors, officers, employees or agents shall include former directors, officers, employees and agents and their respective heirs, executors and administrators.
ARTICLE VII (Dissolution of Association)
Upon the dissolution of the Association, the Board of Directors shall, after making provision for the payment of all of the liabilities of the Association, dispose of all of the assets of the Association by transferring the same to the American Angus Association, or any successor organization with the same purposes, or if such organization is not in existence then to such organization or organization operated for the promotion of animals or agriculture products as shall at the time qualify as an exempt organization or organizations under Section 501(c)(5) of the Internal Revenue Code, or any amendments thereto, as the Board of Directors shall determine.
ARTICLE VIII (Amendment to Bylaws)
The bylaws of the Association may be amended by a majority vote of the members present at the annual meeting, or at any special meeting called for such purpose, provided that the subject matter of any proposed amendment shall be submitted in writing by the Secretary to the members of the Association not less than ten (10) days nor more than sixty (60) days prior to the meeting at which the proposed amendment is to be presented.

Lou Inzeo
Lou Inzeo grew up in Newark, New Jersey, where he graduated from high school in 1957. Much to the chagrin of his parents, he chose not to attend college, even though he had two separate scholarships for sports. Immediately after high school, Lou started a small business in the food distribution industry in New York City. He ran this business for many years, running as many as 13 trucks within the city. In addition to this, he also owned an auto repair business. If you know Lou, you know that there are two things that he loved: showing Angus cattle and auto racing. In the 1970s, Lou was full time in dirt track racing in New Jersey and New York, sometimes racing but mostly as a team owner. In 2014, he was inducted in the Garden State Automotive Hall of Fame. Lou moved to Pamplin, Virginia, in 1995 with his wife Barbara where he began his Angus career at Windy Hill Farm. Lou was a proponent of artificial insemination and embryo transfer, breeding cattle for the next show winner. As much as he loved the show ring, he loved the people that surrounded it. Many junior careers were on a springboard with Lou. He had many successes in the show ring, winning at least once the New York, New Jersey, North Carolina, South Carolina, Tennessee and West Virginia State Fairs with cattle he bred. In addition, he won countless county fairs across the mid-Atlantic. In 2001, Lou’s pride-and-joy, WHF Blockbuster, was the Reserve Champion Roll Of Victory Show Bull. He served the Virginia Angus Association selflessly for many years in various capacities, including designing the logo that we use to this day. Lou was very proud of the many juniors who helped him along the way. His love for the Angus breed was as genuine as they come. Lou passed away in April of 2024.
