INTRODUCTION As a valued licensee of Velocity Brand Management (VBM), we’re delighted to update you with some exciting changes to the business and some new opportunities for you for 2015. Whilst your primary contact with VBM remains your Licensing Manager, there are other developments within the VBM business that may be of interest. To support the continued separation of Velocity Brand Management Retail (VBMR) from VBM, we have relaunched the VBMR business trading name to INFINITE RETAIL (IR). Effective immediately this name change will be adopted across all retail references including but not limited to correspondence, logo application, commercial transactions and marketing. Infinite Retail has appointed David Tucker as Chief Executive Officer. David has worked in the sports industry for 17 years and brings with him a wealth of experience. His previous roles include Head of Commercial Operations at Football Federation of Australia, Managing Director of Manchester United Merchandising and Sports Marketing Director, Nike UK and Ireland. In addition to advising you of the above changes we also have some great new advertising opportunities for our highly valued licensees. The following proposal highlights those details.

By allocating content spaces on the webstore, we ensure the messaging, licensee branding and product-focussed material meets the market’s expectations. We excel in delivering timely, accurate and engaging content, that showcases the All Blacks brand and product. Our aim is to provide you the opportunity to showcase your product in a forum with guaranteed targeted traffic. Webstore communications must be clear, simple and regular, and entice the customer to not only visit allblackshop.com but to also buy product. The following standard conditions apply to every “Licensee Partnership Agreement” accepted by or contract entered into by Infinite Retail (hereinafter called “Infinite”) for the provision of all benefits and associated products.

PAYMENT
3. PRICE 3.1 The price for the Benefits shall be the price quoted in the Licensee Advertising Manual. Until an Agreement has become binding all prices are subject to change. 4. TERMS OF PAYMENT 4.1 Payment must be made in full on signing of the Agreement. 4.2 Should the Client fail to comply with the payment terms outlined within this Agreement, Infinite reserves the right, in its absolute discretion, to withhold, suspend or terminate the provision of benefits to the Client without formal notice. 5. CANCELLATION 5.1 Cancellation by the Client: a) Any cancellations must be in writing. b) If you cancel this Agreement prior to receiving any benefits mentioned above, Infinite will retain the 25% payment made upon signing and refund any monies paid over this amount; 5.2 Cancellation by Infinite: a) Infinite may cancel any assest or at its discretion offer alternative dates with notice if: i) The site is unfit for use or other reasonable cause, or; ii) You are in breach of any provisions of this Agreement. 5. TERMINATION 5.1 This Agreement may be terminated by Infinite, without notice, if the Client is in breach of any provisions of this Agreement.

2. OFFER AND ACCEPTANCE 2.1 Infinite shall supply and the Client shall receive the Benefits in accordance with any Agreement which is accepted by Infinite provided that no assets will be issued unless payment is received in accordance with these Conditions. 2.2 All Agreements are accepted subject to the Conditions. These Conditions override any other terms, conditions or warranties which the Client may subsequently seek to impose. 2.3 No variation or supplement to the Conditions shall be binding to Infinite unless expressly accepted by Infinite in writing. 2.4 Infinite reserves the right to terminate the Contract without prior notice in the event the Clients fails to comply with any of these conditions in any material respect.

6. GENERAL 6.1 It is a condition of sales that any of this Agreement or part thereof will not be resold, onsold, sublet or used to enhance the demand for other goods or Benefits, without the prior written approval of Infinite. Any breach of this clause will result in the cancellation of this Agreement without a refund. The Club agrees to provide the benefits as contained within the Agreement to the Client and the Client agrees to accept these terms and conditions. The Agreement shall commence from the date this form is signed and continues until the terms of the Agreement have been met.

The following standard conditions apply to every “Licensee Partnership Agreement” accepted by or contract entered into by Infinite Retail (hereinafter called “Infinite”) for the provision of all benefits and associated products.

1. DEFINITIONS 1.1 In the condition:“Assets” means any online advertising that have been purchased. “Condition” means a condition or clause of these conditions; “the Client” means the firm, company or individual from whom the Agreement is received “the Contract” means the Agreement and Infinite’s acceptance thereof together with the Conditions “the Agreement” means the completed Licenseee Partnership Agreement signed by the Client for the provision of the Benefits “the Benefits” means the benefits described in the Agreement to be supplied by Infiinite “the Site” means the website in which these assets are situated

PAYMENT
3. PRICE 3.1 The price for the Benefits shall be the price quoted in the Licensee Advertising Manual. Until an Agreement has become binding all prices are subject to change. 4. TERMS OF PAYMENT 4.1 Payment must be made in full on signing of the Agreement. 4.2 Should the Client fail to comply with the payment terms outlined within this Agreement, Infinite reserves the right, in its absolute discretion, to withhold, suspend or terminate the provision of benefits to the Client without formal notice. 5. CANCELLATION 5.1 Cancellation by the Client: a) Any cancellations must be in writing. b) If you cancel this Agreement prior to receiving any benefits mentioned above, Infinite will retain the 25% payment made upon signing and refund any monies paid over this amount; 5.2 Cancellation by Infinite: a) Infinite may cancel any assest or at its discretion offer alternative dates with notice if: i) The site is unfit for use or other reasonable cause, or; ii) You are in breach of any provisions of this Agreement. 5. TERMINATION 5.1 This Agreement may be terminated by Infinite, without notice, if the Client is in breach of any provisions of this Agreement.

2. OFFER AND ACCEPTANCE 2.1 Infinite shall supply and the Client shall receive the Benefits in accordance with any Agreement which is accepted by Infinite provided that no assets will be issued unless payment is received in accordance with these Conditions. 2.2 All Agreements are accepted subject to the Conditions. These Conditions override any other terms, conditions or warranties which the Client may subsequently seek to impose. 2.3 No variation or supplement to the Conditions shall be binding to Infinite unless expressly accepted by Infinite in writing. 2.4 Infinite reserves the right to terminate the Contract without prior notice in the event the Clients fails to comply with any of these conditions in any material respect.
