EMPLOYEE STOCK OWNERSHIP PLANS PROVE POWERFUL FOR COMPANIES

Across the Cornhusker State, employees are taking stock in their companies, quite literally, thanks to employee stock ownership plans (ESOP), which allow workers to influence and benefit from the company’s performance in the marketplace. Some of the companies offering such plans also report benefits including higher retention, productivity and morale among workers.
“One of the benefits of the ESOP model of employee-owners is everyone is in it for everyone,” said Jeremy Vokt, CPA, managing partner at Bland & Associates. “Everyone can directly see how they impact the company value. Everyone has a direct impact on their financial future as an employee-owner. This keeps the morale high, keeps the teamwork high.”
Bland & Associates implemented an ESOP in 2020 after years of discussion and planning. Vokt said that the team behind the plan aimed to differentiate the company to attract and retain talent.

“This all started with the three majority owners of the firm, Jason Tonjes, Troy McKinney and myself, wanting to break the mold of CPA firm ownership and transition,” Vokt said. “We began planning how to transition our ownership of the firm differently than other CPA firms in the industry do it. We started getting the ball rolling on the actual process to become an ESOP in late 2017 and early 2018.”
Plans found statewide
The firm is one of more than 70 firms in Nebraska offering such an ownership structure, per the National Center for Employee Ownership,
which keeps tabs on trends in U.S. ESOPs as reported to the U.S. Department of Labor. Per the latest figures, Omaha had 30 such companies and Lincoln had 15.
Vokt said the firm’s experience in setting up an ESOP was more complicated due to changes required in state law to do so.
“I first had to see how the Nebraska Board of Accountancy rules affected CPA firm ownership as an ESOP as each state’s ownership rules and regulations are different,” he said. “After reviewing the

regulations, it was determined we would need to work with the state board and their legal team to change the law to allow ESOPs to own CPA firms in the state.
“That was a process that took nearly a year to complete, to get the regulation drafted, sponsored, passed in the Unicameral and signed by the governor. All that concluded with the Unicameral passing the new law in January 2019 and then signed by the governor soon after. Once that was completed, we started analyzing the financial aspects of the transition to an ESOP.”
Once that hurdle was cleared, Bland & Associates developed a model for employees that rewrote the norm which had held sway over the industry for generations.
“The CPA firm industry is set up in a partnership world where, in a nutshell, employees work their way up the ladder from an associate to partner,” Vokt said. “Once you become a partner, there is usually some sort of buy-in and buyout that is industry-specific and unique to nearly each and every firm.
“Our firm wanted to do things differently. To us, all our employees across the board contribute to our company’s value, growth and culture and they all deserved to be employee-owners. This was one of the top reasons we chose the ESOP route; we pride ourselves on our culture and the longevity of our employees and those things go hand-in-hand with successful employee-owned companies.”
Fewer plans, more people
In the U.S. the practice is proving a mixed bag, with fewer companies offering ESOPs since 2000, yet more employees enrolled in the plans currently in force. Nationally, more than 6,500 plans cover 14.7 million participants, holding over $2.1 trillion in assets, as of 2024.
The practice is probably most common for owners transitioning into retirement and wanting to leave the firm in the hands of the people who helped build it, but in some cases, ESOPs are used to save a company from extinction in the event of a merger. Farmers National Co. rolled out its ESOP 24 years ago in response to then-owner Metropolitan Life Insurance Company’s announcement in 2000 of its intent to sell off the subsidiary.
“We were fortunate that a group of entrepreneurial employees stepped up to the plate during this time to purchase the company from MetLife and give us all the opportunity to become employee-owners,” said Paul Schadegg, senior vice president of FARM and Real Estate of Farmers National Co.
“[The plan] required extensive collaboration and commitment from senior leaders and employees over a several-month period but in the end, we were successful in negotiating the purchase of Farmers National Co. as an ESOP.”
Under the plan, which took nine months to create and implement, FNC employees are able to purchase company stock through their 401(k) plan once a year following the updated stock valuation. During the year an internal savings and investment plan committee provides education about stock ownership and the procedures necessary to buy and/or sell company stock.
Expertise is key
Schadegg said retaining competent outside professionals was key to the smooth rollout and sustained success of the ESOP program.
“Outside expertise is essential to get started on the right foot when moving into employee ownership. Everyone’s situation and goals are unique,” he said. “Farmers National Co. employees understood the potential of our business and wanted to be part of building a great company and culture. Our leadership team aligned itself with knowledgeable advisers to assist with negotiations and establish the new ownership structure.”
Mead Lumber implemented an ESOP, phasing in employees between 2000 and 2014, and is now 100% employee owned. While that process predates his time with the company, President David Anderson has seen the benefits of employees thinking and acting like owners.
“When people recognize the fact that they benefit directly through the value of the company, which is in the form of the stock value, it helps everyone focus on the big picture,” he said. “The trick is, once you recognize what you do every day and how the decisions you’re making every day benefit that overall growth, then you’ve got a connection. That connection is what brings people together to work together. It allows folks to focus in on the good of a whole.”
Anderson is quick to point out with roughly 1,400 employees in 53 operating units across nine states, the work of communicating the value of ESOP and how individual performance directly affects stockholders is never complete. He also noted that companies must think about such communication omnidirectionally, with top leadership as willing to listen as they are to direct.
“When people make the connection from that ownership standpoint, they want to share ideas and thoughts and ways to do better and to improve and make suggestions,” he said. “That’s a critical component for every company to have and so leadership has to be able to listen to folks throughout the organization on ways that the company can improve.
“From the C-suite, it puts the responsibility on us to create ways for people to communicate. As a company, we’ve developed a pretty flat organizational structure and so that helps. People want to offer those ideas and those suggestions because they’re more motivated and the onus is on us as leaders and fellow owners to listen.”
The Pros and Cons of ESOPs

Employee stock ownership plans (ESOPs) can give your business a competitive edge, and experts in the field note how many more organizations are giving them a second look.
Benefits include everything from tax advantages to employee benefits.
“ESOPs also can be a compelling incentive for hiring and retaining quality employees, resulting in a thriving and profitable business,” said Thomas S. McQueen, director and partner of Acclaro Valuation Partners.
Studies from the National Center for Employee Ownership (NCEO) in 2023 reported voluntary quit rates at ESOPs are roughly one-third the national average.
The study also noted that employee-owners boasted a reported median ESOP account balance of $80,500 versus non-ESOP counterparts (with a median balance of $30,000).
Dvorak Law Group Partner John Prososki said ESOPs promote an “ownership mentality” at every level, creating a strong foundation for continued success and growth.
“In the right situation, an ESOP can be a ‘win-win-win’ for company owners, companies and for employees,” Prososki said.
“An ESOP can provide an owner approaching retirement with an excellent exit strategy, particularly if the owner is concerned about taking care of the company’s employees following the owner’s exit and if the owner is interested in preserving the ‘legacy’ they have built.”
He referred to how the sale of an ESOP allows the owner to obtain liquidity for retirement, rewards the company’s employees with ownership of the company and preserves the culture by turning operations over to the same trusted management team.

“Employees, likewise, can benefit from a sale of the company to an ESOP,” Prososki said. “A sale to an ESOP, instead of to a third-party strategic buyer or private equity investor, is most likely to preserve the employees’ jobs and the culture of the company which made the company successful.”
However, selling a company to an ESOP can be complicated, to say the least.
“A sale to an ESOP involves all the typical tax and legal considerations involved in any other sale of a company; however, given that an ESOP is a type of employee benefit plan, ESOPs are heavily regulated, and there is an entire additional layer of tax and legal complexities under the federal tax code and ERISA (Employee Retirement Income Security Act of 1974), which must be considered when contemplating a sale to an ESOP,” Prososki explained.
Following the sale, he said there are ongoing requirements that need to be met to maintain compliance, including the completion of an annual validation of the company stock.
Longevity of Employee Ownership in the Midlands

ESOPs are by no means new. However, the growth in The ESOP Association alone is demonstrating its appeal and demand in the present day.
“The ESOP Association’s Iowa and Nebraska Chapter was formed in the early 1990s,” said Vice President, Chapters and Educational Programs Dan Marcue.
“For context, TEA’s Chapter program began in 1986 with the launch of the California chapter. What began as a relatively small chapter has grown to approximately 150 members, including ESOP companies and professional service providers.”
In fact, Marcue noted how the local chapter is among one of the most engaged of The ESOP Association’s 19 total chapters, boasting two annual conferences and other educational, networking and social events throughout the year.
“There is a lot of excitement about ESOPs in both states, especially at the grassroots level where passionate advocates and volunteer leaders are driving growth at our Iowa and Nebraska Chapter and raising greater awareness of ESOPs and employee ownership,” he said.
“The momentum for ESOPs in the region has carried into state governments as well, with Iowa Governor Kim Reynolds and Nebraska Governor Jim Pillen both officially proclaiming October as Employee Ownership Month in their respective states.”
Marcue said more business owners are realizing the ESOP model is a great

“There are more than 76,000 active ESOP participants in Iowa, with the largest being Casey’s General Stores,” he said. “In 2021, total ESOP distributions were $889 million.”
Manufacturing, finance, insurance, and construction made up the top industries for ESOPs in Iowa.
“Nebraska has more than 20,000 active ESOP participants, the largest being HDR, Inc.,” Marcue added. “In 2021, total ESOP distributions were nearly $570 million.”
Professional, scientific, and technical services; manufacturing; and construction represented the top ESOP industries in Nebraska.

Dvorak Law Group has observed a growing interest in ESOPs in Nebraska and nationwide, too, according to Partner John Prososki.

Like virtually everyone else with a vested interest in the growth and success of Sarpy County, Karen Gibler has a lot to smile about these days, from explosive population growth to the additional businesses and residential rooftops towed in its wake.
“In Sarpy County, there are several large developments on the move,” said Gibler, president of the Sarpy Chamber of Commerce. “Projects at 72nd and Capehart and 84th and Highway 370 are examples of mixeduse developments. The community is preparing for additional schools with all the new neighborhoods being built.”
Fastest growing county
Thought to be a well-kept secret often in the shadow of Douglas County, Sarpy County has steadily worked its way into the economic

spotlight. During the past two years, the county’s momentum has reached ramming speed with no indication that the positive momentum will be slowing down soon.
The third largest county in the state, Sarpy has an estimated 2024 population of 203,400, up 1.73% in the past year, per the U.S. Census Bureau. The county’s population is up over 27% since 2010 when the population was under 160,000 residents.
“Sarpy County and its five cities have been aware of the potential for growth, therefore all have been coordinating the plans to accommodate that growth for the next 20 years,” Gibler said. “Each city does a comprehensive plan that is adaptable with the needs of the community. It is a tremendous achievement the way the cities and county work together planning the sewer system, roads and so much more.”
While it’s hard to say which is the chicken and which is the egg, suffice it to say the number of people, amenities and businesses have

grown correspondingly from new supersized grocery stores and retail to residential developments and attendant recreational amenities, green space and parks.
“We offer a small town feel with the amenities of a large town,” Gibler said. “We have gained some nice projects over the years that required a lower labor force such as the data centers, but now with the housing growth, we are able to support large companies such as Amazon.”
Business and nonprofit benefit
Ken Mar, area director for Habitat for Humanity of Omaha, said the growing presence of businesses also bodes well for the county’s nonprofits.
“It’s becoming more and more evident not only for volunteers, but from a corporate sense,” he said. “We’ll always have the private donors, individuals like you and I, but really it’s the corporate donors that have really stepped up and where we’re seeing a lot of partnerships.”
A foremost example of this, is the partnerships that are starting to come online with local developers to include Habitat homes in residential developments.
“The issue has always been finding that public-private type of
partnership and how do we actually gain a foothold and partner with a developer, and partner with a builder who says they’re going to help Habitat and help overall housing and livability,” he said. “Lo and behold, by the grace of God, that’s starting to be answered.”
Denny Sciscoe, director of industrial services at Cushman & Wakefield/The Lund Co., said as a commercial real estate broker, he hears from expanding and relocating companies all the time about the logistical virtues Sarpy County holds.
“There is a section of Sarpy where Interstate 80, Highway 370 and Highway 50 connect,” he said. “It’s sort of been the hot spot for development and developers, to have that kind of access. You also have the land that is available that’s on the outskirts of the city. You’re not doing infield development, you’re taking greenfields and turning them into developmental land mixed with access to labor. That’s all sort of the catalyst for the development.”
Sciscoe said development is happening to accommodate both existing businesses experiencing growth and new companies looking to come in.
“There are developers looking for ground that want to develop speculative industrial buildings for tenants,” he said. “It’s a mix of local companies expanding and new national tenants that are coming into the

Infrastructure issues
Conversely, keeping up with this breakneck pace has been a challenge, Sciscoe said, noting infrastructure such as adequate roads and sewer is a current priority, which is not news to county leadership.
The Sarpy County Board of Supervisors approved the 2025 budget loaded with improvements to accommodate growth. Among the expenditures: $41.6 million on roads, $3.2 million for sewer improvement and $5 million for one-time, critical projects, funded by American Rescue Plan Act dollars.
Appropriations also added $3.8 million to the budgetary reserve to support future needs, fortifying the county’s AAA bond rating awarded by Moody’s. This best practice signals the county’s strong financial position, improving the ability to bond for infrastructure needs.
Perhaps most impressive of all is the county’s ability to attract the needed labor to fuel the growth and expansion, something with which companies coast to coast are struggling to adequately do.
Lisa Scheve, executive director for Grow Sarpy, said while the effort to grow headcount is ongoing, she’s proud of the progress made thus far to supply the county’s businesses with prospective employees.
“Sarpy County benefits from an exceptional regional talent pool, and our high workforce participation rate shows that our residents are both willing and ready to work,” she said. “One of the key reasons for our success in attracting and retaining labor is the strong quality of life we offer, which continues to draw families and professionals to the area.
“Our top-tier school system, diverse housing options, great neighborhoods and access to parks, trails and recreational facilities contribute to the high quality of life we offer. We provide a unique combination of urban amenities and a welcoming, family-friendly environment.”
Thinking ahead
Scheve also noted the forward-thinking recruitment and retention efforts of companies themselves.
“We’re also seeing more employers exploring creative strategies to draw in talent, such as providing flexible shift options or implementing homeownership assistance programs,” she said.
“Employers recognize that supporting their employees both on and off the clock is essential to retaining a strong workforce. Employers also recognize that investing in their employees’ quality of life is just as important as what happens during work hours.”
While applauding the county’s budget that invests heavily in infrastructure, Scheve also said leadership must continue to keep its eye on the ball if it is to sustain its hard-won momentum.
“Collaboration is happening across the county to identify ways to streamline processes and ensure we’re building for long-term sustainability,” she said.

TRANSCEND THE FIELD AS A CATALYST FOR COMMUNITY GROWTH

There are numerous ways for President and General Manager Martie Cordaro to quantify or qualify traction associated with the Omaha Storm Chasers and Werner Park.
But, when asked about the greatest source of pride or most revealing indicator of progress, Cordaro didn’t mention his leadership. He didn’t mention leading the organization with the top 10 highest revenue seasons for the franchise. He didn’t list off a series of visitor counts or dollars and cents.

Instead, he referenced another addition to the growing county’s growing sports scene.
“One signal that Sarpy is becoming a destination for sports is LOVB Volleyball placing their training facility in Gretna along Highway 370,” Cordaro said.
On Oct. 1, League One Volleyball (LOVB) officially announced it is breaking ground on a 66,000-square-foot training facility at Gretna Landing. Reportedly, the female-led professional women’s volleyball league selected the location for its potential to drive interest and foot traffic within a burgeoning retail area, which also provides an easy commute for athletes and families at the center of 192nd Street and Highway 370.
“Back in 2008/2009 when we made the decision to move to Werner Park, Highway 370 was vastly different to how it is now … and with LOVB Volleyball making their announcement, it speaks volumes to how the community has grown,” Cordaro added.
While everyone knew the Charles Schwab Field Omaha (formerly TD Ameritrade) was under development to host the NCAA Men’s College World Series, Cordaro indicated Werner Park wasn’t such a certainty before its opening in 2011.
He noted how other venues across the metro may not have happened “without the county, at that time, being visionary.”
The franchise shows no sign of slowing down, as it transitions to a new chapter in its 64-year history, courtesy of Alliance Sports. In late September Alliance Sports announced its plans to sell the team to Diamond Baseball Holdings.
“We’re excited to welcome Diamond Baseball Holdings to the metro area, to be their 36th club and a part of their growing minor league baseball family,” Cordaro stated.

“What they bring most to the community is the collective knowledge base, as well as their executives — they have hired some of the best and brightest in the sports entertainment industry,” Cordaro said. “In a more broad sense, they see this as a stable yet continually growing community.”
To the latter point, the announcement noted that the Omaha Storm Chasers boast the longest affiliation of the Triple-A teams, tracing its relationship with the Royals back to 1969.
Over the years the franchise has made its mark on the community. Across its first five seasons alone, its estimated economic impact transcended $87 million. There are 30 full-time staff members, and it employs 350 people for game days and part-time help.
To Cordaro’s former point, it was noted that DBH is committed to enhancing the fan and player experience, while also honoring “each club’s unique identity.”
In January, Alliance Sports announced plans to relocate Union Omaha from Werner Park to its own, new 7,000-seat soccer stadium along Abbott Drive in downtown Omaha. The projected impact is an astounding $99 million to the state and $168 million to the city.
The stadium is slated to be the centerpiece of a broader $300 million, 18-acre mixed-use development, with a projected total impact of $200 million and 450 new jobs.
Cordaro, who also serves as Union Omaha president, referred to how the new stadium is poised to further build upon Union Omaha’s growth, as well as accommodate a new women’s soccer team, youth academy, and special and community events. He also alluded to the area’s attractiveness to a younger demographic as they look five to 15 years down the road.
“It’s an exciting time to be in the Omaha metro area,” he said.

Coffee Alley CREATING A SPACE FOR COFFEE, CULTURE AND COMMUNITY
Stemmed from a mutual love of coffee and their culture, two high school friends reunited to open Coffee Alley in June 2023.
Passion for coffee
Yasmin Payan-Vega and Rosio Granados Trejo met during their senior year of high school and went their separate ways for college. Years later they reconnected and decided to go into business together to create a space for community.
“We wanted a safe space for families, friends and kids to come in and feel comfortable,” Payan-Vega said. “We as Latinas know our families always come first. We always enjoy coffee time in the evening, discussing our days with our family.”
Granados Trejo, who began working at coffee shops during college, said she thought about owning her own business one day, but was “thinking in retirement.”
Payan-Vega reached out to Granados Trejo in 2021. With a shared
passion for coffee, they collaborated on a business plan.
On June 10, 2024, Payan-Vega and Granados Trejo won one of two top awards in the No More Empty Pots and Midwest Dairy Pitch Contest, which provided additional business mentoring and marketing opportunities.
Coffee Alley, also known as Callejón Del Café, has open spaces with bright green, yellow, red, purple and light blue chairs.
There is both a young adult reading area, and a children’s corner with books and a chalkboard contributing to the family-oriented atmosphere.
Friends can hang out on the couches while sipping one of the signature drinks like Dulce De Leche Latte or Lavender Matcha. Coffee and non-coffee are served with a cultural flair like dairy-free horchata and mini conchas.
“Conchas translates to seashells,” Payan-Vega said. “We wanted to serve pastries in a way that was healthier for the community than the traditional larger-sized Mexican sweetbread.”
There aren’t coffee shops in Omaha that feature concepts inspired by the choices that we have in our culture.

Community and family
Located at 7310 Harrison in Ralston, the coffee shop is open Monday to Friday, 7 a.m. to 8 p.m., Saturday 7 a.m. to 5 p.m. and Sunday 8 a.m. to 5 p.m. The co-owners attribute their success to community outreach efforts, including a young adult book club, Literacy Month activities, and partnerships with charities such as Mustaches for Kids Omaha.
“The youth is our tomorrow,” Payan-Vega said as she held her 6-monthold son, Emilio. “With technology today, I feel like literature is going away. Reading books is the way to go, and it’s just very important for their growth, for the future and for our own well-being.”
Coffee Alley’s six part-time employees are mostly family, Granados Trejo said. They take pride in their interactions with customers and vendors, with whom they can network.
“We are one family here too,” Granados Trejo said. “We work with local vendors around the holidays and have them display their items every day.”
The duo took careful consideration in finding the right location. It’s close enough to the University of Nebraska Omaha, yet in a neighborhood with no other coffee shops.
It gives students a place to gather and study, Payan-Vega said.
Cultural vision
Coffee Alley showcases Mexican culture by offering popular drinks with a twist, according to Payan-Vega.
Granados Trejo creates recipes based on ideas shared by baristas and customers. For example, Strawberry Horchata with Matcha, which is a crowdpleaser, is pink and green on top.
“There aren’t coffee shops in Omaha that feature concepts inspired by the choices that we have in our culture,” Payan-Vega said, such as the ChocoMazapan.
It is reminiscent of Mexican candy “that we eat as kids and adults. It’s very nostalgic,” Payan-Vega added.
Granados Trejo said happy customers bring them joy, but running a business does bring some stress.
“We knew we’d be happy that we have finally gotten to make our dreams come true, because not everybody gets to do that,” Granados Trejo said. “But we knew that it wasn’t just going to be rainbows and happiness.”
Granados Trejo discussed the initial challenges with contractors in designing the space and integrating their culture.
“In their eyes we weren’t experienced enough to know what we wanted,” Grandos Trejo said.
However, with Payan-Vega as the design expert, they were confident of the vision for Coffee Alley and executed it as planned.
Granados Trejo said that with a five-year lease, they look forward to serving the community and building a family-centered brand.
“Here you’re in a place where we want to make relationships with our customers and get to know them. If somebody comes in and they need help, we’re open to hearing their conversation,” Peyan-Vega said.

About the business model of your franchise:
Concrete Craft has over 80 locations in the U.S. and Canada. Our territory covers much of eastern Nebraska, including Lincoln, Gretna, Bellevue, Papillion, and surrounding areas. We have an amazing support team and training center helping to ensure our success on projects and as a business.
Why did you choose this industry?
Initially, we were looking for a business opportunity to invest in with no set preference for the industry. The Concrete Craft opportunity looked like a good fit with my background in the construction industry and as a business growth and strategy consultant. Not having to learn the ins and outs of another industry seemed like a better way to get up and running quicker and focus on growing the business.
Why did you choose this franchise?
Concrete Craft seemed like the best fit when all things were considered. As we learned more about the franchise and opportunity, it was something we could get excited about. A big part of making the final decision to move forward was after talking with some other franchisees around the country and hearing firsthand what they liked, disliked, challenges and successes they had as owners. Beyond the support of the home office, I quickly realized there was an entire network of support available through the other locations.
What was the process of starting your franchise?
Our journey to becoming a franchisee started with an introductory call with a franchise consultant/coach (Blake Martin of FranNet), who helped us explore the various opportunities and guided us through the process. Our biggest challenge is finding enough of the right people to join our team. While finding and hiring employees is challenging for many businesses, our industry isn’t very glamorous. There are some long hot days working outside, you end up pretty messy on some projects, and some work can be physically demanding. All of these create an additional challenge when hiring and retaining employees. Luckily, we have a solid core team to build upon as we progress and grow. Another challenge we have faced is some seasonality in our work. Many of our projects are outside; as you know, outside work isn’t done year-round in Nebraska. We have had to think outside the box and market interior solutions such as stained, sealed and polished concrete to keep our employees busy throughout the winter months.
What have been your biggest wins?
Our biggest wins have come this past year. We took on some large commercial projects that challenged our whole team, allowing us to see the successes we can have when we work as a team. Another big win is the amount of interior work we have secured, ensuring we can keep our team working through the winter.
How have you grown?
Over the four years we have been in business, we have grown in many ways. Of course, as a business owner, I look at financial growth; each year, we have increased revenue and are now focusing on growing our profits. Financial growth is one of many markers of success. We have continued to increase the size and complexity of the projects we pursue and are being sought out for our ability to tackle the projects others shy away from.
What does the future hold?
I am excited about what the future holds for Concrete Craft of Lincoln. We have a solid core team to build upon as we grow. With some of our new products and systems available to our customers, we have provided them with the most economical solution for their needs.

Stop Thinking Linearly in an Exponential World
We’re living in a time of exponential change. It started decades ago with the introduction of the personal computer and the internet, and it’s continuing with newer technologies like cloud computing, electric cars, and artificial intelligence. However, forecasters are still largely thinking in a linear fashion, especially on Wall Street. The natural tendency is to look at recent history and extrapolate what’s currently happening into the future. It’s the safe play because those that attempt to think exponentially are often ridiculed or even dubbed frauds. Linear forecasts get a pass, even if they prove less accurate.
During this time of exponential change, we think a heavy dose of humility can serve your investments well. No one knows what the future holds, but keeping an open mind and recognizing that rapid change is afoot can be a great start for considering the possibilities of what’s to come. A great example of this is what’s happened in the solar industry.This chart fascinated us for two reasons. The obvious one is how rapidly solar installations have grown over the past 10 years. However, what really stuck out was how bad the forecasters
got it wrong. Like many emerging technologies, solar began as being very expensive and cost prohibitive for most. Forecasters assumed some price reductions and adoption rising at a constant rate of change. Most had solar adoption leveling out and maturing by 2015. Instead, solar costs plunged 90% over the past decade, and the adoption of solar exploded higher. The reality ended up being 3x higher than forecasts.
Understand that many on Wall Street also think linearly. Market strategists and economists lean heavily on the past to instruct what’s likely to happen in the future – even though capital markets are extremely young in the scope of human history. Analysts arrive at a stock’s “fair value” estimate using financial models with steady growth forecasts that decelerate and mature in short order. This type of thinking has led to a lot of missed opportunities, whether that’s not participating in the biggest market winners over the past decade or selling stocks because the market’s valuation appears rich.
We live in exciting times. Every company and industry are undergoing pronounced change. Thinking exponentially may lead to overly optimistic forecasts at times. However, we believe that it’s going to lead to much better investment decisions versus the alternative.
In markets, it’s better to be directionally right than definitively wrong.

You began with CrossMed just four years ago as the Director of Sales, rising to Chief of Sales before being named President earlier this year. What originally drew you to CrossMed, and what has inspired you to stay with the company?
What initially drew me to CrossMed was the chance to go into business with people I trusted, who shared my passion for offering others the same opportunities I was given in this industry. Growing up in health care staffing was life-changing; some of the most amazing people in my life came from it. I had mentors who constantly pushed me to the next level, and I wanted to step out of my comfort zone to create opportunities for others to experience what I did. The inspiration is simple: it’s the people who walk into this office daily and work together. We’re not perfect, but we have amazing individuals who give their all for their team and for CrossMed every day. That’s truly inspiring.
What’s the most important thing to remember as a leader?
As a leader, the most important thing to remember is the daily sacrifice and humility it takes to make an impact. It may sound like coach-speak, but when leaders truly get over themselves, they open the door to having a positive effect on those around them. Leadership doesn’t mean having all the answers; it means being determined to find them through collaboration and providing your team with the tools and support they need to succeed.
Job swap: if you could do any other job, what would it be and why?
This is fun—I would coach high school basketball for a living. I absolutely love basketball and coaching. I enjoy taking a team with a shared goal at the start of the season and working hard every day to achieve success. It’s about teamwork, the effort, and the blood, sweat, and tears — not for individual recognition, but for team success. I coach youth sports, and there’s no better feeling than seeing young people develop confidence and self-belief through hard work.

What is the best piece of advice someone has given you?
Two pieces of advice have stuck with me in my career. The first is from my dad, my hero, who always tells me, “Go slow and drink lots of water.” I didn’t understand it until later in life. I tend to get excited and develop tunnel vision—I still do. I’m fortunate to have people around me who help me see my blind spots, slow me down, and give me perspective. It’s about taking a deep breath and seeing the bigger picture so you’re prepared for all the information coming your way. The second piece of advice is from Andy Frisella, who said, “Motivation is fleeting, so when it’s gone, you need the discipline to do what you know needs to be done, even when you don’t feel like it.” I think about that constantly in both my personal and professional life.

A friend or family member is in town for the first time. Where are you taking them for food and/or entertainment?
When friends and family are in town, we’re heading to Pitch for great food and a couple of cocktails. Then, we’ll sneak over to Let It Fly to catch some football, basketball, or golf. NEW CHILDREN’S MUSEUM, HIGH-RISE APARTMENTS POISED TO TOP $200M

It started nearly a half-century ago as a traveling show in a station wagon, and a few transitions later, it settled in a revamped car dealership.
Now the Omaha Children’s Museum is moving on up — to a more touristy downtown, where its roughly $113 million new home is poised to rise four stories alongside another project also announced last week.
Slated to join the museum on the three-acre site at Eighth and Douglas Streets is a NuStyle Development apartment building called The Beam. Stretching 16 levels high with 261 residences and a pool, the developer estimates his price tag at $87 million.
The pair of projects, along with parking garages to be funded and operated by the City of Omaha, are to be built on city property bordering Heartland of America’s Park at The Riverfront, on the north side of Douglas Street.
If all goes as planned, the 75,000-square-foot museum is to open in late 2027 and the market-rate apartments in 2028.
In the action
Fawn Taylor, chief executive officer of the Children’s Museum, says the move will allow her team of about 48 full-timers and 28 part-timers to expand in number and better serve and appeal to youngsters and their caregivers.
Although the new riverfront digs will be 15,000 square feet larger than the existing museum at 20th and Howard streets, Taylor expects it to seem like much more. Unlike the current facility, which was repurposed, the new structure will be purpose-built with input from early child care experts.
“Nebraska is home to some of the nation’s leading experts on early childhood development, who are working with us to plan for the new museum, from the building to the exhibits to the programming,” she said.
Taylor expects greater accessibility along the planned streetcar route and the ORBT bus line.
“By being in the middle of all of the things happening on the Riverfront, the skate ribbon, the Kiewit Luminarium, the parks, hotels and new development, we also will have more foot traffic,” said Taylor.

Programming, outreach and admission will tap into diverse communities, she said, including those typically underserved.
The new museum is to be funded with private and philanthropic dollars. Partners include nonprofit Heritage Omaha. Longtime backers and volunteers Susan and Mike Lebens have a lead role and have spent the past year traveling to other children’s museums.
Susan Lebens said supporters are confident that Omaha’s new hands-on, interactive museum will be “incredibly fun and full of learning opportunities that [are] unlike anything else in the country right now.”
Said Lebens: “We’re proud to play a role in taking what started in 1976 as a children’s museum operating out of a station wagon into its next chapter, ensuring it can serve area children and their caregivers for generations to come.”
‘Year-found, family-friendly’
Omaha Mayor Jean Stothert joined museum officials in announcing the projects, which she expects will add to the downtown momentum.
“This entire development fits right in with all the year-round family-friendly activities at the surrounding parks, museums and entertainment venues downtown,” said Stothert.
For its part, the City of Omaha is to build and operate two garages and a surface lot offering a total of about 600 stalls for use by tenants, museum patrons and the public. The city is to pay $26 million, using lease purchase bonds.
One of the planned garages is a stand-alone, multi-level structure on the northeast portion of the site that is to hold about 310 cars. Roughly 90 surface area stalls are to be linked to that facility.
The other garage area is the bottom four levels of The Beam apartment high-rise. Those floors are to contain about 200 stalls.
On top of the parking floors, NuStyle plans 12 stories of wood timber apartments. The developer has applied for $13 million in public tax-increment financing to help defray its costs of the development.
“We know that the new City of Omaha parking garage will get plenty of use from museum guests, Beam tenants and everyone visiting downtown,” Stothert said.
Todd Heistand, who owns NuStyle with his wife, Mary, said the project would not be possible if not for TIF and the streetcar.
One of the city’s oldest and busiest developers of the urban core, NuStyle requested $26.5 million in tax-increment financing to help pull off the Duo, which is to be done in phases and to be completed in 2027.
Redevelopment agreements for the museum and the apartments are expected to go to the Omaha Planning Board in November and the City Council in December.
Children’s Museum leaders said the museum will continue to operate at its current location during fundraising for and construction of the new space.

Be it enacted by the people of the State of Nebraska,
Section 1. (1) The Legislature finds that: (a) Funds appropriated for the education of students in kindergarten through twelfth grade are for a fundamental public purpose of state government and constitute an ordinary expense of state government; (b) Enabling the greatest number of parents and legal guardians to choose among quality educational opportunities for children will improve the quality of education available to all children; (c) Privately operated elementary and secondary schools in Nebraska satisfy the state’s requirements for legal operation and provide quality educational opportunities for children; (d) Parents and legal
guardians of limited means are less able to choose among quality educational opportunities for their children; and (e) Making it possible for more parents and legal guardians to be able to choose privately operated schools benefits Nebraska parents and taxpayers. (2) For purposes of this section: (a) Education scholarship means a financial grantin-aid to be used to pay all or part of the cost to educate an eligible student attending a qualified school; (b) Eligible student means a resident of Nebraska who: (i) Is receiving an education scholarship for the first time and is (A) entering kindergarten or ninth grade in a qualified school or the first grade level offered by the qualified school, (B) transferring from a public school at which the student was enrolled for at least one semester immediately preceding the first semester for which the student receives an education scholarship to a qualified school and is entering any of grades kindergarten through twelve, or (C) a member of an active duty or reserve military family transferring into Nebraska from another state or another country and is entering any of grades kindergarten through twelve in a qualified school; (ii) Has previously received an education scholarship under this section and is continuing education at a qualified school until such student graduates from high school or reaches twenty-one years of age, whichever comes first; (iii) Has previously received an education scholarship under the Opportunity Scholarships Act, as such act existed prior to its repeal by this legislative bill, and is continuing education at a qualified school until such student graduates from high school or reaches twentyone years of age, whichever comes first; (iv) Is the sibling of a student who is receiving an education scholarship and resides in the same household as such student; or (v) Is currently enrolled in a qualified school and is a member of a family whose household income is no more than two hundred thirteen percent of the federal poverty level; and (c) Qualified school means any nongovernmental, privately operated elementary or secondary school located in this state that (i) is operated not for profit, (ii) complies with the antidiscrimination provisions of 42 U.S.C. 1981, as such section existed on January 1, 2024, (iii) complies with all health and life safety laws or codes that apply to privately operated schools, and (iv) fulfills the applicable accreditation or approval requirements established by the State Board of Education pursuant to section 79-318. (3) The State Treasurer shall establish a program to provide education scholarships to eligible students to pay the costs associated with attending a qualified school. Under such program, the State Treasurer shall: (a) Establish a priority system for awarding education scholarships under the program. Such priority system shall: (i) Give first priority to: (A)
Eligible students who received an education scholarship under this section or under the Opportunity Scholarships Act, as such act existed prior to its repeal by this legislative bill, during the previous school year; and (B) The sibling of a student who is receiving an education scholarship, so long as the sibling resides in the same household as such student; (ii) Give second priority to: (A) Eligible students whose household income levels do not exceed one hundred eighty-five percent of the federal poverty level; (B) Eligible students whose application for the enrollment option program established in section 79-234 has been denied; (C) Eligible students who have an individualized education program; (D) Eligible students who are experiencing bullying, harassment, hazing, assault, battery, kidnapping, robbery, sexual offenses, threat or intimidation, or fighting at school; (E) Eligible students who are in foster care; and (F) Eligible students who are in a family with a parent or guardian in an active duty role in a branch of the armed forces of the United States or in the National Guard, or whose parent or guardian was killed serving in the line of duty; (iii) Give third priority to eligible students whose household income levels exceed one hundred eighty-five percent of the federal poverty level but do not exceed two hundred thirteen percent of the federal poverty level; and (iv) Give fourth priority to eligible students whose household income levels exceed two hundred thirteen percent of the federal poverty level but do not exceed three hundred percent of the income indicated in the income eligibility guidelines for reduced price meals under the National School Lunch Program in 7 C.F.R. part 210; (b) Limit the maximum scholarship amount awarded to any eligible student to the cost necessary to educate the eligible student at the qualified school such student attends; and (c) Limit scholarship amounts awarded to eligible students in a manner that assures that the average of the scholarship amounts awarded per student does not exceed seventy-five percent of the statewide average general fund operating expenditures per formula student for the most recently available complete data year as such terms are defined in section 79-1003. (4) The annual limit on the total amount of education scholarships awarded under this section for fiscal year 2024-25 and each fiscal year thereafter shall be ten million dollars. (5) On or before December 1, 2025, and on or before December 1 of each year thereafter, the State Treasurer shall electronically submit a report to the Governor and the Legislature that includes the following:
(a) A summary description of the State Treasurer’s policies and procedures for awarding education scholarships; (b) The number of eligible students receiving education scholarships in the most recent fiscal year; (c) The total amount of education scholarships awarded in
the most recent fiscal year; (d) The number of eligible students currently wait-listed or denied from receiving an education scholarship and the reason for the wait-listing or denial; and (e) The demographic information of eligible students receiving education scholarships, including, but not limited to: (i) Income level; (ii) Grade level; and (iii) Geographic location. (6) The State Treasurer may enter into contracts with up to three program managers for the purposes of carrying out the education scholarship program described in this section. (7) It is the intent of the Legislature to appropriate ten million dollars from the General Fund for fiscal year 2024-25 and each fiscal year thereafter to the State Treasurer for the purpose of providing education scholarships as provided in this section. (8) Up to seven and one-half percent of the funds appropriated for purposes of this section may be used by the State Treasurer, or by the program managers with which the State Treasurer contracts, for administrative expenses. (9) This section shall not be construed as granting any expanded or additional authority to the State of Nebraska to control or influence the governance or policies of any qualified school due to the fact that the qualified school admits and enrolls students who receive education scholarships or as requiring any such qualified school to admit or, once admitted, to continue the enrollment of any student receiving an education scholarship.

TEXT: FOR AN ACT relating to employment; to adopt the Nebraska Healthy Families and Workplaces Act; and to provide severability.
Be it enacted by the people of the State of Nebraska:
Section 1. Act, how cited; declaration of purpose. (1) Sections 1 to 11 of this act shall be known and may be cited as the Nebraska Healthy Families and Workplaces Act. (2) The purpose of the act is to provide eligible employees in Nebraska the right to earn paid sick time for personal or family health needs and provide certain provisions naturally and necessarily related to that purpose.
Sec. 2. Terms, defined.
For purposes of the Nebraska Healthy Families and Workplaces Act: (1) Department means the Department of Labor; (2) Employ means to permit to work; (3)(a) Employee means any individual employed by an employer, but does not include an individual who works in Nebraska for fewer than eighty hours in a calendar year. (b) Employee does not include an “employee” as defined by 45 U.S.C. 351(d) who is subject to the federal Railroad Unemployment Insurance Act, 45 U.S.C. 351 et seq.; (4)(a) Employer means any individual, partnership, limited liability company, association, corporation, business trust, legal representative, or organized group of persons who employs one or more employees. (b) Employer does not include the United States

or the State of Nebraska or its agencies, departments, or political subdivisions; (5) Family member means: (a) Any of the following, regardless of age: A biological, adopted, or foster child, a stepchild, a legal ward, or a child to whom the employee stands in loco parentis; (b) A biological, foster, step, or adoptive parent or a legal guardian of an employee or an employee’s spouse; (c) A person who stood in loco parentis to the employee or the employee’s spouse when the employee or employee’s spouse was a minor child; (d) A person to whom the employee is legally married under the laws of any state; (e) A grandparent, grandchild, or sibling, whether of a biological, foster, adoptive, or step relationship, of the employee or the employee’s spouse; or (f) Any other individual related by blood to the employee or whose close association with the employee is the equivalent of a family relationship; (6) Health care professional means any person licensed under any federal or state law to provide medical or emergency services; (7) Paid sick time means time that is compensated at the same hourly rate and with the same benefits, including health care benefits, as the employee typically earns during hours worked and that is provided by an employer to an employee for the purposes described in section 4 of this act, and in no case shall the amount of this hourly rate be less than that provided under section 48-1203;
(8) Public health emergency means a declaration or proclamation related to a public health threat, risk, disaster, or emergency that is made or issued by a federal, state, or local official with the authority to make or issue such a declaration or proclamation;
(9) Retaliatory personnel action means a denial of any right guaranteed under the Nebraska Healthy Families and Workplaces Act and any threat, discharge, suspension, demotion, reduction of hours or pay, or other adverse action against an employee for exercising or attempting to exercise any right guaranteed in the Nebraska Healthy Families and Workplaces Act;
(10)(a) Small business means an employer with fewer than twenty employees during a given week, including fulltime, part-time, or temporary employees. (b) Small business does not include an employer that maintained twenty or more employees on its payroll in each of twenty or more calendar weeks in the current or preceding calendar year; and (11) Year means a regular and consecutive twelve-month period as determined by the employer.
Sec. 3. Accrual and carryover of paid sick time; paid sick time following transfer or return after separation from employment. (1) All employees shall accrue a minimum of one hour of paid sick time for every thirty hours worked. Unless the employer selects a higher limit, this section does
not entitle an employee to earn or use more than:
(a) Forty hours of paid sick time in a year for an employee of a small business; or (b) Fifty-six hours of paid sick time in a year for an employee of an employer that is not a small business. (2) Employees who are exempt from overtime requirements under 29 U.S.C. 213(a)(1) of the federal Fair Labor Standards Act, 29 U.S.C. 201 et seq., shall be assumed to work forty hours in each workweek for purposes of paid sick time accrual unless their typical workweek is less than forty hours, in which case paid sick time accrues based upon that typical workweek. (3) Paid sick time as provided in this section shall begin to accrue at the commencement of employment or October 1, 2025, whichever is later. An employee shall be entitled to use paid sick time as it is accrued. An employer may provide all paid sick time that an employee is expected to accrue in a year at the beginning of the year. (4) Accrued paid sick time shall be carried over to the following year. A small business is not required to permit an employee to use more than forty hours of paid sick time per year, and other employers are not required to permit an employee to use more than fifty-six hours of paid sick time per year. Alternatively, in lieu of carryover of unused paid sick time provided pursuant to this section from one year to the next, an employer may pay an employee for unused paid sick time provided pursuant to this section at the end of a year and provide the employee with an amount of paid sick time that meets or exceeds the requirements of subsections (1) and (3) of this section that is available for the employee’s immediate use at the beginning of the subsequent year. (5) Any employer with a paid leave policy, such as a paid time off policy, who makes available an amount of paid leave sufficient to meet the requirements of the Nebraska Healthy Families and Workplaces Act that may be used for the same purposes and under the same conditions as paid sick time under the act is not required to provide additional paid sick time under the act. (6) At its discretion, an employer may loan paid sick time to an employee in advance of accrual by such employee. (7) If an employee is transferred to a separate division, entity, or location, but remains employed by the same employer, the employee is entitled to all paid sick time accrued at the prior division, entity, or location and is entitled to use all paid sick time as provided in the Nebraska Healthy Families and Workplaces Act. When there is a separation from employment and the employee is rehired within twelve months of separation by the same employer, previously accrued paid sick time that had not been used shall be reinstated. The employee shall be entitled to use accrued paid sick time and accrue additional paid sick time at the recommencement of employment.
Sec. 4. Use of paid sick time; employee notice and documentation; multiemployer paid sick time fund, plan, or program. (1) Paid sick time shall be provided to an employee by an employer for: (a) An employee’s mental or physical illness, injury, or health condition; an employee’s need for medical diagnosis, care, or treatment of a mental or physical illness, injury, or health condition; or an employee’s need for preventive medical care; (b) Care of a family member with a mental or physical illness, injury, or health condition; care of a family member who needs medical diagnosis, care, or treatment of a mental or physical illness, injury, or health condition; care of a family member who needs preventive medical care; or in the case of a child, to attend a meeting necessitated by the child’s mental or physical illness, injury, or health condition, at a school or place where the child is receiving care; or (c) Closure of the employee’s place of business by order of a public official due to a public health emergency; an employee’s need to care for a child whose school or place of care has been closed by order of a public official due to a public health emergency; or an employee’s need to self-isolate or care for the employee or a family member when it has been determined by the health authorities having jurisdiction or by a health care professional that the employee’s or family member’s presence in the community may jeopardize the health of others because of exposure to a communicable disease, whether or not the employee or family member has actually contracted the communicable disease. (2) Paid sick time under this section shall be provided upon the oral request of an employee. When possible, the request shall include the expected duration of the absence. (3) An employer that requires notice of the need to use paid sick time in accordance with this section shall provide a written policy that contains reasonable procedures for employees to provide notice. An employer that has not provided to the employee a copy of such written policy shall not deny paid sick time to the employee based on noncompliance with such a policy. (4) An employer shall not require, as a condition of an employee’s taking paid sick time under this section, that the employee search for or find a replacement worker to cover the hours during which the employee is using paid sick time. (5) Paid sick time under this section may be used in the smaller of hourly increments or the smallest increment that the employer’s payroll system uses to account for absences or use of other time. (6) For use of paid sick time for more than three consecutive work days, an employer may require reasonable documentation that the paid sick time has been used for a purpose covered by subsection (1) of this section. Reasonable documentation shall include (a) documentation signed by a health care professional indicating that
paid sick time is or was necessary or (b) if the employee or a family member did not receive services from a health care professional, or if documentation cannot be obtained from a health care professional in reasonable time or without added expense, a written statement from the employee indicating that the employee is taking or took paid sick time for a qualifying purpose covered by subsection (1) of this section. (7) An employer signatory to a multiemployer collectivebargaining agreement may fulfill its obligations under the Nebraska Healthy Families and Workplaces Act by making contributions to a multiemployer paid sick time fund, plan, or program based on the hours each employee accrues pursuant to the act while working under the multiemployer collective-bargaining agreement, if the fund, plan, or program enables employees to collect paid sick time from the fund, plan, or program based on hours they have worked under the multiemployer collectivebargaining agreement and for the purposes specified under the act. Employees who work under a multiemployer collective-bargaining agreement into which their employers make contributions as provided in this subsection may collect from the paid sick time fund, plan, or program based on hours they have worked under the multiemployer collectivebargaining agreement and for the purposes specified under the act.
Sec. 5. Exercise of rights protected; retaliatory personnel action prohibited. (1) It shall be unlawful for an employer or any other person to interfere with, restrain, or deny the exercise of, or the attempt to exercise, any right protected under the Nebraska Healthy Families and Workplaces Act. (2) An employer shall not take retaliatory personnel action against an employee or former employee because the person has exercised or attempted to exercise rights protected under the act. Such rights include, but are not limited to, the right to request or use paid sick time pursuant to the act; the right to file a suit or complaint or inform any person about any employer’s alleged violation of the act; the right to participate in an investigation, hearing, or proceeding or cooperate with or assist the department in its investigations of alleged violations of the act; and the right to inform any person of the person’s potential rights under the act. (3) It shall be unlawful for an employer’s absence control policy to count paid sick time taken under the act as an absence that may lead to or result in a retaliatory personnel action or any other adverse action.
Sec. 6. Notice and posting. (1) Employers shall give employees written notice of the following at the commencement of employment or by September 15, 2025, whichever is later: That beginning October 1, 2025, employees are entitled to paid sick time;
the amount of paid sick time; the terms of its use guaranteed under the Nebraska Healthy Families and Workplaces Act; that retaliatory personnel action against employees who request or use paid sick time is prohibited; that each employee has the right to file a suit or complaint if paid sick time as required by the act is denied by the employer or the employee is subjected to retaliatory personnel action for requesting or taking paid sick time; and the contact information for the department where questions about rights and responsibilities under the act can be answered. (2) The notices required in subsection (1) of this section shall be provided in: (a) English; and (b) Any language that is the first language spoken by at least five percent of the employer’s workforce if the department has provided a model notice in such language. (3) The amount of paid sick time available to the employee, the amount of paid sick time taken by the employee to date in the year, and the amount of pay the employee has received as paid sick time shall be recorded in, or on an attachment to, the employee’s regular paycheck. (4) Employers shall display a poster that contains the information required in subsection (1) of this section in a conspicuous and accessible place in each establishment where such employees are employed. If an employer does not maintain a physical workplace or an employee teleworks or performs work through a webbased or app-based platform, the employer shall provide notice of such information via electronic communication or a conspicuous posting in the web based or app-based platform. The poster displayed shall be in: (a) English; and (b) Any language that is the first language spoken by at least five percent of the employer’s workforce if the department has provided posters in such language.
(5) The department shall create and make available to employers, in all languages spoken by at least five percent of Nebraska’s workforce and any language deemed appropriate by the department, model notices and posters that contain the information required under subsection (1) of this section and for employers’ use in complying with subsections (1) and (4) of this section.
Sec. 7. Department of Labor; enforcement and implementation powers; rules and regulations. (1) The department shall be responsible for implementation and enforcement of the Nebraska Healthy Families and Workplaces Act. The department may adopt and promulgate rules and regulations as necessary to carry out the act. (2) The Commissioner of Labor may subpoena records and witnesses related to the enforcement of the act. The commissioner or his or her agent may inspect all related records and gather testimony on any matter relative to the enforcement of the act when the information sought is relevant to a lawful investigative purpose and is reasonable in
scope.
Sec. 8. Enforcement. (1) The Commissioner of Labor shall issue a citation to an employer when an investigation reveals that the employer may have violated the Nebraska Healthy Families and Workplaces Act. (2) When a citation is issued, the commissioner shall notify the employer of the proposed administrative penalty, if any, by certified mail, by any other manner of delivery by which the United States Postal Service can verify delivery, or by any method of service recognized under Chapter 25, article 5. The administrative penalty shall not be more than five hundred dollars in the case of a first violation and not more than five thousand dollars in the case of a second or subsequent violation. (3) The employer has fifteen working days after the date of the citation or penalty to contest such citation or penalty. Notice of contest shall be sent to the commissioner who shall provide a hearing in accordance with the Administrative Procedure Act. (4) Any employer who has an unpaid citation for a violation of the Nebraska Healthy Families and Workplaces Act shall be barred from contracting with the state or any political subdivision until such citation is paid. If a citation has been contested as described in subsection (3) of this section, it shall not be considered an unpaid citation under this subsection until after such contest has been resolved.
(5) Citations issued under this section and the names of employers who have been issued a citation shall be made available to the public upon request, except that this subsection shall not apply to any citations that are being contested as described in subsection (3) of this section.
(6) An employee having a claim for a violation of the Nebraska Healthy Families and Workplaces Act may institute suit for legal and equitable relief in the proper court. In any action brought to enforce the Nebraska Healthy Families and Workplaces Act, the court shall have jurisdiction to grant such legal or equitable relief as the court deems appropriate to effectuate the purposes of the act. If an employee establishes a claim and secures judgment on the claim, such employee shall also be entitled to recover the full amount of the judgment and all costs of such suit, including reasonable attorney’s fees.
(7) If an employee institutes suit against an employer under subsection (6) of this section, any citation that is issued against an employer under subsection (1) of this section and that relates directly to the facts in dispute shall be admitted into evidence unless specifically excluded by the court. If a citation has been contested as described in subsection (3) of this section, it shall not be admitted into evidence under this subsection until such contest has been resolved. (8) A civil action brought under this section shall be commenced no later than four calendar years after the cause of action
accrues.
Sec. 9. Confidentiality and nondisclosure. (1) Unless otherwise required by law, an employer shall not require disclosure of the details of an employee’s or an employee’s family member’s health information as a condition of providing paid sick time under the Nebraska Healthy Families and Workplaces Act. (2) Unless otherwise required by law, any health information possessed by an employer regarding an employee or employee’s family member shall: (a) Be maintained on a separate form and in a separate file from other personnel information; (b) Be treated as confidential medical records; and (c) Not be disclosed except to the affected employee or with the express permission of the affected employee.
Sec. 10. No effect on more generous paid sick time policies or laws; nonwaiver of rights and remedies. (1) The Nebraska Healthy Families and Workplaces Act provides minimum requirements pertaining to paid sick time, and nothing in the act shall be construed to: (a) Prohibit an employer from the adoption or retention of a paid sick time policy more generous than the one required by the act; (b) Diminish the obligation of an employer to comply with any contract, collectivebargaining agreement, employment benefit plan, or other agreement providing more generous paid sick time to an employee than required by the act; (c) Diminish the rights of public employees regarding paid sick time or use of paid sick time as provided in state or local law; or (d) Preempt, limit, or otherwise affect the applicability of any other law, regulation, requirement, policy, or standard that provides for a greater amount, accrual, or use by employees of paid sick time or that extends other protections to employees. (2) The rights and remedies under the Nebraska Healthy Families and Workplaces Act shall not be waived by any agreement, policy, form, or condition of employment. Any such waiver shall be void and unenforceable.
Sec. 11. Severability. If any section in this act or any part of any section is declared invalid or unconstitutional, the declaration shall not affect the validity or constitutionality of the remaining portions.

(c) Cannabis does not include hemp, as defined in Section 2-503(13) of the Nebraska Hemp Farming Act, nor does it include the mature stalks of the plant, fiber produced from such stalks, oil or cake made from the seeds of the plant, the sterilized seed of the plant which is incapable of germination, or cannabidiol contained
in a drug product approved by the federal Food and Drug Administration; (3) Cannabis accessories means any equipment, products, or materials of any kind that are used, intended for use, or designed for use in storing, vaporizing, or containing cannabis, or for ingesting, inhaling, or otherwise introducing cannabis into the human body;
(4) Caregiver means: (a) In the case of a qualified patient who is eighteen years of age or older and is not under the protection of a legal guardian, a person who: (i) Is at least twenty-one years of age; and (ii) Has been designated by a qualified patient in a signed affidavit;
(b) In the case of a qualified patient who is younger than eighteen years of age or a qualified patient under the protection of a legal guardian: (i) The legal guardian or parent with authority to make health care decisions of the qualified patient; or (ii) A person designated in a sworn affidavit by the legal guardian or parent with authority to make health care decisions; or (c) A health care facility as defined in section 71-413 or a home health agency as defined in section 71-417, if the facility or agency has been designated by a qualified patient or the legal guardian or parent with authority to make health care decisions of a qualified patient in a sworn affidavit and if the facility or agency has agreed in writing to serve as a caregiver for the qualified patient;
(5) Health care practitioner means a physician, an osteopathic physician, a physician assistant, or a nurse practitioner licensed under the Uniform Credentialing Act or who is licensed in any state and practicing in compliance with the Uniform Credentialing Act;
(6) Qualified patient means: (a) An individual eighteen years of age or older with a written recommendation from a health care practitioner; or (b) An individual younger than eighteen years of age with a written recommendation from a health care practitioner and with the written permission of a legal guardian or parent with authority to make health care decisions for the individual; and (7) Written recommendation means a valid signed and dated declaration from a health care practitioner stating that, in the health care practitioner’s professional judgment, the potential benefits of cannabis outweigh the potential harms for the alleviation of a patient’s medical condition, its symptoms, or side effects of the condition’s treatment. A written recommendation is valid for two years after the date of issuance or for a period of time specified by the health care practitioner on the written recommendation.
Sec. 3. (1) Subject to the requirements of the Nebraska Medical Cannabis Patient Protection Act, it shall not be an offense under state or local law for:
(a) A qualified patient to use, possess, and acquire an allowable amount of cannabis
and cannabis accessories for the alleviation of a medical condition, its symptoms, or side effects of the condition’s treatment; or (b) A caregiver to assist a qualified patient with the activities set forth in subdivision (1)(a) of this section by possessing and acquiring an allowable amount of cannabis and cannabis accessories on behalf of the qualified patient and delivering an allowable amount of cannabis and cannabis accessories to the qualified patient. (2) Conduct protected by this section shall not be subject to the Uniform Controlled Substances Act.

(c) Cannabis does not include hemp, as defined in Section 2-503(13) of the Nebraska Hemp Farming Act, nor does it include the mature stalks of the plant, fiber produced from such stalks, oil or cake made from the seeds of the plant, the sterilized seed of the plant which is incapable of germination, or cannabidiol contained in a drug product approved by the federal Food and Drug Administration; (2) Cannabis accessories means any equipment, products, or materials of any kind that are used, intended for use, or designed for use in planting, propagating, cultivating, growing, harvesting, composting, manufacturing, compounding, converting, producing, processing, preparing, testing, analyzing, packaging, repackaging, storing, vaporizing, or containing cannabis, or for ingesting, inhaling, or otherwise introducing cannabis into the human body; (3) Cannabis for medical purposes means cannabis, cannabis products, and cannabis accessories intended for qualified patients pursuant to any law enacted contemporaneously with the adoption of the Nebraska Medical Cannabis Regulation Act or at any time thereafter and which makes penalties inapplicable to the use of cannabis by qualified patients for the alleviation of a medical condition, its symptoms, or side effects of the condition’s treatment; (4) Cannabis products means products that are comprised of cannabis, cannabis concentrate, or cannabis extract, and other ingredients, and that are intended for use or consumption, such as, but not limited to, edible products, ointments, and tinctures; (5) Commission means the Nebraska Medical Cannabis Commission; (6) Registered cannabis establishment means a private entity registered pursuant to the Nebraska Medical Cannabis Regulation Act that possesses, manufactures, distributes, delivers, or dispenses cannabis for medical purposes; and (7) Registration means a registration granted by the commission to a private entity that processes, manufactures, distributes, delivers, or dispenses cannabis for medical purposes.
Sec. 3. (1) Subject to the requirements of the Nebraska Medical Cannabis Regulation Act, it shall not be an offense under state law for a registered cannabis establishment, its employees, and its agents to possess, manufacture, distribute, deliver, and dispense cannabis for medical purposes, provided such conduct complies with applicable rules and regulations adopted and promulgated by the Commission pursuant to the Nebraska
Medical Cannabis Regulation Act. (2) Conduct protected by this section shall not be subject to the Uniform Controlled Substances Act.
Sec. 4. (1) For purposes of providing the necessary registration and regulation of persons that possess, manufacture, distribute, deliver, and dispense cannabis for medical purposes pursuant the Nebraska Medical Cannabis Regulation Act, the Nebraska Medical Cannabis Commission is created. (2) The commission shall consist of no fewer than three and no more than five members.
(3) The three members of the Nebraska Liquor Control Commission shall be ex officio members of the commission, serving terms and receiving appointment in the same manner as provided in section 53-105. (4) The Governor may appoint two additional members, subject to confirmation by a majority of the members elected to the Legislature, to serve with the members of the Nebraska Liquor Control Commission as members of the Nebraska Medical Cannabis Commission. The members appointed pursuant to this subsection shall serve six-year terms. (5) The Governor may reappoint members of the commission, subject to approval by a majority of the members elected to the Legislature.
Sec. 5. The power to regulate all phases of the control of the possession, manufacture, distribution, delivery, and dispensing of cannabis for medical purposes by registered cannabis establishments in the state pursuant to the Nebraska Medical Cannabis Regulation Act is vested exclusively in the commission.
Sec. 6. The commission shall:
(1) No later than July 1, 2025, establish criteria to accept or deny applications for registrations, including adopting, promulgating, and enforcing reasonable rules, regulations, and eligibility standards for such registrations; (2) No later than October 1, 2025, begin granting registrations to applicants that meet eligibility standards and other requirements established by the commission; (3) Grant, deny, revoke, and suspend registrations based upon reasonable criteria and procedures established by the commission; (4) Have the authority to adopt, promulgate, and enforce distinct sets of rules and regulations for different categories of registered cannabis establishments; (5) Administer oaths or affirmations as necessary to carry out the Nebraska Medical Cannabis Regulation Act; (6) Issue subpoenas for the attendance of witnesses or the production of any records, books, memoranda, documents, or other papers or things at or prior to any hearing as is necessary to enable the commission to effectively discharge its duties; (7) Inspect the operation of any registered cannabis establishment for the purpose of verifying compliance with rules and regulations adopted and promulgated by the commis-

sion; (8) Have the authority to impose, subject to judicial review under the Administrative Procedure Act, administrative fines for each violation of any rules and regulations adopted and promulgated pursuant to the Nebraska Medical Cannabis Regulation Act; (9) Collect administrative fines imposed under this section and remit the fines to the State Treasurer for distribution in accordance with Article VII, section 5, of the Constitution of Nebraska; (10) Establish procedures for the governance of the commission; (11) Acquire necessary offices, facilities, counsel, and staff; and (12) Do all things necessary and proper to carry out its powers and duties under the Nebraska Medical Cannabis Regulation Act, including the adoption and promulgation of rules and
