AHEADBrighter Days

Well, we have survived another winter, and are looking forward to brighter days ahead. I would be remiss to not make a few comments about the passing of a true City Builder, Hazel McCallion. Her energy and enthusiasm for the potential and promise of Mississauga was truly a driving force. I was equally impressed every time I had the good fortune to interact with her. Just a few months ago, she remained as vibrant as the first time I met her a few decades ago. Full of life and always aware of the issues of the day, she was an inspiring leader and someone who will not be forgotten for all the work she did in building the great City of Mississauga.

As we look forward, I reflect on the continuous need to innovate and improve our processes, with the impact on the environment at the forefront of policies and decision making. Businesses need to be leaders and innovators in striving for change, locally and across the country. Sustainability is not just the word of the day, but a shift in practices that benefit the environment, future generations, and the bottom line.

These discussions can bring about new ideas in the workplace, such as the introduction of electric vehicle charging stations for employees and customers, or the expansion of new technologies to reduce waste.

Being in the forestry sector myself, our environmental impact is a key factor in our decision making process and our practices are well positioned to assist in achieving sustainability goals. Canada has some of the best managed forests in the entire world that follow extremely strict sustainability targets. We ensure that all of the fibre harvested is utilized when turning logs into lumber, with residual fibres creating energy, paper, engineered wood products, and animal bedding.

I encourage us all to review our business impact, and evaluate opportunities for positive change for the environment. Incremental improvements to our policies and practices, while remaining conscious of the need to deliver our products and services to market, can still bring great change as role models in your respective industries. By being open to new ideas and committing to positive change, we can help drive long term sustainable practices across all business sectors.

Like Hazel was able to do, lets focus on making a positive impact on both our local and global communities, and share the responsibility we have in making Mississauga a better city. 

Celebrating Hazel McCallion (1921 - 2023)

Hazel McCallion served the people of Mississauga as a public office holder for nearly a half century. Few elected officials in any democracy can claim to have had such a lengthy record of electoral success Hazel McCallion’s successes were many and hardly exclusive to the ballot box Having been Mississauga’s Mayor for 36 of 49 years since amalgamation in 1974, she presided over extraordinary growth in the city From a city that had a population of a quarter of a million people when she took office to becoming a city today of over 700,000, Hazel led efforts to attract people and businesses to the city

She understood the importance of business in fueling prosperity and economic growth that contributes to a high quality of life for the residents of Mississauga. Indeed, Mississaugans were beneficiaries of that outlook having seen many multinationals locate here. In that light, Mississauga has become home to many corporate headquarters. She helped attract those corporations – and the jobs they created – through developing strong relationships for the city internationally Additionally, throughout her time in public life, Hazel was always a strong supporter of small and large business and, specifically, the Mississauga Board of Trade – both as Mayor and in the years following her retirement She saw the Board of Trade as a key player in Mississauga’s economy

Former Prime Minister Brian Mulroney has often remarked about the close relationship he enjoyed with both Presidents Reagan and George H. W. Bush. There were many areas of common purpose, including of course a strong belief in the benefits of free trade in supporting economic growth and increased prosperity. From that very first Canada-U.S. Free Trade Agreement (FTA) signed in 1987 through its subsequent iterations including the addition of Mexico as a partner to the agreement when the first NAFTA was signed in 1994, a foundation for a longstanding trilateral trade agreement (now known as the Canada-United States-Mexico Agreement or CUSMA), was established.

Coming to a final agreement on the first NAFTA was a challenge. Two key protections needed to be included in any final agreement for it to get through the U.S. Congress: labour and environmental standards. President Clinton was able to have these added to the final text and the first NAFTA was signed into law on December 8, 1993. This was not the first time that environmental policy had featured prominently in Canada’s relationship with the United States. Throughout much of the 1980s and early 1990s, the big issue was combatting the effects of acid rain. Ultimately, seven years of high-level advocacy with our American friends together with concrete, “lead by example” action in Canada led to the signing of the Acid Rain Accord

in 1991. From this point forward, environmental protections and the impacts of climate change have been increasingly important concerns for not only governments around the world, but indeed for the business community.

Today, there is broad acceptance of the inextricable link between the environment, economic growth, and our quality of life. Furthermore, we have moved significantly in our thinking from simply “addressing a problem” (climate change and its devastating effects) to what is now a story of economic potential. The global cleantech market in 2023 is estimated at over $2.5 trillion USD. Canada’s currently sits in 2nd place to the United States and above Germany in the 2023 Cleantech Innovation Index. We are now seeing significant new investments in electric vehicle and battery manufacturing, and major commitments by companies like Mississauga’s Purolator Inc. which recently announced that it will spend $1 billion CAD to transition 60% of their fleet and 60% of its terminals to electric over the next seven years. There are countless opportunities for businesses with expertise in the circular economy, energy and water conservation, hydrogen technologies, and so much more.

Mississauga is well positioned for a “net win” in the global effort to chart a course to net zero. MBOT members like Fielding Environmental have been leading the way for decades. Mississauga Bus, another valued member, is producing

all-electric coach buses for the global transportation market. Next Hydrogen is working with a large retailer to demonstrate how their technology can contribute to greener operations. Our post-secondary institutions are producing top talent that are ready to take on rewarding roles in areas like environmental management and supporting new foreign direct investment in the clean technology space.

In recent weeks, the UN’s Intergovernmental Panel on Climate Change issued its latest report, using its strongest language yet about the dire costs of inaction. In response, UN Secretary General Antonio Guterres stated that all countries should bring forward their net zero plans by a decade. At MBOT, we will be doing our part by working with partners like the City of Mississauga, Partners in Project Green, and many others to support businesses in our community with the resources they need to tackle their own climate-change objectives and take advantage of the rapidly expanding global cleantech market. 

Canada Immigration Update

NEXUS - New interview option coming - Spring 2023

On January 25, 2023, the Canada Border Services Agency (CBSA) and the U.S. Customs and Border Protection (CBP) announced that they are moving forward with a new option to increase the enrollment capacity for new and renewing NEXUS members. The new enrollment option for air travelers is expected to be available by Spring 2023 and will include CBSA interviews at reopened airport enrollment centers in Canada and separate CBP interviews at Canadian airport preclearance locations for applicants departing for the United States. This is welcome news for many Canadians who have been waiting for renewals of NEXUS or the ability to apply at a Canadian airport.

National Occupation Classification 2021: Changes and Updates

In November 2022, we were introduced to the new NOC 2021, which included restructuring and adding groups across broad occupational categories and the Training, Education, Experience and Responsibility categories. This new system also referred to as TEER, introduced a 6-category system for entry into an occupation.

Changes to the Global Talent Stream

As of December 22, 2022, the Government of Canada introduced an updated list of occupations eligible under the Global Talent Stream program, which now includes applicants qualified in civil, electrical and electronics, mining, aerospace engineering, and electrical/ electronics engineering technologists and technicians.

As Canada continues to work towards an economic future, this news has been received with open arms by highlyskilled foreign workers looking for a pathway into Canada.

IRCC Approves a new English language test for Canadian Immigration

As of February 1, 2023, Immigration Refugees and Citizenship Canada announced that a third option for English language testing, will be able to be used to confirm language skills. The Pearson Test of English (PTE) will be acceptable along with the IELTS and CELPIP as credibly approved English language tests for Canadian immigration applications. A launch date as to when this testing criterion will be acceptable has yet to be announced by IRCC; but is expected in late 2023.

U.S. Immigration Updates

Newly Redesigned Green cards and Employment Authorization Documents

On January 30, 2023, USCIS announced the new and improved design of the Permanent Resident Card, also called the “Green Card,” along with Employment Authorization Documents “EAD’s”. The goal of these changes is to limit the threat of document tampering, counterfeiting and fraud.

Physical changes include improved detailed artwork, tactile printing, enhanced optically variable ink, secured holographic images on the front and back of the cards, a layer-reveal feature with a partial window on the back

photo box and data fields displayed in different places than on previous versions.

USCIS emphasized that individuals still currently holding the previous model of the cards can still use them until their validity period.

USCIS Automatically Extends Green Cards for Naturalization Applicants

As of December 12, 2022, U.S. Citizenship and Immigration Services has updated its policy to allow automatic extensions on Green Cards for permanent residents who have applied for naturalization.

Ultimately this extension will apply to any lawful permanent resident who filed Form N-400 on or after December 12, 2022. Lawful Permanent Residents who filed for naturalization before December 12, 2022, the date this policy came into effect, will not receive a Form N-400 receipt notice with the extension. Those with expired Green Cards must maintain valid evidence of their lawful permanent residence status and must still file Form I-90.

These changes were implemented in response to the heightened processing times and in recognizing that USCIS is striving to improve efficiency by reducing the number of ADIT stamp appointments. 

PLAYING THE LONG GAME

- An Uncommon Thread

Once upon a time, there were two sisters who had dreams. Not the same dreams, yet there was a common thread. That lead to a decision to immigrate to Canada. One by one – about a year apart with spouses in tow. Because of that, and the common thread, I became a decision partner in their journey. The question of where to live, and how to get there is often complicated and unique to each person.

What happened next I didn’t see coming; it was so rare, so smart, so bold. An idea to purchase a home they could share, instead of separate living in rentals costing the same or more!

That lead to questions – many questions. Curiosity uncovered the challenge and the opportunity – which lead to figuring out which combination of the group could qualify for a mortgage. We nailed it – so that meant searching and viewing all manner of weird housing options across the GTA in bitterly cold, snowy weather.

Yet the persistence paid off and we swooped in for the kill on a bungalow in Clarkson that was perfect! That lasted for a few years until the babies started to arrive, grow, and thunder through the house.

What to do? They replayed the strategy and pulled out equity and ownership in that property to fund a second property. But it didn’t stop there! The team of four became a team of six – because now a third sister and her husband joined the plan for House #2. Now, the sister with children has the first house. The other two sisters without children have the second house. The story doesn’t end there!

The sister with the children has been able to open a very small restaurant. Being the enterprising diva she is, that too is a growing success. It is possible that in another year, the team will replay the strategy and another combo between these six people will produce a third residence.

It took six years between House #1 and #2, and now in our eighth year we see the potential for leveraging it again. Collaboration is the uncommon, common thread they share.

If there is will, there is a way. What’s holding you back from following their lead? Sure it can be complicated, take a lot of time, research, and conversation. Let’s build your story. Let’s make collaboration more common!

Nature-related investments are one of the fastest-growing environmental, social, and corporate governance priorities — and for good reason. While the world’s been focused on rising temperatures, a critical decline in nature and biodiversity has also been underway. According to a recent United Nations report titled “Nature’s Dangerous Decline”, nature is disappearing at unprecedented rates, and less nature means more CO2 emissions, creating a vicious and destructive cycle.

Consensus is now building around the urgency of this threat and the need for immediate action. In December, roughly 190 countries, including Canada, committed to an ambitious global framework for managing nature through 2030.

The good news is, when it comes to protecting and restoring nature, even small, localized actions can produce meaningful results. More and more business leaders are recognizing the positive impact an investment in nature can have on their organizations, their

Trees are carbon dioxide vacuums that bring balance to ecosystems and provide shelter for wildlife. Planting trees is a rewarding and easy way to improve the local environment.

SUPPORT THE BIRDS AND THE BEES

The world’s food supply depends on pollinators like birds and bees, and both populations are declining at an alarming rate. Consider adding a native pollinator garden on your property to help support and protect these important creatures.

RETROFIT YOUR PARKING LOT

When rain falls on hard surfaces like pavement, the water runs off into a sewer instead of being absorbed into the ground. On its way to the sewer, it picks up contaminants like car oil and pesticides, eventually polluting our rivers and lakes. Retrofitting your parking lot with a porous pavement alternative — or replacing

paved surfaces with greenspace — can substantially reduce your environmental impact (and your stormwater charge!)

BUILD A GREEN OR BLUE ROOF

Rooftop gardens or water storage systems are designed to capture and slow the flow of rainwater before it becomes harmful runoff. This is another a great way to reduce your stormwater charge. Low-rise green roofs can also provide food for pollinators and birds.

more. Businesses may also sell to individuals in packs of twenty (20) or more but cannot be on display or accessible without the assistance of an employee. Lastly, there is an exception for healthcare providers such as hospitals who will require them for patient care.

The Single Use Plastics Prohibition Regulations (SUPPR) is Canada’s most recent environmental regulation. This regulation is part of the Government’s ongoing effort to reach zero plastic waste by 2030. This regulation has been annexed to Section 93(1) of the Canadian Environmental Protection Act, 1999 which regulates the disposal of substances into the environment. The SUPPR has three major categories of regulated products which will be implemented in a three phase approach on the timeline of bans for the three major market segments of single use plastics.

PROHIBITED ITEMS

1. The first group of items targeted are checkout bags, cutlery, foodservice ware, stir sticks and straws.

2. The second group of items targeted are ring carriers.

3. The final group of items are flexible straws packaged with beverage containers.

For greater certainty, these items are defined in s.1 of the SUPPR with technical specifications that include design and chemical composition. Section 1 of SUPPR is also supplemented by additional Technical Guidelines with additional chemical composition, manufacturing and technical terminology. In order

On December 20, 2022, both the manufacturing and importing of any of the prohibited items from the first group for sale in Canada became illegal. On December 20, 2025 it will be illegal to both manufacture or import single use plastics for export. On June 20, 2023, it will become illegal to manufacture plastic ring carriers for the purposes of sale in Canada. On June 20, 2024, it will become illegal to sell these in Canada and on December 20, 2025 it will be illegal to manufacture, sell and export plastic ring carriers.

Lastly, there is no ban on the manufacturing of flexible plastic straws during 2023. However, In June 2024 it will be illegal to sell flexible plastic straws packaged with drinks with a ban on exportation coming in December 20, 2025 just as it has for the other groups of items with some exceptions.

EXCEPTIONS FOR FLEXIBLE STRAWS

Flexible plastic straws will have some flexibility, in how they are treated. For example, Individuals will be able to sell flexible plastic straws in non-commercial, industrial and institutional settings. Additionally, businesses will be permitted to sell plastic straws to other businesses in packages of twenty (20) or

COMPLIANCE

In order to ensure compliance with each ban phase, the SUPPR requires strict record keeping requirements. These requirements impose different restrictions for persons that manufactures single use plastics for the purpose of exporting or those who import single use plastics for the purpose of exporting them. These requirements include but are not limited to, recording pertinent dates, quantity and trade names of the plastics. Persons will be required to keep these record at their principle place of business in Canada for five (5) years. If these records are move they must notify the Minister of the Environment within thirty (30) days of the new civic address.

KEY CONSIDERATIONS

WHEN SELLING YOUR BUSINESS

If you are planning on selling your business, there are several items you will want to consider to maximize your financial gain and preserve your negotiating position. The following is not an exhaustive list, but highlights key items you will want to consider as you prepare for a sale.

1. Ensure the corporate records are in order.

One of the first things a buyer will do is request the corporation’s minute book. You will want your lawyer to review and update the records, if required.

2. Debts and security.

You will likely need to arrange for debts to be paid off and security registered against the business to be discharged. You will also want to consider any liabilities facing the business, such as ongoing lawsuits.

3. Prepare for due diligence requests.

The buyer will want to review copies of material agreements such as key customer and supplier agreements, shareholder agreements, and employment agreements.

4. Engage Advisors.

Engaging experienced advisors is crucial. A corporate lawyer will review and negotiate the letter of intent, sale agreement, and ancillary documentation. Your lawyer will also advise you on matters such as representations and warranties in the agreement, and your obligations to the buyer and business post-closing. It is recommended that you engage an accountant to advise on valuation, tax and purchase price adjustments. For larger transactions, you may want to consider engaging an M&A advisor.

5. Identify consents to be obtained.

It is common for licenses, leases, and agreements with lenders, customers and suppliers to require their consent to the assignment of the agreement or a change of control of the business. Closing can be held up, or representations breached, if you do not comply with these provisions. 1.800.323.3781

6. Preserve your wealth.

Your tax advisors may recommend a pre-closing reorganization of the business to minimize the tax consequences of the sale. Implementing such reorganizations can result in substantial savings, but typically requires careful planning and drafting a significant number of documents.

7. Consider your role and compensation post-closing.

Many transactions are structured to keep the seller involved post-closing to facilitate the transition of the business. The agreement may include an “earnout”, providing for additional compensation to the seller if the business achieves certain financial targets.

Liquid Capital Advance Corp. has been there time and again when Global Aviation hit working capital turbulence, allowing them to swiftly evolve into a top competitor in the airline staffing industry.

“In this business, 90 percent of our costs are people-related. We have to make payroll every two weeks, but airlines only pay every 30 days,” says Carm B., former President and CEO.

10 Good Habits FOR BUSINESS OWNERS

1. Keep current with investment opportunities – and this year think longer term when it comes to locking in your business-related funds.

Take advantage of strong GIC rates to help grow your business’ cash. If you can, maximize your returns by investing some of those funds for a longer term because these rates won’t last forever.

2. Map out your renewal or refinancing deadlines.

Loan or mortgage coming due this year? Save some stress by refreshing yourself on your lending agreements.
