Stock Repurchase
1. Manner: All bids and purchases by the issuer and all affiliated purchasers must be made only through one broker or dealer on any single day.
2. Time: The purchases must not:
• Constitute the opening transaction; • For a security that, during the preceding four weeks, has a dollar value of average daily trading volume1 (ADTV) of at least $1 million and a public float2 of at least $150 million, be made during the 10 minutes before the close of trading in the security‟s principal market, and during the 10 minutes before the close of trading in the market where the purchase is made;
• For all other securities, be made during the 30 minutes before the close of trading in the security‟s principal market, and the 30 minutes before the close of trading in the market where the purchase is made.
3. Volume: • On any given day, the aggregate purchases must not exceed 25% of the security‟s ADTV.
• One block per week exception: Once per week, in lieu of purchasing up to 25% of the ADTV limit for that day, an issuer or its affiliated purchasers may make one block trade without regards to the volume limit, provided that it does not make any other Rule 10b-18 purchases on the same day.
4. Price: Purchases must not be made at a price that exceeds the highest of:
• The highest independent bid; and • The last independent transaction price quoted or reported in the consolidated system.

Micah Brown
Micah is a technology-focused, exited startup founder, product manager, and financial engineer. Micah was previously CEO of Centiment Capital, an NYC-based Venture Studio (Acquired in 2022). Micah was also the CEO and Founder of Centiment, a Neurodata AI Company (Acquired in 2019), and Filmfundr, which is AI driven Film Technology (Acquired in 2018).
Micah has worked as a senior-level technology consultant and manager within the insurance industry for Aon as well as in commercial, retail and investment banking at Barclays. Micah has also worked within media technology for Viacom and NBC and has a culminate 16 years of technology experience as a Product Engineer and C Level Executive.
Micah pioneered Neurodata-driven Artificial Intelligence, and the field he created, Neurosentiment, as early as 2014, writing groundbreaking white papers and ultimately being the first British person of color to commission a Neuroscience AI study with the Kansas University Medical Center and to gain investment from Sprint in American history.
In 2019, Micah made history again by being one of the first PoC in US history to win the Peoples Choice award at MIT for his work. Micah became the first Black Founder to have a company that was admitted to the Abbey Road Red Program in 2021.

Meet Leah Butler
Leah Daniels-Butler began making a name for herself in the early 90’s working on TV & film projects such as the Wayans Brothers, For Your Love, CB4 and The Inkwell. With an eye for talent, Leah is credited for launching the careers of many successful actors, including singer/actor Tyrese Gibson and actress Gaborey Sidebe who starred in the Academy Award winning film “Precious”. Some of Leah’s other career highlights include casting Monique in “Precious”, and most recently Andra Day in The United States vs. Billie Holiday. Both actresses landed Oscar nominations. With back to back successes, Leah's superb casting of the Fox hit TV show “Empire”, coupled with BLAQ’s expertise helped to shape the hit drama series and put the duo in demand. Empire capped its first season with over 20 million viewers, being named one of the most watched television shows of all times.
As an independent casting director, Leah works across genres securing talent for films like "2 Fast 2 Furious,” "Shadow Boxer,” “ATL,” and "The Paperboy,” which featured an all star cast that included: Matthew McConaughey, Nicole Kidman, Zac Efron, John Cusack, Macy Grey and David Oyelowo.
In 2013, Leah cast the award-winning film “Lee Daniels, The Butler” with another all-star line-up that included: Oprah Winfrey, Forrest Whitaker, Liev Shreiber, Robin Williams, James Marsden, John Cusack, Cuba Gooding, Jr., Terrence Howard and rising star YaYa DaCosta. With her behind the scenes star meter spiking, Leah landed herself in the casting seat for the highly anticipated sequel “Coming 2 America” starring Eddie Murphy, and the hit television show "All American”.
