MDBC - SUCCESSFUL 20TH ANNIVERSARY Dear MDBC Members and Friends, I am writing this to you towards the end of 2016, MDBC’s 20 Anniversary year. Together with all MDBC members and stakeholders we can look back at an intense and successful year for the Council. In conjunction with the 20th Anniversary, we set out to bring back the MDBC Sustainability Awards. In this magazine as well as in the separate MSA ’16 supplement, you can read and see all about the success of the event. Our congratulations to the shortlisted and winning companies on their achievements, and our thanks the Netherlands Embassy and all event sponsors and partners for their support, without whom it would not have been possible to organize the MSA day, and especially the MDBC 20th Anniversary Dinner & MSA ’16 Awards Ceremony.

MDBC to become the full-fledged service provider for all members & businesses with Malaysian Dutch linkages, with an expanded value proposition for our members and stakeholders. Taking the feedback of the MDBC Membership Satisfaction Survey 2015 into consideration, in 2016 we initiated new activities such as the MDBConnects Fair, to create more business development for, and with the members. We expanded the MDBC team with a senior manager for Events & Membership, to ensure more interaction can take place

with our members and the building of the infrastructure for the expanded value proposition. Looking ahead at 2017, we intend to maintain and grow the recently achieved milestone of 250 members. Our already strong calendar of events will be further strengthened by events cooperation with the EUMCCI, especially on advocacy activities. To provide more valuable and in-depth learning experiences, we will expand on the MDBC Education 360 series. We will launch our MDBC Johor Chapter for the benefit of our members in the Southern region, including Singapore. In January, we will kick things off with a highly informative Outlook 2017 and our traditional and always well-attended New Year’s reception. I look forward to welcome you there for a toast to a prosperous 2017 for the MDBC and its members!

rabobank financial markets outlook 2017: business as unusual June’s Brexit vote came as a massive shock to the markets. While the final resolution to that issue is still unclear, there can be little doubt that similar political risks are rising on many fronts. That backdrop adds to the headache for central banks, who - from the US to Japan - are already dealing with too - high debt and too - low growth and inflation; they, and governments, will perhaps now have to take populist sentiment into account in their policy - making too. In a worst case scenario, this could all combine to see globalization ‘rolled back’, but even under more benign assumptions, business is unlikely to continue entirely as ‘usual’.

Award for Best Circular Economy related Initiative, and the Elite Award for Best Overall Circular Economy Drive. Open to all (members and non - members), this year’s MSA featured a wide variety of top notch competitors and both the Greenhorn and Elite Award categories were closely contested to the end. Held in two sessions on 6 October at the Westin Hotel Kuala Lumpur, the MSA day program featured three components: the Orange Factory presentations; the MSA shortlisted presentations, and; the CEO panel.

After a brief hiatus in 2015, the MDBC Sustainability Awards (MSA) returned to the regular events calendar in 2016. With a focus on Circular Economy and the inclusion of the Orange Factory segment, the 2016 MSA, held in conjunction with MDBC’s 20th Anniversary Dinner, marked a successful 5th edition of this cornerstone event. Focusing on two levels, MSA ’16 candidates competed for the Greenhorn

Focusing on Creating an Impactful CSR Program, MDBC invited Brian Lariche of Lariche Community to conduct a special full day seminar on how to organize an effective CSR program in Malaysia for our members. Brian is the Founder and Chief Community Strategist of Lariche Community. He has over 18 years of experience in the area of community development in both Malaysia as well as internationally.

Attendees were also given further information on CSR in Malaysia including an overview on legalities and tax exemption. They also gained insight into the CSR community landscape locally along with an introduction to CSR reporting. KL’S PUBLIC TRANSPORT SYSTEM ALL SET TO EVOLVE TO THE NEXT LEVEL Text by Datuk Zainal Amanshah (Chief Executive Officer, InvestKL) services in the Klang Valley with a single smart card. The system - dubbed the Integrated Common Payment System (ICPS) - is similar to the ones used in countries and cities like Hong Kong, Singapore, and London. While the concept is not new, analysts and the mass public are pleased with the idea, as it will help reduce the hassle of commuting via public transport. Second, is the development of two new integrated terminals, namely the Terminal Bersepadu Gombak and Terminal Bersepadu Sungai Buloh. These terminals - which will be operational by 2020 - will integrate bus and rail links. The Malaysian government made several key announcements recently that will strengthen and take Kuala Lumpur’s public transportation system to the next level.

Fourth, is the introduction of 22 new bus routes in the Klang Valley sometime in the middle of next year. There is also the possibility of introducing tram services in Kuala Lumpur, as an alternative mode of public transport, over the medium term. Currently, the Land Public Transport Commission (SPAD) is conducting a feasibility study on this option. The study is expected to be completed by the end of next year. Should the government give the green light to introducing tram services, it will play a synergistic role in the city’s existing transportation network During the national Budget 2017 announcement, Prime Minister Datuk Seri Najib Razak said that the government is planning to increase the trip frequency of KTM’s ETS (Electric Train Service) for the Johor Bahru - Padang Besar route.

If implemented according to plan, these initiatives could significantly improve Kuala Lumpur’s attractiveness and could once and for all, drastically improve traffic conditions. Traffic jams could one day become a thing of the past. The plan for the public transportation system covers both areas -- improving intracity and intercity connectivity. To further improve Kuala Lumpur’s intracity public transport system, the government, via various agencies, has been looking at a few options. First, is the introduction of a system where commuters can ride all rail and bus

Third, is the development of Bus Rapid Transit (BRT) along the Federal Highway for the Klang-Kuala Lumpur line. Once the BRT is completed, buses going from Klang to the city (and vice versa) will be able to travel on an exclusive lane separate from normal traffic. So far, 10 BRT lines have been identified.

The plan involves procurement of nine train sets until 2019, and there are plans to acquire another 10 new trains in stages, with an overall allocation of RM1.1 billion. With increasing trip frequency, it will make travel between cities more convenient and less of a hassle. The improvements in intra and intercity connectivity will encourage more people to take up public transportation. More importantly, an efficient public transportation system, which the Malaysian government is aspiring to develop, could also significantly reduce traffic congestion. It could also indirectly help improve the country’s economy and productivity. This makes Malaysia an attractive destination for foreign investors and multinational companies looking to establish a presence in the region. MDBCONNECTS 4TH ISSUE 2016

shell unlocks new oil and gas Shell is combining the latest technology with the wisdom of industry veterans to unlock new oil and gas deposits where it already operates, usually within 20 km of existing platforms. The result has been a string of finds which, while modest in size, can generate cash rapidly. Shell has turned away from giant “frontier” projects, focusing instead on exploring closer to home. kmwe signs mou with bae systems KMWE and BAE Systems announced the signing of a Memorandum of Understanding (MoU) which will boost the aerospace sector in Malaysia. The signing was witnessed by the Dutch Ambassador to Malaysia and representatives of the Ministry of Economic Affairs. The MoU will enable the development of new aerospace manufacturing capabilities in Malaysia which will both enhance the existing sector and enable deeper integration of capabilities within the Malaysian aerospace supply - chain. “Building capacity and capability in markets that are important to our customers is part of our ongoing strategy to develop and grow our business. We are aware of the history of BAE Systems in Malaysia, which makes their support invaluable,” said Edward Voncken (CEO, KMWE Group). KMWE opened a precision manufacturing facility in Penang which recently passed its aerospace AS9100 quality audit. Over

2016 Year in Review A year in review Under the motto ‘the Netherlands, Malaysia’s partner for sustainability and innovation’, 2016 has been eventful on both the Embassy and MDBC front; with many activities, events, and concrete trade results in the form of newly set up companies, inquiries and missions. In Malaysia, we received incoming missions from the healthcare, edutech, higher education, palm oil, fashion, maritime, security, and water sectors and many individual companies, demonstrating that interest in Malaysia is still high. To name a few highlights: in May, we welcomed Malaysian Minister of International Trade and Industry, Dato’ Sri Mustapa Mohamed for a breakfast meeting with Dutch MNCs at the Ambassador’s residence, Markant launched its collection of office furniture in June, Arcadis presented the Sustainable City Index to Malaysian policy makers in July, and in September, the Embassy hosted a Smart Cities seminar with Amsterdam Smart Cities, catering for the increasing interest in smart solutions for Malaysia. In the Netherlands, interest in Malaysia is also increasing. The Ministry of Foreign Affairs organised the first ASEAN Business Dialogue in The Hague in May, specifically targeting SMEs, followed by a separate ASEAN pavilion at the national export event in October. Importantly, 2016 was also the year in which we celebrated the 20th birthday of the MDBC. As an Embassy, we are very thankful that we can work with such an extensive and active network organisation. To celebrate, we hosted a three week incubator on sustainability and circular economy, called ‘OrangeFactory’, culminating in the biggest MDBC Sustainability Awards event yet. I am proud to see that Dutch companies and other MDBC members take sustainability seriously and are keen to share knowledge and experiences with others, thereby promoting a more sustainable business climate in Malaysia. Re-joining the EU - Malaysia Chamber of

Commerce and Industry (EUMCCI), was another highlight of the year for MDBC; members can now fully benefit from this vast European network. Please have a look at your relevant sector committee; perhaps you could join one as we would like to see many Dutch companies represented in these committees. The sting proved to be in the tail for 2016, as many exporters, including several MDBC members were affected by the sudden foreign currency ruling by Bank Negara. Together with MDBC, EUMCCI, and our EU colleagues, we have raised these issues with Bank Negara Governor Muhammad Ibrahim and I am confident that Bank Negara will take these concerns (also supported by FMM) seriously. December thankfully, was not all cautionary. There were also some great results in stock, as the Malaysian Timber Certification Scheme was - after many years - finally approved by the Dutch procurement authorities. Furthermore, on 21 December, the Dutch consortium on palm oil residues and biomass “Palmares” was signed by eight Dutch companies and research institutions in the presence of Malaysian authorities and Ambassador Karin Mössenlechner. The Embassy, together with coordinator ECN, has been a driving force from the start. It will be a great opportunity to bring sustainability and innovation to the Malaysian palm oil sector and to give renewable energy a kick start. So what can you expect from us in 2017? First and foremost, on the Embassy front you can expect a similar, if not higher, level of service providing to Dutch companies that do, or want to do, business with / in Malaysia. Please do approach us with market inquiries, trade issues, market access restrictions, or business partner requests. Furthermore, we will continue to promote the Netherlands as Malaysia’s partner for sustainability and innovation; we want to link Dutch water experts with their Malaysian counterparts. Building on the initial work done in the last few years, we are now seeing the first requests for Dutch technology and

expertise in Malaysia. In July, coinciding with the OGA 2017, we will host a large delegation from the Offshore sector and we will organise networking, matchmaking and fact-finding activities (interested parties can contact the Embassy). We will continue our efforts in bringing smart city technology over to Malaysia, and we will see the first activities from the Palmares palm oil biomass consortium. At the moment, the EU and Malaysia are also discussing whether to relaunch the FTA negotiations. Although at the moment it is not yet sure whether they will be relaunched, it is good to realise what an EU-Malaysia FTA might mean for your business. At the MDBC front, the launch of the Johor branch early this year will no doubt prove to be another highlight. The last few years we have visited Johor Bahru and the southern regions on several occasions and it is a promising, vibrant region, with a lot of potential. MDBC members will be able to expand their business and the relevance of their membership will increase considerably. Speaking of value for money, with new activities such as the MDBC Outlook, the MDBConnects Fair or the Spouse Program, we clearly see MDBC becoming a more professional service organisation for its members and this trend will continue in the next year. In short, we can look forward to another exciting year. 21st EU - ASEAN MINISTERIAL MEETING The meeting was jointly chaired by Slovak Foreign Minister Miroslav Lajčák and Thai Foreign Minister Don Pramudwinai.

Thailand recently hosted the 21st EU - ASEAN Ministerial Meeting which brought together Foreign Ministers from EU and ASEAN countries. In a joint declaration they pledged to continue to work together on a range of issues ahead of the 40th anniversary of relations between the two blocs in 2017. The meeting took place in the context of the increasingly close partnership between the European Union and ASEAN, two leading examples of regional integration in the world. Foreign Ministers discussed cooperation on a wide range of issues - economic, political, and security related - and identified ways and means to strengthen EU - ASEAN relations for the future. In their joint declaration the two sides reaffirmed “to foster rules based approaches to promote security and prosperity for their citizens and to address global challenges effectively... and in promoting global peace, progress and prosperity.” The two sides also pledged to accelerate efforts in working towards a strategic partnership between ASEAN and the EU and signalled their readiness to strengthen ASEAN - EU relations and cooperation in all areas of mutual interest. In the declaration the EU and ASEAN also resolved “to enhance political and security dialogue and cooperation between ASEAN and the EU with a view to strengthening regional capabilities in traditional and non - traditional security areas,” welcoming “strenthened dialogue and cooperation on maritime security, counter - terrorism, cyber security, preventive diplomacy and mediation and crisis management between ASEAN and the EU”. Kneppelhout & Korthals What is arbitration? By Marjolein van Herk - van Tilburg (Attorney at Law, Kneppelhout & Korthals N.V.) parties themselves, based on for example their expertise knowledge in a certain field, their specific qualifications or their (neutral) nationality.

What is arbitration? When you’re doing business abroad, it’s important to know what happens if your collaboration falls apart or if any damage occurs. In which country, how and by whom will it be judged? There are multiple means of dispute resolution. You can try to solve the problem through negotiation, possibly with the help of a professional mediator. If the parties cannot reach a solution, or when binding judgments are required, there are two possible paths to follow: state court litigation or arbitration. Arbitration is becoming increasingly popular in the international business world. But what does arbitration exactly entail? Characteristics of arbitration Arbitration has some advantages over state court litigation. Parties may not want to be subjected to the ‘normal’ courts, as facing the court of their business partner’s country could be considered a disadvantage to some. Commercial arbitration cases are not handled by a national judge, but by an arbitral tribunal consisting of one or three arbitrators who have been selected by the parties themselves. Parties can choose the place of the arbitration and it is also possible to move to another location in the course of the proceedings, should that be more suitable given the different locations of parties, arbitrators and experts. In short, the arbitration process is more flexible than court proceedings. The process is also confidential, with proceedings behind closed doors. The arbitral award will only be made public if the parties grant permission. Experienced people can be chosen as arbitrators by the

International arbitration institutes To safeguard a good arbitration process, it is recommended to arbitrate at an established arbitration institute. Such institutes have ‘Rules of Proceedings’, which act as clear guidelines, from the filing for arbitration until the final arbitration award. The arbitration institute can also assist in selecting suitable arbitrators. Historically, the largest arbitration institutes are found in Europe, with the London International Court of Arbitration (LCIA) and the International Chamber of Commerce (ICC) in Paris being the largest. New York City has the International Centre for Dispute Resolution (ICDR). In Africa, the Organization for Harmonization of Business Law in Africa (OHADA) is becoming increasingly important. In Asia, the most well-known institutes for commercial international arbitration are based in Singapore (Singapore International Arbitration Center, SIAC), Hong Kong (HKIAC) and China (International Economic and Trade Arbitration Commission, CIETAC). The Malaysian Kuala Lumpur Regional Center for Arbitration (KLRCA) is considered a rising star in this field. No appeal and internationally enforceable awards An important aspect of arbitration is that after an arbitration award has been made, no appeal can be made on the merits. This prevents endless litigation in several stages. Equally important is the factor of global enforceability of an arbitration award. When the winning party has to find his awarded compensation in another country, the process can actually be easier if it concerns an arbitration award than if it concerns a verdict from a national court. The 1958 New York Convention, signed by most countries worldwide, facilitates enforcement of an arbitration award in member states and describes only a limited number of grounds for refusal of enforcement. With a verdict

from a foreign court the enforcement can be much more complicated, when there is no treaty between the countries on the reciprocal recognition of state court verdicts. As a clear example, enforcing a verdict from a Malaysian court in the Netherlands is much more difficult than enforcing an arbitration award that was made under the rules of the KLRCA. Fast procedure? If both parties and the arbitrator(s) collaborate, arbitration can be faster than court proceedings. The Asian arbitration institutes have set up special rules for quick and short proceedings. The KLRCA has the Fast Track Arbitration Rules, according to which a final arbitration award is made within 160 days. Singapore and Hong Kong have ‘Expedited Procedures’, which state that the arbitration has to be completed within 6 months. The case can be decided by one arbitrator, without a hearing taking place. Costs Fees and other costs of arbitrators tend to be somewhat higher than court fees. Parties also have to pay the service charges of the arbitration institute (which also functions as registry and case manager) and the potential costs for the rental of a hearing room. The various arbitration institutes define their own fees, with the KLRCA having a very competitive position in Asia. Arbitration clause Arbitration is only possible if parties have agreed to an arbitration clause in their contract. Make sure that the arbitration clause mentions the scope of arbitration (such as: “All disputes arising out of or in connection with this contract will be subject to arbitration”), the applicable law to the contract and to the arbitration, the place of the arbitration and the arbitration institute, the amount of arbitrators (one or three) and the language of the arbitration. If all this is mentioned in the contract, then, in case of trouble or not-so-smoothly-going-business, at least the arbitration proceedings are good to go!
