Coup de pates was founded over 25 years ago, supplying Artisans across Paris with quality raw ingredients to help save them time and effort. IT ALL BEGAN WITH THE

UNFORGETTABLY SWEET SCENT OF COOKIES, FRESH FROM THE OVEN...

One day in 1976, Ken Rawlings, the original founder of Otis, sniffed a scent that would change the course of his, and all sweet treat lovers, lives forever...the wonderfully sweet smell of freshly baked cookies wafting through the air in a California shopping mall. From that day forward, Ken was inspired. A daring visionary, he immediately set the wheels in motion to create a brand that could bring a little bit of fresh baked sweetness into the daily lives of all, young and old. And so, Ken was in the cookie business! By 1977, Otis opened its doors to the Californian public, soon to become an American classic, and ultimately, an international favourite.

1976 WHIFF OF GENIUS Ken Rawlings gets the idea to start a fresh baked cookie business when he smells cookies baking in a California mall with Stewart Podell.

1977-81 HELLO OTIS! Otis Spunkmeyer opens its first store in Oakland, California under the name “The Original Cookie Company”. It is very successful in its first year. Between ‘77 and ‘81 multiple stores are opened. The company is then renamed Otis Spunkmeyer by Ken’s 12 year old daughter Kimberly.

1982-83 WHOLLY WHOLESALE Ken decides to evolve the company into the manufacturing of high quality wholesale products for the foodservice industries.

1984 DOING IT ALL Otis Spunkmeyer develops an innovative full-service solution for customers, providing custom designed ovens that would bake Otis cookies to perfection, displays, promotional items, distribution vehicles, and most importantly, delicious products. Otis is the first company of its kind to provide a solution like this for foodservice customers.

1985+ BIG HEARTED Otis Spunkmeyer develops an impressive culture of Corporate Social Responsibility.

1990 MUFFINCREDIBLE! Otis acquires the Sweet Happenings muffin company, hires the founders, and becomes the very first brand to Ken was well known for offer frozen muffins to being a visionary spirit foodservice customers. with a big heart. Otis ran programmes for staff members to quit smoking, developed student motivational programmes, started the Otis Spunkmeyer Foundation, and they even had a vintage DC-3 plane that would bring staff and tourists on tours of the California Bay area!

2006 NEW FRIENDS Otis joins the Aryzta family and begins plans to bring their special brand of sweetness to the rest of the world.

TERMS & CONDITIONS VEGETARIAN: Where products are declared as ‘Acceptable for Vegetarians’, these products may contain milk, eggs or honey. Where a significant risk arises that products could be contaminated during manufacture by products from an animal source other than milk or eggs, the product will not be declared suitable for vegetarians (i.e. ova-lacto vegetarians). Specific details regarding the vegetarian statues of products are available on request from our Technical department. TRACEABILITY: All local products are supplied with 100% batch traceability. (Preparation guidelines may vary according to the equipment used). ALLERGENS: Allergen information can be found on all outer case labels and product specifications, or alternatively on request from our technical department. SIZE & WEIGHT REQUIEREMENTS: All product dimensions and weights are approximate and refer to the frozen product. The weights of some of our products may lie outside the prescribed quantity legislation. These products are not designed to be sold as whole units but served in a variety of ways. This is the food traders responsibility.

1. INTERPRETATION 1.1 IN THESE CONDITIONS: ‘BUYER’ means the person who accepts a quotation of the Seller for the sale of the Goods or whose order for the Goods is accepted by the Seller. ‘BUYER’S PREMISES’ shall be the place to which the Seller shall deliver the Goods and the Buyer shall provide the Seller with details of the location of such premises. ‘GOODS’ means such goods which the Seller supplies in accordance with these Conditions from time to time. ‘SELLER’ means ARYZTA Food Solutions or any subsidiary or associated company. ‘CONDITIONS’ means these terms and conditions of sale. The Conditions shall prevail over any terms and/or conditions supplied or furnished by the Buyer and the Buyer waives any right which it otherwise might have to rely on such terms and conditions. No variation or alteration of these Conditions will be binding on the parties unless agreed in writing between the Seller to the Buyer. All quotations given and all orders and contracts for the sale of the Goods are subject to these Conditions. ‘CONTRACT’ means the contract for the purchase and sale of the Goods, the terms of which are the Conditions.

2. ORDERS Orders are accepted and Goods are delivered subject to availability and the Seller accepts no responsibility and shall not be liable in any way to the Buyer if the Goods ordered are unavailable. In the event of any of the Goods ordered being unavailable, the Seller reserves the right to supply at its absolute discretion Goods which are similar in nature and quality to the unavailable Goods.

3. PRICE OF THE GOODS 3.1 The price of the Goods shall be the Seller’s quoted price as set out in the Seller’s price lists which may be varied from time to time without notice at the Seller’s sole and absolute discretion for any of the Goods (‘the Price’). All prices quoted by the Seller shall be valid for [30 days] only from the date of quotation. 3.2 The Price is exclusive of any applicable Value Added Tax or any other taxes, which the Buyer may be additionally liable to pay to the Seller. 3.3 Save where expressly agreed to the contrary by the Seller in writing, the Seller shall not be responsible for and also reserves the right to pass on to the Buyer any handling,storage, transportation or packaging costs or other expenses incurred by the Seller in delivering the Goods to the Buyer’s address or to pass on to the Buyer any increase in those costs of delivery above those taken into account in the Seller’s quotation.

4. TERMS OF PAYMENT 4.1 The Seller shall be entitled to invoice the Buyer for the price of the Goods on or at anytime after delivery of the Goods to or outside the Buyer’s Premises. If delivery is delayed by the Buyer or the Buyer is unable to take delivery of the Goods for any reason the Seller shall nevertheless be entitled to invoice the Buyer for the Goods. 4.2 The Buyer shall pay the price of the Goods (without any deduction, set off or counterclaim) within 28 days of the date of the Seller’s invoice (subject to satisfactory credit report and/or status). 4.3 If the Buyer fails to make any payment in accordance with this Clause 4, then, interest shall be charged at the rate of 2% above the Bank of Ireland commercial overdraft rate from the date of invoice to the date of payment of such. 4.4 The Seller reserves the right at its absolute discretion to require payment prior to delivery. 4.5 The Seller reserves the right at its absolute discretion to refuse any POD (proof of delivery) request older than 6 months. 4.6 The Seller reserves the right to apply Bank charges to the Buyers account for Referred or Dishonoured Payments. 4.7 We will monitor and record information relating to your trade performance and such records will be made available to credit reference agencies who will share that information with other businesses in accessing applications for credit and fraud prevention.

5. DELIVERY 5.1 Any times or dates quoted for delivery of the Goods are approximate only and the Seller shall not be liable for any loss, damage, cost or expense resulting from any delay in delivery irrespective or how such delay was caused. The Goods may be delivered by the Seller in advance of the quoted delivery time or date. 5.2 Unless otherwise agreed in writing by the parties, the Goods shall be delivered to or outside the Buyer’s Premises as set out in Condition 1.1 above. The Buyer shall have the right to inspect the Goods and shall inform the Seller immediately if he has any complaints in relation to the quality, quantity or identity of the Goods. Claims, shortages or damages to the Goods must be reported to the Seller’s driver on delivery and any claims for damages or shortages will not be entertained once they have been for Goods signed for in full by the Buyer.

6. TITLE, RISK AND PROPERTY 6.1 Risk of damage to or loss of the Goods shall pass to the Buyer when the Goods are delivered at the Buyer’s premises. 6.2 Notwithstanding delivery and the passing of risk in the Goods, or any other provision of these Conditions, the property in the Goods shall not pass to the Buyer until the Seller has received cleared funds payment for all sums due from the Buyer to the Seller. The Seller shall be entitled to terminate its relationship and deliveries to the Buyer at any time at its absolute discretion but in particular where the Buyer enters into any compromise or arrangement with its creditors, commits any act of bankruptcy or if an order is made or an effective resolution is passed or a petition is presented for its winding up (except for the purposes of amalgamation or reconstruction as a solvent company), or if a receiver and/or manager or examiner is appointed in respect of the whole or any part of the Seller’s undertaking or assets or the Buyer suffers any procedure analogous thereto under the law of any jurisdiction and in any of the above situations the Buyer shall allow and hereby licences the Seller and its representatives to enter onto its premises and repossess any Goods. In the event of any of the above occurrences, all sums due to the Seller from the Buyer shall become immediately due and payable without deduction, set-off or counterclaim and termination shall be without prejudice to the Seller’s accrued rights. If the Buyer shall become bankrupt or enter into an arrangement with his creditors or if execution is levied against the Buyer or a petition is presented or an order is made or resolution is passed for the winding-up of the Buyer or if a Receiver or Administrator is appointed over any property of the Buyer or if an Examiner is appointed to the Buyer or if the Buyer becomes insolvent or if the Buyer is in breach of any contract (including this Contract) with the Company, the Company may stop any Goods in transit and suspend further deliveries and may determine the Contract with the Buyer without prejudice to any existing claim of the Company and nothing in this condition shall prejudice any other right vested in the Company.

7. EXCLUSION OF LIABILITY 7.1 The Seller shall have no liability for any suits, claims, judgements, awards, expenses,costs (including legal costs), damages, proceedings or losses (including, without limitation,any special, incidental, direct, indirect, punitive or consequential loss or damages, loss of business, revenue or profits, loss of use or data, loss of savings or anticipated savings, loss of investments or loss of reputation or goodwill) of whatsoever nature howsoever arising incurred by the Buyer or any other person pursuant to this Contract. 7.2 All terms, warranties, representations and conditions whether made orally or implied by circumstances, custom, contract, equity, statute or common law are hereby excluded. Without prejudice to the generality of the foregoing all terms implied by Sections 13, 14 and 15 of the Sale of Goods Act 1893 are hereby excluded to the extent that such is fair and reasonable. All terms implied by the Sale of Goods and Supply of Service Act, 1980 are hereby excluded. For the avoidance of doubt, the Buyer confirms that he enters into these Conditions in the course of its business and not as a consumer for the purposes of or within the meaning of the Sale of Goods and Supply of Services Act 1983 and 1980. 7.3 Where any valid claim in respect of any of the Goods which is based on the quality or condition of the Goods is notified to the Seller in accordance with these Conditions and accepted by the Seller, the Seller shall be entitled to replace the Goods (or part in question) free of charge or, at the Seller’s sole discretion or credit the Buyer the price of the Goods (or proportionate part of the price) but the Seller shall have no further liability to the Buyer. 7.4 The Seller shall not be liable to the Buyer or be deemed to be in breach of the Contract by reason of any delay in performing, or any failure to perform, any of the Seller’s obligations in relation to the Goods, if the delay or failure was due to any cause beyond the Seller’s reasonable control including without limitation acts of God, explosion, flood,tempest, fire, accident, wars or threat of war, sabotage, insurrection, civil disturbance,requisition, or any acts, restrictions, regulations, byelaws, prohibitions or measure of any kind on the part of any governmental, parliamentary local or competent authority, strikes, lock-outs or other industrial actions or trade disputes (whether involving employees of the Seller or of a third party), outbreak of disease, difficulties in obtaining raw materials, labour, fuel, parts or machinery, power failure or breakdown in machinery. 7.5 Any recommendations, advice, suggestions relating to the use or storage of the Goods given by the Seller are made in good faith but the Seller shall not be liable for any loss,damage, expense or liability of the Buyer arising out of the Buyer’s reliance on such recommendations, advice and / or suggestions. 7.6 Notwithstanding any other provision contained in these Conditions, the Seller’s liability to the Buyer for all damages, losses and causes of action whether in contract, tort(including negligence) or otherwise shall not exceed €1,000.

8. Indemnity Buyer shall indemnify the Seller in full in respect of any loss (including without limitation any special, incidental, direct, indirect, punitive or consequential loss or damages, including without limitation, loss of business, revenue or profits, loss of use or data, loss of savings or anticipated savings, loss or investments or loss of goodwill),damage, proceedings, suits, claims, judgements, awards, expenses and costs (including legal costs) incurred by the Seller as a result of the negligence, fault, errors or omissions of the Buyer or of the Buyer’s employees, officers or representatives.

9. GENERAL 9.1 In the event of any conflict arising between the contents of any technical or administrative documents, issued by the Supplier from time to time dealing with matters such as product recall procedures [baking instructions and other quality assurance issues](‘Technical Documents’) and these Conditions, these Conditions shall take precedence but in the absence of any such conflict, the contents of the Technical Documents shall have contractual effect and shall be binding on the Buyer. This Agreement and the Technical Documents represent the entire understanding of the parties concerning the subject matter hereof and override and supersede all prior promises, representations,understandings, arrangements, proposals, quotations, project plans, agreements, side letters concerning the same which are hereby revoked by mutual consent of the parties. 9.2 No waiver by the Seller of any breach of the Contract by the Buyer shall be considered as a waiver of any subsequent breach of the same or any other provision. 9.3 If any provision of these Conditions is held by any competent authority to be invalid or unenforceable in whole or in part the validity of the other provisions of these Conditions and the remainder of the provision in question shall not be affected. 9.4 The Contract shall be governed by the laws of Ireland and United Kingdom, and the Buyer agrees to submit to the exclusive jurisdiction of the Irish courts. 9.5 The Buyer shall not assign the Contract in whole or in part without the prior written consent of the Company. The seller may assign the Contract or any rights or obligations under the Contract. 9.6 Any amendment to the contract between the Buyer and the Seller will have to be agreed in writing.
