Description of responsibilities and requirements to qualifications, skills and experience of RST positions at the Ministry of Economic Development and Trade of Ukraine POSITION: Associate Expert (Category 3, Reform of SOEs governance)

1. Objective(s) and linkages to Reforms A Reform Support Team (RST) at the Ministry of Economic Development and Trade (MEDT) is a group of Ukrainian professionals (non-civil servants) funded on a temporary basis by the donors that provides targeted technical support and assists the Ministry in the design and implementation of priority reforms. The RST will assist in filling the capacity gaps in the design and implementation of priority reform strategies and programs, while strengthening links and partnerships between the Ministry’s priorities and relevant donor support. SOEs reform is part of National Reform Program implemented by National Reform Council. MEDT has made the reform of SOEs one of its top three priorities and is committed to building a healthy and transparent system that will aim to make Ukraine adherent to OECD Guidelines on Corporate Governance of SOEs. The reform aims for two main objectives: • improvement of efficiency of state-owned enterprises; • privatization of non-strategic SOEs. An associate expert on Corporate Governance is vitally needed to support the Government of Ukraine and in particular MEDT in the fulfillment of the SOEs reform especially in implementation of corporate governance procedures. A highly qualified professional is needed in order to draft, supervise and support the necessary products (documents) related to SOEs reform. Fulfillment of this function by the ministry personnel is not possible due to lack of civil servants’ competence of best corporate governance standards and practices, and ability to adopt them in Ukraine. 2. Duration and proposed timeframe: Duration of assignment is till 31.03.2018 year (with discretionary extension for additional 1 year, also subject to availability of donor funding). 3. Main Duties and Responsibilities: Support to Reform Teams (Working Groups) and Senior Project Manager -­­ data and information search, integration and analysis -­­ support for training and capacity building of Reform teams -­­ project management support -­­ organizational and logistical support to Reform team (events, round tables, conferences and forums to engage stakeholders on key reform themes and policy proposals) -­­ preparation of slides for presentations, infographics 4. Main anticipated deliverables: -­­ Assist in selection process of members of Supervisory Boards in 15 large SOEs ­­ Prepared slides for presentations, infographics on SOE Reform -­­ Regular progress reports on reform development and implementation. 5. Master degree in economics, international relations, law or business administration. Strong analytical, communication and presentation skills PC literacy (advanced PowerPoint, Project, Excel, Word skills; Visio is an asset) Fluency in Ukrainian and English 5.2 General professional experience:

-­­ Preferably more than 5 years of general professional experience (over 2 years), preferably 3 years of experience in research and analysis, law, public or business administration, consulting, communications. 5.3 Specific professional experience: -­­ Proven knowledge and professional experience in data collection and analysis -­­ Experience with the reform implementation in Ukraine, especially as related to SOE governance is a plus -­­ Experience with government entities and their mandate and processes is an asset 6. POSITION: Senior Expert (Category 2, Public administration reform)

1. Objective(s) and linkages to Reforms A Reform Support Team (RST) at the Ministry of Economic Development and Trade (MEDT) is a group of Ukrainian professionals (non-civil servants) funded on a temporary basis by the donors that provides targeted technical support and assists the Ministry in the design and implementation of priority reforms. The RST will assist in filling the capacity gaps in the design and implementation of priority reform strategies and programs, while strengthening links and partnerships between the Ministry’s priorities and relevant donor support. The Senior Expert’s primary focus is to ensure introduction of modern HR business processes and practices to the MEDT within the framework of Public administration reform and capacity building in the MEDT. The Senior Expert is also responsible for quality of the acquired staff, high performance, continuous improvement and development of key staff of the MEDT, subordinated public bodies/agencies and SOEs. 2. Duration and proposed timeframe: Duration of assignment is till 31.03.2018 year (with discretionary extension for additional 1 year, also subject to availability of donor funding). 3. Main Duties and Responsibilities: -­­ Active engagement into Public administration reform and capacity building in the MEDT -­­ Active engagement into recruitment process of key staff to the MEDT, subordinated public bodies/agencies and SOEs. -­­ Assist in development recommendations regarding Ministry decision-making and delegation processes and responsibilities split, ensure clear responsibilities split between units -­­ Assist in ensure clear work scope documented for each employee -­­ Assist in development and implementation of the MEDT staff assessment -­­ Assist in development of the training plan for the Ministry’s and SOE’s staff 4. Main anticipated deliverables: -­­ Development of the transformation program for Ministry apparatus capacity and productivity building -­­ Draft clear work scope documented for employees of the Ministry -­­ Provide quarterly performance review of the Ministry’s staff -­­ Organize 4 trainings and education programs for Ministry’s and SOE’s staff 5. Reform:

Public Procurement

POSITION: Senior Expert (Category 2, Implementation of Public Procurement Reform) 1. Objective(s) and linkages to Reforms A Reform Support Team (RST) at the Ministry of Economic Development and Trade (MEDT) of Ukraine is a group of Ukrainian professionals (non-civil servants) funded on a temporary basis by the donors that provides targeted technical support and assists Ministry in the design and implementation of sectorial strategies and priority reforms. The RST will assist in filling the capacity gaps in the design and implementation of priority reform strategies and programs, while strengthening links and partnerships between the Ministry priorities and relevant donor support. Public procurement reform is one of the top priorities for MEDT. New version of Public Procurement Law made application of eProcurement system ProZorro obligatory for all contracting authorities (ca 25 000 tender committees) as of August 1, 2016. ProZorro team has set its priorities on promoting public procurement reform and ProZorro, as its driver, to new potential suppliers who have not still tried ProZorro. Moreover, Prozorro team aims at developing monitoring activities by civil society, improving educational and capacity building activities for contracting authorities and suppliers. 2. Duration and proposed timeframe: Duration of assignment is till 31.03.2018 year (with discretionary extension for additional 1 year, also subject to availability of donor funding). 3. Main Duties and Responsibilities: -­­ Assist in monitoring of key public procurement reform’s directions in the Ministry of Economic Development and Trade and Department for Public Procurement Regulation -­­ Support in preparation of aggregated and detailed reports on public procurement reforms' implementation proceeding for RST Director, relevant stakeholders -­­ Coordination of such reform’s directions as development and promotion of especifications tools, stabilization of e-procurement system ProZorro. 4. Main anticipated deliverables: -­­ Manuals and forms for the concept implementation based on the pilot results -­­ Compiled & verified data for specifications that cover 70% of procurement procedures -­­ Upgraded indicative specifications' tool and integrate it into the e-procurement system ProZorro -­­ Regular aggregated progress reports on reform development and implementation to the Reform Council and the donors 5. State owned enterprise reform

POSITION: Senior Project Manager (Category 1, Reform of SOEs governance) 1. Reform Teams (Working Groups) support i. project management support (development of project/reform implementation plan, risk management, change management, etc.) ii. Manage changes to laws and secondary legislation 9

iii. preparation of timely and quality reports and status updates on reform implementation progress to the Minister and RST Director, as well as for publication 3. Main anticipated deliverables: - Develop new charters and rules of procedure of the Supervisory Board for companies under MEDT management - Regular progress reports on reform development and implementation - Draft State Ownership Policy and define necessary legislation amendments for its implementation 4.
