POSITION: Senior Lawyer - SOE Governance and Privatization (Category 1 expert)

1. Objective(s) and linkages to reforms The position is embedded in the Reform Support Team (RST) at the Ministry of Economic Development and Trade of Ukraine (MEDT). The RST assists the Ministry in filling the capacity gaps in the design and implementation of priority reform strategies and programs, while strengthening links and partnerships between the Ministry’s priorities and relevant donor support programs. The position is linked to the SOE and privatisation reforms outlined in Ukraine 2020 Strategy. The overall objective is to implement corporate governance reform, in line with the OECD standards, in strategic SOEs and increase the value of their assets; enable privatisation of other SOEs according to the new Privatisation Law; and ultimately, liquidate non-operating SOEs. The Senior Lawyer will be engaged into the implementation of SOE and privatisation reform, as specified above, and specifically facilitate liquidation of SOEs under MEDT remit. The expert will also focus on lease of state and municipal property, making analysis and recommendations as to its reform and bringing to modern standards. 2. Duration and proposed timeframe: Duration of assignment is until 30 June 2019. Subject to the availability of funding, the performance of the selected consultant and the specific needs of the RST, this appointment may be extended. 3. Main Duties and Responsibilities:      

 

Legal analysis of current legislation and preparation of propositions for its amendments Legal drafting and support within the SOE reform process Legal support for adoption and enactment of primary and secondary legislation by the Parliament and the Cabinet of Ministers; Support and advocacy for the legislative initiatives at Parliamentary Committees and working groups Negotiation of the provisions of legal acts with international organizations, financial institutions, Ministries and Parliamentary Committees Alignment of the draft legal acts with internal legal departments of the Ministries, State Authorities, Parliament, State Property Fund of Ukraine, etc for implementation of SOE reform acts Preparation of presentations and analysis of legal acts Coordination of legal processes on amendments to legislation on SOE reform processes; on implementation of SOE ownership policies; on small and large privatization; on liquidation of SOEs and development of relevant concepts; on 1

amendments to legislation on lease of state and municipal property; and other relevant tasks.

4. Main anticipated deliverables:       

Analytical reports, presentations, legal drafts and propositions for legislative amendments/improvements within the SOE reform process Legal analysis of the SOE legislation and proposals for improvements prepared Legal analysis and support on implementation of SOE ownership policies provided Concept on liquidation of SOEs under MEDT remit and a related roadmap developed Legal analysis in cooperation with MEDT departments on liquidation processes of SOEs under MEDT provided Legislative proposals and recommendations on amendments to legislation on lease of state and municipal property. Regular implementation progress reports

5. Qualifications, Skills and Experience: 5.1 Qualifications and skills:  Master's Degree in law  Strong analytical, communication and presentation skills  PC literacy (PowerPoint, Project, Excel, Word; Legal databases Liga or Rada proficiency)  Fluency in Ukrainian and good command of English 5.2 General professional experience:  Minimum 5 (preferably over 10) years of work as a lawyer in law firms and/or government and/or international organisations  Experience in public administration is an asset 5.3 Specific professional experience:  Experience in regulatory environment and institutional frameworks in Ukraine  Familiarity with the reform agenda in Ukraine 6. Assignment Value The estimated monthly value of this consultancy position is in the region of 1200-1800 EUR. The funding source of this assignment is the EBRD Ukraine Stabilisation and Sustainable Growth Multi-Donor Account (MDA). The contributors are: Denmark, the European Union, Finland, France, Germany, Italy, Japan, the Netherlands, Poland, Sweden, Switzerland, the United Kingdom and the United States of America.
