Governors State University Foundation Board Prospectus Dear Prospective Board Member: Governors State University is committed to offering an exceptional and accessible education that prepares students with the knowledge, skills and confidence to succeed in a global society. GSU will create an intellectually stimulating public square, serve as an economic catalyst for the region, and lead as a model of academic excellence, innovation, diversity and responsible citizenship. GSU offers over 50 degrees at the undergraduate, graduate, and doctoral levels with the most affordable undergraduate tuition of any Illinois university. Under the leadership of our president, Dr. Elaine P. Maimon, our reputation for the highest quality and most innovative education is growing both nationally and internationally. Still, we have considerable work ahead to raise the visibility of Governors State University in our own state of Illinois. The GSU Foundation Board, Executive Advisory Council, Alumni, and College Advisory boards serve as ambassadors willing to enhance the GSU Brand in Fortune 1000 companies and influential circles throughout Illinois. The Governors State University Foundation fosters relationships with philanthropic
individuals, GSU Alumni, and numerous corporate and foundation partners on behalf of our students and the University.
Who we are: The Governors State University Foundation is a 501(c) 3 organization that was established in 1969 as an independent, nonprofit corporation that exists to support Governors State University. Our current assets are 5.5 million dollars.
What we do: The Foundation works closely with the president, college deans, and faculty and staff to support critical student and University needs. The Foundation engages alumni, grantors, corporations, organizations, individuals, and friends in order to establish a strategic partnership that mutually benefits GSU students, the University, external constituents, and the community at large.

Governors State University Foundation Board Membership Charter PURPOSE
(a) To be a not-for-profit, wholly charitable and educational organization to assist in developing and increasing the facilities of Governors State University and in providing broader educational opportunities for and service to its students, alumni, and citizens of the State of Illinois and of the United States by encouraging gifts of money, property, works of art, historical and other material having educational, artistic or historic value, and by any other proper means, including fund-raising for student scholarships, academic programs, the Center of Performing Arts, the Nathan Manilow Sculpture Park, and university-community partnerships and outreach programs. (b) To do such other acts and undertake such other enterprises as in the judgment of the Board of Directors shall tend to promote the interests and welfare of Governors State University. COMPOSITION Section 1. Directors. The Board of Directors shall consist of not less than eleven nor more than thirty-five elected directors. In addition to the elected directors, the Foundation Board will also include the following members of Governor State University staff, as Foundation directors: (1) the President of Governors State University; (2) the Vice President for University Advancement; (3) the President of the Faculty Senate; (4) the President of the Alumni Association; and (5) a trustee designated by the Governors State University Board of Trustees. The Governors State University Comptroller will serve as an Ex Officio member of the Board of Directors. Each elected Director shall hold office for a term of three years. A director may be elected to additional three-year terms TIME COMMITMENT Section 1. Meetings. There shall be regular quarterly meetings of the Board of Directors. The regular quarterly meeting held in the third quarter of each year shall be designated by the President as the annual meeting for the purpose of electing directors and officers. Meetings shall be held at a place and at an hour to be fixed by the President or the Executive Committee. Section 2. Special Meeting. Special meetings of the Board of Directors may be called either by the President, the Board of Directors, or by three or more of the directors. FINANCIAL COMMITMENT As partners, each Board member will be expected to make annual contribution of $2,000. Gifts to areas of your interest i.e. scholarships, academic funding, faculty development are welcomed and appreciated.
