Healthy Grill USA (referred to from hereon in as the "Company") is established as a S Corporation at 796 Racquet Club Circle, Rohnert Park, California 94928 with the expectation of the Healthy Grill project rapid expansion and its influence in the food service industry. The Company solicits financial backing in order to be able to introduce/launch its new and innovative food services (described below). Business Description The Company is formed as S Corporation under California state laws and headed by Nuno José Lopes Silvestre is the major partner. Management Team The Company has assembled an experienced management team: Project Developer / Manager partner - Nuno Silvestre, more than 10 years of experience in the food service industry and background in Bank Management President - Lee Sanders, Project developer trust member Stores Manager - Jaime Marçalo, 25 years of experience in the food service industry Business Mission In the first project stage, the Health Grill USA project mission is to provide the Marin County, San Francisco city and San Francisco metropolitan bay area (and other areas where the Company expands) consumers with high quality grilled food free of “Benzopyrenes” for affordable prices. Usually healthy food service products tend to be more expensive than regular ones but due to our project characteristics, we will be able to provide meals for a similar price as the regular food services even compared to the prices of some Fast-Food brands. This characteristic will position the project in a privileged food market level.

New Service The Company is prepared to introduce the following service to the market: Healthy Grill Quick Service Food Stores – Fast Food service concept - providing grilled food free of carcinogens (Benzopyrenes) including a main facility where all the food will be prepared (marinated and portioned) what will be already adapted for a future franchise concept. Into the concept of the Small Food Stores we are considering Shopping Centers, Malls and Street Stores operating with low operational costs under a similar operational method as Fast Food stores. For a future easier expansion, the partnership with small food business owners and the Franchise project are already being considered however the market consolidation on the Bay Area it’s the main focus even to have a better perception of the details we can improve. The other goal of our project is to create ventures with grocery stores who are related with healthy foods in order to have a booth inside where we will provide our products. For that we already have established contact with some chains and the feedback was very positive. As an addition to our project, selling our raw packed products to the customer is also contemplated including the merchandising of some of other products as Skewer boxes. As the business intends to operate among Marin County, San Francisco and the metropolitan Bay Area, the typical consumer we are targeting appreciates grilled foods, tends to be health conscious and believes they are doing so by grilling their foods. The typical customer for our products is someone who appreciates grilled foods, who have concerns about having a more robust, wholesome body and who currently use grilled foods as a viable alternative towards a holistic, healthful approach in their lives. The targeted geographical area probably is the area in California where the demand for Healthy Food it's more evident and notoriously growing every single year. Each unit of our project is prepared to target different customer groups, including according to the location, however, our main target group for our first units will be Marin County, San Francisco city and Metropolitan Bay Area including Silicon Valley area. Our products and services are well positioned to appeal to group of people, known for their lively politics, ecofriendly and health-conscientious mind-set. Marin County is one of the counties included in the Bay Area Green Business Program and is the fifth highest income per capita in the United States according to the 2009 census. We believe Marin County is an area that will quickly grasp and appreciate our products and services as soon we will launch future units. As we expand to more locations, it is our intent to continually educate the general public on the difference of our grilling methodology vs. traditional grilling. 2 of 6

During the first year we also will develop several products - besides grilled ones - to sell on our stores and with high potential to expand through special grocery stores. These special products include packed marinates, seasonings under our brand label. Market opportunity The growing demand for healthier food (especially by food service businesses that serve it) is a proven reality. However, what we have to bring to the food service market is unique and will fill a gap that, until today, had never been filled. The demand for this kind of food service is growing in proportion to the increase in groups of healthy and ecoconscious people. According to the American Restaurant Association the market demand for healthy eating options is expected to grow in the coming years. In addition, those consumers looking for healthy foods are willing to pay more than what they pay for less-healthy options. Even on that we will be different. Affordable healthy meals will be provided! The predicated growth trend is positive both in short and long-term projections. According to the National Restaurant Association: • Consumers will spend a greater proportion of their food dollar away from home. • Independent operators and entrepreneurs will be the main source of new food service business concepts. • Nutritional concerns will be critical at all types of food service operations where food cooking methods and flavors will be important. • Environmental and health concerns will receive increased attention. Besides the healthy advantages of our project, it's important to point out that we will be able to serve populations where grilled food is popular and the most appreciated. The amount of consumption of grilled foods in the United States is comparable only to Brazil and Argentina when we performed a global analysis. “The average American spends around 20% of his/her income on meals away from home. 25 % of people eat out at least once a week.” “According to the National Restaurant Association’s Restaurant Spending the typical American household spent $2,634 on food away from home, a per capita expenditure of $1,054.” Using San Francisco as the market to start the Healthy Grill– Food-Truck (HG-FT) was strategically studied and immense factors have been considered. San Francisco is a popular international tourist destination, renowned for its chilly summer fog, steep rolling hills, eclectic mix of Victorian and modern architecture, and its famous landmarks, including the Golden Gate Bridge, cable cars, and Chinatown. The city is also a principal banking and finance center, and the home to more than 30 international financial institutions, helping to make San Francisco rank eighteenth in the world's top producing cities, ninth in the United States, and thirteenth place in the top twenty global financial centers.

It’s the financial, cultural, and transportation center of the San Francisco Bay Area, a region of 7.15 million people which includes other cities as San Jose and Oakland. Due to such links with Silicon Valley, San Francisco became an epicenter of the Dot-Com bubble of the 1990s–2000s, and the subsequent Web 2.0 boom of the late 2000s. Many popular and prominent Dot-Com companies and "startups" such as Craigslist.org, Twitter, salesforce.com, and the Wikimedia Foundation among others have established their head offices in San Francisco. In researching the number of people who are likely to use or benefit from our products and services in San Francisco and the surrounding Bay Area, the demographics are very favorable indeed! We believe San Francisco will be the perfect launching pad for our unique offerings! Based on all the research, and having Financial District as a reference, 60% of the 220,000 people that eat within the financial district each day, chose not to eat at restaurants. They want to optimize the short time they have and reduce costs. They prefer ordering their meals or picking them up from quick service restaurants and Food-Trucks. Consumer trends demand healthy alternatives and we are uniquely positioned to deliver just that! These factors give us several options with respect to growth and development. Funding Request The Company is looking for a total loan/investment $500.000,00 over the course of 36 month – in case of a loan -, to be used for the following purposes: Buy all the equipment - including grills, refrigeration, kitchen equipment, point of sales hardware and software, general utilities and furniture - for all the initial facilities - main facility with 3 street stores -, construction and decoration of the stores, training, licencing costs and working capital for the first 2 month. percent return on investment by the conclusion of the financing period. If considered an Investment based on equity, the exit strategy considers a payment of 2 times the investment amount by the end of the 3rd year according to what the investor will choose – keep being part of the global project or resell his equity. Business Goals and Objectives Short-Term Goals In a short term the project goal is to consolidate its presence in the San Francisco Bay Area in order to prepare for franchising. Launching the main facility with a point of sales the street/mall stores, will give the necessary revenue to pay the first phase during the first three years and create conditions to expand through franchise after the first year. Opening at least one store in San Francisco Financial District will allow us to improve our image projection in terms of Marketing allowing a faster projection of the project brand name and concept. The idea of having a point of sales in the main facility will allow us to turn it in a self-sustainable unit as well will provide services to the other stores. The main target of the Main facility store will be the delivery and Take-Away in Marin County to satisfy the daily demand in this specific area. Long-Term Goals In the future, the Company will expand its presence starting throughout Northern California, Southern California and closest States by servicing consumers demand and needs for truly Healthy Grilled Food. In addition, other two concepts: - Healthy Grill USA - Food-Truck is focused to provide Healthy Grilled Food in sport, music and cultural events as well trade shows and other venues that feature a large number of people that are also within the target customer group including specific Catering Service. This mobile concept will also work for the project as an important marketing tool as a mobile billboard. - Healthy Grill USA - Grocery Store Ventures consists in developing ventures with specific Grocery Store chains in order to have a booth inside providing our products to their regular customers. Starting early 2016, Wholefoods was the pioneer chain in US bringing this concept to the market. By the end of the first year of operation and while launching the franchise concept, The Company intends to open more self-owned stores that will operate in new target Areas.
