Annual family game marks 49

By Rose Lane Editor The 49th Annual Supper Bowl looked a little different for the Shapard family. Only for the sake of photos, masks were removed and social distancing was briefly limited. Some family members didn’t attend and others only were a part

of the outdoor events. Those who came from out-of-town altered their transportation to ensure the safest options. But, the Shapard family tradition went on. “Thanksgiving is by far the biggest holiday celebration for our family,” Nicole Jacobsen, daughter of the tradition’s founders, said. “It includes a Wednesday

night pizza party, a 20page color program, a tradition-rich football game on Thanksgiving Day, which is followed by a Thanksgiving evening dinner banquet with trophy presentations. “It goes so far as to say that it’s ‘first date’ conversation for any single member of our family. The deal that has to be

made is that Thanksgiving will always be in Oklahoma City and spent with our family. Potential spouses can have any/every other holiday with their families throughout the year, but Thanksgiving is always with our extended family in OKC.” The Supper Bowl tradition and all of its glory

was lovingly created by Eddie Shapard back in 1971, Nicole said. The first Supper Bowl football game was played in 1972. “He envisioned this very special family celebration that has grown and evolved over the last 5 decades into what it is today — a celebration of See BOWL, Page 2

Navy Under Secretary makes first trip to North Korea

American Ambassador Don Blome and Under Secretary of the Navy Greg Slavonic are standing in front of the burial marker of Corporal James H. Slavonic was invited to the North African American Cemetery, in Tunis, Tunisia to participate in the annual Veterans Day ceremony. There are 2,413 soldiers buried at the cemetery and 90 are from Oklahoma.

Secretary Gregory J. Slavonic, who is performing the duties of Under Secretary of the Navy, made his first visit to North Africa while serving in this capacity, visiting from Nov. 8-12. During his visit to the region, the under secretary traveled to Egypt and Tunisia to advance defense objectives pertaining to maritime domain awareness, maritime security and global power competition with two key partners in the region. Slavonic’s first stop was in Egypt where he met with top U.S. and Egyptian officials, including the U.S. Ambassador to Egypt Jonathan Cohen and

Local civic leaders on the board have made some tough decisions to better ensure a safer environment for volunteers and the community. A gift to the community, donations of thousands of coats, toys

served as the master of ceremonies for 40 years.” Eddie passed away in 2012 and the responsibilities of coordinating, organizing and implementing Supper Bowl have been passed to the next generation. “Our goal has always been to make him and the other members of the Supper Bowl Hall of Fame (which includes his

The program is filled with pictures from the previous year’s Supper Bowl, family events from the year, a team roster, details about all of the related events, some games and trivia, Chubbisms (Eddies’ family words of wisdom to always live by), the “Tale of Ancient Lore” (the “official” story of how the family began, a magical tale spun by the eloquent and creative pen of Eddie in the 1970s and passed down as “fact” ever since), a Rappin’ Tale of Ancient Lore (a rap version of the original story, created by Nathan Shapard and Dustin Shapard in the early 1980s), game day protocols, past game scores, past award winners, the Supper Bowl Hall of Fame, Family News Flashes from the year, true tales from the family chronicles, as well as lots of pictures and other special features. Then, Supper Bowl events kick off on Wednesday night, with Tafebdnaffal Games, a themed party that gives family members a chance to hang out and get caught up before the big game on Thanksgiving. The Thanksgiving Day football game is played at Grand Boulevard Park in Nichols Hills. It is videotaped for history’s sake,

Nicole said. The park is officially named Fumble Field for the game. Nicole said there are two teams — the Grammees and the Big Papas. They are named after her grandmother and grandfather, Tennybelle and David Shapard. “Back in 1972, when everything started, husbands and wives were put on opposite teams and grandchildren (and now great grandchildren) were assigned in birth order to alternating teams,” Nicole said. “Each child, when they turn 5-years-old, will receive their official Supper Bowl jersey and nickname in an elaborate pregame ceremony (think dinner rolls being thrown at them and a magical cannon that shoots out their official jersey if they are deemed ‘worthy’).” The day begins with pre-game festivities that include parades, introductions and skits, a group National Anthem performed with an American flag and the ceremonial coin toss by the captains, those family members under the age of 12. A giant fork and spoon are marched by the children to the opposing end zones to signify the start of the game, Nicole said. The youngest generation plays the first quarter, the adults play the second quarter, men and kids 12 and older play the third quarter and everyone

plays the fourth quarter. Nicole said fans are always welcome, but the cost of admission is to perform some type of half-time entertainment. Nathan and Katy Shapard now host the Thanksgiving dinner and awards ceremony. “We have multiple traveling trophies and merit awards that are given out each year,” Nicole said. “The trophies are voted on at dinner by each family member and presented that evening. David Shapard III, has filled the big shoes of Eddie and taken the reigns as the master of ceremonies to present the trophies after dinner.” The trophies include: • The Grammee Award, named after Tennybelle Shapard, beloved Grammee, which is given based on some of her best qualities of compassion, level-headedness and exuberance. • The Big Papa Award, named after David Shapard Sr., the legendary “Big Papa”, which is given based on his best qualities of good sportsmanship and bringing out the best in others. • The Old World Award, which was renamed the Edwin J. Shapard Memorial Old World Award, in 2013, and is given for the best skit, costume, float or pregame introduction). • The Outlandish Award, re-named the David C. Shapard Jr. Outlandish Award, in 2012, in honor of the most outlandish beloved Uncle David and is given for the most spectacular, outrageous or most memorable play of the game. •The Shapardsonian Award, which is given to the player who is deemed to have played the best during the game, to the best of his/her ability. All of these trophies are passed from person to person each year and are engraved with the winners name and the year. “We also give out a variety of merit awards during the banquet, that include special tributes to the youngest family members for their achievements during the game, as well as special guests and other appropriately deserving feats,” Nicole said. Needless to say, the Shapard family Thanksgiving festivities are quite a grand production which can only happen with a lot of effort and dedication on the part of many people. “But it’s more than worth it to reinforce the love and joy that was originally envisioned 49 years ago by Eddie and now that commitment to family lives firmly in our next generation of children,” Nicole said. “It’s exactly what he hoped for all those years ago.”

EDMOND – Down a touchdown late in the fourth quarter, the McGuinness defense hoped to stop Carl Albert on their final series to set up a potential game-winning drive of their own. The top-ranked Titans, however, had other ideas as they scored on an 18-play, 68-yard drive and converted two fourth downs on the way to a 33-21 win over McGuinness last Saturday to claim their fifth straight Class 5A state championship at UCO’s Wantland Stadium. “We just couldn’t seem to get off the field,” Irish coach Bryan Pierce said after the game. “We got some stops at times but (Carl Albert) converted on several third downs.” McGuinness opened the game with 5-play, 60-yard drive which ended on quarterback Luke Tarman’s 41-yard

touchdown pass to Gavin Johnston. Carl Albert answered with two straight TDs but the Irish retook the lead midway through the second quarter on a 13-yard pass from Tarman to his brother Paul Tarman. Both special teams units were on full display as the Irish and Titans ran off several

long kickoff returns. McGuinness’ Michael Taffe boasted more than 200 return yards on the night, with one 65-yard run back set the Irish up inside the Carl Albert 10-yard line for their final score of the game. Taffe finished off the short series with a 9yard TD run. “We spend a lot of

time working on special teams,” Pierce said. “It was nice to see guys make some plays.” In his final start, Luke Tarman completed 11 of 25 passes for 141 yards. Tarman was also one of 18 seniors to play in three state championship games over the last four years. Story continued at OKCFRIDAY.com.

After opening with a pair of losses, the Heritage Hall girls basketball team got their first win with a 41-37 decision against Community Christian last week. Lainey Portman led the way with 18 points and Macy Moore added 14 for the Chargers (1-2).

Behind three players in double figures, the Heritage Hall boys basketball team cruised to a 77-57 win over Lawton MacArthur last Saturday to claim the Joe Lawson Invitational title. Trey Alexander finished with a team-high 32 points and 11 rebounds for the Class 4A No. 2 Chargers (50). C.J. Smith contributed 19 points and Sebastian Perry chipped in 13 points. Alexander also came two assists shy of a triple-double in a 76-74 win over Del City in the semifinals. The senior had 39 points, 12 rebounds and eight assists, while Perry added 18 points.

Antler girls take 3rd at Edmond With six athletes in the top 5, the Deer Creek girls swimming team finished third at the Edmond Invitational last weekend. The Casady girls placed fifth, while Heritage Hall took sixth. In the boys division, Deer Creek garnered fifth place, followed by Casady in sixth and Heritage Hall in seventh. Both Charger and Cyclone girls squads had two event

winners. Heritage Hall’s Gracie Shapard eclipsed the field by just under a half-second to claim a gold medal in the 100 freestyle with a winning time of 57.03 seconds. Maddy Lu earned a 3-second win in the 100 breaststroke in 1:09.87 for the Cyclones. Two Antler boys also claimed gold medals. Jate Anusornpanich outdueled teammate Cameron Sein to win the 50 freestyle in 22.35 compared to 23.47 seconds

for Sein. Anusornpanich also took third in the 100 backstroke for the Antlers. Sein claimed his gold medal in the 100 freestyle by just over 21/2 seconds in 52.69 seconds. Heritage Hall’s Owen Flynn finished second in the 100 breaststroke in 1:04.58, while Deer Creek’s Jordan O’Hare took fifth. O’Hare was also fourth in the 100 freestyle. Eastyn DeYoung paced the Antler girls with a silver medal in the 500-yard freestyle and a bronze in the

200 freestyle. DeYoung finished the 500 freestyle three seconds off the winning pace in 5 minutes, 54.53 seconds. Halle McFarlane claimed third in the 100 freestyle, while Landry Mendoza was fourth in both the 50 freestyle and in the 100 breaststroke. Olivia Lounsberry finished third in the 200 individual medley (IM) and Madelyn Jeantrout was fourth in the 100 butterfly. Heritage Hall’s Dylan Beeson also medaled twice by claiming third place in

both the 50 freestyle and 100 breaststroke. The Cyclone boys got a pair of seventh-place efforts by Eddy Lu in the 100 butterfly and 200 IM. The Antler girls took second in the 400 freestyle relay and third in the 200 freestyle relay. Heritage Hall was fourth in the 200 medley and 200 freestyle relays. Despite the surge of fantastic documentary series in 2020, there were still plenty of documentary feature films that delighted, disturbed and drove national debates. The best documentary film of 2020 is Athlete A, a Netflix original about women’s gymnastics that follows the Indianapolis Starr reporters who broke the story on Larry Nassar, the long-time doctor for USA Gymnastics and convicted sex offender. The star of Athlete A is Maggie Nichols, the NCAA All Around Gymnastic Champion from the University of Oklahoma. Nichols was the first athlete to report Dr. Nassar to USA Gymnastics, hence the title Athlete A. The film looks at how the revelation affected Nichols’ career as an elite gymnast, and helped draw international attention to wide spread abuse within the sport. Athlete A is produced by Jennifer Sey, a former U.S. Gymnastic Champion, current Global Marketing Officer for Levi Strauss, and one of my closest friends from college. Jen and I created our first short film together in 2006 called The Gymnast. Yes, I’m biased. The film is still great. Billie, the searing portrait of singer and activist Billie Holi-

day, is another film that grabbed me early in the year and wouldn’t let go. Crafted from extraordinary interviews from the 1970’s, Billie offers an unflinching look at her amazing talent, the drug and sex addictions that haunted her career, and the massive political risks she took addressing racism in her shows. Filled with awesome performances restored into color for the first time, Billie is a blistering look at a fierce, fascinating woman in American history. Collective - This Romanian journalism documentary, which debuted at Sundance last January, offers an intriguing look at the awesome, antagonistic relationship between government and the press, free from any US political overtones. Collective follows a small, independent sports weekly that uncovers huge corruption in the Romanian national health system and challenges top levels of government. It is a great underdog story and a wonderful reminder of the power and responsibility of the press. The most enjoyable

documentary this year was The Go Go’s, an exciting portrait of the first all-female group to write their own songs, play their own instruments, and make it to number one on the Billboard charts. Starting with their early punk days in Los Angeles, the movie delves into the lives of the individual band members and explores how sex, drugs, jealousy, and the sexism of the music industry broke up the biggest all girl rock band in history. Eddie, the definitive Eddie Sutton documentary from filmmakers Christopher Hunt and David Tester, kicked off the 20th annual deadCenter Film Festival at the Winchester Drive-In before making its national debut on ESPN alongside Michael Jordan’s The Last Dance. Eddie offers an intimate look at one of Oklahoma’s greatest, and most complicated sports legends. Through interviews with fellow coaches, players, family members, and the man himself, the film addresses the controversies and acknowledges the challenges, while allowing the brilliant life and career to shine through. Sutton’s entry in the Basketball Hall of Fame provides the perfect ending to this beautifully told story.

s first semester comes to a close, students spent hours studying for their final exams. Finals week officially kicked off Dec. 14, with freshmen taking their first ever high school finals. For the freshmen, their finals are only worth 10 percent of their final semester grade, since this testing environment is new. Are we going to let this happen in America, the land of plenty? Will we, in the city with the largest per capita payroll in Oklahoma, let little children about us go without enjoying the full spirit of Christmas? How can you stuff yourself while some mother less than five miles away has to look down into the eyes of her little children? She doesn’t see sparkling eyes and bright shining faces. She sees bewilderment. She sees her own flesh and blood puzzled by it all, wondering why they, too, do not

The Christmas story By Cindy Western, Pastor of Discipleship Material, Crossings Community Church Almost everyone is familiar with the Bible passage where the angel comes to the shepherds to announce the birth of Jesus. This passage was made famous by Linus’ speech in “A Charlie Brown Christmas” movie where Charlie Brown asks, “Isn’t there anyone who knows what Christmas is all about?” Linus boldly declares, “Sure, Charlie Brown! I can tell you what Christmas is all about” and goes on to do something you don’t see very often on mainstream TV — he recites Scripture: “And there were in the same country shepherds abiding in the field, keeping watch over their flock by night. And, lo, the angel of the Lord came upon them, and the glory of the Lord shone round about them: and they were sore afraid. And the angel said unto them, Fear not: for, behold, I bring you good tidings of great joy, which shall be to all people. For unto you is born this day in the city of David a Savior, which is Christ the Lord. And this shall be a sign unto you; Ye shall find the babe wrapped in swaddling clothes, lying in a manger. And suddenly there was with the angel a multitude of the heavenly host praising God, and saying, Glory to God in the highest, and on earth peace, good will toward men.” (Luke 2:8-14 KJV) Linus got it right. This is the true

meaning of Christmas. But it isn’t just the angels’ proclamation of the Savior’s birth — it is who the angels went to with the message in the first place. Imagine for a minute that you are God, and it is time to announce the most amazing, joyous news ever: an event which would literally change history — the birth of your one and only Son, Jesus Christ, who would be the Savior of the world. Who do you announce it to? Who will you tell first? You might have chosen kings, presidents, or influential religious leaders, but that isn’t what God did. He chose to send his angels to invite the shepherds, who were considered social and religious outcasts, to receive the birth announcement. God wanted to show that His love doesn’t discriminate on the basis of social class, wealth, or reputation. He doesn’t respect kings more than day laborers; he does not value priests and pastors above the people in the pews. God lifts up the lowly and humble, right sizes inflated egos and puts all of creation on equal footing. By choosing the shepherds to be the first to receive the news of Christ’s birth, God made it clear that Jesus was not going to be the Savior only of kings and governors, or popes and pastors. Jesus is the Savior of all equally; he doesn’t come to save based on any of your accomplishments or your power or influence. This is Good News, for all people. Jesus comes to all, and all are welcome.

If this Bond is held in book-entry-only form, it will be registered in the name of the Securities Depository or its nominee, which will initially be Cede & Co., as nominee for The Depository Trust Company. Payments of interest on and principal of this Bond shall be made to the Securities Depository in accordance with its procedures. This Bond, and the Bonds of the issue of which it is one, has been issued for the following purposes with respect to the February 12, 2019 election authorization of the City (i) $3,019,000 for streets improvements within the city, (ii) $2,989,000 for water system improvements within the city, (iii) $320,000 for sanitary sewer system improvements, (iv) $630,000 for parks improvements, (v) $730,000 for public works facility improvements within the City, and (vi) $112,000 for police improvements, with all of said improvements or facilities being either exclusively owned by said City or being streets or bridges within said City, and being voted and issued pursuant to Section 27, Article 10, of the Constitution of the State of Oklahoma and statutes of the State of Oklahoma complementary, supplementary and enacted pursuant thereto. The Bonds maturing in the years 2023 through 2027 are not subject to redemption prior to maturity. The Bonds maturing in the years 2028 through 2034 are subject to redemption at the option of the City on any date on or after July 1, 2027, at the principal amount thereof plus accrued interest to the date fixed for redemption. If less than all of the Bonds are to be redeemed and if less than all of a maturity is to be redeemed, the Paying Agent/Registrar shall determine by lot the Bonds, or portions thereof, within such maturity to be redeemed. Notice of redemption shall be given by the Paying Agent-Registrar by mailing notice thereof to the registered owners not less than 30 days prior to the redemption date and as otherwise required by law. Interest on any bond or bonds so called for redemption shall cease on the redemption date designated in the notice. No person shall be entitled to any right or benefit provided in this Bond unless the name of such person is registered by the Paying Agent-Registrar in the Registration Record maintained in its corporate trust office in Oklahoma City, Oklahoma. This Bond shall be transferable only upon delivery of this Bond to the Paying Agent-Registrar, duly endorsed or accompanied by a written instrument of transfer in form satisfactory to the Paying Agent-Registrar, duly executed by the Registered Holder hereof or his attorney duly authorized in writing, and such transfer registered in the Registration Record. The Paying Agent-Registrar shall not be required to make such transfer after the fifteenth (15th) day preceding any interest payment date until after said latter date. The Paying Agent-Registrar will keep the Registration Record open for registration of ownership of registered Bonds during its business hours. The Continuing Disclosure Agreement and Official Statement, forms of which are provided herewith and Section 9. incorporated herein by reference, are hereby approved and the Mayor and City Clerk (or in their absence or incapacity, the Vice Mayor and Deputy Clerk, respectively) are authorized to execute the Continuing Disclosure Agreement and the Mayor or City Manager is authorized to sign the Official Statement for and on behalf of the City. A Continuing Disclosure Agreement, as a material inducement to the Purchaser(s) of the Bonds, in substantially the form of the draft thereof presented at the meeting at which this Ordinance is adopted and to be dated the date of initial delivery of the Bonds, is hereby authorized to be executed and delivered by the Mayor and Clerk (or in their absence or incapacity, the Vice Mayor and Deputy Clerk, respectively). The City hereby covenants and agrees that it will comply with and carry out all of the provisions of the Continuing Disclosure Agreement. Notwithstanding any other provision of this Ordinance, failure of the City to comply with the Continuing Disclosure Agreement shall not be considered an event of default on the Bonds; however, any Bondholder may take such actions as may be necessary and appropriate, including seeking mandate or specific performance by court order, to cause the City to comply with its obligations under this Section. “Continuing Disclosure Agreement” shall mean that certain Continuing Disclosure Agreement executed by the City and dated the date of issuance and delivery of the Bonds, as originally executed and as it may be amended from time to time in accordance with the terms thereof. The City hereby covenants and agrees for the benefit of the Bondholders to provide annual financial information on the City in accordance with the Continuing Disclosure Agreement and to provide, in a timely manner, notice of events specified in paragraph (b)(5)(i)(C) of Rule 15c2-12 promulgated by the Securities and Exchange Commission. The annual financial information and any notices of material events will be provided by the City to the Municipal Securities Rulemaking Board via the Electronic Municipal Market Access System (“EMMA”) @ www.emma.msrb.org. The Mayor (or Vice Mayor in the absence of the Mayor) is authorized and directed on behalf of the Section 10. The City reasonably anticipates that the aggregate amount of “qualified tax-exempt obligations” (as Section 11. defined in section 265(b)(3)(B) of the Internal Revenue Code of 1986, as amended (the “Code”)), which will be issued by the City and all subordinate entities thereof during calendar year 2021 will not exceed $10,000,000, and hereby covenants and agrees, as a material inducement and consideration to the purchasers of its Bonds, that neither the City nor any subordinate entity thereof will, during calendar year 2021, issue “qualified tax-exempt obligations” (as defined in Section 265(b)(3)(B) of the Code), in an aggregate amount exceeding $10,000,000. Further, it is the purpose and intent of this Ordinance that the Bonds shall constitute and the Bonds are hereby designated as “qualified tax-exempt obligations” as defined in Section 265(b)(3)(B) of the Code, in order that the purchasers of the Bonds may avail themselves of the exception contained in said Section 265(b)(3)(B) of the Code with respect to interest incurred to carry tax-exempt bonds. The City hereby covenants and agrees that it will not designate as “qualified tax-exempt obligations” more than $10,000,000 in aggregate amount of obligations issued by the City or any subordinate entity thereof during calendar year 2021. Notwithstanding other provisions of this section, the City and other related entities may issue obligations, provided that the issuance of such obligations do not disqualify the Bonds as “qualified taxexempt obligations” as defined by Section 265(b)(3)(B) of the Code. The City hereby covenants and agrees with the purchasers of the Bonds to take such further actions and execute such documents and instruments as may be necessary or proper to carry out the intent of this Ordinance, and/or as may be in furtherance of the issuance of the Bonds, and the Mayor (or Vice Mayor in the absence of the Mayor) is hereby authorized, empowered and directed to take such actions and execute such documents as may be deemed necessary or proper from time to time. It is the judgment of the City Council that by reason of the City being without Section 13. adequate streets improvements, water system improvements, sanitary sewer system improvements, parks improvements, public works facility improvements, and police improvements, it is deemed and hereby declared necessary for the immediate preservation of peace, welfare, health and safety that this Ordinance become effective immediately and without delay. Wherefore, an emergency is hereby declared to exist and this Ordinance shall be in force and effect immediately from and after its passage, approval and publication. “Prescribed Form” means, with regard to the filing of Annual Report and notices of Listed Events with the MSRB at www.emma.msrb.org (or such other address or addresses as the MSRB may from time to time specify), such electronic format, accompanied by such identifying information, as shall have been prescribed by the MSRB and which shall be in effect on the date of filing of such information. “Rule” means Rule 15c2-12 promulgated by the Commission under the Securities Exchange Act of 1934 (17 CFR Part 240, §240.15c2-12), as in effect on the date of this Disclosure Agreement, including any official interpretations thereof. “State” shall mean the State of Oklahoma. Section 3. Provision of Annual Reports. (a) The Issuer shall, or shall cause the Dissemination Agent to, not later than 270 days after the end of the Issuer’s fiscal year (presently July 1 through June 30), commencing with the report for the fiscal year ended June 30, 2021, provide to the MSRB in Prescribed Form (with a copy to the Paying Agent) the Annual Report which is consistent with the requirements of Section 4 of this Disclosure Agreement. The Annual Report may be submitted as a single document or as separate documents comprising a package, and may include by reference other information as provided in Section 4 of this Disclosure Agreement; provided that the audited financial statements of the Issuer may be submitted separately from the balance of the Annual Report and later than 270 days after the end of the Issuer’s fiscal year if they are not available by that date but within 10 business days after they become available. If the Issuer’s fiscal year changes, it shall give notice of such change in the same manner as for a Listed Event under Section 5 of this Disclosure Agreement. (b) If the Issuer fails to provide an Annual Report to the MSRB by the date required in subsection (a), the Issuer shall send a notice of such failure to the MSRB and to the Paying Agent by a date not in excess of 10 business days after the occurrence of such failure. Section 4. Content of Annual Reports. The Issuer’s Annual Report shall contain or include by reference the following: (a) Annual audited financial statements (unless provided at a later date, as specified in Section 3(a) above) of the Issuer and an annual update of the financial and operating data of the Issuer, to the same extent as provided in those portions identified in Exhibit A hereto. Such information may be included in a single document such as the Issuer’s CAFR. When such descriptions include information that no longer can be generated because the operations to which it related have been materially changed or discontinued, a statement to that effect shall be provided in lieu of such information. Any annual financial and operating data containing modified financial information or operating data shall explain, in narrative form, the reasons for the modification and the impact of the modification on the type of financial information or operating data being provided. (b) The audited financial statements of the Issuer for the prior fiscal year, prepared in accordance with generally accepted accounting principles (“GAAP”) as promulgated to apply to governmental entities from time to time by the Governmental Accounting Standards Board; provided, however, that the Issuer may from time to time, if required by federal or State legal requirements, modify the basis upon which its financial statements are prepared. Notice of any such modification shall be provided to the MSRB and to the Paying Agent, and shall include a reference to the specific federal or State law or regulation describing such accounting basis. If the Issuer’s audited financial statements are not available by the time the Annual Report is required to be filed pursuant to Section 3(a), the Annual Report shall contain unaudited financial statements in a format similar to the financial statements contained in the Official Statement, and the audited financial statements shall be filed in the same manner as the Annual Report within 10 business days of when they become available. Any or all of the items listed above may be included by specific reference to other documents, including official statements of debt issues of the Issuer or related public entities, which are available to the public on the MSRB’s internet website or filed with the Commission. If the document included by reference is a final official statement, it must be available from the MSRB. The Issuer shall clearly identify each such other document so included by reference. Section 5. Disclosure of Listed Events. The Issuer hereby covenants that it will disseminate in a timely manner, not in excess of 10 business days after the occurrence of the event, a Listed Event Notice to the MSRB in Prescribed Form with a copy to the Paying Agent. Notwithstanding the foregoing, notice of optional or unscheduled redemption of any Bonds need not be given under this Disclosure Agreement any earlier than the notice (if any) of such redemption is given to the owners of the Bonds. The Issuer is required to deliver such Listed Event Notice in the same manner as provided by Section 3(a) of this Disclosure Agreement. Section 6. Duty To Update EMMA/MSRB. The Issuer shall determine, in the manner it deems appropriate, whether there has occurred a change in the MSRB’s e-mail address or filing procedures and requirements under EMMA each time it is required to file information with the MSRB. Section 7. Termination of Reporting Obligation. The Issuer’s obligations under this Disclosure Agreement shall terminate upon the legal defeasance, prior redemption or payment in full of all of the Bonds, respectively. If such termination occurs prior to the final maturity of the Bonds, the Issuer shall give notice of such termination in the same manner as for a Listed Event Notice under Section 5. Section 8. Dissemination Agent. The Issuer may, from time to time, appoint or engage a Dissemination Agent to assist it in carrying out its obligations under this Disclosure Agreement, and may discharge any such Agent, with or without appointing a successor Dissemination Agent. The Dissemination Agent shall not be responsible in any manner for the content of any notice or report prepared by the Issuer pursuant to this Disclosure Agreement. Section 9. Amendment; Waiver. Notwithstanding any other provision of this Disclosure Agreement, the Issuer may amend this Disclosure Agreement, and any provision of this Disclosure Agreement may be waived, provided that the following conditions are satisfied: (a) If the amendment or waiver relates to the provisions of Sections 3(a), 4, or 5, it may only be made in connection with a change in circumstances that arises from a change in legal requirements, change in law, change in interpretation of the Rule or change in the identity, nature or status of an obligated person with respect to the Bonds, or the type of business conducted; (b) The undertaking, as amended or taking into account such waiver, would, in the opinion of nationally recognized bond counsel, have complied with the requirements of the Rule at the time of the original issuance of the Bonds, after taking into account any amendments or interpretations of the Rule, as well as any change in circumstances; and (c) The amendment or waiver either (i) is approved by the Holders of the Bonds in the same manner as provided in the Bond Ordinance for amendments to the Bond Ordinance with the consent of Holders, or (ii) does not, in the opinion of nationally recognized bond counsel, materially impair the interests of the Holders or Beneficial Owners of the Bonds. In the event of any amendment or waiver of a provision of this Disclosure Agreement, the Issuer shall describe such amendment in the next Annual Report, and shall include, as applicable, a narrative explanation of the reason for the amendment or waiver and its impact on the type (or, in the case of a change of accounting principles, on the presentation) of financial information or operating data being presented by the Issuer. In addition, if the amendment relates to the accounting principles to be followed in preparing financial statements, (i) notice of such change shall be given in the same manner as for a Listed Event Notice under Section 5, and (ii) the Annual Report for the year in which the change is made should present a comparison (in narrative form and also, if feasible, in quantitative form) between the financial statements as prepared on the basis of the new accounting principles and those prepared on the basis of the former accounting principles.

This Continuing Disclosure Agreement dated _______________________20__, (this “Disclosure Agreement”), is executed and delivered by the City of Nichols Hills, Oklahoma (the “Issuer”) in connection with the issuance of its General Obligation Bonds, Series 2021 (the “Bonds”). The Bonds are being issued pursuant to a separate Ordinance dated as of December 8, 2020 (the “Bond Ordinance”). The Issuer hereby covenants and agrees as follows: Section 1. Purpose of the Disclosure Agreement. This Disclosure Agreement is being executed and delivered by the Issuer for the benefit of the Holders and Beneficial Owners of the Bonds and in order to assist each Participating Underwriter in complying with Rule 15c2-12(b)(5) of the Securities and Exchange Commission (the “Commission”). The Issuer represents that it will be the only “obligated person” (as defined in the Rule) with respect to the Bonds at the time the Bonds are delivered to each Participating Underwriter and that no other person presently is expected to become an obligated person with respect to the Bonds at any time after the issuance of the Bonds. Section 2. Definitions. In addition to the definitions set forth in the Bond Ordinance, which apply to any capitalized term used in this Disclosure Agreement unless otherwise defined in this Section, the following capitalized terms shall have the following meanings: “Annual Report” shall mean any Annual Report provided by the Issuer pursuant to, and as described in, Sections 3 and 4 of this Disclosure Agreement. “Beneficial Owner” shall mean any person which (a) has the power, directly or indirectly, to vote or consent with respect to, or to dispose of ownership of, any Bonds (including persons holding Bonds through nominees, depositories or other intermediaries), or (b) is treated as the owner of any Bonds for federal income tax purposes.

Section 10. Additional Information. Nothing in this Disclosure Agreement shall be deemed to prevent the Issuer from disseminating any other information, using the means of dissemination set forth in this Disclosure Agreement or any other means of communication, or including any other information in any Annual Report or Listed Event Notice, in addition to that which is required by this Disclosure Agreement. If the Issuer chooses to include any information in any Annual Report or Listed Event Notice in addition to that which is specifically required by this Disclosure Agreement, the Issuer shall have no obligation under this Disclosure Agreement to update such information or include it in any future Annual Report or Listed Event Notice. Section 11. Default. In the event of a failure of the Issuer to comply with any provision of this Disclosure Agreement, any Holder or Beneficial Owner of the Bonds may take such actions as may be necessary and appropriate, including seeking mandamus or specific performance by court order, to cause the Issuer to comply with its obligations under this Disclosure Agreement. A default under this Disclosure Agreement shall not be deemed an Event of Default under the Bond Ordinance, and the sole remedy under this Disclosure Agreement in the event of any failure of the Issuer to comply with this Disclosure Agreement shall be an action to compel performance. Section 12. Duties, Immunities and Liabilities of Dissemination Agent. The Bond Ordinance is hereby made applicable to this Disclosure Agreement as if this Disclosure Agreement were (solely for this purpose) contained in the Bond Ordinance. The Dissemination Agent shall have only such duties as are specifically set forth in this Disclosure Agreement, and the Issuer agrees to indemnify and save the Dissemination Agent, its officers, directors, employees and agents, harmless against any loss, expense and liabilities which it may incur arising out of or in the exercise or performance of its powers and duties hereunder, including the costs and expenses (including attorneys fees) of defending against any claim of liability, but excluding liabilities due to the Dissemination Agent’s negligence or willful misconduct. The obligations of the Issuer under this Section shall survive resignation or removal of the Dissemination Agent. Section 13. Beneficiaries. This Disclosure Agreement shall inure solely to the benefit of the Issuer, the Dissemination Agent, each Participating Underwriter and Holders and Beneficial Owners from time to time of the Bonds, and shall create no rights in any other person or entity. Section 14. Recordkeeping. The Issuer shall maintain records of all filings of Annual Reports and Listed Event Notices, including the content of such disclosure, the names of the entities with whom such disclosure was filed and the date of filing such disclosure. Section 15. Counterparts. This Disclosure Agreement may be executed in several counterparts, each of which shall be an original and all of which shall constitute but one and the same instrument.
