The essential term in business contracts of all kinds is usually that one party (let’s call that party the “Seller”) will provide goods, services, intangibles (like patents) or rights (such as licenses) or some combination of those to the other party (whom we’ll call the “”Buyer”) in exchange for payment. No surprise there. What is surprising, though, especially to many lawyers and judges, is how trusting so many Sellers are that their Buyer(s) will do the right thing and make the payment(s) when due for what has been provided. Collection actions are thus about the most common kind of civil lawsuit brought by businesses. What lawyers will generally recommend is that Buyer’s be provided with incentives to make payment when due. Incentives may be positive or may be negative, but should be memorialized in the contract between the parties. There are two common positive incentives: A. Prompt Payment Discount: The Buyer can reduce the payment by some percentage (usually 2% or less) if payment is made within some limited time, e.g. 10 days. B. Future Discounts: If payment is made within the specified time, some discount, in the nature of a coupon (e.g. 5%) is made available for use in future purchases. This incentive is both a marketing tool and a payment incentive, so for the one-time customer, the value as an incentive may be limited, There are four common negative incentives: 1. Late Charge: Some percentage, often 5%, is added to the bill if the payment is not made by some deadline, which may be the “official” due date or within a stated grace period. Standing alone, however, this incentive may lose its value once it’s imposed as there’s then no further incentive to pay. Furthermore, Sellers must exercise care, especially in sales to consumers, to be sure that the Late Charge is not so excessive as to constitute an unlawful penalty or violates a statutory cap, which some States impose or which may exist for some kinds of contracts (e.g. institutional residential mortgages). 2. Interest: Alone or in combination with a Late Charge, interest may run on the invoice as if it was a loan. Particularly when dealing with consumers Page 12

as customers, this can be tricky, because there are several statutes, State and Federal, which impact how much interest can be charged and what disclosures may be required in order to lawfully charge interest. 3. Costs: Reserving the right to recover costs, including especially attorney fees, that may be expended by the Seller to enforce collection if the Buyer fails to pay on time, can be a powerful motivator for payment. 4. Withholding Title: When goods, intangibles or rights are provided by the Seller, while possession may be delivered, ownership is in fact determined by delivery of title, which may be reflected in a deed, bill of sale, signed license or other document of assignment or transfer. The incentive is that until payment is made, that title stays with the Seller and may be permanently withheld if payment is not made by a contractually stated deadline. Coupled with that retention of title is a right to repossess or otherwise recover possession from the Buyer. Another kind of incentive, clearly best for the Seller, is prepayment, so no delivery of anything occurs until payment has been provided. Interestingly, this is generally the procedure for internet sales. Of course, the main reason everyone does not demand prepayment is that competition often prevents a Seller from succeeding if that term is demanded. That’s very much the point in that the use of these incentives, whether positive or negative, ought to be decided based on the financial analysis of the constraints of payment encouragement versus sales discouragement. In any event, the minimum term that Sellers ought to state is a clear due date for payment. Morris A. The Right Tool for the Job: Residential vs. Commercial Contracts

STATE AND FEDERAL LAWS provide numerous protections for residential buyers and sellers. In commercial transactions, there are fewer laws protecting parties. Each commercial transaction is different. Transactions involving office, retail or industrial space will each have particular issues unique to those situations. Consequently, there is not a “one size fits all” purchase sales agreement used in commercial deals. The use of residential contract forms in a commercial transaction is not advised as these forms do not address significant issues arising in the commercial arena. Parties should have an agreement tailored to their specific deal. Some key differences between residential and commercial transactions are discussed below. • Study Period – A residential transaction does not include a formal study period. Because the due diligence process in a commercial transaction is far more extensive these transactions include a study period that is often 30 days or longer. Commercial buyers may need this period to confirm zoning compliance, permitted use, review of environmental reports, delivery of tenant estoppels, etc. • Warranties and Disclosures – State laws vary as to what warranties and disclosures a residential seller must provide. In a commercial transaction, however, property can be sold “as is” with limited warranties and no representations. Warranties and representation are often subject to extensive negotiations. • Title Covenants – Commercial real estate titles are generally more complicated than residential titles. The property may have liens, easements, etc. Once a buyer is issued a preliminary title report, the buyer will want to review it and raise any objections. After all the issues have been settled, the title company will issue a final report. • Other Agreements – Unlike a residential transaction, a commercial deal often involves an income producing property which raises a number of issues that may be of concern to the buyer. Commercial contracts often have assignment of leases and service agreements concerning operation of the property. Buyers will often want to retain the tenants when they purchase an income producing property. Owners of income producing properties commonly have one or more contracts with vendors (e.g. landscaping, elevator maintenance, etc.). A buyer will want to review these service contracts and have the option to terminate them if desired. • Final Thoughts – A commercial buyer may need to obtain tenant estoppels, Subordination Non-Disturbance Agreement from key tenants, or other agreements with parties in possession, as well as have sufficient time to review the review the physical, environmental, and legal condition of the property. A residential form contract does not contemplate the complexities of commercial transactions and is not an appropriate way to document the sale of commercial or income producing property.
