Who might those others be? Three main possibilities: • Agents and Principals • Partners • Assignees It matters, especially if you’re one of the others, because those other parties may acquire liabilities on account of the deal, possibly even if unaware of the deal.

Agents & Principals:

Imagine that a developer wants to assemble a large parcel of land by buying up individual adjoining lots. Once the developer starts making purchases, remaining lot owners are more likely to demand higher prices and better terms, especially if the developer is well-known. To avoid that, the developer might engage Agents to pretend to be independent buyers who would then turn the property rights over to the developer after all properties were locked up. In such a case, the developer is known in the law as an “Undisclosed Principal”. Even if the Agents disclose there is a Principal, but not the true identity, the Principal is then only a “Partially Disclosed Principal”. Principals are always liable for their Agent’s activities undertaken within the scope of the agency relationship; i.e. for all activities that appear to or are undertaken to benefit the Principal. For contractual obligations, the Agent is liable unless the Principal is fully disclosed; equal Agent liability lies with an Undisclosed or Partially Disclosed Principal.

Partners

All partners in a general partnership or unregistered limited partnership, share full liability for all activities of any partner that appear to or are undertaken to benefit the partnership. I emphasize appear, because a single partner intending to act for solo benefit who gives the impression that the

partnership may be involved can invoke liability for all partners.

Assignees

Contracts are ordinarily assignable unless a contract term (or in rare cases, a statute) prevents assignment. If assignment occurs, there may still be assignor liability. That’s so, either because the assignment is with recourse, meaning the assignee retains rights against the assignor for later claims, or because a third party claimant reasonably relies on the belief the assignor is still involved. “Assignees” can include those who receive onward rights assignments such as sub-licensees, sub-distributors, etc.

What To Do

Basic protections are: 1. Creating and registering a limited liability entity (e.g. corporation or LLC). Especially preferable versus partnerships. 2. Fair disclosure of material facts is particularly helpful to Agents against the undesirable position of representing an Undisclosed or Partially Disclosed Principal. [Anyway, wise to avoid claims sounding in fraud.] Such disclosures are best for these purposes if confirmed right in the contract. 3. Internal indemnification agreements, so the causative party ultimately bears any cost. 4. Insurance. Who you are tied in with is, of course, a key consideration, but how the rest of the world may see (or not see) the relationship matters, too. Morris A.
