Community Giving Overview and History Founded in 1895, Piper Jaffray has a long history of community service and charitable giving. Our guiding principles are key to our long-term sustainability and deep focus on clients’ interests. They also support our employees and the communities where we live and work—at the Minneapolis headquarters and in other U.S. and international cities where our offices are located. The firm is proud to help strengthen local charities through foundation and corporate giving, sponsorships and support of employees’ generous donations of volunteer time and financial resources to nonprofits of their choice. GIVING APPROACH Our Community Giving Approach

Through an array of programs, Piper Jaffray’s community giving approach helps nonprofit partners and our employees address diverse and wide-ranging local needs.

Piper Jaffray Foundation grants, corporate giving and corporate sponsorship dollars are focused on the following: Community investment and sustainability in neighborhood-based, small business programs in low income areas; promotes sustainable employment and replicable success. This category also includes civic engagement initiatives for young people. Education initiatives that directly support the economic health of individuals and communities through a) science, technology, engineering or math (STEM) programs for diverse students, b) economic education emphasizing economics and emerging industries and c) higher education access programs for youth. Major arts and culture organizations that enhance the quality of life in the community, supported through sponsorships and grants. Other priorities include innovative health programs geared around new techniques and devices, advances in children’s chronic health concerns, and umbrella programs leveraging environmental opportunities that support innovation and entrepreneurship.

GIVING APPROACH Our Community Giving

Approach

The firm’s best-in-class employee programs encourage active volunteerism, provide flexible choices and in many cases can trigger company matching to power up dollar support to charities. Employee generosity is proudly supported by Piper Jaffray, tying us together culturally across geographies and building an inclusive and engaged workforce that makes a difference.

Employee Giving and Corporate Matching Matching Gifts Program Piper Jaffray matches an employee’s eligible nonprofit donation of $25 or more, with a $1,000 annual maximum. Annual Charitable Giving Campaign Piper Jaffray matches each employee’s donations up to a substantial cap to United Way, EarthShare, Minnesota Environmental Fund and designated write-ins to other eligible nonprofits, with an $8,000 annual maximum. Disaster Relief Within company guidelines, disaster relief funds may be set up to assist a broad contingent of employees, clients or partners who live or work in an area directly affected by a disaster; funds donated by employees benefit the American Red Cross (or counterpart internationally) and are matched 1:1 by Piper Jaffray.

Employee Engagement and Volunteerism Community Leader Grant The Community Leader Grant encourages and supports sustained volunteerism for Piper Jaffray employees who contribute more than 40 hours annually to a qualifying nonprofit and serve as a member of its board of directors. Volunteer Program Grant The Volunteer Program Grant provide direct gifts to a qualifying nonprofit organization where employees volunteer 40 hours or more in a year. Bobby and Tad Piper Community Service Award The Bobby and Tad Piper Community Service Award annually recognizes an employee who has acted in service to his or her community through volunteerism and commitment. David Crosby Community Leadership Award David Crosby Community Leadership Award is a lifetime achievement award that annually honors one employee for philanthropic leadership and nonprofit board service.

The Art Institute of Chicago is a cultural pillar of the Windy City and surrounding region, with nearly 300,000 works of art and more than 1.5 million visitors a year.

to serve neighborhoods and a priority on making all feel welcome so that people who may not have experienced the museum can “see themselves here.” More than 2,000 educational programs were available in 2016; lifelong learning at the museum is a priority for all ages. Digital platforms are synchronizing web, mobile and in-gallery media to increase engagement as well. “We are extremely grateful for Piper Jaffray’s partnership. General operating support is truly special and allows us to be proactive and nimble when unique opportunities arise,” said Martin.

Whether you are a tourist, area resident, student or downtown employee on lunch break, the museum has something for everyone and then some. To make this large institution run—from technology, to security, to protection of artwork to paying the light bill—a tremendous amount of expertise is required, as well as financial resources. That is where Piper Jaffray came in as it provided general operating support for the museum in 2016 and 2017. “We are about learning, inspiration and service,” said George Martin, executive director of institutional relations for the Art Institute of Chicago, “Piper Jaffray’s grants have given us the flexibility to address the 'nuts and bolts' underpinning our mission and the freedom to respond quickly to urgent items to keep the institution running smoothly.” Martin stressed that, in service to the community, there is free admission for kids and now teens, programs that partner with Chicago public schools and public libraries

Supporting Communities, Connecting to Opportunity Dorothy Day Place “Home” is a place and a concept we all understand. It is our safe haven from where we launch our lives, giving us stability. For some, however, home is more elusive. At Catholic Charities of St. Paul and Minneapolis, a momentous new project is giving those who are homeless several dignified pathways to a “home.” Called Dorothy Day Place, this new facility in downtown St. Paul has had broad community input and support, resulting in more than $100 million raised from private and public sources. Catholic Charities Dorothy Day Place is an integrated two-building campus addressing homelessness via three components: dignified shelter, permanent homes and dedicated self-sufficiency services. It is the largest public-private partnership in housing and social services in Minnesota’s history.

Christine Esckilsen, chief human capital officer at Piper Jaffray, knows the need for dignified housing is profound. “Our firm recognizes the importance in our communities of helping those around us thrive; we cannot operate in

isolation,” she explained. “We have in common hope and support for our neighbors; our community is united in supporting Dorothy Day Place.” Piper Jaffray committed $100,000 in capital funding toward the first phase, called Higher Ground St. Paul. It opened in January 2017. “As a board member, I am incredibly proud of how the organization helps those most in need and believes in 'poverty for no one, opportunity for everyone,'” she said. Higher Ground St. Paul provides three kinds of services for over 500 people each night: dignified emergency shelter, a “pay for stay” option and permanent supportive housing for those most vulnerable. The second phase includes the Saint Paul Opportunity Center, a one-stop location connecting people to critical services and above it the Dorothy Day Residence, featuring 177 permanent homes. Estimated completion of the building will be in 2019. With a tight housing market, Dorothy Day Place is critically necessary; the issue of homelessness requires continuous focus. For Tim Marx, president and CEO at the $70 million nonprofit, that focus boils down to all people deserving shelter and other basics so they can achieve their full potential. “We have a firm belief in regional economic vitality and job growth as well as social inclusion and equity,” he said. “We are fortunate to have great business leaders who understand we are a key part of this region’s social and civic infrastructure.” Marx said he has known and respected Piper Jaffray professionals his entire career. “The firm’s tradition of service to the community is so important.” The firm has had a Catholic Charities board presence for years; a number of employees also volunteer there.

Hurricane Harvey Disaster Relief On August 25, 2017, Hurricane Harvey made landfall in Texas. According to the National Weather Service and National Oceanic and Atmospheric Administration (NOAA), its wrath dumped 68 inches of rain over southeast Texas, killed 68 people and was the second most costly U.S. hurricane behind Katrina. Massive flooding engulfed Houston, creating a large-scale disaster that affected millions.

Simmons & Company International | Energy Specialists of Piper Jaffray, headquartered in Houston, experienced first-hand the destruction in the community they call home which affected employees, neighbors and clients. To support relief efforts, Simmons, Piper Jaffray and

its employees made donations to various charitable organizations including $140,000 to the American Red Cross, and spent countless hours volunteering. “Piper Jaffray was responsive and incredibly giving during this devastating time,” emphasized Victoria Beard, Simmons' vice president of business development. “As we faced destruction and unprecedented hardship, they provided us with resources needed to help us begin the rebuilding process – professionally and personally. We were humbled and grateful for the generosity from our colleagues.” Also in support of the recovery, employees from multiple Piper Jaffray locations, including Simmons’s Houston employees, volunteered at the Houston Food Bank. Employees prepared hot meals and filled 2,100 bags for the Backpack Buddy program, equaling 12,600 meals. Houston Food Bank’s warehouse operated around the clock to provide disaster food and cleaning supplies for distribution through its partner agencies. In the two months following Harvey, the Houston Food Bank distributed three times its usual output of food, cleaning supplies and other product in its service area. In 2016, Piper Jaffray also provided disaster relief in southern Louisiana following historic torrential rains, which affected clients, employees and the community.

Right Moves for Youth Imagine being a teen where peer “pressure” can be positive and caring adult mentors are consistently helping you learn how to build healthy relationships and chart a plan for your future. Sound rare? Not in the Charlotte-Mecklenburg school district. Middle and high school students have access to uniquely proven support from Right Moves for Youth (“RMFY”). Since 1989, about 35,000 teens have benefitted from RMFY’s in-school program that provides weekly group meetings during school, facilitated by trained mentors, who engage students in life skills training on topics like communication and conflict resolution, compromise,

time management, planning and goal setting. “Our goal for these students is that they graduate and also have a plan for ongoing success,” said Tayuanee Dewberry, executive director. “95% of students in the program graduate. These kids learn from each other; we show

them there is a wide variety of ways to become productive adults.” Each person develops a post-graduation plan in school and revisits it each year until graduation. With focus on a group setting where peers hold each other accountable, RMFY serves 1,800 students in 29 middle and high schools. “We are all trying to reach a common place,” emphasized Dewberry. “These are kids who bring many issues from home and we provide a safe space for them to work through them.” RMFY builds strong partnerships—with the school district, the sheriff’s office and police department. About 75 officers serve as weekly volunteers and everyone learns from each other. Piper Jaffray has also helped RMFY, with engagement from its Charlotte office and grant funding to expand inschool services. “The local Piper Jaffray team has been phenomenal,” notes Dewberry. “They are eager and ready to make a difference and they’ve been so impressive. It’s rare to see this kind of support from company volunteers.” No one at Piper Jaffray has poured more heart and soul into RMFY than managing director, David Patterson. He served on its board for four years, took trips with students to the University of North Carolina to introduce them to the college experience, participated in the charity’s 5K fundraiser and more. “My parents didn’t go to college, yet they sacrificed so my brother and I could go. Not everyone has that. I know how lucky I am and wanted to give back,” recollected Patterson. “I am so glad to be a part of this; the experience has expanded my perspective, gets me out of my bubble and holds a special place in my heart.”

BestPrep has more than 42 years’ experience helping youth build business, career and financial literacy skills through a menu of handson, “real life” learning experiences that involve the community. Piper Jaffray has provided monetary and volunteer support for 38 of those years. The firm’s employees have served as mentors for many years, helping students from underserved communities become more collegeready, financially capable and career-focused. Grants from the firm recently enabled BestPrep to continue to expand its successful eMentors program across Minnesota as well as its summer program for students called Minnesota Business Ventures, both of which align with the firm’s philanthropic focus on economic education and high-need youth. During the 2016-2017 school year, company volunteers mentored 16 students in a macroeconomics class at Robbinsdale Armstrong High School in the Twin Cities.

St. Patrick Center has been serving people experiencing poverty, homelessness and behavioral instability since 1983. Its Workforce Development program addresses the prevalent need for innovative employment training, job search, placement assistance and advocacy for individuals who would otherwise lack employable skills. Funding from Piper Jaffray helped with transportation vouchers, job-appropriate clothing and uniforms, and equipment and tools—all of which will help many clients stay in jobs. The ultimate goal of the Workforce Development program is to find appropriate interest and skill-based employment for clients seeking financial assistance in order to maintain housing stability and long lasting self-sufficiency and dignity. The agency last year served 8,800 clients and their families who are homeless or at risk.

The Nature Conservancy (“TNC”) is a global conservation organization dedicated to conserving the lands and waters on which all life depends. Guided by science, TNC creates innovative, on-the-ground solutions to the world's toughest challenges so that nature and people can thrive together. The Nature Conservancy works throughout the United States. In Minnesota, North Dakota and South Dakota, The Nature Conservancy has helped protect more than 830,000 acres of the region's best forests, prairies, wetlands and shoreline along rivers, streams and lakes. TNC's work in the region provides clean water, protects wildlife habitat, helps prevent flooding and stores carbon to reduce the impact of climate change. Piper Jaffray’s support includes board involvement by the firm’s CEO Chad Abraham, foundation grants as well as 2017 sponsorship of the popular biennial Green Tie Affair in Minneapolis—a gala that celebrates nature and biodiversity.

Gillette Children's Specialty Healthcare is dedicated to providing healthcare to children and adults who have short-term and longterm disabilities that began during childhood. These nonprofit hospital and clinics call St. Paul, Minnesota home base and serve individuals who have complex medical needs such as cerebral palsy, epilepsy, scoliosis, spina bifida, brain injuries and muscular dystrophy. Piper Jaffray’s general operating support helped the organization provide mission-driven services geared to patients’ and families’ well-being that aren’t always fully covered by third-party payers, which include pain management, emotional support, connection with community agencies and schools, special medical equipment and more. Funding also supported cutting-edge treatments like deep brain stimulation to help patients with complex movement disorders regain function and motor skills. Gillette Children’s Specialty Healthcare serves more than 25,000 patients each year who come from every Minnesota county, 43 U.S. states and 15 countries. Piper Jaffray further supported Gillette Children’s Specialty Healthcare by contributing board leadership grants and employee volunteers who help at the hospital’s Run, Walk & Roll fundraiser.

Arizona Council on Economic Education's (“ACEE”) mission is to empower teachers and educate students so that all Arizona schoolaged children grow up to become economically responsible employees, parents, citizens and leaders in the future. Founded in 1973, ACEE has served more than 1,800 schools in 104 cities, and impacted thousands of teachers and hundreds of thousands of students in Arizona. In 2016, ACEE trained a record 1,786 K-12 Arizona teachers, of whom 60% are new teachers, reaching more than 200,000 students from 432 schools in all 15 counties of Arizona. Sixty percent of participating schools have a majority of the students from low to moderate income families. K-12 students who learn about the economic way of thinking are more empowered, self-confident and competent in making economic and personal finance decisions. They learn about building their human capital and job skills. They see why they need mathematics, reading and technology skills in their daily lives. Piper Jaffray’s support helped youth to be betterprepared for the workforce, more engaged as global citizens, and better able to pursue their dreams.

The Houston Museum of Natural Science is supported by Simmons & Company International | Energy Specialists of Piper Jaffray, a middlemarket investment bank specializing in the energy industry and located in Houston, TX, which was acquired by Piper Jaffray in 2016. Aligning with both organizations’ history of strong community involvement, a donation was made in connection with the $40 million renovation of Wiess Energy Hall—an updated and expanded interactive museum experience showcasing energy concepts in a compelling way. There are nearly 100 exhibits featuring 30,000 square feet of the most contemporary, comprehensive and technologically advanced experiences about the science and technology of energy anywhere in the world. Highlights include a dynamic floor of a 21st century drilling rig, Careers in Energy section as well as an “Energy City” in 3D, representing Houston, the surrounding Gulf coastal waters and the terrain of southeast and central Texas. The Houston Museum of Natural Science is a vital community hub for education related to natural science, which is why Simmons and Piper Jaffray are proud to be among the more than 35 sponsors of Wiess Energy Hall.

Employee Program Highlights Annual Employee Giving Campaigns Increase Community Assistance In the fall of 2016 and 2017, Piper Jaffray employees again participated in a coordinated two-week giving campaign. Giving options included hundreds of employee-directed nonprofit organizations and the firm’s longtime partners, United Way, EarthShare and the Minnesota Environmental Fund. Between employee gifts and the company gift matching, donations totaled a combined $2 million in 2016 and $2.9 million in 2017, with employee participation rates of about 70% each year. Results were bolstered by many enthusiastic fundraising activities. In 2017, these included a Wii bowling tournament with London office staff, a chili cook off in the legal department in Minneapolis, and bobbing for apples with the investment banking team in San Francisco.

Maggie's Centre Aberdeen, Scotland Maggie’s Centre in Aberdeen, Scotland, is a charity that was supported through the Piper Jaffray 2017 employee giving campaign by employees from the firm’s Aberdeen office. Maggie’s offers free practical, emotional and social support to people with cancer and their families and friends. maggiescentres.org

Employee Volunteerism is Passionate, Impactful and Varied A Million Thanks The firm’s Young Professionals Network and the Veterans Resource Group facilitated a campaign where employees wrote letters of appreciation to active, reserve and veteran military members through the organization, A Million Thanks. Several conference rooms in Minneapolis, Chicago, Houston and New York were stocked with stationery and pens, and more than 300 uplifting letters of gratitude were written by Piper Jaffray employees. HandsOn New Orleans The Piper Jaffray public finance group all-employee meeting in New Orleans took on more than business in March 2017. The group spent a Saturday volunteering with HandsOn New Orleans to help Center City ECO with a senior center, Head Start facility and local park facilities. Employees and guests dug into gardening, painting, building and staining park benches. A highlight was when a Piper Jaffray group played basketball with the neighborhood children who had been waiting patiently all day for a basketball court to be repainted; the kids won the game.
