IMPACT TERMS & CONDITIONS

1. PAYMENT AND TERMS. For sponsorships, the amount owed must be paid in full upon the execution of the contract. For advertising, the amount must be paid in full prior to publication. Payment must be made directly to the event organizers at Place of the Future, by the sponsoring firm in the contract. 2. ELIGIBLE SPONSORS. Sponsors will encompass those companies or other entities offering materials, products or services of specific interest to attendees as determined by Place of the Future in its sole discretion. Place of the Future also reserves the right to determine the eligibility of any company specific marketing campaign before distribution. Only the company whose name appears on the face of this contract may be placed in print and pre- outlined sponsorship recognition opportunities. 3. SUB-LEASING – SPONSORSHIP SHARING. No sponsor shall reassign, sublet or share the whole or any part of the sponsorship parameter allotted to the contracting firm without written permission from Place of the Future prior to the recognition opportunities taking action 4. SPONSORSHIP PACKAGES. Prices quoted include all items listed in the sponsorship proposal and signed contract. These items could range from one time, recognition opportunities to long-term multi- media marketing targets. 5. CANCELLATION OF SPONSORSHIP. In the event that written notification of intent to cancel is received at least 90 days prior to the event, all sums paid will be refunded. No refunds will be made after this date unless the ad space or sponsorship is resold. 6. DECORATIONS. Place of the Future shall have full discretion and authority over the placing, arrangements, and appearance of all items by sponsor. 7. ACCEPTABILITY OF ADS. Place of the Future reserves the right to refuse placement of any ad that it believes to be injurious to the purpose of the publication. 8. CANCELLATION OR POSTPONEMENT OF EVENT AND OR INITIATIVE OUTLINED IN SPONSORSHIP CONTRACT. In the event that the technology platform of the event or outlined sponsorship initiative is or is to use shall have, in the sole discretion of Place of the Future, present issues for the event, are substantially or materially inferred with by virtue of any cause or causes not reasonably within the control of Place of the Future, said contract and/or event or initiative (or any part thereof) may be terminated by Place of the Future. Place of the Future shall not be responsible for delays, damage, loss, increased costs or other unfavorable conditions arising by virtue of cause or causes not reasonably within the control of Place of the Future. If Place of the Future terminates said contract (or any part thereof) as aforesaid, then Place of the Future may retain such part of an sponsor fee as shall be required to recompense it for expenses incurred up to the time such contingency shall have occurred, and there shall be no further liability on the part of either party. For purposes hereof, the phrase “cause or causes not reasonably within the control of Place of the Future” shall include, but shall not be limited to, fire; casualty; flood; epidemic; earthquake; explosion or accident; blockade embargo; inclement weather; government restraints; restraints or orders of civil defense or military authorities; acts of public enemy; riot or civil disturbance; strike; lockout, boycott or other labor disturbance; inability to secure sufficient labor; technical or other personnel failure; inability to obtain, condemnation, requisition or commandeering of necessary supplies or equipment; local, state or federal laws, ordinances, rules orders, decrees, or regulations whether legislative, executive or judicial, and whether constitutional or unconstitutional; or Act of God. 9. RESOLUTION OF DISPUTES. In the Event of a dispute or disagreement between: the sponsor and Place of the Future or between two or more sponsors; all interpretations of the rules governing the sponsorship contract, actions, or decisions concerning this dispute or disagreement by Place of the Future intended to resolve the dispute or disagreement shall be binding on the sponsor. 10. AMENDMENT TO RULES. Any matters not specifically covered by the preceding rules shall be subject solely to the discretion of Place of the Future. Place of the Future shall have full power in the matter of interpretation, amendment and enforcement of all said rules and regulations, and any such amendments when made and brought to the notice of the sponsor shall be and become part hereof as though duly incorporated herein and subject to each and every one of the terms and conditions herein set forth. 11. DEFAULT. If the sponsor defaults in any of its obligations under this contract or violates any of its obligations or covenants under this contract, Place of the Future may, in addition to any other remedies provided for herein or otherwise available to Place of the Future at law or in equity, without notice, terminate this agreement and retain all monies received on account as liquidated damages. 12. EXCLUSIVITY. Place of the Future events are offered to all potential sponsors without exclusivity. Place of the Future has sole discretion as to any changes in the policy and will disclose those changes to any and all relevant sponsors prior to the sponsor contract remittance. 13. ACCEPTANCE. Once the sponsor signs the Sponsorship Contract and returns it to Place of the Future, all Terms & Conditions are officially in affect. This agreement shall not be binding until accepted by Place of the Future.

INTRODUCTION We are looking to feature current practices that produce the best outcomes for social, environmental and economic impacts, emerging practices and innovative conceptual frameworks that show the greatest promise for the future. Proposals are welcome in the following categories: 1) Panel Discussions, 2) Research Reports, and 3) Workshop/Training and 4) Program Presentations and must provide a clear logic model.

PANEL DISCUSSIONS 60 minute panel discussions will be scheduled at the IMPACT vConference. Panel discussions may address topics related to the conference theme, or other current topics on social, environmental and/or economic topics. Panel moderator will plan the agenda, moderate the panel, and secure three to four other panel members. Proposals for panel discussions should include a brief summary of the topic to be discussed, and a list of speakers being considered for the panels. SUBMISSION REQUIREMENTS:

RESEARCH REPORTS 60 minute research reports will be scheduled at the IMPACT vConference. Research reports must have a methodology and address topics relevant to the conference. Prior publication or presentation of the research will not influence the likelihood of acceptance. Research report presenters should be the principal or co-principal researcher and have a thorough understanding of the research methodology. PROGRAM PRESENTATIONS 60 minute program presentations will be scheduled at the IMPACT vConference. Program presentations should describe programs already implemented. Program presentation presenters should be responsible for developing and/or managing the program they are describing. Proposals will not be considered from program vendors unless they are presented in conjunction with the client. WHAT IS IT? The Business for IMPACT Competition is a unique forum for submitting innovative ideas to solve various social and environmental issues. Every team or individual that submits will potentially have an opportunity for over $10,000 in rewards. Some prizes include seed funding, co-working spaces, website/branding services, legal and technical assistance, and other great rewards.

RULES AND ELIGIBILITY ENTRY AND REGISTRATION: • The entry fee is $25 / Application • Entry registration must be received by July 31st by 11:59pm (PST) • Entries may be submitted by individuals or teams of up to 5 members • Individual teams may submit more than 1 entry (however, only 1 entry per team will be selected for advancement to the finals)

ELIGIBILITY: • Entries must be the original work of the entrant. • Entries are subject to the following funding requirements: by submitting a business idea, you represent and warrant that you have all right, title and/or interest in the business idea submitted and the information you present is accurate and complete. • By submitting to the IMPACT Competition, you are not and will not be violating any contract or third party rights including any patent, copyright, trade secret, proprietary or confidential information, trademark, publicity, or privacy rights. CASH/PRIZES: • Awards will be issued by the form of both cash and prizes • Entrant acknowledges that any award made to winner or a finalist is a one-time grant and there are no promises, representations, or warranties regarding any future funding • The recipients of the prize are responsible for the tax implications of the winnings • Equal shared of the prize won will be paid to each individual on a winning team • Teams may forfeit their individual shares in favor of granting the full amount to a registered business entity and all members of the team have agreed in writing

Partially completed applications will not be accepted 6. The decisions of the judges are final, including interpretation of the rules 7. Applicant must be 18 years of age or older 8. Organization must be in the idea or start-up phase 9. JUDGING CRITERIA The Business for IMPACT Competition judges are business professionals. They may include experienced investors (angels, venture capitalists, investment bankers, etc), experienced entrepreneurs and executives who interact with early stage companies. An IMPACT Business Model has a clear and compelling mission and objectives, and has given thought to program development and delivery, ways to measure success and its impacts, raising money, and other key factors including social, environmental and economic sustainability. Based on the Top 10 highest voted applications by the general public, the submissions will be
