Chapter 1 Managing Legacy Disputes
There has been an exponential increase in the number of probate claims issued in the High Court in recent years, with many involving charities. The rise in probate disputes reflects the greater willingness on the part of individuals to pursue what they believe is injustice, and the fact that there is, frankly, more wealth to argue about than ever before. Despite the number of claims, only a small proportion of claims are litigated: the majority are settled through negotiation, mediation or other forms of alternative dispute resolution (ADR). Whilst charities are not usually the sole beneficiary of an estate, a charity can unwittingly become a party to a dispute when it is a beneficiary of the testator’s will. The charity will most likely have no knowledge of the circumstances or factors leading to the dispute in question (sometimes, charities are the last to hear of a dispute over a will – and only then, when an executor contacts it). Estates disputes may be based on:
• Dependency claims
• Lack of capacity
• Want of knowledge and approval
• Ambiguity or errors in the will
• Failure to execute the will in accordance with section 9 of the Wills Act 1837
• Clerical errors during signing of the wills
• Doubts that a charitable bequest is valid
• Allegations of forgery and/undue influence
• Proprietary estoppel
A factor that makes dependency claims relatively straightforward in some respects – at least from a charity’s point of view – is that the charity will not be subject to a consideration under the Inheritance (Provision for Family and Dependants) Act 1975 of its financial needs or resources as an individual is. That said, charities will be seeking to defend their position given that a successful claim against the estate may deplete, or even wipe out, the charity’s legacy.

Charities will note the ruling following the successful dependency claim in Ilott v Mitson [2015] EWCA Civ 797 where the charities’ beneficial entitlements were reduced. The testatrix had no ‘connection’ to the charities in her lifetime; any money they received was a windfall; and her daughter was awarded a lump sum. Claims based on alleged testamentary incapacity, want of knowledge and approval, or fraud pose a potentially greater threat to charities than dependency claims. Where there is sufficient evidence to found such claims, the will could be set aside and the charity will not benefit at all under its terms. Managing a dispute All parties to an estates dispute will be looking to keep their costs to a minimum, as well as minimise any reduction of the overall value of the estate as a result of the dispute. Litigation should be a last resort. Where there is more than one charity benefiting under the terms of the will, the charities may find it cost effective to appoint one law firm to represent their joint interests. Charities need to be working (alongside other respondents if possible) towards securing an early resolution. Initial negotiations to settle may a claim not be fruitful, but mediation or ADR are far more likely to secure a satisfactory result – even in complex and bitter cases. Practical but strategic, creative and cost-effective solutions may help resolve the dispute – and expert legal advice and representation is vital to facilitate this. Trustees’ obligations In the case of an estate dispute involving a charity, the charity’s trustees must ensure they continue to comply with their legal obligations under the Trustees Act. This includes the duty to gather in and protect charitable legacies. Charities must bear this in mind when involved in any negotiations to settle – resisting any pressure to hand over a large sum of money by way of settlement to bring the dispute to an end. Charity trustees are barred from surrendering their interest under the will unless it is in genuine compromise of litigation. They must make sure they secure as favourable a settlement as is reasonably possible in light of the circumstances of the case, taking into account all relevant factors. They must make fully informed decisions, and act reasonably – obtaining specialist legal advice early in the dispute to protect their beneficial interest under the will, as well as their legal position and their reputation. Following the ruling in Gill v RSPCA [2010] EWCA Civ 1430 charities must carefully consider the merits of defending such claims, balancing it against the potential for bad publicity.

Important steps The parties should have expert legal advice as to the merits of the claim, and any potential defence. Any evidence that can help in establishing the merits of a party’s position, whether the claimant or the trustee, should be obtained. This may involve, for instance, getting copies of witness statements, medical records, the notes of the solicitor who took instructions for the will, and attendance notes. The charity itself may have records of contact with the testator who discussed his or her specific testamentary intentions. It may be necessary to lodge a caveat at the Probate Registry early on while the evidence is obtained, to prevent a Grant of Probate being obtained and the distribution of the assets. Where, on an objective assessment of the claimant’s position, the claim lacks merit, the claim should be robustly defended. Sound reasons why the claim is unmeritorious should be put to the claimant clearly and robustly with a view to stopping the claim in its tracks. Where the claim does have merit, what is the claimant seeking? If the respondent knows what the claimant wants as a result of the claim, meaningful negotiations can begin. If initial discussions through correspondence, calls and emails prove unfruitful, formal mediation with a specialist mediator (ideally with experience in probate disputes) should be considered by all parties as a cost-effective alternative to litigation. Charities will also want to avoid the potentially adverse publicity should the matter reach court – a reality they are all too aware of following recent fund-raising scandals involving charities. There is no obligation on charities to litigate. However, whether or not to do so can be a fine balancing act requiring a careful cost/risk analysis, taking into account the charity’s legal obligations, once all the information and evidence is to hand. Where a compromise can be reached, the charity trustees must be satisfied that they have the power to implement the settlement terms. In exercising their power, trustees should rely on their own powers and decision making when entering into a compromise arrangement. Reaching a settlement is particularly beneficial to charities because they can include a confidentiality clause preventing the release of the information to third parties. If the case reached court, the final ruling would be public – a factor the charity and its legal advisers may wish to ponder. Specialist advice from solicitors with experience in charities law and probate disputes involving charities, is vital. 10

Chapter 2 Estate Planning: Charitable Giving
Is charitable giving a societal norm? Not quite yet, it seems, given the results of new research from Remember a Charity – though times are changing. According to the Legacy Giving and Behavioural Insights1 (‘the Report’) just over a third of people indicate that they would be happy to leave a gift to charity in their will, although only 6.3 per cent of people actually do so in reality. The research was conducted using randomised control trials in eight UK firms of solicitors2 and has the support of the Law Society and the Law Society of Scotland. Following the Report, the legal profession is being urged to proactively raise the issue with testators. Charitable legacies are of great importance to charities, accounting for almost a quarter of all donations, according to the Report. Lifetime gifts to charity are also highly valuable to charitable organisations. Most are dependent on these donations to survive – yet many people consulting their lawyer about making a will do not even consider making any charitable provisions. The Report sheds light on how the will-making process, and the role of lawyers in that process, can raise much-needed awareness of legacy giving, and affect whether a charitable bequest is made in clients’ wills. The preserve of the wealthy? Whilst charitable giving was once necessarily the preserve of rich philanthropists, there is an increase in people leaving gifts to charities in their wills and during their lifetime. However, it is not yet the ‘norm’, as the latest CAF World Giving Index3 reveals: just 69% of the UK’s population donated money to charity in 2015 (compare this to 91% in Myanmar). The legal profession has an important role to play in bumping up this figure. Charitable legacies The benefit of charitable giving to the estate (and therefore the beneficiaries) is obvious: charitable bequests are free of inheritance tax (IHT). Furthermore, a reduced rate of IHT (36% instead of the usual 40%) is available to estates of those who die on or after 6 April 2012 and who leave at least 10% of their net estate to 12
charity. However, this benefit only kicks in if the estate is actually liable to IHT. Somewhat surprisingly, wills lawyers do not tend to raise the possibility of leaving legacies to charities, and the potential tax savings, with their clients: just two thirds of solicitors and wills writers surveyed in the Report said they reminded clients about legacy giving – and this was an increase from 53% just five years ago. In fact, 46% of the respondents believed that solicitors have a duty to raise the issue of legacy giving to clients. This means lawyers can be bolder in raising the issue of charitable giving to clients making a will - it’s not quite the sensitive topic some may perceive it to be. The prevailing general pattern seems to be that clients go to their solicitor knowing what (if any) charity they want to leave a legacy to. Testators who give to charity in their wills usually do so because they already have some attachment with the charity during their lifetime. Note, however, the ruling in Ilott v Mitson [2015] EWCA Civ 797 where the testatrix left her entire £486,000 estate to three charities – with which she had no connection during her life. Following the claimant daughter’s initial dependency claim and subsequent appeal, the Court of Appeal diverted around a third of the estate to the daughter. Where a testator wishes to make substantial gifts to charity under their will, consider asking why they wish to benefit the charity in such a way – and determine whether any close family members are being disinherited, or are to be left a limited share of the estate. Having this information can be invaluable should a dispute arise after death. Practitioners are recommended to look out for forthcoming good practice guidance which is being developed by the Institute of Legacy Management. This will be aimed at helping to define and share the highest possible standards for those working in legacy management. Lifetime charitable giving A key finding in the latest Charities Aid Foundation (CAF) UK Giving 20154 report is that 67% gave to charity in the last year, with 42% doing so in the last month (when surveyed). Donating to charity has remained stable year-on-year with no significant changes compared to last year’s report - although giving had tended to be eventdriven. There are clear benefits of charitable giving for wealth planning clients, whether through lump sum gifts or the creation of charitable trusts or foundations. Charitable trusts are created specifically to hold or give property or money for charitable purposes for individuals or organisations – whether for one off gifts, or regular charitable giving. The charitable purpose must, however, come under the Charities Act, and no profit must be made. 13
These charitable models require specialist legal expertise on the creation of incorporated and unincorporated charitable organisations and foundations. There are, for instance, important registration requirements; administration requirements once established; and grant giving and funding issues. From the tax savings perspective, once registered with HMRC a charitable trust may benefit from various tax reliefs; and individuals can apply for tax relief on the donations made into the charitable trust. In addition, a charitable trust does not have to register for VAT; and it pays no tax on its investment income, or corporation tax or inheritance tax. There is also business rates relief available. Note that the charity must be for charitable purposes under UK law to benefit from the IHT exemption under s23 IHTA 1984 (see Routier & Anor v Revenue & Customs [2016] EWCA Civ 938). With Gift Aid, charities registered with HMRC can reclaim tax on the donations made by a UK taxpayer. These tax savings have led to Gift Aid growing in popularity over the years and it’s not hard to see why: individuals see immediate rewards knowing the charities will receive 25% more than the actual gift made, and at the same time thus reducing the individual’s tax liability. Whilst the conclusions of the Legacy Giving and Behavioural Insights Report is confined to legacies, there appears to be no reason why the message that solicitors should be raising the issues of charities to wills clients, cannot be extended to lifetime wealth planning clients. What is clear is that charities depend heavily on both lifetime charitable giving, and legacies for their survival. Private client lawyers have an important role to play – for the benefit of both their clients, and the charitable causes they decide to support.

Chapter 3 Charities: Fundraising
The past year or so has been difficult for charities and their fundraising campaigns. High profile scandals including the collapse of the Kids Company; and the reported suicide of elderly poppy seller, Olive Cooke, who had received huge numbers of begging letters from charities, led to forceful parliamentary and public criticism of the charitable sector. However, with new, tighter regulation and new guidance – charity fundraising campaigns are now better regulated and protect both individuals and charities alike. That’s not to say there are no longer areas of concern: according to the FRSB Complaints Report 2016, key issues of concern to the general public include addressed mail, telephone and doorstep fundraising, and a general dislike of specific fundraising methods and frequency of approaches. Following the 2015 Etherington Review into fundraising self-regulation, all its proposals were accepted by the Cabinet office (although critics said the review did not go far enough). Since then, important steps have been made, notably the launch of the Fundraising Regulator, and concrete plans for the Fundraising Preference Service (for which larger charities should now be preparing). The Fundraising Regulator The regulation of charity fundraising is now subject to more robust regulation. The Fundraising Regulator was launched on 7 July 2016 when it took over the responsibility from the Fundraising Standards Board (as well as taking control of the Institute of Fundraising’s Code of Fundraising Practice and the Public Fundraising Association’s Rule Book). It is to be funded by the large fundraising charities. A consultation for a revised Code of Fundraising Practice, including changes to key areas, is due to commence in early 2017. The new Regulator receives complaints about fundraising practices and has already adjudicated on complaints. In one of the final adjudications by the FRBS, the complaint was upheld – and highlighted the need for charities and agencies to respect the wishes of members of the public in relation to fundraising asks1.

Charity Commission Guidance Effective charity governance by its trustees is crucial. The Etherington Review stated very clearly that: “Charity trustees and CEOs should have a strong governance framework in place so that they have strategic oversight of all fundraising undertaken on their behalf directly with the public or by third party agencies.” It also emphasised that the trustees are ultimately responsible for every aspect of their charity’s activity - including fundraising. The Charity Commission recently released new guidance aimed at charity trustees on fundraising from the public in accordance with their legal duties, and to help protect their charity’s reputation. The new guidance provides invaluable guidance as to trustees’ duties, and sets out six key principles under which trustees are required to:
1. Plan effectively
2. Supervise your fundraisers
3. Protect your charity’s reputation, money and other assets
4. Follow fundraising laws and regulation
5. Follow recognised standards for fundraising
6. Be open and accountable
Professional fundraising organisations New legislation came into force on 1 November 2016 under the Charities (Protection and Social Investment) Act 2016. The Charity Commission now has statutory powers to issue official warnings to charities; and there are new requirements that agreements between charities and professional fundraising organisations must cover certain areas. The Fundraising Regulator, which has issued guidance on the new sections of the Act, says it will take a flexible approach for the first five months to give charities a chance to adapt to the changes. Fundraising Preference Service (FPS) The FPS, as proposed following the Etherington Review, is expected to launch in 2017 and will work in a similar way to the Telephone Preference Service. Individuals will be able to register with the FPS to block calls, texts, emails and mail from charities that spend at least £100,000 on seeking donations. It is thought that the FPS will also apply to lotteries and raffles. Gift Aid – new requirement Charities must ensure they remain compliant with the legal requirements for Gift Aid giving. This includes when running charity auctions, online and other events.

Whilst there is no required format of a Gift Aid declaration, the HMRC offers model wording2 for Gift Aid Declarations that is applicable to new one-off donations, multiple donations and sponsored events which must now be used (since 5 April 2016). The new wording is shorter and less confusing than its predecessor. Note that Gift Aid declarations which predate 5 April 2016 will be invalid for new donations as there is a new requirement of a ‘tax to cover’ statement that must be included, confirming it is the donor’s responsibility to pay back any shortfall in their tax paid against the gift aid claimed. Data Protection Fundraising appeals frequently involve handling personal data. Caution must be exercised so that the strict data protection rules are not breached by the charity concerned. The Information Commissioners Office (ICO) treats breaches of the DPA very seriously. The British Pregnancy Advisory Service, for instance, was fined £200,000 by the ICO in 2014 for exposing thousands of personal details to a malicious hacker. In early 2016, it ordered The Alzheimer’s Society to take remedial action following serious data protection breaches. The ICO found serious failings in the way volunteers at the charity handled sensitive personal data. Volunteers were using personal email addresses to receive and share information about people who use the charity, storing unencrypted data on their home computers, and failing to keep paper records locked away. They were not trained in data protection, nor were the charity’s policies and procedures explained to them. The ICO is also undertaking a lengthy investigation into complaints that Oxfam and other charities were exploiting loopholes in the Telephone Preference Service to use personal data. Even compliance with the strict letter of the law is not always enough: the British Red Cross, for instance, has signed an undertaking committing the charity to best practice around fundraising calls after complaints were made that the charity (and others) was ignoring marketing rules to compete for donations. Even though it was found not to have breached the law, it agreed to sign the undertaking for future best practice. Charities are ‘data controllers’ for the purposes of the DPA and they should be aware of the key principles of the legislation with which they must comply. Essentially, they must have the necessary permissions to contact donors/supporters and they must not retain any information on a supporter (or prospect) that they would not be comfortable sharing with them. In addition, charities must not use or share information in a way in which the supporter would not want. They must also be aware of how long such data can be retained for (ie. no longer than necessary!). 18
Note that the Code of Fundraising Practice and Guidance (Appendices) includes a dedicated section on data protection, identifying key regulatory and best practice standards. It applies to all types of fundraising organisation. Legal expertise Charities and charity trustees rely on expert legal advisers to help them comply with their legal and regulatory obligations. Chapter 4 Will Writing: Pitfalls to avoid
The wills writing market is increasingly competitive, with a glut of unregulated wills drafters who often fail to grasp important legal complexities that arise when taking instructions. These complexities have multiplied recently following various court rulings that have introduced sometimes surprising - and not always welcome interpretations of the law. The rise in contested wills and probate disputes reflects, in part, the reality that individuals are bolder in asserting their rights in respect of a deceased estate. This means practitioners should be on the ball with regards the legal issues in will drafting more than ever before. Want of Knowledge and Approval The testator must both know and approve of the contents of their will. Ordinarily, proof of testamentary capacity and due execution is sufficient to establish knowledge and approval which is then assumed. However, positive evidence of knowledge and approval is required where there are circumstances behind the preparation and execution of the will that “excite the suspicion of the Court”, for instance, the will was prepared by a beneficiary. Practitioners must, therefore, keep full evidence such as attendance notes or witness statements, on file where there are circumstances that could raise suspicions – and lead to a want of knowledge and approval claim. In such cases, there must be sufficiently weighty evidence that the testator understood what was in the will and its effect – and had sanctioned it (eg. Sharp v Hutchins [2015] EWHC 1240). Testamentary capacity Practitioners are required to ensure the testator has testamentary capacity, ie must be of sound mind, able to identify their property, and to understand what would happen to their property and assets if there was no will. However, several factors can affect testamentary capacity – permanently or temporarily. Where there are any doubts as to capacity - medical and other evidence should be obtained and placed on file in case a dispute arises after death. Apart from the obvious reasons for lack of capacity such as Alzheimers and serious dementia, a 20

testator could lack testamentary capacity at the time of making a will, for instance, they are elderly and forgetful, suffering from bereavement, or under the influence of drugs of alcohol. Caution must be exercised. This may mean seeing the client on subsequent occasions, taking detailed attendance notes, and having independent witnesses present. This is where the ‘golden rule’ is vital: when taking instructions from the elderly and the ill, a doctor’s opinion may be necessary at the outset. However, a failure to abide by the ‘golden rule’ will not automatically mean the court will allow a claim based on lack of capacity (Burns v Burns [2016] EWCA Civ 37). Dementia is often relied on by claimants, but dementia is not always, in and of itself, sufficient to lead to a successful claim. In a 2015 case, the testatrix was delusional and had suffered mild dementia. She believed one of her sons (the claimant) had begun a police investigation into her financial affairs without her authority. However, critically two expert consultants gave medical evidence but they had not known that the testatrix’ ‘false’ beliefs poisoned her affections towards her son. This meant the evidence had limited value. In the event, the court upheld the will having decided that the testatrix was suffering from a false belief and she was not delusional. She had been clear in her mind that she did not want the son to inherit from her estate (McCabe v McCabe [2015] EWHC 1591). In a separate case, the Court of Appeal decided a dementia sufferer was capable of executing a valid will. It found that although she had suffered from dementia for years and was not as mentally sharp as she had been, she knew what she was doing when she signed the will (Simon v Byford [2014] EWCA Civ 280). Note that a will made during a time of intense grief can be ruled invalid. In a 2013 case, the courts considered an overwhelming amount of evidence that led the High Court to conclude that the testatrix lacked capacity because she was suffering from an “affective disorder brought about by her deep grief at the death of her brother, combined with her continuing fragile mental state arising from her advanced age, her physical frailty and her continuing grief for her husband”. It’s worth noting that she was a person whose mental state was fragile throughout her adult life (Turner v Phythian (2013) EWHC 499). Expert evidence Where a dispute reaches the court, the quality of expert evidence, witness statements, and other evidence will be tested by the court. The stronger the evidence, the higher the value the court will place on it (see, for instance, the above cases). Practitioners who need to instruct experts before going ahead with a client’s wills instructions should ensure they give full and clear instructions as to all relevant 22

matters. When instructing an expert, make sure the expert is familiar with the required elements of testamentary capacity. Witnesses must give as full account as possible in support of any potential defence. Dependency claims The courts have become bolder in allowing dependency claims. In the defining ruling in Ilott v Mitson [2015] EWCA Civ 797, for instance, the testatrix’s estranged daughter and only child was disinherited and the entire estate left to charity. The daughter, who was receiving state benefits, successfully claimed reasonable provision under the Inheritance (Provision for Family and Dependents Act) 1975 and was awarded £143,000 by the Court of Appeal to buy a house (plus the reasonable costs of the purchase), and £20,000 to meet her income needs. Notably, it was found that the testatrix had no ties to the charity during her lifetime, and both the claimant and the testatrix (who had acted unreasonably and capriciously towards her daughter) were both responsible for the failure to attempt reconciliation. The court thus dealt a blow to the long held principle of testamentary freedom - the testatrix’s clear wishes were overruled by the court. What this means for wills practitioners is that they must to be aware of all immediate members of the testator’s family, delving deep if necessary to find out whether there are any children – even adult children - who have been concealed from discussions. A testator who wishes to disinherit a child may no longer legally have the freedom to do so. Errors in practice Practitioners must always take great care to avoid drafting and clerical errors. The case of Marley v Rawlings [2014] UKSC 2, for instance, is a salutary reminder for practitioners arranging the execution of mirror wills: make sure the right spouse executes the correct will, otherwise an expensive and lengthy application for rectification could follow. The ruling in Slattery v Jagger [2015] EWHC 3976 concerned the mistaken inclusion of “I shelve” and the exclusion of “to my wife” because of clerical errors (the typist had misheard the dictation). The court allowed the intended construction of the will – but at financial cost to the estate. Practitioners should ideally oversee the entire drafting stage of a will to minimise such errors. Once typed or formatted, a will should be proof read carefully by the lawyer to ensure its accuracy before execution. On a similar theme, exercise caution when using precedent wills, making sure no superfluous clauses or phrases are inadvertently left in, and that any further clauses required are included. 24

Founded in 1920 for the ‘comfort, cheer and entertainment’ of ex-servicemen wounded in WWI, The Not Forgotten Association continues to help and support serving and ex-service men and women with injuries or disabilities of any kind.
