Showrooms that have their own website have the opportunity to hyperlink directly from the Progress site to their own. Progress Lighting supports the e-commerce platform with an IMAP (internet minimum advertised price) policy. Display Discount Purchase a minimum number of showroom display fixtures and receive discounts (based on chart below) for two of the same sku with standard terms plus 60 days dating. Program may be used throughout the year for all new product introductions. All permanent product merchandising displays will receive a discount from Distributor net prices or free of charge with a specified stock order at Distributor net price for products not currently in stock or on display. Merchandising displays acquired under this program must exclusively merchandise Progress products. Freight Policy Standard Ground Freight prepaid and allowed on all orders shipped to the Showroom as shown in the chart below. Shipments must be made to the Showroom address listed on the program agreement form. Freight carrier choice is at the discretion of Progress Lighting. Please see 2017 Freight Program • Free Day Shipping Advantage: Orders over $200 will receive free freight on Wednesdays. Orders should be clearly marked "FFW" or "Free Day Shipping". • All other shipments are prepaid and allowed with a $1500 order. • No handling charges for UPS or any small shipments. • No pre-delivery notification charges • All other shipments will be freight collect or with shipping and handling charges added. Progress Lighting will replace, at no charge, parts and glass that are claimed to be missing or defective from the factory. The Showroom will pass along this same no-charge service to the builder/electrical contractor. This does not apply to parts or glass purchased for resale. This feature is also available online in a digital format.

No Minimum Billing Orders are shipped with no minimum billing charge regardless of order size.

Marketing Funds Marketing Funds will be paid to Lighting One directly.

No Broken Carton Charge Orders are billed with no broken carton charge regardless of order quantity.

Guaranteed Returned Goods Policy Returns may be made two times a year, 1:1, with a replacement order by the Showroom equal to the amount of return amount cannot exceed 4% of the previous calendar year's net purchases. The number of line items on the replacement order must at least equal the number of line items returned. Returns must be freight prepaid by the showroom, and credit issued will be less 6% outgoing freight plus 1% cash discount. The returned merchandise must be current product design (not obsolete, discontinued, or scheduled to be discontinued), and in factory sealed standard pack cartons. No credit will be issued on any return that has a date code in excess of two years prior to the request. Material returned without authorization will be accepted with no credit issued. 2

TERMS & CONDITIONS This Agreement shall become effective as soon as the same has been executed by both parties and shall continue in force until December 31st of the current signed agreement year, except where terminated earlier in accordance with the Progress terms of sale or if Progress determines, in its sole discretion, to terminate its existing business relationship with Distributor pursuant to Progress’ unilateral, Internet Minimum Advertised Price Policy.* *NOTHING CONTAINED IN THIS AGREEMENT SHALL BE CONSTRUED AS CREATING OR ESTABLISHING ANY AGREEMENT OR UNDERSTANDING BETWEEN PROGRESS AND DISTRIBUTOR REGARDING DISTRIBUTOR’S RESALE PRICES. DISTRIBUTOR REMAINS FREE TO ESTABLISH UNILATERALLY ALL RESALE PRICES FOR PRODUCTS PURCHASED FROM PROGRESS.
