On-line Featured Dealer (www.progresslighting.com) Showrooms will be featured in the “Dealers” section of the Progress Lighting website. Showrooms that have their own website have the opportunity to hyperlink directly from the Progress site to their own. Progress Lighting supports the e-commerce platform with an IMAP (internet minimum advertised price) policy. Display Discount Purchase a minimum number of showroom display fixtures and receive discounts (based on chart below) for two of the same sku with standard terms plus 60 days dating. Program may be used throughout the year for all new product introductions. All permanent product merchandising displays will receive a discount from Distributor net prices or free of charge with a specified stock order at Distributor net price for products not currently in stock or on display. Merchandising displays acquired under this program must exclusively merchandise Progress products. No Minimum Billing Orders are shipped with no minimum billing charge regardless of order size.

Marketing Funds Marketing Funds will be paid to Spectra directly.

Guaranteed Returned Goods Policy Returns may be made two times a year, 1:1, with a replacement order by the Showroom equal to the amount of return amount cannot exceed 4% of the previous calendar year's net purchases. The number of line items on the replacement order must at least equal the number of line items returned. Returns must be freight prepaid by the showroom, and credit issued will be less 6% outgoing freight plus 1% cash discount. The returned merchandise must be current product design (not obsolete, discontinued, or scheduled to be discontinued), and in factory sealed standard pack cartons. No credit will be issued on any return that has a date code in excess of two years prior to the request. Material returned without authorization will be accepted with no credit issued.

Replacement of Parts and Glass Progress Lighting will replace, at no charge, parts and glass that are claimed to be missing or defective from the factory. The Showroom will pass along this same no-charge service to the builder/electrical contractor. This does not apply to parts or glass purchased for resale. Showroom Design & Merchandising Services Progress offers professional consulting services from a recognized industry showroom design expert. SERVICES OFFERED INCLUDE: • Showroom Layout • Ceiling System • All Wall & Z-Wall System • Cloud System • Lighting Laboratory Design • Merchandising Techniques Progress also offers product application and training seminars in conjunction with on-site showroom design and merchandising services. TERMS & CONDITIONS This Agreement shall become effective as soon as the same has been executed by both parties and shall continue in force until December 31st of the current signed agreement year, except where terminated earlier in accordance with the Progress terms of sale or if Progress determines, in its sole discretion, to terminate its existing business relationship with Distributor pursuant to Progress’ unilateral, Internet Minimum Advertised Price Policy.*
