A: An LLC is an unincorporated form of a business organization. It is similar to a general or limited partnership in some ways, but unlike a partnership, members of an LLC are shielded from liability to the same extent stockholders of a corporation are insulated from the corporation’s debts and obligations. Without knowing what kind of business you and your sister are contemplating, it is virtually impossible for me to tell you what type of business entity would be best for you. However, I can give you some general information about LLCs in Louisiana. Under Louisiana LLC law, an LLC is formed when an Initial Report and the Articles of Organization are filed with the Secretary of State. The Secretary of State’s filing fee is $75. . Unlike a partnership, which has partners, and a corporation, which has shareholders, an LLC has members. A member of an LLC is not liable for the obligations or debts of the LLC solely by virtue of being a member of the LLC. In Louisiana, you can have an LLC with just one member, or you can have multiple members. Single member LLC is usually disregarded for federal and state (Louisiana) income tax purposes. For LLCs with more than two members, unless the LLC elects otherwise, it will be treated like a partnership for
federal and state income tax purposes (at least in Louisiana). As a pass-through entity for tax purposes, an LLC is generally more advantageous for closely held businesses than an S-Corporation. Louisiana LLC law governs the internal affairs of an LLC; however, the members can enter into an Operating Agreement that controls the operation of the LLC. Some LLCs have very general Operating Agreements while others have very specific Operating Agreements. I would certainly recommend that any Operating Agreement be in writing, because, if it is not in writing, Louisiana LLC law establishes the relationship between the parties. Also, if the Operating Agreement fails to address a particular issue, Louisiana LLC law governs. Unless otherwise specified (in the Articles of Organization and/or the Operating Agreement), each member has one (1) vote. And, unless the Articles of Organization and/or Operating Agreement specify otherwise, an LLC is managed by all of its members. You can have a manager managed LLC, where one or more individuals are appointed to act on behalf of the LLC, and conduct its day to day business affairs, but this should be spelled out in your Operating Agreement Generally, if one member of an LLC dies, their interest is transferable, however, their successor does not become a member without the unanimous consent of the other members of the LLC, unless provided for otherwise in the Operating Agreement or the Articles of Organization. To determine what type of entity is best for you and your wife, you should consult an attorney with experience in business and commercial litigation.
BI –WEEKLY MORTGAGE PAYMENTS MAY WORK FOR YOU Q: I AM IN THE PROCESS OF BUYING A HOUSE, AND MY LENDER MENTIONED THAT I SHOULD CONSIDER BI-WEEKLY MORTGAGE PAYMENTS RATHER THAN MONTHLY. WHAT EXACTLY ARE BI-WEEKLY MORTGAGE PAYMENTS, AND IS REALLY A BENEFIT OVER MONTHLY?
A: With bi-weekly mortgage payments, you pay half of your monthly mortgage payment every two weeks. Since there are 52 weeks in a year, you end up making 26 bi-weekly payments instead of 12 monthly payments. So in effect, you are making 13 mortgage payments each year instead of 12. Bi-weekly mortgage payments allow you to save on the interest you pay and they may dramatically reduce the total amount you ultimately pay on

your mortgage. Bi-weekly mortgage payments are typically automatically deducted from your checking account.
