Five Tips for a Modern Mudroom m Makeover By William LeBlanc, President, Acadian Home Builders Association

A well-organized mudroom can reduce clutter near the entryway of your home. For some home owners, a mudroom is an actual built out space to store everything from gloves to sports gear. If you do not have a separate “room” in your home there are still plenty of ways to maximize the storage space near your entryway. A well-designed entryway is also attractive to future home buyers. Keep the area near your home entrance organized and clutter-free with these tips. Focus on functionality and space. Before building out shelves or picking out wall art, think about how you plan to use the space. If you have an entire room, you may opt for more shelving to store household gadgets or hobby supplies. A closet without the door near your entryway can be easily decorated and outfitted with hooks. A wall, not a room, will require an organized system with some items displayed or hidden, based on your preferences. Think about your floor before the décor. This area of your home gets the most foot traffic (and mud!) so you’ll need a durable, moisture resistant flooring option. Heavy duty flooring material is your best bet, such as tile or stone. You’ll want something that is easy to clean since this space will be dirty often. If upgrading your flooring isn’t an option, adding a wool rug can increase the functionality of the space since it is naturally resistant to mold and moisture. Size up your seating options. Adding a built-in seating area or bench can be helpful for taking off your shoes. You can also place items or shoes in a tray or cubby underneath a seat. A flip seat can hide items away while making them accessible. Footstools can also serve as a seating option for smaller spaces. Get organized. Storage options are infinite, from hooks to bins to adjustable shelves and lockers. Before adding unique organizing options to your space, take an assessment of what you have. Do you have more hats or sports gear? Maybe you’ll opt for more hooks than shelves or vice versa. Smaller items can be easily tucked away in bins and baskets. Once you’ve taken inventory you’ll want to keep the most used items near your door. Create a color palate. Since the mudroom will be the first area you see as you enter your home, you’ll want to find a color or pattern that speaks the most to you. If you’re adding new wall color, select a paint that is stain resistant or easy to clean. WHAT EXACTLY IS AN L.L.C. AND WHAT ARE THE BENEFITS OF AN L.L.C. OVER A CORPORATION OR A PARTNERSHIP?

Q: OUR HOMEOWNERS’ ASSOCIATION INCREASED OUR MONTHLY DUES BY 25% WITHOUT ALLOWING ALL OF THE PROPERTY OWNERS TO VOTE ON THE INCREASE. IS THIS LEGAL? A: A Limited Liability Company, commonly referred to as an L.L.C., is an unincorporated form of a business organization. It is similar to a general or limited partnership in some ways, but unlike a partnership, members of an L.L.C. are shielded from liability to the same extent stockholders of a corporation are insulated from the corporation’s debts and obligations. Without knowing what kind of business you and your wife are contemplating, it is virtually impossible for me to tell you what type of business entity would be best for you. However, I can give you some general information about L.L.C.s in Louisiana. In Louisiana, you can have an L.L.C. with just one member, or you can have multiple members. Single member L.L.C.s are usually disregarded for federal and state (Louisiana) income tax purposes. For a L.L.C. with more than two members, unless the L.L.C. elects otherwise, it will be treated like a partnership for federal and state income tax purposes (at least in Louisiana). As a pass-through entity for tax purposes, an L.L.C. is generally more advantageous for closely held businesses than an S-Corporation. Unlike a partnership, which has partners, and a corporation, which has shareholders, an L.L.C. has members. A member of an L.L.C. is not liable for the obligations or debts of the L.L.C. solely by virtue of being a member of the L.L.C. Louisiana L.L.C. law governs the internal affairs of an L.L.C.; however, the members can enter into an Operating Agreement that controls the operation of the L.L.C. Some L.L.C.s have very general Operating Agreements while others have very specific Operating Agreements. I would certainly recommend that any Operating Agreement be in writing because if it is not in writing, Louisiana L.L.C. law establishes the relationship between the parties. Also, if the Operating Agreement fails to address a particular issue, Louisiana L.L.C. law governs. Unless otherwise specified (in the Articles of Organization and/or the Operating Agreement), each member has one (1) vote. And, unless the Articles of Organization and/or Operating Agreement specify otherwise, an L.L.C. is managed by all of its members. You can have a manager managed L.L.C., where one or more individuals are appointed to act on behalf of the L.L.C., and conduct its day to day business affairs, but this should be spelled out in your Operating Agreement. Generally, if one member of an L.L.C. dies, their interest is transferable, however, their successor does not become a member without the unanimous consent of the other members of the L.L.C., unless provided for otherwise in the Operating Agreement or the Articles of Organization.

CAN THE PLUMBER REALLY LIEN MY PROPERTY? Q: OUR HOMEOWNERS’ ASSOCIATION INCREASED OUR MONTHLY DUES BY 25% WITHOUT ALLOWING ALL OF THE PROPERTY OWNERS TO VOTE ON THE INCREASE. IS THIS LEGAL? A: A lien or privilege as defined in Louisiana law is a claim or charge on property for payment of a debt or performance of an obligation. In this case, the plumber has a privilege on your home to secure payment arising out of work he did on the home. In Louisiana, the claim for the privilege has to be filed within sixty (60) days after the last day on the job, either by completion or abandonment. What constitutes the last day? It’s the final day of actual constructive work that’s part of the original job. Simply calling a follow-up meeting at your home or finding another project to start (like convincing you to now let him install another toilet), does not restart the clock. So if he completed the plumbing job that it in dispute and has not been paid in full more than 60 days ago, he can no longer assert a privilege or lien on your home. Let’s say the plumber does file a timely lien. How you should respond depends on your situation. If you’re not planning to sell or refinance within the next eight months, you can simply wait to see if the plumber sues to foreclose on his lien. If he doesn’t within twelve (12) months of filing, his lien rights are lost again. If you need to get this matter resolved more quickly, you may have to go to court to get it eliminated or reduced. For that, you’ll need a lawyer.
