CORPORATIONS ACT 2001 - S420A
Whilst we appreciate your instructions may be as “Agent for Mortgagee”, liquidator or Administrator, we have adopted S420A as the guideline for all engagements, protocols and procedures. The Corporations Act (Commonwealth) provides controller’s duty of care in exercising power of sale. In exercising a power of sale in respect of property of a corporation a controller must take all reasonable care to sell the asset for: 1. If, when it is sold, it has a market value – not less than the market value, or 2. Otherwise – the best price that is reasonably obtainable having regard to the circumstances existing when the asset is sold We are cognisant of the significant obligations placed upon agents in discharging their duties. Should there be any controversy concerning the workout or realisation of value for an asset, Ray White Commercial (WA) adopts the strictest internal standards and protocols to demonstrate a clear and defined procedure when appointed including the maintenance of evidence in support of that procedure. This approach protects the liquidator from adverse criticism or challenge.
In that respect and to assist you in discharging your obligations with respect to this property, Ray White Commercial (WA) will: • Maintain files with respect to the appointments for the asset. • Record and secure all email communications. • File note any strategies and the logic and rationale behind decisions proffered as a solution. • Monitor and record market movements and changes and the impact of those market movements and changes on strategic decision making. • Communicate and confirm all specific instructions clearly and concisely in writing. All of these actions are taken to demonstrate a clear and unequivocal compliance with Corporations Act.
PROBITY & REPORTING
By working together to assist you in complying with your obligations, Ray White Commercial (WA) will provide you with a Weekly Property Activity Report summarising:
SUMMARY & WORKOUT BOOK
• Enquiry register.
At the conclusion of the sale (whether successful or not) you will receive a final Summary and Workout Book, capturing:
• Number of property inspections.
• Your initial request for a submission.
• Buyer feedback.
• Our submission to you.
• Additional enquiry due diligence reporting.
• Copies of all advertisements that appeared in the press.
• Copies of all client approved advertising.
• All other relevant matters. We understand probity issues and the high standards of accountability required by such clients; in particular, we are cognisant of the statutory obligations encompassed by section 420A of the Corporations Act. As an example of how we would approach a disposal, our actions would include: • Advice on sale documentation. • Accurate recording and reporting of enquiries and subsequent contact. • Consistency in dealings with proponents to ensure equal opportunity. • Maintaining an accurate record of all information and documentation provided to proponents. • Appropriate procedures for Privacy Act conformance. • Respect for proponent’s intellectual property. • Respect for the confidentiality of bids and subsequent negotiations. • Recording any concerns and responding expeditiously. • Adherence to the principles of due process throughout the appointment.
