Terms and Conditions
1. Insertion Order: Publisher agrees to deliver, and Advertiser agrees to pay for, the services on the applicable Insertion Order (“IO”) which IO is incorporated herein by this reference according to the rates specified on the IO and subject to these Terms and Conditions.
2. Approval: Acceptance or execution of an IO is subject to Publisher approval. Publisher reserves the right to reject any Ad Material or advertising which it feels does not conform to publication standards or for any other reason and to reject, cancel or cease publication of any Ad Materials, space reservation, or position commitment without liability, at any time, even though previously acknowledged or accepted. Those advertisements which, in the judgement of the Publisher, look like editorial pages shall be marked “Advertisement.”
3. Payment Terms: Advertiser will be invoiced at the beginning of advertising period for the amount on the IO and payment shall be made to Publisher within 30 days from date of invoice (“Due Date”). A finance charge of 1.5% will be applied to any balance over thirty (30) days after invoice date (APR 18%). If Advertiser fails to make a timely payment, Advertiser will be responsible for all reasonable expenses (including court costs and attorneys’ fees) incurred by Publisher in collecting such amounts. Publisher reserves the right to suspend credit and/or performance of its obligations if Advertiser fails to make timely payment.
4. Ad Material: Artwork, copy, other content, active URLs and other components of the advertisement (collectively, “Ad Materials”) must comply with Publisher’s criteria and specifications as updated from time-to-time at Publisher’s discretion. Ad Materials must be received at least five (5) business days prior to the sched uled start date or within the timeframe for the applicable ad type if such timeframe is greater. If Ad Materials are not received within such timeframe, or if provided incorrectly or inconsistent with the specifications, then guaranteed delivery and Publisher’s obligations will be reduced pro-rata for the period of time that reserved space was not filled.
5. Publisher Costs: Costs incurred by Publisher in preparing material for publication will be charged to Advertiser. All advertisements ordered set and not used will be charged to Advertiser for composition.
6. Cancellation: Publisher may cancel any contract upon default of payment or breach of any contract provision or for any other reason provided herein. Any can cellations of orders by Advertiser must be made 90 days in advance to the Publisher. Cancellation must be emailed to Publisher and will be deemed given upon Publisher’s confirmation of receipt. All rates and units of space are subject to change on notice from Publisher. Cancellation of any portion of a contract nullifies all rate protection.
7. Warranties; Indemnity: Advertiser assumes all responsibility for compliance with United States Postal Regulations, Federal and State laws and regulations on any insertion and/or Ad Materials. Advertiser shall assume liability for all content, including copy, text, display, illustration and representation. Such content is published upon the understanding that Advertiser is fully authorized to and may lawfully publish and cause such publication to be made. Advertiser hereby represents and warrants to Publisher that Advertiser has the right to publish the Ad Materials in the form delivered and manner published without infringing or violating the rights of any third party or violation of any law, rule or regulation. Advertiser agrees, at its own expense, to indemnify, defend and hold harmless Publisher, its employees, officers, representatives, agents and affiliates, against any and all claims, demands, suits, actions, proceedings, damages, liabilities, costs, expenses and losses of any kind (including reasonable attorneys’ fees and court costs) arising out of or relation to (a) the publication of any advertisement hereunder, (b) the Ad Materials or any matter of thing contained in any advertisement, and/or (c) any material of Advertiser in which users can link through any advertisement (including but not limited to, claims of trademark or copyright infringement, libel, defamation, breach of confidentiality, privacy or data protection violation, false, deceptive or misleading advertising or sales practices). Publisher makes no warranty of any kind with respect to its web sites or services to be delivered hereunder and hereby disclaims any and all warranties, express or implied, including without limitation, all warranties of merchantability, fitness for a particular purpose, and non-infringement. All services are provided on an “as is” basis without guarantee. Publisher assumes no responsibility for errors in key numbers or telephone numbers. No deduction for errors in these numbers allowed. Orders that contain incorrect rates or conditions shall be inserted and charged at regular schedule of rates.
8. Limitation of Liability: Publisher shall not be liable to Advertiser, Its Agency or any third party under or in relation to these terms or any IO for any consequential, incidental, special or indirect damages of any kind or nature, under any theory of law or equity, and whether or not Publisher has been advised of the possibility of such damages. In no event will Publisher's liability under or in relation to these terms or conditions or any IO exceed the fees actually paid to Publisher for the advertisement giving rise to such liability.
9. Agency: If an agency (“Agency”) is the signing party placing an IO for the benefit of its Advertiser client, then both Agency and Advertiser shall be bound by the IO and these Terms and Conditions and Agency and Advertiser shall be jointly and severally responsible for all of the obligations under the IO and Terms and Condi tions including, without limitation, for all payments due hereunder regardless of whether Agency has received payment from its Advertiser client. If an IO is signed by Agency on behalf of Advertiser, Agency represents and warrants that it has full legal authority to bind itself and Advertiser to the IO and these Terms and Conditions.
10. Miscellaneous: Publisher shall not be liable to Advertiser or its Agency for delay or default in the performance of or completion of Services under the IO or these Terms, if cause by conditions beyond its control, including but not limited to, any act of God, pandemic, governmental authority, war, terrorist act, riot, labor stoppage or slowdown, fire, flood, severe weather, earthquake, accident, telecommunications or network failure, failure to the Internet, or electrical outages. These Terms, together with the IO, shall be governed and construed in accordance to the laws of Wisconsin, federal courts located in Wisconsin, with respect to any legal proceeding arising out of the IO or Terms, waiving all defenses with respect to jurisdiction, forum and venue. These Terms and the IO are the complete and exclusive agreement between parties with respect to the subject matter and supersede any prior or contemporaneous agreements, negotiations and communica tions, whether written or oral, between the parties regarding such subject matter. The Terms and IO may only be modified, or any rights under it waived, by a written document executed by both parties. Publisher will not be bound by any terms or conditions, printed or otherwise appearing on any purchase order, copy instruc tions, contract or other documents submitted by Advertiser or its Agency, or expressed orally. To the extent of any conflict, these Terms and Conditions shall prevail over the IO and Policies. These Terms and Conditions and the IO are specifically between and for the benefit of Publisher and Advertiser, and no other person or entity whatsoever (including, without limitation, Advertiser’s Agency) shall have any rights, interests or claims hereunder or be entitled to any benefits under or on account of these Terms and Conditions or the IO as a third party beneficiary or otherwise. All obligations and liabilities which by their nature are intended to survive shall survive termination or expiration of these Terms and Conditions and the IO for any reason. The IO and Terms may be executed in multiple counterparts, each of which, when so executed, shall be deemed to be an original copy hereof, and all such counterparts together shall constitute one single agreement. Conditions appearing on contracts, orders or copy instructions which conflict with Publisher’s I/O, Terms and Conditions or policies will not be binding on Publisher.
