FAMILY BUSINESS SHARE SALE
GP OWNERS/HEALTHCENTRE LEASE SHARE SALE
We acted for a family in the sale of their shares in the operating company to an established multi-site operator for a price in excess of £2m. This included the sale of the freehold property and flat above the shop.
We acted for a large group of GPs in the sale of their pharmacy by way of share sale and the assignment of an existing healthcentre lease. The sale required project management skills from our team to ensure we effectively co-ordinated advice and instructions from the number of clients we were acting for.

We advised an existing regional pharmacy group on the acquisition of a new site from a national chain. This involved reviewing and advising on a “non-negotiable” asset purchase agreement within a specified timescale to ensure the terms of our client’s offer were not breached.
NEW ENTRANT SHARE PURCHASE AND LEASE We represented new entrants to the market on the purchase of a pharmacy in Leicester together with the negotiation of a new lease. A previous buyer had withdrawn from the sale and the seller was keen to complete quickly. We were delighted to be able to help our clients achieve this.

We know how important it is for you to plan and manage your costs. We understand that while service is a major factor, unexplained fees and overrunning on costs is an unwelcome aspect of any legal relationship. For transactional work we offer both a best estimate and a fixed fee. The advantages of a best estimate is that the costs may come in lower than quoted. You have the ability to monitor costs on an ongoing basis and refine your instructions in response to those developments. However, this is our best estimate and we cannot rule out the possibility of the fee being higher than the top end of the estimate. If we agree a fixed fee, this means most of the cost risk sits with us. If there is a large increase but it is still within the scope, assumptions and exclusions, then we will absorb the additional cost and will not pass it onto you.
