We Can’t Attend Board Meetings!

Mr. Richardson:

Meeting outside the regularly sched uled board meeting, the directors are meeting to review and accept the treas urer’s developed budget. Can association members attend as observers only? What is the law on meeting outside noticed open board meetings??

The Open Meeting Act (Civil Code Sections 4900-4955) requires all open board meetings be announced at least 4 days in advance with a posted agenda. A “board meeting” per Civil Code Section 4090 is any time a quorum of the board is, in person or otherwise, discussing any thing within the board’s authority. So, if the board is meeting to discuss the budg et, that is a “board meeting” per Section 4090 and it should be announced 4 days ahead. Members must be permitted to at tend all open board meetings, so yes, you should be able to observe board budget discussions.

Dear Mr. Richardson:

From March 2020 until several months ago our Board meetings were held via zoom. Now they are in person — which the Board says is required under state law — in a poorly ventilated, often crowded room, no masks required or requested. This is causing concern to some home owners who are concerned about the cur rent extremely contagious covid variant which can infect even the fully vaccinated and boosted. Is possible to get some spe cial dispensation from the state to permit — or require — meetings by zoom?

Purely virtual meetings are not allowed except in the event a declared emergency prevents the meeting. However, why not add a virtual component to the in-per son meetings? Anyone who is unable to

attend physically can still attend virtu ally, which improves communication and participation. I am increasingly support ive of “hybrid” meetings. Since the cost of setting up hybrid meetings is usually minor (subscription to a virtual meeting platform service and purchasing a confer ence call microphone), most HOAs can and should benefit.

Dear Kelly:

When the meeting notice was posted for the upcoming board meeting, I asked the management company where the physical location would be. I was told it would be at the management office, which is more than 25 miles away. That seems like an excessive requirement. Is there anything in the Civil Code that re quires the physical location to be at the site of the complex or at least somewhere closer than 25+ miles?

Nothing in the Davis-Stirling Act addresses the location of board meet ings, but Corporations Code Section 7211(a)(5) says that board meetings may be held as stated in the notice of meeting or as stated by the bylaws or board reso lution. So, unless the bylaws restrict the meeting location, it could theoretically be many miles away from the project. Some HOAs do not have a suitable place for meetings, and others don’t have a setup conducive to a virtual meeting compo nent (assuming a hybrid meeting), so I do know that many HOAs hold meetings at their management company’s offices. Certainly, there is a point at which the distance is something which should be considered. Finding a suitable meeting place isn’t easy. I have seen clients use/ rent rooms in libraries, churches, restau rants, community recreation centers and even car dealerships! Best regards, – Kelly

CAR LEADERSHIP AWARD

I just returned from the California Association of REALTORS® (CAR) Fall Meeting in Long Beach. There was a lot of good information to come out of the three day meetings, and I will be covering all of that in next week’s article. This week however I would like to spotlight two amazing individuals that definitely went above and beyond their normal Herculean efforts to earn the very prestigious CAR Leadership Award.

This honor is bestowed sparingly each year by the President of the Cali fornia Association of REALTORS® and is given to people that exemplify the highest standards of excellence and effort for their fellow CAR members and the people they serve in the com munity.

This year two locals, Krista Pleaser, the Government Affairs Director for the Santa Barbara Association of RE ALTORS® (SBAOR) and Marta Gold ing-Brown, Government Affairs Di rector for the Ventura County Coastal Association of REALTORS® (VCCAR) were so honored.

They were presented with this award by Otto Catrina, 2022 CAR President, for their efforts in helping form Smart Coast California.

Krista and Marta knew that ALL coastal REALTOR® associations were dealing with similar issues when it came to sea level rising, dealing with the California Coastal Commission, costal zone constraints and many more issues. Unfortunately, there was no co ordinated effort on behalf of all these individual associations on how best to tackle what seemed like a daunt ing challenge. But not to Krista and Marta.

They took the “talk’ that was out there, took action and helped form Smart Coast California, a non-profit dedicated to ensure that the best inter ests of all of the stakeholders in preserv ing our valuable coastline were heard.

Smart Coast California was started to deal with the negative effects of cli mate change which if left unchecked

would endanger the beautiful 1,200 mile coastline that we all enjoy and count on for valuable resources.

Smart Coast California now works hand-in-hand with local and state agencies to ensure our rights as prop erty owners and visitors are protected. Using multiple strategies (because no one size fits all will work) to adapt to this ever-changing climate, which is causing sea-level rise, ensures that all parties (I.e., property owners, local governments, businesses and visitors) can enjoy our precious coastline for generations to come.

Smart Coast California encourages local municipalities and state agencies to listen to all parties and understand that there are strategies that can prove successful other than simply “retreat” when the sea level rises.

For if we do just “retreat,” and aban don our coastline, where will we live? Where will our harbors and ports go? How will millions of Californians and countless visitors from elsewhere be able to dip their toes in the California sand?

We desperately need to make sure that we keep our coastline beautiful and pristine with smart land use poli cies for generations to come.

Smart Coast California now has a staff, a full Board of Directors and grant funding that has allowed it to expand beyond the initial contributions of the Local Associations of REALTORS® All of this, and much more, is because of the vision, passion, dedication and tieless hard work of Krista and Marta.

Krista and Marta are two shining examples of our local association staffs that support all REALTORS® each and every day. They work diligently behind the scenes for the people that live in our communities.

They should be congratulated for a job well done as well as a big thank you to the California Association of Real tors for recognizing the incredible job that they have done and giving them the CAR Leadership Award.

Style at Home: Fall mantel roundup

I love to walk the shop floor early in the mornings before anyone else has arrived. It inspires me. As I walked the floor recently, I was awestruck by the one thing that tied each room together: fall foliage. While I might be a bit biased, our florals are always fantastic, but this season, I felt as though I was seeing them with fresh eyes.

It’s true, fall foliage is having a moment.

Incorporating floral elements into fall designs just made perfect sense. I love celebrating fall, especially through design, though the season seems fleeting. So for now, I am looking for timeless pieces that can make the transition to Christmas. This mantelpiece is a fantastic example. The stag head is an ele ment that could be put up in the fall and transition through to Christmas. The candlesticks could ride out the holiday season, to be swapped with something lighter and brighter in the spring.

How to achieve this look: This stag head was affixed to the wall using professional help and needed to be anchored in place above the mirror. We wreathed the stag in gold and green garland to incorporate an organic element into the design. We polished the look with a series of symmetrical candles on either side for balance.

Different ways to feature fall foliage

If you don’t want to block a piece of art or beautiful mirror from view, we don’t blame you. Keep your visual interest at the edge of the piece to allow your eye to travel across it. Layer in everyday items at varying heights for a design full of movement. In this mantel, monochromatic books and gourds lend to the autumnal motif without stealing the show from the striking red dahlias in the floral arrangement.

How to achieve this look: A floral arrangement layered between everyday items makes for a stunning mantelpiece. We took monochromatic books and pumpkins and tucked them on the mantel, ensuring that they were playful ly stacked at differing heights. We then crafted this floral centerpiece using moody red dahlias and seasonal stems. The more stems the merrier for this bouquet for a full but not heavy look. Don’t forget the candlesticks! We placed one on a stack of books to allow your eye to travel from the floral arrangement all the way across the mirror.

Fall foliage in full force

Not just for use during the holidays, fall garland and picks can create quite the statement, like on this mantel. Blue and white matches everything. The tried and true color combo really lets the colors of the season do the talking in this design.

How to achieve this look: To re-create a statement autumnal arrangement, add in your big stems and larger foliage first, then layer in the smaller stems to add fullness and visual interest. The beauty of this design is in its simplicity. We recommend a long and thin container for your blooms, to ensure it isn’t too deep for the mantel, and to give your arrangement some room to spread out.

The season isn’t officially here until my mantel has been updated. It is usu ally where I start with a seasonal changeover at home. Whether you like to swap out a few simple elements or completely redesign, these focal points in your home make for great places to display your love of seasonal decor.

Because of deferred maintenance, underfunded reserves, and stricter community association laws, many, if not most, communities will likely see special assessments in the near future.

The assessments will range from a few thousand dollars to more than a hundred thousand. The amount will depend on the repairs needed and how much reserves were deferred.

Because some repairs need to be made quickly, communities cannot wait until their residents “save up” enough to pay for it and must get bank financing.

Special assessments like the one you describe are usually made with a bank loan, and the lender will dictate some terms of the assessment that needs to be passed by the association.

While monthly special assessment payments can be continued to the new owner when a unit is sold, many communities, and lenders, prefer the assessment paid in full by the departing seller to help maintain prop erty values.

Buyers can only afford so much of a monthly payment, and ongoing assessments drive prices down.

Whether to make monthly payments or receive a considerable dis count by making one lump-sum payment will largely depend on your financial health.

Paying less money for the same thing is a better choice, so if you can afford to make the lump-sum payment without jeopardizing your emer gency reserves, do so.

Using the figures you provided, you will save more than four years of payments by doing so. However, you will be better off making smaller monthly payments if you are on a monthly income without a lot of money in your savings account.

If you don’t know, Truffula Pink it is a globe amaranth. It is almost always grown as an annual that reaches about 24 inches tall and almost as wide. You can’t give it too much sun. It might be perennial in zones 9 and warmer. I live in 8a and had a patch that was perennial for me for a couple of years. I’ll explain its demise.

I planted it in 2019, and it returned in 2020 and was awesome. I never realized I planted it in con junction with a chipmunk thoroughfare. In 2021 my granddog Alli, a 120-pound Dutch Shepherd, came to live with me for a year. Her sole existence became to rid Grand Dad of the chipmunks. The Truffula Pink area became pulverized. Today the chipmunks live happily and have found new joy in torturing Tootie the bichon.

This year in a way seemed like a second com ing out party. It wasn’t with fanfare, but if you had your eyes open, you probably muttered a “holy wow” once or twice. One such moment for me was at Mississippi State University’s industry day at the Truck Crops Branch Experiment Station in

Crystal Springs, Mississippi. It was a “why didn’t

I think of that?” moment. Right out in the full scorching summer sun of central Mississippi was Truffula Pink gomphrena, standing so stately over this year’s hot new Augusta Lavender heliotrope. The lavender blue and hot pink were a perfect partnership.

The “why didn’t I think of that?” moments kept occurring for me, thanks to son James. Be fore I could tell him “you can’t do that,” he was partnering Truffula Pink with Mangaves like Thunderbird and Silver Fox. If you aren’t familiar with Mangaves, they are hybrids between man freda and agave. These come with a WARNING: If you start, you will not be able to stop. Just Google “Mad About Mangave” and enter at your own risk.

So, let’s visit the idea: Can you plant Truffula Pink with a plant that looks like it belongs in a Mexico desert? Sure, add some zinnias and ange lonias or summer snapdragons and it will look like Sunday tea at Miss Betsy’s house. Any design you

have in mind, Truffula Pink will make it better.

I would like to think I broke the mold a little. It wasn’t pushing the envelope by planting with Mangave, but I used them in a prairie-like look with the new Meant to Bee Royal Raspberry and Queen Nectarine agastache and Pyromania Blaze kniphofia or torch lily, and Rockin’ Playin’ the Blues salvia. I was mesmerized by the planting, and just like every other year, Truffula Pink has been a butterfly champion, bringing in buckeyes, American ladies and an assortment of swallow tails. The Garden Guy makes this promise: Truf fula Pink will be among the most enjoyable flow ers you will ever grow, whether it is an annual or perennial.
