I love our city, I really do. But why settle on a swamp? Seriously. A friend of mine used to say, “We’re blessed with rain. Ningbo is blessed with rain.” However, she never said, “We’re blessed with mold. Ningbo is blessed with mold.”

“What should I do with those five minutes?”, you ask. Live it up. It won’t last. Here’s five for your five. How you should go about living it up in April: 1) Go to the Ningbo Museum in Yinzhou. It was

If Mother Teresa and Cesar Milan were a Chinese woman from Ningbo, this would be Ms. Yu. She has over 300 dogs who receive regular medical care, have plenty of room to live it up, and will never be put down. It’s like dog heaven on earth. Go there and try to help her, she needs it. Don’t like dogs? You should work on that.
3) Go to The Rock Tigers on Friday the 13th. It’s an ominous day and therefore you better be ready to rock out. This South Korean rockabilly powerhouse is awesome. They made up a phrase called Kimchibilly. They are sexy, loud, and fun. Don’t like rockabilly? Go to Lobster Bar and ask Diane and Vlad to sing jazz standards while drinking something from the top shelf.
That’s enough to get you started. There’s plenty more to do this month and it’s a good idea to get at it before the sun decides to move in and turn our city into a concrete sauna. “I love summer, I love the sun, I love it! I! Love! It!” Yeah ok, the sun is pretty good.

ailing from South Korea, The Rock Tigers are here to show you that there ain’t nobody but nobody that can take them. All stabs at K-Pop aside, there’s a special place in so many hearts for it, it’s awesome to have a chance to see something other than an endless parade of jeggings. Don’t get me wrong, parades of jeggings have a special place as well.
But this something other is exactly what the doctor ordered. The Rock Tigers have been burning an entirely new Indie scene in South Korea since 2001, and they just keep getting hotter and hotter. This is not K-Pop. The Rock Tigers are the party that K-Pop’s mom (more specifically their corporate drivel mongers) won’t allow them to go to. Thank god. The Rock Tigers are also aptly named. They rock, like tigers. Their EP Electric Travel is smokin’ hot. Their tight, sexy, and badass, all the things you want in rockabilly.
They’ve been described as a truly live band that has to be seen live to really be appreciated. That’s our kind of band people. The lead singer Velvet Geena (the other members being Tiger, Roy, Eddie Tarantula and Jack "The Knife") is brash, loud, and has a voice like an angel. They reminded me immediately of The Detroit Cobras meets Stray Cats. "If I weren't an architect, I'd have been a writer." That was the answer to the last question I asked at the press conference, which incidentally was the last question of the conference. Even in a room full of reporters, we could all see something of Wang Shu from the start. There wasn’t an uneasiness with being in the spotlight, it was more like a disregard for it. Remaining eternally respectful and pleasant, there was simply a tedious and weary air to the man as he was bombarded with questions about architecture. And then it happened, my colleague asked about books. His demeanor shifted and we all listened as the man dressed more like a member of the traditional Chinese literati than a modern architect lifted his head along with the corners of his mouth to tell us about his favorite poems, his love of calligraphy (Jiu Cheng Gong Li Quan Ming to be exact), and how the one kind of book that he refuses to read is a book on architecture.
This is a man steeped in his discipline, so much so that it doesn’t seem like talking about architecture is really necessary. Talking about a poem, talking about other forms of language and how we converse in them, talking about how a building is a kind of language, that seemed to be infinitely more interesting to the man that is heralded for incorporating environment into his work. But there is already a flaw with the semantics of that last sentence. Wang Shu doesn’t believe that the building is any more important than the environment, or vice versa, he regularly reiterated that they were, and always are, in dialogue. 14

Much like a poem, he talked about his buildings as such, with rhythm and timing being as important as the words themselves or the way they are arranged on a page. The reasons why he has now become the first Chinese person to receive the incredibly prestigious Pritzker Prize are myriad and beyond my understanding of architecture. But, I can’t imagine that Wang Shu would think that was important anyway. There is something incredibly egalitarian about the man.
entire campus is designed by Wang Shu. Many of them are stunning and dramatic in an austere way, but he took us to a room filled with drawings with a jagged hole cut out of the wall. Through the opening we came to his version of a traditional Chinese courtyard with sweeping roofs that resembled epic waves of water and long vertical lines that seemed to go to the vanishing point. He answered a few more questions, seemed content that he had done his duty in regards to allowing us to follow him around for the afternoon and abruptly left.
When the questions in the conference ended, we were asked to follow him on a tour of the architecture school in Hangzhou. Every building in the www.n i ngb ogui d e.com
We returned to Ningbo and the next day I went back to see the Ningbo Museum yet again, and from there I walked to see his work in Yinzhou Park. Much like the man, there is something approachable about the buildings he has in Ningbo. The Ningbo Museum is a treasure amidst the rapid expansion of the CBD. It may be new and even a bit monumental for what Wang Shu likes to call “housing,” but its dialogue is completely different from the skyscrapers surrounding it. Not only does it hold its own in the skyline of Yinzhou, it reminds us of so much more. Wang Shu spoke freely about how his design inspiration often comes from a poem or a painting. When he designed the Ningbo Museum, the famous painting “Wind in Pines Among a Myriad Valleys” (painted by Li Tang, North Song Dynasty) flashed in his brain. Therefore, some aspects of the Ningbo Museum look like valleys, and much like the painting there is a platform between two valleys. Standing on the platform, through the gap of the two valleys, people can watch the skyline of the city, a place where old history is talking with the modern city. Wang Shu hopes this museum platform will leave people the space to think of the past and the future. We hope that everyone in Ningbo will take the chance to do so.

The Shanghai
Alleycat April 6th marks the kickoff of one of the largest free bicycle races in the world, and it’s all happening in our neighbor to the north. 2012 is the third year for the Shanghai Alleycat bike race. With each year, the number of participants, sponsors, coverage, and prizes has grown exponentially into the behemoth that it is this year. We caught up with Tyler Bowa, the front man for Factory Five and People’s Bike who are all part of the organizing efforts needed for Shanghai Alleycat. From the website People’s Bike, which has become one of the largest bike sites in China, to Factory Five, Shanghai’s first fixie boutique and club, Tyler has not only seen the bike scene evolve in Shanghai over the past few years, he has actively shaped it. We talked with him about this year’s Alleycat, what his favorite place to ride in China is (spoiler: it’s Ningbo), and how to get one of our very own custom built Factory Five bikes.

Can you give us a taste of the prizes you will have this year? Well, I did the math the other day and everything adds up to over 150,000RMB. . Which is pretty insane. Some of the highlights include (but are not limited to): 4 custom track frames, 3 custom trick frames, 8 complete bikes, tons of rims and components, bags, shirts, accessories, headphones, and enough gift cards to fuel a one man army for an entire year.
How long is the race? It won't be more than 25KM, but it won't be less than 20 KM. It really depends on what route you take.
What are the requirements to enter the race? For those who don’t know, what is an Alleycat? Let me explain it like I'm talking to a 6 year old: All you have to do is ride around the city, collect something from each of the 'checkpoints' and make it back to the finish line before everyone else. Think of it as a scavenger hunt! It can be as competitive or as non-competitive as you want it to be. Refer to Wikipedia for the full proper description.
When did the Shanghai Alleycat begin? The first Shanghai Alleycat was held in November of 2009.
How many participants did you have in the first race? In 2009 we had just under 150 people race, and maybe 200 at the party. In 2010 we had just over 300 people race and maybe 400 at the party.
How many do you expect to have in the 2012 race? We're expecting about 500 competitors and around 700 at the party. The scene has developed quite a bit since the race in 2010, and this year

Where are you from and how long have you been in Shanghai? I'm originally from Canada, and went to school in Waterloo, Ontario. I've been in Shanghai for over 3 years now and have loved every minute of it.
What is Factory Five? Can you give us a brief history of it? Factory Five is Shanghai's first community bike shop / fixed gear boutique / clubhouse for local riders. We started in 2011 with a small room in an old lanehouse, and in one year have grown into a fantastic warehouse space with a full on workshop and retail store.
How have you seen the bike scene in China evolve over the years? Since I arrived in 2009 I saw the local scene grow from just a handful of fixie riders into over 500 hundred. It's going to continue to grow for sure, until it reaches some kind of saturation point like NYC or London.
Best ride in the world?
Best ride? Hmm. . . Probably Japan – the streets are paved with butter!
Best ride in China? Ningbo, hands down. A ton of bridges, great trails along the edge of the water and big roads with minimal traffic.
Where would you have your last ride before you die? Racing down Mount Royal in Montreal with a massive poutine waiting for me at the end of the ride.
If you could race any cyclist dead or alive, who would you race and why? I'd love to race against any of the riders from MASH SF, just to see if I have what it takes to win.
What are some of the logistical issues with putting on a race this size? Obviously the big ones: enough space to host everything, and enough permission to let it happen. Beyond that it's just a matter of making sure everyone knows the game plan so that there's no confusion and people don't get upset.
Can you tell us about People’s Bike? What is it? When did it start, and where do you see it growing? People's Bike is a website that I've been running for over 2 years now – China's first website about urban cycling. It grew from a small blog I used to run about bike polo in Shanghai, and now is one of the most popular cycling sites in China. I see it growing into more of an open forum where topics are posted and anyone can voice their opinion.
You have some great sponsors for the race. Did you expect such overwhelming support for this year’s race? To be honest, I was expecting a lot – but not this much. We got to a point that had to start turning away sponsors. First world problems man, first world problems.

related things you run in Shanghai? Are they open to the public? Everything we run is free, and it's always open to anyone who wants to join. We do night rides, beer bashes, bike polo, weekend trips and even movie nights!
Where is Factory Five and when is a good time to drop in and get a bike? Do you keep builds at the shop or are they mostly custom orders? We're located at 876 Jiangsu Lu, Building E, near Huashan Lu. We're here Tuesday through Saturday, almost all day, but we can come in for appointments too. We've got a few builds kicking around that are for sale, but almost all our orders are custom and fit to order.
What is the general price range of most of your bikes?
The cheapest bike we build is 3,600 for one of our custom Chinese re-builds. From there everything goes up, depending on what frame and components you want. Our TIG weld aluminum frame builds start at 4,400, our lugged steel builds start at 5,500 and our smooth weld aluminum builds start at 5,800!
This year’s race is spread over 3 days; can you give us a quick breakdown of each day? Easy. Friday night we've got a group ride where we'll ride to the last 2 secret checkpoints. Afterwards there's a party at Shanghai Tattoo – get to know the community and welcome riders from out of town into Shanghai! Saturday we've got the alleycat race at 1pm, a few things afterwards and a big party Saturday night. Sunday we've got a BBQ, gold sprint races, trick competition and a few other surprises. Basically it's a 3 day party on wheels – and it's all free. Come join us!

Dog Days Sometimes dogs need a best friend
Located on the outskirts of Ningbo is a place that is not only rarely seen anywhere in China, it’s hard to find anywhere in the world. The Ai Meng Dog Shelter is tucked away. You would never know it was there until you edge closer to the entrance and the sound of all the dogs can be heard. By all the dogs I mean over 320 of them. They live in a place of comfort and love in a way that many shelters would love to be able to do. The total area for the dogs is over 1500 square meters with indoor and outdoor facilities, and walking in is a dog lovers dream come true. We caught up with Ms. Yu, the proprietor of the dog shelter for a tour of her facilities and a peek into her daily life. This woman exudes a quiet love for all of the animals at her shelter. She moves with ease and comfort around the swarms of dogs looking for attention and a possible snack. She stands with authority, patience, and love over her pack of 320 plus dogs like a doppelganger of Cesar Milan. She’d never heard of him when we talked but she liked the idea of anyone who would strap on rollerblades and let a dog run to its hearts content. However, not everything is roses at the shelter, many of the dogs need medical attention and came to her from being homeless, malnourished, and otherwise mistreated. Lucky for them, Ms. Yu takes them in, gets them the medical attention they need and offers them up for adoption. Here is where the shelter differs from so many. Due to means, most shelters have to euthanize dogs after they aren’t adopted for a certain amount. Ms. Yu has never and will never put a dog down (save serious medical issues but as a side note, she brought a large Tibetan Mastiff back from distemper) and all the dogs are welcome to live out the rest of their days at Ai Meng. Some fundraising activities have already started in Ningbo and you should expect to see more. How long has the dog shelter been open? The shelter has been open for around two years now. We started in this space in July 2010.
How many dogs currently live in the shelter? At the moment we have over 320 dogs including puppies.
Where do the dogs come from? We get dogs from all over really. Mainly the dogs are brought to us by the dog lovers of Ningbo. They send us homeless dogs and dogs in need of medical attention.
After a certain amount of time, are the dogs euthanized? The dogs are never euthanized unless they are extremely suffering. All of the dogs are here because they are disabled, ill, old aged, and/or homeless. Whatever their condition we accept them. Many of the dogs are seriously ill and need comprehensive medical attention which we are happy to give to them.
Are the dogs available for adoption? After the dogs have undergone medical treatment and show good behavior in the pack and with people, we offer them for adoption as pets. We do not allow any dogs to be taken for food. Ever, period, never, no way.
Do you have a screening process to decide if a person is suitable to adopt a dog? Yes we do. First we need to know the person adopting the dog www . ningb o g u i d e . c o m

and we go through a series of questions about their home life, what kind of dog they would like, why they want to adopt this type of dog, etc. After spending so much time with our dogs, we know their temper and habits so it’s important to find the right dog for the right owner. It’s also important to find the right owner for the right dog. Second, we need the person adopting to bring a copy of their ID and a deposit of 200 RMB. Then the dog must be brought back to the shelter after three months. If the dog is happy and healthy, we will return the 200 RMB deposit. If the dog is not healthy or not returned for a checkup, we will not return the deposit. This measure is mainly so that people take adopting a dog seriously. We want all the dogs to find happy homes to live in and we want to make sure that people know adopting a dog is a commitment, a wonderful joyous commitment but a commitment. Third, we do not allow the dogs to be adopted by any children under 14 years old, an adult family member must adopt the dog for any children under that age. And, we prefer that those adopting live in Ningbo and not on the outskirts of town.
How did the dog shelter begin? How was it started? I have been helping and adopting dogs personally for years but it was never on a very large scale. One day, one of my friends showed me pictures of the dogs at another shelter in Ningbo. The pictures were disheartening and horrifying. I went home. I couldn’t sleep. I couldn’t get the dogs out of my head, living in horrible conditions, packed together, miserable, and not taken care of. I spoke with my husband about rescuing all the dogs from there and building a new shelter where they could get medical attention, love, and live a happy life. I also remember reading a story at that time about a young man in Ningbo that was from France. He had a dog that was incurable but he never gave up to save the dog’s life. This inspired me and I knew what I had to do. I invested 300000 RMB and the shelter was

born.
How much land do you have for all of the dogs? This shelter is 1667 square meters including living quarters and play area.
Do you treat the dogs for medical issues? Yes of course, we treat the dogs for all medical issues and have been lucky enough to work with some kind veterinarians in Ningbo that help us with some of the more complicated issues. Whatever the issue, we treat them until they are better. We never give up.
Are the dogs de-sexed? We neuter all the male dogs but we do not spay the females.
What are some of the challenges working at the dog shelter? We receive all sorts of dogs and with that, we have some that come to us that have been mistreated. They are hostile, aggressive, and ready to attack and bite. This is always sad to me because regardless of breed, all dogs can be taught to behave well without the use of violence on them. Training a dog that has come from violence is always a challenge but I love seeing them become the true dog they can be after spending time at the shelter.
What is your favorite thing about working at the dog shelter? The dog shelter is a joyful struggle. I work here 365 days a year with my wonderful team of volunteers and money can definitely be short. But all of that goes away. The best thing is seeing dogs that need attention and love when they come to the shelter blossom into happy and healthy animals. There isn’t anything more satisfying.

onquered by Alexander Great and later the Mongols under Genghis Khan, Uzbekistan is also home to Timur the Great and Babur, who founded the Moghul Empire. This is the land where the well known ancient Silk Road passed and the “Great Game” between Great Britain and Russia was played out for almost a century. Perhaps the best way to experience Uzbekistan is by traveling through the Karakum Desert, visiting the three medieval Khanates (kingdoms) – Khiva, Bukhara, and Samarkand. Khiva is more than 2500 years old. It is located on the territory of Kyzyl-Kum Desert. A living museum, Khiva is the richest in monuments of the once powerful Khanate of Khorezm. Khiva consists of a huge network of buildings in brick and tile work. It is the best preserved among the Central Asian cities and is divided into an inner city and an outer city. Ishan-Kala, the inner town of Khiva, is

protected by brick walls about ten meters high. It contains impressive buildings such as Kalta Minor, Madrassah Amin Khan, Kunya Ark, Devon Begi, Juma Mosque, and the Abdullah Khan Madrassah and Minaret. Ishan-Kala displays medieval architectural forms, delicate woodcarvings, and intricate ornamentation. The silhouettes of its tower and minarets, surrounded by huge clay walls, give a clear idea of a typical Central Asian feudal city. If Khiva is the best preserved city, Bukhara has the most charming atmosphere. This is Central Asia’s most holy city. The old city is replete with medressas (places of learning), royal fortresses, and colorful bazaars. The architecture reflects its tumultuous history which spans over 1500 years. Clear blue skies framed by sandy domes and minarets are what greet visitors today. For the visitor, Bukhara is a place to enjoy authentic Central Asia. At the covered bazaars of Taqi Sarrafon and Taqi-Telpak Furushon, you can find carpets, hats, and hand woven

Travel silk fabric or admire architectural highlights such as Lyabi-Hauz Plaza, Ulugbek and Abdul Aziz Khan Medressas, Kalon Minaret (the tallest in Central Asia), and the Ismail Samani Mausoleum. Perhaps the best is saved for last. Among the cities of the world, one of the most ancient is Samarkand, whose history dates back 2500 years. It is arguably one of the most glorious and beautiful cities in Central Asia - perhaps one of the greatest Islamic cities of all time. Samarkand, an important center of power throughout its history, was home to Timur the Great (known as “Tamerlane� in English) - a fourteenth-century conqueror of Western, South and Central Asia. The glory of this time is best depicted in Registan, the medieval commercial center of the city. Three majestic medressas (Ulugbek, Sher Don, and Tilla Kari) encircle a well-designed public square. Samarkand is a treasure trove of stunning architecture. Shah-I-Zinda Ensemble, also referred to as Avenue of Mausoleums, is lined on either side with the mausoleums of the Timur period. They form a fantastic spectacle of majolica (colorful ceramic) barricades and tile mosaics. The facing of the portals is done with blocks of superbly carved glazed terracotta in combination with majolica. The walls of the Bibi-khanum Mosque are faced with polished brick, which serve as a backdrop for the blue enameled bricks used for a large geometrical decorative pattern. Such monumental ornamentation is characteristic of the buildings constructed for Timur. Tashkent, the capital of Uzbekistan, is over 2000 years old. Now, it is a modern metropolis, and after your journey through the land of Khanates, it probably feels like New York or London. The city of 2.3 million people is surprisingly green, thanks to its beautifully laidout parks and glistening fountains. The history and sites of Uzbekistan, which sound like chapters from One Thousand and One Nights, are what lures travelers looking for a truly exotic trip. Summary of the basic situations
At the beginning of 2011, Ningbo Yuexiang Equipment Machine Co., Ltd (hereinafter referred to as Yuexiang Company) found that a company named Shanghai Changyi Machiney Manufacture Co. Ltd (hereinafter referred to as Changyi Company) was selling a sports leisure product named “Space Scooter” on net. However, the product probably infringes a series of patents of Yuexiang Company. After contact, Yuexiang Company decided to entrust us to safeguard patent right. After a comprehensive analysis for various aspects such as contents of patent right, entity of the infringing product, situations of infringing act, and situations of the opposing company, we determined a safeguarding solution, and began to implement the safeguarding solution. Finally, a court verdict was received at the end of December, 2011. According to the verdict, infringement of Changyi Company is established, and Changyi Company is ordered to stop the infringing act immediately and compensate for losses of RMB 300, 000 Yuan suffered by Yuexiang Company. ★ Summary of the handling process The handling of the present case has the

following three stages: the first stage is a case investigation and evidence collection stage; the second stage is a stage of drafting legal documents and filing cases of the court; and the third stage is a trial and sentence stage. During the first stage, that is, from the beginning of 2011 when we were entrusted to August of 2011, we conducted an official search for the existing ten patents of Yuexiang Company in order to select reliable patent rights suitable for prosecution and prevent the opposing party from arguing with the prior art. Meanwhile, we established the patent register of respective patent rights. On the other hand, in order to prevent financial fraud of Changyi Company, we didn’t adopt the manner of evidence preservation of the court to obtain evidence; instead, we conducted preservation of evidence for the sales act of Changyi Company through a notary public. It has been proved by facts that the above manner produces the expected effects. During the second stage, we took a finallydetermined invention patent and a design (handled in another case) as the basis of rights, and began to draft filing documents from the beginning of August. the present case. After a tentative contact with administrative organs, we deem that the specialty and enforceability of administrative organs are not sufficient enough to handle the present case. Therefore, we selected the route of the court, and finally filed the case to Shanghai Second Intermediate People's Court at the beginning of September. During the third stage, we received the Evidence Exchange Notice and official Notice of Trail in succession even since the case was filed in September. Based on the evidence and arguing materials provided by Changyi Company, we conducted a focused preparing work, stated our major opinion and proposition while exchanging opinion with the court during and after the session, and retorted the arguing reasons of Changyi Company with reasons and evidence. Meanwhile, we submitted a supplementary written observation to the court again, which stated the logical analysis and judging method of infringement in detail. Finally, the court issued a verdict at the end of December, affirmed our infringement analysis, and judged that infringement of Changyi Company is established.

Selection of the manner for safeguarding rights According to the laws and regulations of China, where a patentee finds any infringing act, it or he may handle through local patent administrative organs (e.g. Shanghai Patent Office) or local intermediate people’s courts (e.g. Shanghai Second Intermediate People's Court). The characteristic of administrative organs is that the handling speed is very fast, and usually there will be a result within a month. The disadvantages of administrative organs are as follows: administrative organs have no compensation ruling right, instead, administrative organs only have a ruling right of stopping the infringing act; in addition, administrative organs prefer to settle a lawsuit in a manner of mediation; besides, with respect to means for investigating and obtaining evidence, the enforceability of administrative organs is less stronger than the court. At last, considering that it is impossible for the patentee and the infringing party to mediate, we finally selected the court. 3. Comparative analysis of patent infringement

Analysis on the main points of the case
1. Selection of means for obtaining evidence As to cases of patent infringement, the court usually judges in accordance with illegal earnings of the infringing party or losses of the patentee. If neither the illegal earnings of the infringing party nor the losses of the patentee can be determined, the court will decide within a range of one million. However, it is in fact very difficult to obtain evidence of the illegal earnings of the infringing party. Firstly, picking up to read an account book of a corporation is very difficult; besides, the account book of many corporations cannot reflect the actual situation except for some large corporations or listed corporations. Even if measures of evidence preservation are adopted through the court, the obtained financial account book is usually false. Therefore, we utilized the manner of telephone records notarization, through which the relevant sales evidence of the opposing party is obtained. The present case relates to two legal difficult points in the comparative analysis of patent infringement. The first point is to determine the scope of protection of a claim comprising features defined by functions, and the second point is to identify equivalent technical features, and solving the first problem is a premise of solving the second problem. In addition, the complexity of the above first problem is that the occurrence of the problem is originated from a new judicial interpretation issued by the Supreme People’s Court in 2010. However, the principle of the judicial interpretation is opposite to the interpretation of the State Intellectual Property Office of P. R. C towards the problem. In reality, using the interpretation of the State Intellectual Property Office of P. R. C. is usually more advantageous to the patentee, and different judges may act differently while understanding the spirit of the above judicial interpretation. Therefore, we firstly adopted the interpretation of the State Intellectual Property Office of P. R.
C. for explaining the first problem with respect to the above problems, and then converted a strategy and pleaded with respect to the above problem when the judge has definitely stated that the conservative interpretation of the Supreme People’s Court will be used for judging the problems. Finally, we still managed to persuade the judge. ★
Reflections
During the process of contacting with many corporations, we find that there are a large number of corporations that doubt the patent legal system of China no matter they are Chinese or foreign corporations, wherein three kinds of corporations are included: first, corporations which have even been involved in legal disputes while safeguarding patent rights but end up in failures; second, corporations which begin to have doubting attitudes after knowing cases of the above first kind of corporations; third, corporations which have doubting attitudes for the legal system of China, and have no confidence for the patent legal environment of China. It is found that the first kind of corporations failed in safeguarding rights generally because they are not professional in legal procedures, or because the patent right itself has deadly defects although professional patent attorneys have been employed. The above analysis shows that although the patent legal system still has deficiencies and needs to be improved after less than 30 years of development, it generally ensures the basic legal principle that a reasonable right can be reasonably protected through reasonable manners. Therefore, we should continue to have expectance and confidence for the patent legal system and environment of China. Writing Your Scope of Business in China By: Chris Devonshire-Ellis, Dezan Shira & Associates
Having your scope of business written correctly can attract tax and customs treatment benefits Establishing a business in China does not necessarily mean you can engage in any kind of business activity, as is the case in most Western countries. Companies can only operate within a business scope approved by the registration and licensing authorities, and if you breach these, your company can either be fined, or in serious cases, have its license withdrawn. Accordingly, it is vital to determine what you want to do right from the start. Generally speaking, “normal” business activities are fairly easily defined in China and you’re unlikely to find problems. However, certain activities are linked to an increase in the registered capital requirements, and even to the specific qualifications and numbers of employees you have. In certain fields, the business itself must prove that it has the required professional experience prior to a business scope being granted in the desired industry. The scope of business must in fact be well defined, and leave no large room for interpretation. Lazy, or deliberately disingenuous, business scopes – such as only using the phrase “production of (product)” – will not even necessarily qualify you as a production company in the eyes of China’s regulations, even though it apparently suggests you are. This is because registering a business in China involves several government departments. A clerk who doesn’t spot a cheeky scope of business, and issues the license anyway, doesn’t mean you are home free. Indeed, we have encountered numerous problems of this nature, all requiring a scope of business change on the license. The issue here is that businesses involved in manufacturing require different tax treatments than say a consulting business, and this is why there is usually a link between the scope of business and finance. In fact the most common challenge to dubious scopes of business generally comes from the local Chinese tax bureau. If

they are not satisfied with the scope of business written on your new business license, they can refuse to process your tax registration – a vitally important document when going through the complete licensing process in China – which will leave you hanging, unable to operate. The tax bureaus in China are often far sharper and pay greater attention to the implications of your scope of business than the business license issuing departments. You do need to satisfy the tax bureau‘s inspection, and this means ensuring your business scope is accurate. Attempts to fool the tax bureau into thinking you are one thing, while in fact you are another – even if you can get it past the approvals process – will inevitably end in failure. Play the game the right way and say what it is you are really doing. If not, you are only saving up trouble for later. Writing your scope of business in China usually requires assistance from a professional firm familiar with China’s business laws and, for foreign investors, the “Foreign Investment Catalogue.” This document, which is usually redrafted every four years, outlines exactly what investors in China may and may not do, which areas require additional licenses or permission, and the circumstances surrounding these. Accuracy is the watchword here. But attention to detail by your advisors isn’t just about ensuring your scope of business is accurate. There can be positive aspects to this too, as in certain encouraged industries tax treatment towards companies in your defined scope of business can improve, and this is obviously good news. An example is the recent announcement by Chinese customs that grants tax exemptions to foreign investors in encouraged industries. Of course, this advantage needs to be applied for – and it too is cross referenced with your scope of business on the business license, as well as your tax bureau
registration to ensure your company qualifies. That said, businesses of course evolve and mature, and at a later stage you may wish to increase your scope of business to include other activities. Often, but not always, this can mean an additional investment into the business is required in terms of registered capital status, however in all cases an application to amend the business license can be made with your original licensing authorities. The procedure involves submission of the original license, redrafting of the desired scope, and proof of any additional requirements that may need to be met. If completed properly, an enhanced scope of business – and the license to go with it – can be issued within four to six weeks. The lessons over writing a scope of business in China are simple: Be honest, and be accurate. It is advisable to take professional advice and use a firm with a strong China presence that knows what it’s doing. Your partnership does not require sharing the same physical space 24/7. There will always be the outside world that makes the assumption that a married couple who do not cohabitate must not be happy or ever have sex or that you must have lots of sex, only not with each other. The notion that two people can live apart and still be in a traditional marriage seems to be beyond most people. Make no mistake- whether you keep your separate places or not, your lives are entangled, hopelessly, irrevocably and, I hope, happily. Perhaps for you, living together in the same physical space has nothing to do with living in the same emotional space. If you live apart from someone and trust them, you may have an intimacy the rest of us can only dream about. Go for it but know that you must each remain flexible and change when circumstances warrant it.

Dear Jinx I have been dating a stalker. A few months ago I met Paul at a lunch counter, an innocent enough place to have conversation, or so I thought. After a pleasant chat he asked if I was on Facebook and if he could befriend me. I was too embarrassed to say ‘No’ and thought it would do no harm and allowed it. By the time I got home that night, he had left me several messages and wanted to see me again. I agreed and he was refreshing company and very attentive to me- to the point that he remembered everything I said or told him. I was simultaneously flattered and a bit uncomfortable but I kept on meeting him since he was so persistent and enthusiastic. Once I mentioned that I would like to learn how to cook Thai food and the next day he showed up at my house with a wok, bamboo rice cooker and enough curry and sticky rice to last a lifetime. He immediately took over my kitchen and started showing me how to cook. He kept asking me if I wanted to do this or that, and when I replied ‘maybe’ he would come back a day or so later and tell me that I have promised him that I would go or do whatever he had proposed. This went on for a month and his conversation began getting serious about getting married and having children. He wanted to know all about my ex-boyfriends and started monitoring me by calling my cell incessantly, always asking who I was with and where I was. It wasn’t long before I would see him outside my window at work or walking the street behind me. I got scared and told him I didn’t want to see him again but he didn’t hear me. It doesn’t matter how many times I say ‘No’. He keeps calling and knocking on my door and I am about out of my wits. Last night he pounded on my door so hard it left marks and he camped out in the hallway until early morning. I had to call my landlord to kick him out. My friends tell me to call the police and some of them admonish me for leading him on. I feel violated, guilty and scared. What do I do? Jane Dear Jane He is a stalker. I’ve had my share, including one that actually legally changed his name to mine since I refused to marry him. You should be alarmed. You missed the warning signs and need to learn them so it won’t happen again. But first you need to distance yourself and feel safe. While date stalkers do not tend to jump to violence without a lot of escalation along the way, I would be amiss to not suggest you do some or all of the following: keep a record of all incidents and keep it in a safe place; warn him clearly that he is not to contact you; do not respond to any further communication from him; change your cell phone and email address (but always keep a cell phone on you); identify him to everyone you know both socially and at work; make your home safety a priority (consider moving to a friend’s home temporarily); avoid being alone; and prepare an emergency plan in case he tries to break in or attack. Drastic? Maybe, but this guy does not understand the definition of NO. Once you feel safer recognize the truth behind the event: Men who cannot let go choose women who cannot say no. You over rode your instinctive discomfort from the beginning and ignored the warning signs. He was hyper attentive, offered unsolicited help, projected your words into commitments, tried to control your behavior and social world, and demonstrated jealousy. Dating is hazardous. It carries the potential of disenchantment, tedium, rejection and the risk of letting some insecure and troubled man into your life. It is safer to look at your dates as auditions for a part in your life story. Everyone does this unconsciously but you must do it with awareness. Explore his perceptions of gender and his views on his previous relationships. Find out all that you can about your date with artful conversation. And learn the wonder and power of speaking and meaning NO.

We chatted about what makes a truly excellent suit, what it means to have a suit that is yours and yours alone, and how Noble Lion works with perfection and tradition to bring a one of a kind suit that is full of history, life and craftsmanship.

Everything in our suits is completely hand-made and measured. All of the buttonholes are sown by hand, the waist of the pants are not exactly a straight line, etc. Fine materials demand fine techniques. : Can you give me a rundown of what it’s like getting a tailored suit, from start to finish? First, material is chosen. We have numerous swatches to choose from, like I mentioned before over 1000 actually. Next we can discuss the style. Likewise, we have books upon books of styles to choose from or feel free to bring one in yourself.

All of that is sent off to Shanghai and in about two weeks we will have a rough cut for you to try on. We do this because even with 46 measurements there are still some small alterations that we can only see once the suit is on. After two more weeks or so, the final product arrives and it is uniquely and completely your suit alone. : How much are we talking for a suit like this? The basic price of the suit is 3000 RMB. Our most expensive suit, due to really amazing material mostly, is 200000 RMB. Shirts are anywhere from 280 RMB to 4880 RMB.

Can you give us some background history? We came to Ningbo in 2006 from Shanghai. Actually, the history is quite long. Our lineage goes back to 1898 when Fenghua Hong Bang tailors began making clothes for nobility and people of interest at the time. In fact, our lineage can be traced to making clothing for Chang Kai Shek and his family. : What do you think makes a great suit? First is the material. Without excellent material the suit cannot become all that it can be. We have over 1000 types to choose from all originating in England, Italy, India, and Egypt. Second are the accessories. We use genuine horse hair for the interior liner, our buttons are made from bull horn, we use quality metal
