Payment Terms. First-time advertisers are required to pay first

insertion order in full prior to the material deadline date. Payment for electronic advertising is due 3 business days prior to scheduled run date. Delayed payments will result in rescheduling based on availability. Payment for print advertising is due within 30 days of invoice. A late fee of $50 per month or 2% per month (whichever is greater) will be charged on delinquent accounts. Future advertising will not be published if accounts are 90 days past due until they are paid in full with appropriate penalties. Further advertising will require prepayment.

Commissions/Discount. Material must be submitted as a

Billing to the advertising agency is based on acceptance by the advertiser of dual responsibility for payment if the agency does not remit within 90 days. Cancellations and Changes to Insertion Orders. All

cancellations and changes must be received, in writing, 15 days prior to the space reservation deadline. In the event of a cancellation, the advertiser/or agency agrees to repay ALFA for any discounts granted for multiple insertions less any discount applicable for the number of insertions completed in the contract. ALFA Conference & Expo Exhibitor Rules and Regulations By applying for exhibit space, a company agrees to adhere to all conditions and regulations outlined below. ALFA requests the full cooperation of the exhibitor in their observance. Please be sure that your promotional department, exhibitor appointed contractor, or anyone else involved in the arrangements for your exhibit has a copy of these rules and regulations. Sponsorship/Purpose t

Management of the Exhibition will be orchestrated by SmithBucklin Corporation. They are responsible for assigning exhibit space and managing pre-show and onsite logistics. They also act as a liaison between ALFA and the exhibitors and contractors. If you have any questions about your exhibit booth, we encourage you to contact SmithBucklin directly at (312) 673-5974. Eligibility The technical exhibit area is open to exhibitors whose products and services are directly related to the senior living field. ALFA reserves the right to reject applications for exhibit space of those exhibitors whose product or service does not meet this criterion. Booth Rental Rates & Payment Schedule Space will be charged at the rate of $24.00 for ALFA 2015 members and $39.50 for non-members per 100 square feet of space in accordance with the applica-tion form, with a $475 charge levied for each open corner assigned. There are no corner fees for island booths. This rate includes: • 7” x 44” booth identification sign (in-line and perimeter booths) • Pipe and drape for in-line and perimeter booths No space will be held without the required deposit according to the payment schedule. For priority assignment, the 25% deposit, along with the completed application, is due by May 20, 2014. -First payment of 25% due with application -Second payment of 55% due by Aug. 22, 2014 Final payment of 20% due by January 10, 2015 to qualify for the aLfa member rate, you must be an associate or president’s Council member of the association for the 2015 calendar year. If your membership for the 2015 calendar year is not renewed and paid in full by february 28, 2015, your exhibit space rate will be changed to reflect the non-member rate. Assignment of Space & Priority Points Initial booth assignments are made on May 20-21, 2014 during the 2014 ALFA Conference & Expo based on priority points. All other assignments will be made on first-in, first-served basis. The preferences for booth space location are for guidance and are not guaranteed. For completed applications with 25% deposit received before May 20, 2014, a point system will be used to establish priority for the assignment of booth space each exhibitor has requested on the Application for Exhibit Space. Point allocation will be as follows:

If deposit payment is not received by May 20, 2014, your company will not be included in the priority assignment. The preferences given for booth space location are for guidance and are not guaranteed by ALFA. Completed applications received after May 21, 2014, will be assigned on a first-come, first-served basis. exhibiT spACe CAnCeLLATiOns & reFunds If exhibit space is canceled or reduced in size and received in writing on or before August 22, 2014, all monies will be refunded less 25% of the total booth cost. If space is cancelled or reduced in size between August 23, 2014 and January 9, 2015, all monies will be refunded less 60% of the total booth cost. If space is cancelled after Jan. 9, 2015, there will be no refund, and all booth space contracted for must be paid in full. Any reduction of space after January 9, 2015, will result in forfeiture, as liquidated damages and not as a penalty, of mon-ies paid and owed for the amount of space by which the area is reduced. All notices of cancellation or reduction must be received in writing. No exhibiting company will be permitted to set up its exhibit until full payment has been made. ALFA reserves the right to reassign the cancelled or reduced space without obligation to the exhibitor. Acknowledgment of the receipt of an application or negotiation of the appropriate deposit instrument does not constitute an acceptance of an application. In those instances where a booth space application is denied, ALFA will refund such deposit in full. ALFA, in the event of conflicts regarding space requests or conditions beyond its control, reserves the right to rearrange the floor plan. Also, ALFA may relocate any exhibit at any time. All exhibit space not manned during the entire meeting and no-shows will be treated as cancellations. There will be no refund and all space contracted for must be paid for in full. In addition, the exhibiting company will lose all accumulated points toward the following year’s space assignments. Subletting of Space Exhibitors may not assign, sublet, or apportion to others the whole or any part of space allocated, and may not advertise or display goods or services other than those manufactured or sold by them in the regular course of their business. However, an exhibiting company may use equipment for the product presentation of its own product but may not give credit to the manufacturer.

Installation, Exhibition and dismantling hours Exhibitors will have reasonable time to install and dismantle their exhibits which will be specified in the Exhibitor Service Manual. Exhibit materials not removed from the hall by the time specified will be removed by Show Management at the exhibitor’s expense and liability. No exhibitor will be permitted to dismantle their displays or remove products from the exhibit hall prior to the close of the trade show. Refer to the Exhibitor Service Manual for complete schedules, rules and regulations and instructions for the installation and removal of the exhibits. Contractor Services In February 2015, ALFA will email each exhibitor an Exhibitor Service Manual (service manuals will be notemailed until full payment for exhibit space has been received). ALFA will designate contractors to provide all show services other than supervision. The exhibiting company shall provide only the material and equipment that it owns and that is to be used in its exhibit space. All other items used in the booth are to be provided only by such contractors. Exception to the foregoing will be considered by ALFA Exhibit Management only in cases where written permission has been requested by the exhibitor and received by ALFA by March 2015. An exception will be granted only if it will not interfere with or prejudice the orderly setup, interim services, or teardown of the exhibition. An exception will not be granted if it is inconsistent with the commitments made and obligations assumed by ALFA in any contract with service contractors, or in its lease with the Convention Center. For services such as electrical, plumbing, telephone, material handling, and rigging, no exception will be made and the contractor designated by ALFA must be used. All employees, representatives, or agents representing the exhibitor must be fully identified by ALFA’s official badge. All agents or representatives who are performing services at the Convention Center directly for an exhibitor other than the exhibitor’s employees must provide ALFA with certificates of insurance at the same time a request for an exception is made. The official general service contractor will have complete control of all dock and loading facilities and will receive all direct and advance shipments and van loads, handle all freight, and provide all rigging, labor, and equipment. All services not ordered in advance must be procured through the Exhibitor Service Desk that will be maintained in the exhibit hall. Storage Nothing may be stored behind booths and backwall drapes. The official general service contractor will handle and provide storage space for crates, boxes, etc., during the exhibition, and will return properly marked stored materials at the end of the show. The general service contractor will supply tags to be attached to each piece stored. It is suggested that small boxes be nested in larger ones to reduce the number of pieces stored. No boards will be accepted for storage unless securely tied into bundles and tagged. Fire regulations require that wrapping material such as paper, excelsior, etc., must be completely enclosed within the packing boxes. Materials not in accordance with these regulations will be considered refuse and disposed of by the cleaning staff. Booth Construction and Arrangements The ALFA Exhibition follows the exhibit construction guidelines of the International Association for Exhibition and Events (IAEE). A copy of these guidelines will be included with the Exhibitor Service Manual. Island booths must be no more than 20’ to the top of the exhibit display and/or hanging sign. Booth decorations are to be professional, standard booth design. Decorations that reflect against the character of ALFA or utilize offensive or disruptive actions are prohibited. Exhibitors will be bound to the booth rules printed in the Exhibitor Service Manual.

All exhibit booths must be carpeted. Exhibitors may bring their own carpet or may rent carpet from the official show decorator. Noise from electrical or mechanical apparatus must not interfere with or cause annoyance to other exhibitors. ALFA reserves the right to determine at what point sound constitutes interference with others and if it must be discontinued. Exhibitor Representatives Each exhibiting company will receive two complimentary full registrations and two complimentary Exhibit Hall only badges for each 10’ x 10’ booth space. These registrations are for the exclusive use of exhibitor representatives and may not be given or transferred to conference attendees. All registration information will be emailed to the main exhibit contact. Each exhibiting company must provide an attendant within its exhibit space during the open hours of the exhibition. All attendants must be bona fide employees of the exhibitor or representatives who receive commission, brokerage fees, or salary from the exhibitor, excluding representatives who maintain their own inventories of merchandise for resale. False certification of individuals as exhibitor representatives, misuse of exhibitor badges, or any other method or device used to assist unauthorized personnel to gain admittance to the exhibit floor will be just cause for expelling the violating company from the exhibit hall, banning it from future entrance to the exhibit floor, or removing its exhibit from the floor without obligation on the part of ALFA for refund of any fees. Upon the exercise of this authority by ALFA, the exhibiting company, for itself, its employees, and its agents, waives any rights for claims or damage against ALFA arising out of the enforcement of this section. The official ALFA badge must be worn whenever a representative is on the exhibit floor. Badges will be distributed at the Exhibitor Registration Desk. All personnel representing the exhibiting company or its agents on the exhibit floor during setup and teardown must be properly identified with the official ALFA badge. The authorized representative designated by the exhibiting company on its space application and contract as being in charge of the exhibitor’s exhibit shall represent the exhibitor in connection with the setup, operation, and teardown of such exhibit. This representative shall be responsible for knowing the exhibition contract and the rules and regulations of ALFA. Personnel and Attire ALFA Exhibit Management reserves the right to determine whether the character and/or attire of booth personnel is acceptable and in keeping with the best interests of exhibitors and the exhibition. Further, exhibitor expressly agrees that he/she and his/her personnel will not conduct official exhibitor functions in his/her private rooms during business hours of the exhibition or the Conference. Attendance The exhibition is limited to individuals, business firms, manufacturers, and dealers who have contracted and paid for exhibit space. No other persons or concerns, including those persons or concerns otherwise eligible to attend the exhibition and be on the exhibit floor, will be permitted to attend the exhibition for the purpose of demonstrating their products or distributing advertising material. Spouses and guests will not be admitted to the Exhibit Hall without proper badges. Activities of prospective exhibitors are limited to the assessment of exhibit activities for future participation in ALFA exhibitions. Any commercial activity by prospective exhibitors is expressly prohibited. Any violation of this rule will be followed by the prompt eviction from the exhibit area of the offending person. Children under the age of 18 are not permitted on the exhibit floor at any time.

Liability and Security Each exhibiting company must make provisions for the safeguarding of its goods, materials, equipment, and display at all times. General perimeter security will be provided by ALFA for the exhibition period, but ALFA and the guard service will not be responsible for loss of any material by or for any cause. ALFA strongly recommends that each exhibiting company secure a rider policy through its insurance agent to cover all booth and display items during transportation to and from this meeting as well as during setup, exhibit days, and teardown. The exhibiting company must surrender the space it occupied in the same condition as it was at the time of occupation. To the extent permitted by law, the exhibitor is responsible for all damage to the exhibit hall, and for any and all claims and demands on account of any injury or death or damage to property occurring in or upon the exhibitor’s booth space or because of the acts of the exhibitor, his/her employees, servants, agents, licensees, or contractors; and exhibitor agrees to and shall indemnify and hold harmless ALFA from and against any and all liability and claims and demands that may arise from or be assessed in connection with the foregoing undertakings and responsibilities of the exhibitor. Neither ALFA, its service contractors, Exhibit Management, nor the owners of the Convention Center, their respective agents, servants, contractors, or employees are or shall be liable for injuries to any person for damage to property owned or controlled by the exhibitor, unless caused by or resulting from the negligence of ALFA, its service contractors, Exhibit Management, or the owners of the Convention Center, their respective agents, servants, contractors, or employees, as the case may be. Electrical Safety All wiring on displays or display fixtures must conform to the applicable standards established by various Governmental Agencies and standard fire inspection ordinances. All display wiring must exhibit the seal and/or such other seals of official approving agencies as may be required at the site of the Exhibition. Fire Ordinances All applicable fire and safety laws and regulations must be strictly observed by the exhibitor. Local fire codes and ordinances require that the aisles be clear at all times. Demonstration areas shall not be placed on the aisle line of an exhibit. Sufficient space within an exhibit area must be left to absorb the crowd. Should spectators interfere with the normal traffic flow in the aisle or interfere with other exhibits, ALFA, in its sole discretion, will require that the demonstration be limited or cancelled. Cloth decorations must be flameproof. Wiring must comply with local fire department and underwriter’s rules. Smoking is prohibited. Crowding will be restricted; aisles and fire exits must not be blocked by exhibits. No decorations of paper, pine boughs, leafy decorations, or tree branches are allowed. Acetate and most rayon drapes are not flameproof and are prohibited. No storage behind exhibits is provided or permitted. Americans with Disabilities Act Each exhibitor shall be responsible for compliance with all applicable provisions of the Americans with Disabilities Act (ADA) within its booth and assigned exhibit space, including, but not limited to, wheelchair access provisions. Exhibitors shall indemnify, hold harmless, and defend ALFA, its officers, directors, agents, members, and employees from and against any claims, liabilities, losses, damages, or expenses (including attorney’s fees) resulting from or arising out of the exhibitor’s failure, or allegations of exhibitor’s failure, to comply with the provisions of the ADA. Special Visual and Sound Effects Audiovisual and other sound and attention-getting devices and effects will be permitted only in those

locations and in such intensity as, in the opinion of ALFA Exhibit Management, that do not interfere with the activities of neighboring exhibitors. Operational equipment demonstrated may not create noise levels objectionable to neighboring exhibitors. Performance of Music The exhibitor acknowledges that any live or recorded performances of copyrighted music that occur in the exhibitor’s booth must be licensed from the appropriate copyright owner or agent. The exhibitor undertakes full responsibility for obtaining any necessary licenses and agrees to indemnify and hold harmless ALFA Exhibit Management from any damages or expenses incurred by ALFA Exhibit Management due to the exhibitor’s failure to obtain such licenses. Photography Picture taking other than by official ALFA photographers is prohibited during set-up, dismantle, exhibition hours, and non-exhibition hours. Only the exhibitor may grant permission to have their exhibit and/or products photographed. Media-related Activities Exhibitor public relations, press, and other mediarelated activities scheduled to take place on the exhibit floor must be pre-approved by ALFA. All press must have a badge to enter the Exhibit Hall. It is the exhibitor’s responsibility to make their agencies/third parties aware of all guidelines, deadlines, and service forms. ALFA Logo ALFA claims all trademark rights to its logo. The ALFA logo, as well as any logo related to the ALFA Conference & Expo, may be used only with the written permission of ALFA. Printed Materials/Signage Distribution of promotional materials printed by exhibitors or their agents is limited to the exhibit area rented by the exhibitor. Materials are not permitted in the ALFA Registration Area, meeting rooms, lunch tables, or at refreshment breaks. In addition, hotel room drops are not permitted unless arranged directly through ALFA. Music, Photographs, and/or Other Copyrighted Materials. No exhibitor shall cause any copyrighted music, photographs, or other copyrighted material to be used without obtaining the proper permits and licenses to do so. Exhibitors are responsible for individual licensing fees, if applicable. Irregular Activities All activities of each exhibitor must be confined to the exhibitor’s allotted exhibit space. Demonstrations in booths must be designed to take place and keep the audience within the existing booth space to allow free access in the aisles. All giveaway items, except plastic bags, pencils, pens, luggage tags, pocket calendars, and the exhibitor’s product, must be submitted for approval to ALFA 30 days prior to the opening of the exhibition. Noisemakers of any kind will not be permitted. Exhibitors distributing approved “stick-ons” may not place them on attendees’ badges. Sideshow tactics or other undignified methods considered by ALFA to be objectionable are expressly prohibited in the Exhibit Hall. Demonstrations using live models are subject to ALFA approval. Upon approval, prizes, awards, drawings, raffles, lotteries, and contests will be allowed; however, ALFA will not be responsible for any promotion of such raffles and drawings, and winners will not be announced. No animals will be permitted in the Convention Center. If exhibitors wish to distribute food samples from their booth, they must obtain pre-approval from Show Management. Lotteries/Contests The operation of games of chance, or lottery devices, or the actual or simulated pursuit of any recreational

pastime is permitted only to the extent permitted by applicable law and upon written approval of ALFA Exhibit Management. Social Functions Exhibitors may conduct social functions in public areas of hotels or the convention center during nonconference hours with the written approval of ALFA. Social functions shall be scheduled at a time and place that will not interfere with activities scheduled by ALFA. All such functions shall be handled on an invitational basis only – they shall not include blanket invitations to conference attendees and it shall be made clear that these are not official ALFA functions. All such functions at which alcoholic beverages are served shall be limited to the period after 5:00PM unless otherwise permitted by ALFA. Under no circumstances will social functions of any kind be allowed in the convention center, hotel, or any other location during the ALFA Conference and/or exhibit hours. Over-the-counter Sales Exhibitors are encouraged to offer information that is educational, professional, and instructional. The over-the-counter sale of goods for onsite delivery and the acceptance of any form of payment for orders is expressly prohibited everywhere in the Exhibit Hall. This prohibition includes the acceptance of credit cards by exhibitors.

ALFA Conference & Expo Cancellation If for any reason beyond ALFA’s control, the ALFA Conference & Expo must be cancelled, shortened, delayed, or otherwise altered or changed, exhibitor understands and agrees that all losses and damages which it may suffer as a consequence thereof are its responsibility and not that of ALFA, its directors, officers, employees, or agents. Exhibitors understand that it may lose all monies it has paid to ALFA for space in the exhibition, as well as other costs and expenses it has incurred, including travel to the show, setup, lodging, freight, employee wages, etc. Exhibitor, as a condition of being permitted by ALFA to be an exhibitor in the Conference & Expo, agrees to indemnify and hold harmless ALFA, its directors, officers, employees, or agents, from any and all loss, which exhibitor may suffer as a result of show cancellation, duration, delay, or other alterations or changes caused in whole or in part by any reason outside ALFA’s control.

Violations Violations of any of these rules and regulations by an exhibiting company or its employees or agents shall, at the option of ALFA, annul the right to occupy space, and such exhibitor shall forfeit to ALFA all monies paid. Upon evidence of violation, ALFA may take possession of the space occupied by the exhibitor, and may remove all persons and goods at the exhibitor’s risk. The exhibitor shall pay all such expenses and all damages that ALFA may incur, and shall forfeit all monies paid or due ALFA on the account thereof. The exhibitor waives any right to service of written notice of ALFA’s intention to terminate this agreement and repossess space occupied by exhibitor.

Resolution of Disputes In the event of a dispute or disagreement between an exhibitor and the official contractor, or between an exhibitor and a labor union or labor union representative, or between two or more exhibitors, all interpretations by ALFA Exhibit Management of the rules and regulations governing the exhibition, actions or decisions concerning this dispute, intended to resolve this dispute, shall be binding on the exhibitor.

General Information All matters and questions not covered by these rules and regulations are subject to the decision of ALFA. These rules and regulations may be amended at any time by ALFA, and all amendments that may be made shall be equally binding on all parties affected by them, as are the original rules and regulations. In the event of any amendment or additions to these rules and regulations, written notice will be given by ALFA to such exhibitors as may be affected by them.

Exhibit Placement ALFA will endeavor to comply with all requests regarding the placement of exhibits either adjacent to, or removed from, specified other exhibitors. However, ALFA does not guarantee such space requests.

2015 ALFA Conference & Expo Booth Space Selection Policies and Procedures The following serve as guidelines for a successful 2015 booth space selection. 1. ALFA must have a signed booth space contract and a 25% deposit before your company may select space. The deadline date for receiving the 2015 contract and payment is at noon on May 20, 2014. Please submit your contract and payment prior to the 2014 ALFA Conference & Expo to save you valuable time with customers’ onsite.

3. Space selection will take place during the 2014 ALFA Conference & Expo at the Phoenix Convention Center in th st Phoenix, AZ on Tuesday, May 20 and Wednesday, May 21 . Companies will select based upon their priority point totals. Companies with the same amount of points will choose booth space based on the day/time ALFA received your contract. You company’s time and priority point totals will be emailed to you prior to the 2014 ALFA Conference & Expo. 4. If more than one company shares the same number of priority points, selection order is determined based on receipt date/time of contract. 5. Each participating company should have a representative present at the space selection. If your company is unable to provide a representative during the correct time, ALFA Show Management will assign the best available booth space that is consistent in the size & space preferences indicated on your space application. Loss of Transfer of Points:  For any company that purchases another participating company, the two groups can not combine their earned priority points, but would be allowed to take the highest priority point total of either company as their official total. Merged companies wishing to maintain separate memberships of the business units will maintain their priority points as stand alone companies.  For companies who did not have membership or exhibit points for a given year, but merged with or acquired a company that did earn points in that year, the new company may retain the point total for the merged or acquired company.  Companies that are under another corporate umbrella who are later stand alone cannot take their points earned in previous years with the parent company.  Companies who wish to exhibit together must choose space during the time slot of the company with the lowest number of points. 9. After the on site space selection is complete, booth space assignments will be made on a first-come, first-served basis. 10. In the event the booth space you choose is not your first choice and you wish to relocate to a different booth or area which was occupied during the space selection process, you should submit a written request to relocate to show management. We will review these requests, and will contact you if occupied space becomes available. 11. All special cases will be evaluated and resolved at the discretion of ALFA Show Management.
