November 3, 2020 Minutes of the Special Called Meeting of SPJST Supreme Lodge held via online video conference

PRESIDING The meeting was called to order by Supreme Lodge President Brian Vanicek at 1 p.m.

ATTENDING Supreme Lodge—Brian Vanicek, President; Leonard Mikeska, Chief Financial Officer; Roy Vajdak, Controller; Donnie Victorick - District One/Vice Chairman; Jesse Pospisil - District Two; John Engelke - District Three/Chairman; Bobby Davis - District Four; Bradley Stavinoha - District Five; Annie Vahalik - District Six; Regina House - District Seven. Other—Melanie Zavodny, Editor/Director of Communication; Janie Coakley, Recording Secretary.

PURPOSE OF THE MEETING The agenda for the meeting was to read and accept the resignation of Richard Hrbacek as Supreme Lodge Vice President and to consider the appointment of a new Supreme Lodge Vice President.

After discussion and a recommendation by President Vanicek, Director Victorick moved to appoint Delisle Doherty to the position of Supreme Lodge Vice President. Director House seconded the motion, and the motion carried unanimously.

ADJOURNMENT There being no further business, Director Davis moved for adjournment. Director Vahalik seconded the motion, and the motion to adjourn carried unanimously. The meeting was adjourned at 1:23 p.m.

November 5, 2020 Minutes of the Special Called Meeting of SPJST Supreme Lodge held at the SPJST Home Office in Temple, Texas

PRESIDING The meeting was called to order by Supreme Lodge Chairman John Engelke at 10:30 a.m.

ATTENDING Supreme Lodge—Brian Vanicek, President; Richard Hrbacek, Vice President; Leonard Mikeska, Chief Financial Officer; Roy Vajdak, Controller; Donnie Victorick - District One/Vice Chairman; Jesse Pospisil - District Two; John Engelke - District Three/Chairman; Bobby Davis - District Four; Bradley Stavinoha - District Five; Annie Vahalik - District Six; Regina House - District Seven. Other—Melanie Zavodny, Editor/Director of Communication; Janie Coakley, Recording Secretary.

OPENING OF MEETING The meeting was opened by Supreme Lodge Chairman John Engelke with a welcome to all. The Pledge of Allegiance was recited, and Chief Financial Officer Mikeska led the Supreme Lodge in an opening prayer. PURPOSE OF THE MEETING The purpose of the meeting was to discuss termination of sales agents that are not in compliance with Section IV General Provisions, (D) of the Agent’s Contract.

Chief Financial Officer Mikeska moved to terminate a list of 18 sales agents for nonproduction status. Controller Vajdak seconded the motion, and the motion carried unanimously.

Chief Financial Officer Mikeska moved that when future sales agents are appointed, the respective district director be notified of the appointment, and that the new agent be profiled in the Vestnik. Director Victorick seconded the motion, and the motion carried unanimously.

The Supreme Lodge has been made aware that some agents are not in compliance with the Section IV General Provisions, (D) of the agent contract which reads: (D) Insured Member. If not an insured member of SPJST already, Agent shall become an insured member of SPJST before signing this Contract. Failure to maintain such membership shall constitute cause for terminating this contract.

Chief Financial Officer Mikeska moved that a certified letter be sent to the agents who are not in compliance with this provision that they will have 60 days to correct their compliance deficiency. According to Section 105 (a) of the SPJST By-Laws: Any individual under 70 years of age must apply for an SPJST life insurance certificate, but if rated above standard, the individual may become a member with the purchase of an annuity in the amount of $1,000 minimum. Controller Vajdak seconded the motion, and the motion carried unanimously.

ADJOURNMENT There being no further business, Director Davis moved for adjournment. Controller Vajdak seconded the motion, and the motion to adjourn carried unanimously. The meeting was adjourned at 12:11 p.m.
