Market Overview STAGEWOOD CONSORTIUM, INC - BUSINESS PLAN12
Leisure is a basic human need; it allows us to rest our minds from the everyday struggles of our lives, giving us the chance to relax, recharge, and reminisce on the experiences that become lasting lifetime memories.
The world of entertainment is made up of a worldwide network of Artists and Producers, who perform an innumerable amount of activities that are geared toward delivering gratification, leisure, and memorable moments to Fans. Facts and figures Due to the size of the international live entertainment market, it is impossible to gather accurate data regarding the gross revenue generated by ticket sales. However, having reviewed the limited amount of data that is available, we can see that it’s clear that any venture offering improvement to these market transactions will require minimal impact in order to manage a budget of billions of dollars every year. For reference, one of the largest players in the entertainment industry in the United States, Live Nation Entertainment, Inc., achieved a total revenue of over USD $8 billion in 2016 alone. [6]
The distribution of physical recordings has decreased considerably now that there are streaming options available. Though it’s important to note, live performance royalties are growing rapidly, as the new generation (millennials and gen-z) tend to value experiences over material items.
The arts, entertainment, and recreation sector is a segment of the economic class for leisure and hospitality; this subsector includes a wide range of establishments that either operate facilities, or provide services, to meet the varied cultural, recreational, and entertainment interests of their patrons. In the United States alone, this sector represents an industry with over USD $700 billion in market shares, [2] and provides employment to over 2.28 million performers [3].

Though the US media and entertainment market is the largest in the world—making up 1/3, worldwide—most of its dominance is on the media sector; meanwhile live entertainment is evenly distributed internationally. After the US, China makes up the second largest market, followed by Japan, Germany, and the United Kingdom [4]. The music industry brings more than USD $18 billion a year into the market—this includes recordings and live performances. The physical distribution of recordings has dropped considerably; a large contrast to the live performance royalties, which are growing rapidly. Live music events alone are estimated to reach $25 billion in 2016.

The biggest issue that fans face today is the price-gauged and up charged tickets to all their favorite shows. Artists depend on third party investments to develop their careers; for the Producers, there is no platform out there to manage complex tasks systematically, in a clear-cut way.
• info@stagewood.com 15
Multiple resources are required to assemble an event; many significant financial risks are involved in the process. This also includes the secured investments that involve the payment to Artists, expenditures in facilities and services in the event of a cancellation, as well as reputation damages when Fans are not Ansatisfied.eventProducer’s main responsibility involves the coordination of all these events; they have to be able to deliver and rely on their reputation. For ticketed events, significant financial risks are taken on by producers when not enough ticket sales are generated in order to cover costs.
The “sharing”, “gig”, or “on-demand” economy—most recently labeled the “Uber-economy”—can be defined as a market that is geographically local and fragmented, with numerous services providers, combined with an unprecedented customer experience. The “Uber economy” of services basically describes a start-up enterprise that’s set on a technological platform, which lists several types of services that facilitate booking, and a standardized pricing model. [17]
Advances in technology have given consumers the chance to develop ever-changing, ever-growing relationships through social media platforms; and these types of relationships have allowed for these companies to expand and turn into massive, lucrative businesses.

Born as the backbone technology behind many revolutionary products, Blockchain is an innovative, decentralized record-keeping system that is poised to restructure the way in which people interact with one other. It is one of the latest, most intriguing, top-trending technologies on the market, and businesses everywhere are witnessing its expansion. Blockchain technology allows for the use of Smart Contracts, which are a collection of codes executed on the Blockchain, providing significant advantages over existing applications and frameworks of operation. This is precisely what the entertainment industry needs in order to solve the constellation of issues discussed before.

When our CEO and founder was a teen, he was faced with a tough choice to make about his future; either pursue his true passion for music, or follow a structured and planned path toward medicine. Having had no tools that could help him reach success as a musician, he put his dreams aside and went on to become highly-skilled and educated
Our History
Oneneurosurgeon.thingisforsure: the scenario he went through is far too common in the entertainment industry— inexperienced but dedicated artists lacking proper support and reputable avenues of exposure. It was through this experience that the motivation to develop a supportive network with clear pathways to promote up-and-coming artists was born. Several years ago, Santiago Figuereo and Jorge Monge envisioned a network of live art incubators with physical locations called StageWoods; where artists could expose their talents to the public, while being supported by a platform that helps them grow EMBRACES A COMMUNITY THAT IS: RELIABLE SMART FUN NURTURING EASY FAIR and connect with their fans. The logistics behind coordinating and managing Stagewood was complex in the beginning, its feasibility becoming a massive roadblock. Then, with the development and growing popularity of information technology, it helped turn the vision into a stronger reality.
The latest advancements in social media tech and communication have opened the doors for StageWood to create a platform that’s perfect for the enjoyment of fans, and the growth of artists and event producers. The use of innovative technology allows all payments to be secured, by utilizing our Smart Contracts, made to protect and benefit all parties involved. Event producers can scout for local artists through our app. With Smart Contracts, they’re able to hire an artist to perform at an event they’re producing— without the questionable interests of individuals and corporations. The motivation to create the StageWood community originates decades ago from personal experiences throughout life.

Smart Contracts are a users’ way of knowing that their investment is secure in case there are any last-minute cancellations, and it also protects them with proper damage retributions. In the event of refunds, if the purchase made in-app, they’re seamless and easy.
Introduction Media Platform
Tyket includes advanced technology that allows us to have Smart Contracts—another way to ensure that all of our users have secure, honest, and ethical transactions. This removes any unnecessary thirdparty fees, and eliminates fraud risks completely.
Our revolutionary mobile application, Tyket, allows for all of its users to purchase, engage, and crowdfund all in one place. The three core members of our community—the Fans, Artists, and Producers—can interact with one another, which helps producers find artists, and fans get to know their favorite performers.
Peer-to-peer (P2P) ticketing exchange is possible within our system. Instead of missing an event, users can exchange or transfer their unused tickets to other Fans within the platform.

TYKET FOR TALENTS
The Tyket platform will be an excellent resource of constant exposure that’s focused toward a market who’s in search of diverse talent. Producers can hire Artists for events under the use and protection of Smart Contracts; built on a Hyperledger platform that secures funds until all agreements are met.
Artists usually rely on their team and others to take control of their “advertising”. Mostly, they rely on word of mouth or social media reputation to boost their popularity and broadcast their availability to book shows, increasing their client database. The entertainment industry is already competitive enough as it is, and establishing a demand for a specific skill set is difficult.
Interacting with Fans increases the Artists’ engagement, setting off a crowdfunding suggestion to the Fans who engaged with the said artist. All this is possible through algorithms and AI technology.
Exchanging Wallet Funds into Fiat currency can be done anywhere in the world through listed exchange platforms, or through TykWood Exchange—which is accessed directly on the Tyket apArtistsplication.will
TALENT BENEFITS

At StageWood, we are dedicated to amassing local, talented artists who are passionate about music and/or the performing arts. Once they’re set and approved, the Talent gets access to a premium profile of their own, right on the Tyket app. Through the app, the artist will get a link that connects them directly to their fans so they can engage, update, and crowdfund events. Every talent will be given the opportunity to be a member of the StageWood Entertainment Foundation, who supervise the well-being of the community, and behavior of entertainers, producers, and associated parties. Being a premium talent opens the door to opportunities for crowdfunding events and discovery by professional producers, managers and marketers. The app stores any and all data in a ledger, where all the past performances of an Artist are up for the public to see. When Producers are looking to recruit Artists for their events, this data will help them with the process. This creates transparency between both parties, with Smart Contracts in place to protect and secure Privacypayment.isanyone’s main concern, and Tyket users can be assured that our platform will never register any personal information onto the publicly available, ensuring that the link between the Talent’s profiles and their key on the ledger can never be made available to a third party. State-of-theart proxy accounts and cryptographic techniques will be used to protect this sensitive information.
StageWood’s experienced and comprehensive recruiting team will administer an admission standard that all performers will have to meet in order to use our platform as a Premium Verified Talent. In order to be a registered Premium Artist or Talent within the platform, they must first be accepted, where a review of their skills and talents will be done (including shows, live interviews, etc.) as well as their social media presence.

By leaving reviews, Producers get the chance to win grant discounts for future Contracts.
Users—regardless of status—have complete freedom of choice when using the app. Crowdfunded events led by fans will present alternative projects for local event Producers, without the traditional financial risks.
Tyket gives Producers access to communicate with the StageWood Consortium, who may serve as a co-production partner, allowing for financing of accredited events/productions. Proven, responsible Producers may opt for partnership in productions, that will be structured on a VIP status—available only for Producers. Producers share the commission distribution of ticket resales.

Fans can pledge their support by using Smart Contracts, which will help alert local Artists and event Producers of the show’s demand, and by doing so, get rewarded with VIP experiences. The process is simple, secure, transparent and encrypted. Here’s how:
Funds on Smart Contracts are disbursed to the Artist’s account—or distributed along all involved parties—as stated on the terms of the Contract. Reviews are requested at this time from the Artist, Producer, and Fans; to build transparency. 73(786) 577-7111 • www.stagewood.com • info@stagewood.com
The Smart Contract is signed electronically by all parties, and linked to their accounts. Payment for the performance is posted, which can be accessed on the Smart Contract account within the Wallet.
Producer hires Artists and other service providers through Tyket. The Smart Contract gets created with all of the data collected through the app during the set-up process. Both the Artist and Producer will nominate an anonymous third-party verifier, found through StageWood’s local community. This verifier would most likely be a Fan that’s attending the event, who will be offered perks in order to be a verifier.
Once the event is over and the performance is completed, all three parties (the Artist, Producer, and independent verifier) confirm this in the app. In case of disagreements, an arbitration process rules out any disagreements, and a corporate arbitrator will assign the final resolution, as stated in the Smart Contract.

A network of physical StageWood locations will be built in major metropolitan areas around the world, and will be managed by the StageWood Corporation. Each facility will operate as an independent enterprise, either fully owned by the StageWood Corporation, or as a licensee or franchisee of the corporation. They will complement the StageWood community by providing physical, dedicated stages for Artists to display their talents. Working exclusively under Tyket platforms, these sites will provide year-round, continuous job opportunities for Artists and promote the development of rising stars in all forms of art expression; including, but not limited to, music, theater, visual, and culinary arts.

The interior of our StageWood locations will be modular so that it can accommodate retractable theater seating chair rows that will be hidden within the walls of the common area surrounding the stage. This allows tables and lounge sofas to be removed with ease, so that the whole common area can be converted into a large theater that plays concerts and musicals, accommodating more than 1,000 patrons. There will be a schedule of concerts and events around the normal routine operations of each StageWood location.
The StageWood sites will share a cohesive and uniform look, that will be identified by its layout. Initially, the inside of the space will follow the general recommendation of the following architectural drawings, but after building the first StageWood location, it may alter the lay out of the subsequent facilities.
The first StageWood location is projected to be headquartered in Miami, Florida. This colorful, vibrant city is growing exponentially, becoming the mecca for the performing arts, with popular and well-known Artists taking residence in the flavorful 305. (786) 577-7111 • www.stagewood.com •
Los Angeles and New York City will be targeted secondarily, as they’re the international capitals of the entertainment industry. After StageWood locations in these cities is developed, rapid expansion in other large metropolitan areas is expected in the United States. It is assumed that any metropolitan area with more than 1 million residents will be an appropriate market for a StageWood location. This means that more than 50 StageWood locations could be developed in the United States alone.
International growth should follow quickly, with countries like Canada, Mexico, Brazil, Colombia, Argentina, Chile, Spain, England, France, Germany, Italy, Russia, China, and India being potentially considered, as the local interest and reception of MyN3 applications grows. Other artistic and economical contemplations may bring a market into consideration.
MICROTHEATER Lobby STAGEWOOD CONSORTIUM, INC - BUSINESS PLAN78
EACH FACILITY WILL INCLUDE THE FOLLOWING SERVICES:
A collection of scripts will be kept by the Consortium and accessed by the StageWood Corporation to coordinate which plays to include in each season. Writer fees will continue to be automatically assigned to the original creators, promoting perpetual income from their collaborations.
The selection of plays that will run in our microtheaters will be selected by a network of voluntary contributors who will review the electronic submissions for short play scripts. A classification made by rankings will determine which plays are selected for presentation at a particular season on all StageWood locations. Writers submitting plays will be reimbursed directly to their personal Wallets, using a Smart Contract that will automatically transfer a commission percentage of each ticket sold for their plays, regardless of the location of the play. Novel scripts will be contracted through licensing rights, carried out by the StageWood Consortium, who will have exclusive release on the use of the scripts.
The plays will be produced and coordinated by local directors, who will cast local Artists to perform the pieces. Prominent and established Artists will also be contracted for the chance to tour at StageWood locations, and participating in plays on a sponsored basis. Young artist development in acting, comedy, and other performances will be promoted and nurtured, so that StageWood will become a breeding ground of new talent. Representation by the StageWood Consortium will be offered to promising Artists who choose to move forward into larger productions.

We’ve begun the process of leasing private suites in sporting venues and theaters in the metropolitan area of Miami. These agreements include the details of securing seats for events at those venues that will be available to our Fanatyks immediately after Tyket’s launch. Our intension is to double the size of our ticket inventory, in order to have a wider selection for our Fans. Forty percent (40%) of the funds raised during our Reg A offering will be used to purchase leases on other venues and to acquire bulk discounted tickets to most major events. Our goal is to have at least one private suite available to our fans in every sport and entertainment venue in the US, when available, by the end of 2022.
TYKET
Coordination of StageWood events (produced for large audiences) is currently in process. The first events fully managed by Stagewood Events, Inc will be announced at the same time of launching Tyket Beta release. Ticket sales for these events are expected to be available by winter 2021; while the actual performances of our produced events will occur in early 2022. A search for one (or several) original branding artists to perform at these events is already underway, with several candidates already in negotiations. Once identified and coordinated under the platform, the initial series of concerts with these artists will trigger the marketing and launch of the StageWood landmark events. VIP access to these events will be coordinated for our most involved followers and supporters and the organization of events under Stagewood production will continue to growth as our Tyket membership grows. 7% of the funds raised during our Reg Acampaign will be used to coordinate and organize more live events under the Stagewood Events management.
Tyket and its support services are expected to be widely-available and promoted in most major cities worldwide within 2 years of closing the Reg A Sale.
TYKBROKER CORPORATION AND FANATYKS
The app is in the final review stages of development. With much internal testing occurring, we expect to launch the Tyket’s beta test in the fall of 2021. After receiving the feedback and adjusting our platform based on the reviews and suggestions, a stable release will be available in early 2022.
Accelerated development and marketing of the Tyket application’s components will be supported by 12.5% of the funds raised. This will include the development of the Tyklash application for talent competitions, as well as the TykFund, TykChase, and Tykle components of Tyket.
STAGEWOOD EVENTS
STAGEWOOD CONSORTIUM, INC - BUSINESS PLAN96
Reputation records for Artists will be created as event transactions are completed and reviews are received. These records will help create a profile for each Artist within the application that will be recorded using an identity platform on the Stagewood Consortia. This identity platform will also support our KYC requirements for users and investors. The platform is currently in development and will be launched in TykFrame after appropriate testing. It is expected to be ready by the end of 2022.

We are planing to work with the Accord Project a non-profit, collaborative, initiative developing an ecosystem and open source tools to create our smart contracts engine and templates. The Accord Project is an international effort working on to convert traditional legal documentation into programming language that executes its intended logic independently of the manipulation of the signers. These agreements will allow us to automatically manage very complex transactions from assigning tickets to the rightful fan based on their status in the application to creating agreements between talents and producers for events execution.
TYKWOOD AND TYKFRAME Since startup, the development of the Tyket application and complete organization of the company is planned to integrate with the StageWood Consortium Hyperledger Fabric platform that will provide a fully decentralized, permission based service that’s managed and operated by the Stagewood Consortium. Stagewood Consortia Hyperledger Fabric platform, TykFrame, is been conceptualized and its design has gone through several iterations already. Smart contracts will be developed and tested within the TykFrame. A production platform is expected to launch at least a year after the Tyket Beta release. We are working diligently in creating a script process to allow corporate partners and authorized individuals to easily create a node and become a member of the Stagewood Consortia. While candidate members with expertise in software development will be able to sign in, the process is cumbersome for those without programing expertise in this area. We will either assist them or provide guidance into how to obtain appropriate support for engagement in the meantime. However, it is our goal to create a script process that will significantly simplify members joining the consortia. This process is currently in discussion but will require development for a release not expected until as early as the end of 2022.

STAGEWOODS
The experience obtained during this trial convinced us of the need to develop our own internal platform which should allow us to save on crowdfunding fees, maintain better control of our investors and followers and better manage the rewards. We will be supplementing our Stagewood Events with Crowdfunding campaigns as we test our Tykfund platform, before making it available to the public in general. We expect to have a fully functional platform for general public use in 2022. Crowfunding campaigns will use smart contracts on the TykFrame for execution. Funds from our Reg A offering will support the continuous improvements of our TykFrame, marketing and recruitment for Stagewood Consortia, smart contract template creation, identity platform and Tykfund engine. 7% of the raised funds will be dedicated to these efforts through investments in our TykWood, Inc. subsidiary.
TykFund crowdfunding platform has been under conceptualization and design. We have tested the crowdfunding concept on the popular Indiegogo platform, were we raised funds for a tentative event. This was done as a trial test, raising US$24,500 over a test week before we halted the test.
The first StageWood venue will be built in the city of Miami, Florida—a vibrant, colorful city, with a growing number of Latin Artists and Talents. The focus of our search for properties will be in Wynwood, a trendy and artistic community within Miami; it’s just a few blocks south of Little Haiti, and a short walk down from the Design District. Several opportunities exist within this area, creating great potential to host our headquarters, and very first Stagewood Talent Incubator. 35% of the raised funds of our Reg A will be utilized to purchase the site and build this landmark facility. Once we reach a target of USD $15 Million raised on our Reg A, the process of settling this acquisition and development will start. Higher targets will trigger the search and development of Stagewood in other cities within the United States.

Stagewood Consortium, Inc.’s conceptualization and development is funded through its founders’ initial contributions, and a seed round of funding also completed by investments from our current members. Additional Funds are been raised in a third investment round through a Tier 2 Regulation A offering of 15,000,000 common Shares. We expect at least a minimum raise of USD $1 million, while SEC (Security Exchange Commission) regulations limits our maximum raise using this process to USD $75 million.
Upon closure of the StageWood Consortium, Inc. Reg A offering, the funds raised will be distributed to proceed with planned developments under its related entities. If all the available preferred shares for sale were to be sold at its minimum price of USD $5.00 per share, the foundation would be receiving a maximum raise of USD $75,000,000.
A successful Reg A Sale will trigger the acceleration of development plans for the StageWood Consortium platform deployment, marketing, ticket inventory growth, and Stagewood locations built out in targeted metropolitan markets. All of StageWood’s physical locations will be identified, and upon property acquisition, development will be expedited. Major artists will be recruited for initial promotional concert tours.

The way we market has changed drastically over the years had forged a new mode of communication with our consumers, and that’s digital media. More and more, we are seeing the increase of mobile users, most of whom download applications to interact with friends or google a recipe. Having that knowledge, our virtual marketing strategy will lead our efforts in distributing awareness about our platform while engaging consumers to download the app. Efforts will include, but are not limited to website promotions, social media campaigns, blog pages, and regular posts. Our users will get Loyalty Tokens for friends they refer to the app; this alone will bring in a good amount of organic growth. Sponsored events, conferences, board meetings will be another one of our significant efforts in generating growth for the platform. Some campaigns will utilize traditional press (radio, TV) in later stages of the community.

STAGEWOOD CONSORTIUM, INC - BUSINESS PLAN116
The revenue management of each StageWood location is designed as a franchisee venue, where the StageWood Corporation is the franchisor and the supportive counselor. Network supported services will be provided by the Corporation while local management will coordinate local operations. It is expected that many of the initial StageWood locations will be directly and fully owned by the corporation, while the franchise granting option will be kept open for rapid exponential growth.
Franchise revenue may change, but will follow a model, including: • Initial capital contribution upon development. • Diamond Elite Membership campaigns, used to recruit members to the local StageWood private club. • Franchise origination fee. • Smart Contract commission fees (3%). • Continuous franchise royalty fees. • StageWood investment debt amortization and interest. 786-577-7111 • www.stagewood.com • info@stagewood.com 117

COMPETITIVE ADVANTAGES
• StageWood’s efforts to outdo its direct competitors include eliminating unnecessary intermediaries and abusive scalpers. Pioneering a business model that stimulates producers to engage in the creation of events, with vast variety of available artists, without any control or influence over the pricing model. The StageWood community will benefit from all revenues directly, as our innovative ticket resale platform will bring back valuation gains to the performers and producers, keeping abusive manipulators out of the system.
• With no competitor using a Hyperledger platform, or Smart Contracts for entertainment events management, StageWood will lead the way, providing unparalleled security in transactions, and eliminating the reliance on individual trust. Performers will be reviewed by producers, creating a verification forum that’s currently unavailable. StageWood will become a commoditized services platform in a commoditized services industry, focused on matching artists, producers, and fans in a seamless community.
• As a community dedicated to the development of artists, all resources will be available so that individuals can utilize the virtual and physical locations to showcase their talents, improve, and gather feedback on their performances. The virtual platform will offer promising artists widespread support from management, legal, accounting, and marketing resources—all of which are not available to young, unknown talents.
• StageWood will also support social development and strive for the well-being and security of its entertainment membership, providing long term support alternatives for performers in the shape of retirement plans, health care plans, and others.
• Gathered on a common platform, fan, artist and producer preferences will be registered, and the StageWood platforms will use matching algorithms to connect them all. For example, in the case of alerting fans of potential interesting events. We will consistently monitor the quality of the matches in order to secure maximum customer satisfaction.

• Proud, happy, and satisfied members will make StageWood a community that delivers amazing entertainment and fun. (786) 577-7111 • www.stagewood.com • info@stagewood.com
