ASA Board Meeting Minutes February 5, 2015 NCBA, Marriott Hotel, San Antonio, Texas Present: Mike Bennett, President, Jim Freed, Ed Kruse, Robert Alden, Rick Leone, Tom Turner, Marty Loving, Nancy Grathwohl Heter, and Montie Soules. Mark Gordon, Vice President was on conference phone and Jake Alden was in attendance for Show, DNA and Type Conference discussions and for the GeneSeek presentation by Ryan Ruppert. Called to Order at 9:45 a.m. by President, Mike Bennett. Key Performance Indicators (KPIs) were reviewed. Minutes from the January 16, 2015 board meeting were approved. No Financial report was available because of the early date in the month of the meeting. New Cash flow reports were reviewed. Reports were given on Digital Beef, new registry in progress, Encore Vison progress on the website, Impact 2015 Type conference update, WHR Restructure Committee concerning AI and ET certificates. Gary and Kathy Buchholz have a semen tank containing embryos and semen from a number of herd sires and donors. They are going to donate the tank and its contents to be used for sponsorship of the Junior National. The Board approved that all proceeds from the Buchholz donation will go for sponsorship of the Junior National. Ryan Ruppert answered questions concerning issues with GeneSeek. Ryan explained the processes of DNA testing at the lab and GeneSeek policies. Ryan and the Board agreed that GeneSeek would put a letter in the Shorthorn Country explaining these issues to the membership. Ryan indicated that GeneSeek is now performing a second test to confirm carriers for Genetic Conditions. This time was important for GeneSeek to understand the importance of the issues the ASA has been experiencing. The Board approved that there will be no costs to breeders for retesting DNA samples.

10

The Board discussed the need for AI and ET certificates when the new registry system is in place. The Board approved to discontinue issuing ET certificates. The $5 ET certificate fee will be added to the ET registration fee. This motion also approved donor cows on WHR inventories that are paid in full, to have credit to register 1(one) natural calf given to the first ET calf registered from said Donor cow. The additional ET fees will still be due on said calf. If Donor has a natural calf born later in same year of WHR inventory, the first ET calf will be charged full value less ET fees and natural calf will be registered free for WHR fees. The motion also included discontinuing AI certificates at the option of the AI sires owners. If the AI sire’s owner decides to make a bull a noncertificate bull, the bull may never be re-designated as a certificate bull. Owners that decide to continue using AI certificates may do so; the fee for AI certificates to be issued by ASA to AI sires’ owners will be $20. There will be no additional fees to register an AI calf. These rulings will go into effect June 1, 2015 or when the new registry from Digital Beef goes live at ASA. ASA staff is to inform members of this change in the March Shorthorn Country. The Board approved to employ a moderator and hold the ASA Annual Meeting in conjunction with Impact 2015 (Type Conference) in early December 2015 somewhere in the central part of the US for best access of ASA members. It was approved to weigh all animals (heifers and bulls) at the Junior National, Louisville and Denver. The Board suggested a random hip height measurement be taken for reference at the Junior National that might be disclosed and used at Impact 2015. The Board approved to include the Cow/calf classes (with naturel calf ) as a division champion to compete for Grand Champion Female at Junior National, Regional Shows and Nationals shows. One vote against. The Board approved DNA samples be taken to verify parentage on all division and reserve division champions, and a blood sample be taken on any female that is a division

or reserve division that is over 20 months of age and does not have a calf at side to verify pregnancy, according to the show rules at the Junior National and the 2 National shows at NAILE and NWSS. Original registration papers should not be required for check in after the new registry is in place and tattoos will not be checked at the above mentioned shows. Exhibitors are still responsible to bring information to check in area to find entry and receive their entry number to wear in the show ring. One vote against. Comments from members and breeders were presented regarding issues with the lack of participation and openness of the Show Committee. The perception of breeders is they were not included when it came to judge selections. The Board instructed staff to contact Show Committee and inform them of rule changes and bring in a bigger committee member base. The Board Approved Jim Freed, Gwen Crawford and Montie Soules to meet and identify the role of a Junior Committee. The Board approved the By-Law changes presented by the By-Laws Election Committee, for redistricting districts, electing delegates and ASA Board members. See attached for details. (This motion approval was rescinded in the June ASA Board meeting. (Later rescinded: the membership will be voting on this at the annual meeting) The board agreed to have the By-Laws Election Committee continue to function as the By-Laws Committee to review and make recommendations to the Board in regard to updating the current ASA By-Laws. Montie will contact legal for a ruling on changing the power of the Executive Committee. Discussion and update on selling the ASA building. The Board approved the use of ASA funds for an audit of the Shorthorn Foundation. Montie gave a staff report. The Board went into Executive session Meeting adjourned 5:00 p.m.

The first three Heifer Calves sired by BOLD to be offered by Cagwin Farms at public auction. It has been impressive to watch these three develop into elite young females. All three come from great cow families and will surely be the type and kind that will compete in the show ring. More importantly, they will be a great addition to any breeding program as mature cows of donor quality.

WHR (Whole Herd Reporting) Restructure Rules and Fee Changes A committee of three ASA members (2 WHR and 1 TOC) and three Board of Directors was formed last fall to look at restructuring the WHR program. This group met a number of times, compared ASA to other breeds structures and fees, looked into needed revenue related to changes, and worked at streamlining the price sheet for ASA. This group spent many hours reviewing many possible options. They felt it important to try and service both WHR and TOC at the present time, while understanding the need for more performance data. They felt it was important to give discounts to members that paid promptly; additionally they saw the importance of getting the magazine to every member for more communication between ASA and its membership. The Shorthorn breed is now on the cutting edge of technology for herd management and multiple other options available through the new registry that went live July 1. The need to purchase an outside herd management system no longer exists as we have made sure to have it included with your membership. You can now manage your cow herd within the registry which means entering data only once, therefore making registrations and transfers much easier to complete without having to rely on information from paper notes or other software systems. Inputting performance weights as a group can be done all at once. No more entering them one at a time. The ease of putting in any activity has become more efficient through the new registry. Yes, this has an expense but, the ASA Board felt the advantages to its membership and breeders across the breed made it worth the added costs. Many other breeds are moving to the Digital Beef registry system and it’s nice to be on the forefront of this movement. WHR (Whole Herd Reporting) Restructure Rules and Fee Changes 1. Beginning September 1, 2015 WHR will be the only type of memberships available for new members. 2. TOC memberships will be grandfathered in and can stay a TOC type member/breeder after September 1, 2015. To maintain the TOC member/breeder status their membership cannot lapse or become a member not in good standing. TOC grandfathered memberships are not transferable. If a TOC member/breeder loses membership status as a TOC member/breeder they must rejoin ASA as a WHR member/breeder or in the future after January 1, 2016 as a WHR Breeder. 3. All memberships starting January 1, 2016 will be at the same fee regardless of breeder type.(WHR / TOC) Annual ASA Membership Fee January 1, 2016 (membership includes subscription to Shorthorn Country magazine)….. $100 1. One membership fee for all members regardless of breeder status WHR Breeder or TOC Breeder as of January 1, 2016. (WHR member and TOC member will be referenced as WHR breeder and TOC Breeder.) a. All paid members will receive a 1 year subscription to the Shorthorn Country Magazine included with annual membership fee. (Out of the US subscriptions will need to pay additional postage.) b. Annual membership has access to new Digital Beef Registry with built-in herd management software to manage cow herd, breeding dates, birth activity, BW, WW, YW, DNA, ET activity, semen inventory, embryo inventory that will enhance and streamline management of your herd. c. Annual membership is for the calendar year January 1 to December 31 of each year. d. Annual membership will be billed in January of each year and is due on or before February 28. (TOC Breeders must not let membership lapse or will be required to become a WHR Breeder.) e. As of January 1, 2016 you must be a member to register an animal at ASA. f. No registration privileges will be granted until membership is paid each calendar year. WHR (Whole Herd Reporting) Breeder Rules and Fees as of January 1, 2016 1. WHR Breeders receive EPDs on all qualified animals. WHR is a program for performance data to be turned in on every cow’s calf in the breeder’s inventory for EPDs to have full value of performance data. WHR Breeders are enrolling the cow for activity on said calf born in the calendar year the assessment fee is paid. The assessment fees also include the processing of performance data, ultra sound data, carcass data and genomic data. 2. Inventories will be available online or mailed upon request to WHR Breeders November 1st each year. The breeder will update their inventory and submit online or mail in to ASA. Inventories paid in full by December 31 before the calendar year the assessment is due will receive a 20% discount, per assessed female. Inventory and full payment is due before March 1 of calendar year in which the WHR assessment is due. a. The WHR Breeder has to turn in their inventory before the invoice for the total herd assessment is created at ASA. 3. The Inventory the WHR Breeder turned into ASA for invoicing should include all females that are due to calve during the calendar year in which the assessment is paid.

18

shorthorn country = september 2015

a. The Inventory the WHR Breeder receives November 1 from the ASA will include all females that turn 21 months of age in calendar year the assessment is due. (Breeders have option to remove young first time females from inventory if they will not calve in assessment year see “3b” below.) b. Any young female that will not calve in the calendar year and the WHR Breeder marks as “too young to breed” will not be charged an assessment fee for that year, it will remain active and can be added the next year with no penalty. c. A reactivation enrollment fee will be charged for females removed from an inventory and are needed to be re-enrolled in a breeder’s inventory. Example: (assessment fee paid in 2013 not paid in 2014 and re-enrolled in 2015 would be charged a fee of $50.00) 4. The resulting calf from an enrolled female in WHR is allowed to be registered for free if the registration is completed before the calf is 12 months old. 5. Donor cows that are enrolled on a WHR inventory will be given either a free registration on their natural calf or ½ price of a regular registration fee on an ET calf, whichever is recorded first in the calendar year. After that any natural calf will get ½ price of a regular registration fee and all regular registrations fees will apply to any ET calf. 6. Registered Shorthorn and ShorthornPlus cows that are used as recipients that are enrolled in a WHR inventory will be given either a free registration on their natural calf or ½ price of a regular registration fee on an ET calf. 7. The resulting natural calf from a WHR enrolled female will get one free transfer if transfer is completed within 60 days from date of sale. 8. Females enrolled in WHR receive one free transfer for her, if transfer is completed within 60 days from date of sale. 9. WHR Breeders receive waived Herd Book acceptance fees. 10. WHR Breeders receive website link free under Breeders link on ASA website. 11. WHR Breeders receive waived initial entry fees. (Commercial and/or foundation animals registered with another breed). 12. WHR Breeders receive waived multiple transfer fees completed less than 60 days from date of sale. 13. The assessment fee is attached to the female for the calendar year; therefore cows that have had their assessment paid by a WHR breeder and sold to another WHR breeder will be part of the purchaser’s WHR inventory. (Breeders should note when a cow is transferred and or calf registered the waived fees for that female may have been used previously to entering the purchasers inventory.) 14. WHR breeders can add a purchased animal (from TOC Breeder) to their WHR inventory for the same per cow assessment fee they initially paid on their WHR inventory for that calendar year. WHR Assessment Fee Schedule Beginning 2016 1. Assessment fee for each qualifying female in inventory paid in full by December 31 before calendar year the assessment is due (20% discount)................................................................................................................................$16.00 2. KEY

conference

Juniors Unlock Potential at Key Conference in Sioux Falls, South Dakota by Will Moore The annual Key Conference was held in Sioux Falls, South Dakota and drew young Shorthorn enthusiast from six different states. The two day conference gave the juniors the opportunity to learn about different facets of the industry, meet new people and reconnect with old friends, as well as have some fun along the way. A total of 24 people were in attendance at this year’s Leadership Conference. Most of the participants arrived in Sioux Falls on Thursday evening and on Friday morning the conference hit the ground running when participants loaded the vans to head to Brookings, South Dakota. The group started their day at South Dakota State University in the livestock arena, where past and present South Dakota state FFA officers conducted ice breakers and leadership workshops where participants got to know one another better and learned more about leadership. Next, the group headed to the SDSU meat lab to have a lesson in preparing meat from a professional. Each group was challenged to cook a beef steak, a chicken breast, and a pork bratwurst. During this workshop participants got to sample what they made, and make their own dry-rub or marinade of their choice. Our participants had a lot of fun and came up with some interesting flavours along the way. The next stop for the day was Trans-Ova headquarters in Iowa. The group enjoyed a tour of

the facilities and had the chance to ask questions about the operation. After the Trans-Ova tour was completed the group loaded the van for Schrag Shorthorns in Marion, South Dakota. At Schrags, the group had a quick lesson and livestock judging contest facilitated by Joshua Cribbs, Livestock Judging Coach at South Dakota State University. After working hard during the livestock judging contest, the kids enjoyed a beautiful evening of music, great food, games and great hospitality from the Schrag Family. After of a long day of travelling and action-packed activities, the group headed back to Sioux Falls. On Saturday the group started the day at Sanford and toured SABIO Therapeutics. While on this tour the group enjoyed making DNA in test tubes and learned about cloning and the benefits that cloning livestock can have in the human health industry. Upon completion of that tour, juniors enjoyed some time at Falls Park in Sioux Falls. Then the group enjoyed several activities and lunch at Falls Park. The rest of the afternoon was filled with fun at Wild Water West Water Park and completed by a miniature golf tournament, where the competitivenesss of the group was at the forefront. Upon arrival back to the hotel, the group reflected on the conference and had some more team building and leadership activities. =
