AFFILIATE AGREEMENT This agreement is designed with you in mind, as well as to protect Tales of a Peanut, Inc and its customers.

AFFILIATE REGISTRATION To register as an affiliate you must first fill out the application. I and my team review and moderate all affiliate registrations, and we appreciate your accurate and honest information. If you’re approved, welcome! You may check out your private Affiliate Area for visit and referral information as well as more information. PURPOSE OF AFFILIATES I’m excited that you will be an affiliate for Mama’s Black Book. This agreement is meant to help you market Mama’s Black Book because I want you to be as successful as possible. It’s your involvement and experience with the magazine that makes your referral to the magazine so attractive. Your audience will have some kind of proof that it works and you will be their resource if they need help. By reaching out to your audience through emails, social media, and your website, you will be able to share Mama’s Black Book to increase its reach and, consequently, your own. Here’s how it will work: 1. Use email, social media, and blogging to promote Mama’s Black Book. Encourage sign ups for a shop listing or shop feature. 2. You can offer something unique to give people an incentive to use your personal affiliate code. Anyone who uses your affiliate code will be considered a referral from you. 3. Commission rates are listed below and are subject to change at any time. AFFILIATE RELATIONSHIP You are an independent contractor and nothing in this agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Mama’s Black Book or Tales of a Peanut, Inc. You have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on their sites or otherwise, that reasonably would contradict this statement. As independent contractors of Mama’s Black Book and Tales of a Peanut, Inc., the sole responsibility for payment of taxes and reporting of income resides with you and not Tales of a Peanut, Inc. © 2016 | Tales of a Peanut, Inc.

COMMISSIONS AND PAYOUTS You’ll earn a commission based on the purchase price of a product when purchased from talesofapeanut.com using your referral link. Here’s a breakdown of earnings by each product sold: » Mama’s Black Book Shop Listings - 20% - for a $75 listing you earn $15 » Mama’s Black Book Shop Features - 20% - for a $150 feature you earn $30 » Mama’s Black Book Magazine - 10% - for a $4.50 printed magazine you earn $0.45 » Gift Guide Submissions - 20% - for a $25 submission you earn $5 Affiliate commissions are paid in USD via mailed checks in the first week of every month. Commissions will be paid on transactions that occurred in the previous month. The minimum payout balance is $15.00, so you will not receive a check until your commissions total reaches that amount. Payment checks will be sent to the address provided to me when you joined the program. If the address changes, it is your responsibility to notify me to ensure proper commission payments. I will not resend payments returned due to incorrect payment addresses. Referrals are not allowed to be generated on your own purchases (this includes using a different email address). Commission percentages will not include percentages calculated from the tax or shipping of a purchase. Nor will they include percentages from products not listed in this agreement. For a sale to generate a commission to an affiliate, the customer must complete the order form and remit full payment for the product ordered through the secure order system. Word of mouth referrals will not result in an affiliate commission being generated. Commissions will only be paid on sales that are made with the customer clicks through qualified, correctly structured affiliate links. Properly coded links are the sole responsibility of the affiliate. REFERRAL COOKIE LIFETIME When a potential customer clicks on your referral link, a cookie is stored in their browser to track your referral. The cookie is then stored for 15 days to give your referred customers time to decide if they wish to purchase a product, or ask any pre-sale questions they may have. A referral won’t be awarded if: 1. The customer uses a different browser to purchase than the one they originally used to visit our site (because the cookie does not exist in that browser). 2. The customer purchases after 15 days (because the cookie will expire).

REFUNDED AND REJECTED COMMISSIONS I reserve the right to reject affiliate commissions for any reason. Commission rejections may occur for the following reasons: 1. The sale that the referral was based on was refunded. 2. The method by which the referral was generated was in violation of our promotional policies (see below) or violated the spirit of the Affiliate Agreement. AFFILIATE NEWS AND UPDATES By becoming an affiliate you agree to receive emails from Jenn Elwell. These emails will include those sent to affiliates only, on an ad-hoc basis, and may include important information regarding the affiliate program. These emails will also provide you with relevant news and updates to help you effectively promote Mama’s Black Book. As an affiliate you may be privy to time-sensitive information in these emails. I won’t spam you, ever - I promise!

AFFILIATE PROGRAM POLICIES ACCEPTABLE AND RECOMMENDED PROMOTIONAL METHODS How you promote Mama’s Black Book is reflected in the commission you earn! I encourage you to use promotional methods that add value to Mama’s Black Book and bring legitimate, loyal customers. Here are a few examples of awesome promotional methods to earn more commission: » Tell clients, customers, or friends about Mama’s Black Book, and give them your affiliate referral link » Write a blog post about online advertising or affiliate marketing and link to the site with your referral link » Reach out to your social media audience. Tweet about it on Twitter with your affiliate referral link, post about it on your Facebook page, group (where allowed), or personal page with your affiliate link, share an image on Instagram with your affiliate link in your profile, and pin images to Pinterest about the magazine with your affiliate link [your caption must disclose the affiliate link]. Spam-free promotion is a great way to get more referrals! » Send a dedicated email blast to your email list about Mama’s Black Book and the value you see in it » Use Facebook Live to reach more of your audience and make a personal connection » Include a banner with information on the sidebar or footer of your website » Write a blog post about the magazine and share with your followers » Share in groups with other business owners (when allowed) » Provide value to others by answering related questions on other sites with helpful responses, and using your referral link in your replies. » Create an incentive or promotion that you provide to encourage your followers to purchase using your referral link

PROHIBITED PROMOTIONAL METHODS I love and back Mama’s Black Book 100%, and I am very careful with how it’s promoted, so I want affiliates who are 100% behind it too! The prohibited promotional methods listed below aren’t meant to scare you off - they’re here to protect you, and me, and our customers from any fraudulent activity, which is something I take pretty seriously. I know you’ll understand. But here they are in writing just in case you’re not totally sure what is and what isn’t allowed. » Mama’s Black Book may not be promoted on coupon sites. Customers who are searching for a coupon are already in the market for Mama’s Black Book, so this method adds no value to Mama’s Black Book. » Any type of spam is prohibited. Links, ads, emails, comments, etc, any type of spam. Please respect the posting rules of any 3rdparty websites you use to promote Mama’s Black Book. This is not an exhaustive list of spam methods; if I decide that your activity is spam, it’s spam. » Any illegal activity or activity deemed offensive by me is prohibited. This may result in referrals being rejected and/or your affiliate account being deactivated. » Please don’t pretend to be professionally associated with Mama’s Black Book other than as an affiliate Affiliates aren’t employees of Mama’s Black Book or Tales of a Peanut, Inc. and have no employee rights. » Pretending to actually be Mama’s Black Book is 100% prohibited Cloning the site, copying the site, using the copyrighted site assets, and pretending that a site created by you is an official Mama’s Black Book or Tales of a Peanut, Inc. site is unethical and prohibited (this includes services that automatically clone websites, or place them into iframes). » Again, false promotion to customers that you are endorsed or operated by Mama’s Black Book or Tales of a Peanut, Inc. is prohibited. If you’re unsure or concerned that some activity you’re about to proceed with may be considered prohibited, please ask me. You can email me at jenn@jennelwell.com. CONSEQUENCES OF DISALLOWED PROMOTIONAL METHODS If your promotional methods step outside of these terms, your referrals may be rejected and I may disable your affiliate account. I reserve the right to do this and may or may not notify you in the instance that this occurs. Please use allowed promotional methods, and help me to help you succeed as an affiliate! DISCLOSURES AND LEGAL INFORMATION Your relationship with Mama’s Black Book must be disclosed as regulated by the Federal Trade Commission (FTC). It can be as simple as a short sentence at the beginning of your post. Some examples of appropriate disclosures are below. Please note that the FTC specifies that disclosures that aren’t made until the end of your post when you’ve inserted affiliate or sponsored links in the content may be construed as misleading. MORE ABOUT THE MAGAZINE AND PROMOTIONAL MATERIALS Mama’s Black Book will be published four times a year in the first full week Monday of November, February, May, and August. It will be available for free online at mamasblackbook.com and a printed copy will be mailed out for a fee. Submissions for shop listings and shop features will open for the next magazine during the second week of December, April, July, and September and will be open for three weeks. You can find more information from the Mama’s Black Book website and are welcome to pull any copy from the website. Additionally, images and suggested copy are available on Dropbox. MORE ABOUT THE ADVERTISER TARGET AUDIENCE Female business owners who - have started their own small business, are independent distributors for a woman-centered brand, or have a product that they wish to publicize such as a book or blog. - are working full-time or part-time on their business and want to grow. - have businesses that cater to women and, specifically, mothers. - sell quality products in a honest and upright manner. - enjoy connecting with other business owners and cross-promoting each other. - are action-oriented and self-motivated with a desire for personal and business growth, community engagement, increased knowledge for their personal and business lives, and encouragement in their daily lives. FINAL ACCEPTANCE OF AFFILIATE AGREEMENT By accepting these terms and conditions you are providing your nonlegal agreement to abide by them. By registering and being approved as an affiliate in our affiliate program you agree that your commissions are subject to approval before they are accepted and subsequently paid. The affiliate relationship does not represent a professional or formal agreement, and as an affiliate you are not an employee of Tales of a Peanut, Inc. You agree that this is not a legally binding relationship and as a result you may not take legal action against Tales of a Peanut, Inc.
