Tennessee Voices Op-ed By Bob Freudenthal, Executive Director If there ever was an opportunity to prove the theory that “no good deed goes unpunished,” The Tennessean has proved it over the last couple of months with its coverage of utility districts in general, and our statewide organization, the Tennessee Association of Utility Districts. It started with a feature in December, “Utility districts may overpay for bond deals,” and most recently manifested itself in a February 9 front page editorial disguised as a news story, “City lawyers wage war over rural water.” The Tennessean cites an unidentified and unquantified “growing number of critics” who allegedly say the state’s 180 rural utility districts “operate largely without any oversight or scrutiny.” Both assertions are subject to challenge. There is oversight and scrutiny not only from each utility district’s board of commissioners and their outside auditors, but from the state Comptroller’s office as well as the Utility Management Review Board. The real issue for The Tennessean is the fact that it editorially favors the popular election of utility district commissioners (equivalent to a board of directors), as opposed to the widely used method under current law in which county executives appoint members to the boards. And The Tennessean is using up a lot of newsprint and ink to attempt to influence legislation toward its point of view. Which, of course, is its absolute right under the First Amendment, so we wonder why it just doesn’t come out and say so rather than asserting imagined failings of our organization. Certainly, TAUD is not perfect. But neither does it deserve the treatment it has received. In the December story, which rambled on for more than 2,000 words, reporter Nate Rau made much of the fact that a TAUD affiliate earned fees as financial adviser to utilities seeking to finance or refinance bonds, and

negotiated with the underwriter rather than conducting a competitive process for every transaction. The Tennessean cited an obscure study which asserted that competitive sales bring lower interest rates. Lower interest rates, of course, would mean less money out of ratepayers’ pockets to pay back the bonds. Ignored was the fact The Tennessean’s own chart showed that more than half of all municipal bond deals nationally in 2011 were negotiated as opposed to being competitive. Obviously, others out there besides TAUD believe negotiation is an appropriate way to do business. Even more compelling are the actual results from all municipal bond transactions throughout the U.S. during 2012—figures which show that the cost of issuance in negotiated sales ($5.76 per $1,000 of debt) was actually less than that of competitive offers ($6.37 per $1,000 of debt). So much for the theory that competition always brings the lowest cost to ratepayers. One final point. Fair reporting by The Tennessean might have acknowledged this important fact: water and wastewater customers served by members of the TAUD are saving nearly $20,000,000 in interest costs through project refinancings arranged through TAUD and its affiliates. The actual number is $19,773,771. That’s real money being saved by ratepayers, not the shaky assertions of a political agenda.

2013 NRWA Rally - WE ARE WATER - Recap By Beth Hardiman, Meetings/Membership The National Rural Water Association (NRWA) held their Rural Water Rally at the Hyatt Regency Washington, February 11-13. Bruce Giles of First Utility District of Knox County, Phillip Combs of Alpha Talbott Utility District, Chuck Page of American Development Corporation, Michael Payne of Maynardville Utility District and Bob Freudenthal, TAUD Executive Director represented TAUD as Rally delegates. Maynardville Utility District participated in the Great American Taste Test as the 2012 Best Tasting Water winner. The winner of the 2013 Great American Taste Test was the Village of Prairie du Sac in Wisconsin.

TAUD delegates met with their respective congressmen on support for rural water funding. Seven of TAUDâ&#x20AC;&#x2122;s field staff positions are supported by EPA and USDA grants. We continue to compete with other agencies for this funding and many in Washington do not understand the importance of circuit rider type positions and how they assist utilities on a daily basis. Many of you have signed a petition at a conference or region meeting in support of rural water funding and by signing that petition you are providing a voice for our field staff. How You Can Help TAUD strongly believes our Association must partner with utilities to continue to produce safe and clean drinking water. TAUD is unique from other agencies that

don’t have skilled and knowledgeable certified operators as circuit riders ready to assist them whenever they are needed. We appreciate your support and ask for your continued support as the outlook for federal spending looks bleak as congress hasn’t passed a budget. Salary surveys are an extremely powerful compensation and benefit benchmarking tool. They are important for allocating compensation strategies and for following and monitoring the desired pay market. The average years of service should be calculated and reported for the highest paid employee only. This is not an average for all of the employees in a single position.

We have had the same employee in the same position since 1983. What should be reported for the “Lowest Paid Amount”? If an employee has been working for 30 years and has been the only person in that position, please do not report their wage in 1983 as the lowest paid amount. 2013 TAUD’s Legislative Bill Tracking John Hall, Advocacy/Finance The 108th General Assembly convened on January 8th. Since then approximately 1500 pieces of legislation were introduced. That number is down from the usual 2,000 or so that are typically introduced each year. The reason for the decrease in proposed bills is due to the General Assembly’s new rules, which limits the number of bills each member may introduce. This session is on track to be one of the shortest in the last 20 plus years with adjournment set for mid April. With bill limits and a short session, everything is concentrated into less days but more work. TAUD tracked slightly over sixty (60) bills, which if passed would have a direct impact on Tennessee’s utilities. At the writing of this article the General Assembly was still in session and the fate of most bills may still be under review. There were several bills that dealt with the issuance of debt by utilities. SB 462 & HB 552 would require approval from the comptroller prior to refunding fees or notification of any changes in debt. At this time this bill appears to be headed to a study committee that will report back to the General Assembly in 2014. Bills aimed at eminent domain and “Growth Plans” and/or annexation will be held over till next year’s session. Fluoridation was a popular topic among legislation again this year. These

bills did not pass, but will be studied by the committee and a report will be issued to the members of the General Assembly for the 2014 session. TAUD introduced SB 1232 HB 1066, addressing issues with the Operator Certification Board. This bill quickly became a bill of great interest to departments of state government and many others, after much work and many meetings this bill has been amended with the agreement of all parties. At it’s introduction, this bill had only a slight chance of passage. However, with immense support from TAUD members and Tennessee’s water and wastewater operators by way of the phone calls, letters and emails the Bill has progressed through several committees. Thank each of you for your support and work on this very important bill. Bills that have passed: SB83 / HB56 Records of the State Comptroller of the Treasury. Sponsors Sen. John Stevens / Rep. Debra Moody Description Includes as confidential all information and records received or generated by the Comptroller of the Treasury containing allegations of unlawful conduct or fraud, waste or abuse.

Enacted as Public Chapter 0015 effective March 14, 2013. SB124 / HB136 Information about Employer Workers’ Compensation Policies. Sponsors Sen. Bill Ketron / Rep. Jimmy A. Eldridge Description Permits the Commissioner of the Department of Labor and Workforce Development to obtain information regarding employer workers’ compensation insurance policies, in order to ensure compliance with the law. Specifies that such information is confidential and shall not constitute a public record. Broadly captioned. Enacted as Public Chapter 0050 effective March 26, 2013. SB764 / HB60 Requirements of Utility Districts. Sponsors Sen. Steve Southerland / Rep. Roger Kane Description Present law requires that the board of commissioners of most utility districts have regulations regarding the adjustment of all complaints that may be made to the district concerning the availability of utility services to persons in need of utility services, the quality of service performed, the adjustment of bills, and all other complaints of any nature. This bill removes the requirement that most utility districts have regulations concerning the adjustment of “all other complaints of any nature”. The adjustment of complaints concerning the availability of utility services to persons in need of utility services, the quality of service performed, and the adjustment of bills will continue to be addressed in the districts’ regulations. This bill also clarifies that audit reports of water systems whose water loss is excessive be filed with the Water & Wastewater Finance Board rather than requiring such reports be filed for any “unaccounted for” water loss. Broadly captioned. Amendment Senate amendment 1 (003035) rewrites the bill. Removes the language “unaccounted for” from the description of water loss used in Title 7, Chapter 82, and Title 68, Chapter 221, of the Tenn. Code. Requires the Comptroller of the Treasury to submit a written report to the Speakers of the House and the Senate, listing the average annual water loss of certain utility systems. The amendment changes certain requirements for petitions filed to the UMRB, and requires the UMRB to verify that all signers of the petition are customers of the utility. Sent to Governor.

SB142 / HB118 Handgun carry permit holders to store firearms in cars. Sponsors Sen. Ron Ramsey / Rep. Jeremy Faison Description Allows the holder of a valid handgun carry permit recognized in Tennessee to transport and store a firearm or firearm ammunition in the permit holder’s privately-owned vehicle. The owner may utilize any public or private parking area, so long as the permit holder’s vehicle is parked in a location where it is permitted to be and the firearm or ammunition being transported or stored in the vehicle is kept from ordinary observation. The firearm and ammunition must be concealed while the owner is in the vehicle or kept from ordinary observation and locked within the trunk, glove box, or interior of the person’s privately owned vehicle if the permit holder is not in the vehicle. The bill prohibits any business entity, public or private employer, or the owner, manager, or legal possessor of the property from being held liable in any civil action for damages, injuries, or death resulting from or arising out of another’s actions involving a firearm or ammunition. Amendment Senate amendment 1 (002846) clarifies that no business entity, public or private employer, or the owner, manager, or legal possessor of the property may be held liable in any civil action. The business entity is protected from damages, injuries or death resulting from or arising out of another’s actions involving a firearm or ammunition transported or stored by the holder of a valid handgun carry permit in the permit holder’s privately-owned motor vehicle unless the business entity, public or private employer, or the owner, manager, or legal possessor of the property commits an offense involving the use of the stored firearm or ammunition or intentionally solicits or procures the conduct resulting in the damage, injury or death. The bill clarifies that no business entity, public or private employer, or the owner, manager, or legal possessor of the property will be held responsible for the theft of a firearm or ammunition stored by the holder of a valid handgun carry permit in the permit holder’s privately-owned motor vehicle. Enacted as Public Chapter 0016 effective July 1, 2013

SB851 / HB940 Underground Utility Damage Prevention Advisory Committee. Sponsors Sen. Bill Ketron / Rep. Kent Calfee Description Creates the Underground Damage Prevention Advisory Committee, composed of eighteen members. Requires the committee to review Tennessee’s underground utility damage prevention program in order to evaluate its compliance with federal laws, rules, and regulations and report its findings and recommendations to the Governor, Speaker of the Senate, Speaker of the House of Representatives, and the Comptroller of the Treasury no later than November 1, 2013. Amendment Senate amendment 1 (003495) expands the membership of the underground utility damage prevention advisory committee from 18 to 20 members by the representative from the interstate pipeline industry with representatives of the natural gas interstate pipeline industry and of the liquid petroleum interstate pipeline industry, and by adding an engineer designated by the American Council of Engineering Companies. Replaces the Executive Director of Tennessee County Technical Assistance Services as a member of the advisory committee with the Executive Director of the Tennessee County Services Association. Enacted as Public Chapter 0065 effective April 1, 2013. SB138 / HB651 Reporting of suspected illegal, improper, wasteful activity. Sponsors Sen. Ken Yager / Rep. Dennis Powers Description Requires the audit committee to establish a process by which employees, taxpayers, or other citizens may confidentially report suspected illegal, improper, wasteful, or fraudulent activity. Requires the chair of the audit committee to report information to the Office of the Comptroller of the Treasury when the information provided causes the chair to believe that illegal, improper, wasteful, or fraudulent activity may have occurred. These are just a few of the bills passed this year. Look for a complete summary a few weeks after the session end on our legislative web site. By voluntarily contributing to TAUD’s Activity fees and the Tennessee Utility Political Action Committee (TUPAC), members facilitate the success of this legislative

program, the Association lobbyists and TAUD staff in opposing or supporting legislation as needed. It is vital that TAUD members acknowledge that without their support, TAUD would not be able to serve utilities in this way. Each member that supports TAUD during the legislative session is part of a collective effort to protect utilities statewide from legislation that would not only affect utilities, but also the administration, servicemen and women, business affiliates and ultimately, the public. TAUD thanks every contributor for understanding the importance of our actions in the legislature as not only a service to our members, but to all Tennessee utilities and the businesses that serve them. We consider our role in the legislative process to be one of the largest responsibilities that we have and strive to have greater impact each year. Standard and Poor’s, one of the major credit rating agencies, assigned its “A” Rating to the Series 2013 Bonds. The agency cited strong financial and operating profiles, including healthy debt service coverage and limited future borrowing needs, as the District’s strengths. It is also a reflection of careful decisionmaking from the District’s Board of Commissioners and leadership from District management to foresee future needs and make ample preparations. TUA, LLC served the District as Municipal Advisor, Duncan-Williams, Inc. underwrote the bonds and Bass, Berry & Sims PLC, of Nashville is bond counsel.

Officials at the Tennessee Utility Assistance, LLC (TUA) recently announced that the Bedford County Utility District of Bedford County, Tenn., has closed on a $4.475 million loan through the TUA, LLC municipal finance program. The loan will be used to refinance outstanding 2nd Quarter, volume 27

WATTS BAR UTILITY DISTRICT RECEIVES LOAN FOR DEBT REFINANCING Officials at the Tennessee Utility Assistance, LLC (TUA) recently announced that the Watts Bar Utility District of Rhea, Meigs and Roane Counties, Tenn., has closed on a $6.855 million loan through the TUA, LLC municipal finance program. The loan will be used to refinance outstanding bonds for significant interest cost savings of more than $726,000. The agency cited strong financial and operating profiles, including healthy debt service coverage and limited future borrowing needs, as the District’s strengths. It is also a reflection of careful decisionmaking from the District’s Board of Commissioners and leadership from District management to foresee future needs and make ample preparations. Mickey Barger serves as the District’s general manager. Current members of the Board of Commissioners include Harold Fisher, Carey Bishop and Bob Griffin.

Georgia Sets Sights On Tennessee’s Water Vanessa Solís, Member Services When Tennessee became a state in 1796, lawmakers chose a latitude of 35 degrees north as the border between Tennessee and Georgia. The border between the states was not officially mapped until 22 years later, in 1818. The surveying team of three was led by James Camak, a mathematician and professor at the University of Georgia. Camak and his team were relying solely on a nautical sextant and skewed astronomical tables to survey the area. Camak’s request to Georgia’s governor for newer tools was denied and the team had to make do with the lessthan-accurate equipment, resulting in a 1.1 mile discrepancy in the Tennessee-Georgia border. The error went uncontested by Georgians for almost 70 years, until 1887 when Georgia lawmakers first began drafting legislative resolutions disputing the state’s northern boundary line. A discrepancy of 1.1 miles may not seem like much to most people, but since 1887 Georgia lawmakers have continued to dispute the error, introducing legislature to resolve this boundary issue every few years. The most recent bill is Georgia’s 10th attempt to move its border north. Why all this fuss over a mile? Water. If Camak and his team had mapped the border properly, the Tennessee-Georgia line would intersect Nickajack Lake, giving Georgia access to water resources from the Nickajack Reservoir and the Tennessee River. Georgia has relied largely on resources from the Chattahoochee River and Lake Lanier to provide water for its citizens; yet due in part to recent droughts, as well as rapid growth and urban sprawl in the Atlanta-metro area, lawmakers are concerned that their water supply will not meet the demand in 15-20 years. According to an article by Tim Omarzu in The Times Free Press, Georgia State Representative Harry Geisinger (RRoswell), states that the current resolution would “allow” Tennessee to retain 65.5 square miles of disputed territory, including parts of East Ridge, Lookout Mountain, and their respective citizens. In return, Georgia would receive one-and-a-half square miles of land, granting them access to the Tennessee River which would then be pumped of up to one billion gallons of water per day and distributed not only to Georgians, but to those in Alabama

and Florida as well. Citing an environmental impact study conducted by the TVA in 2004, Geisinger claims that the Tennessee River can spare the one billion gallons each day with “little or no effect” to the surrounding environment and reservoirs (Omarzu par. 3 & 4).

As it stands, Tennessee officials, including Governor Haslam and Tennessee Valley Authority CEO Bill Johnson (whose Board of Directors has federal authority over how the Tennessee River is used), have shown zero interest in entertaining Georgia’s demands. Additionally, most lawmakers believe that Tennessee would be able to claim almost 200 years of de facto law, meaning that while the Tennessee-Georgia border may not be the legal boundary originally intended, it’s been accepted as such for so long that it is unlikely it will ever change. 2013 Legislative Conference Driving Tennessee Forward Recap Beth Hardiman, Event Planner & Member Services TAUD held its annual Legislative Rally and Luncheon at the Nashville Downtown Sheraton on February 19th. This year, we focused on the impact of water utilities on the automotive industry in our state, naming the campaign: “Utilities Driving Tennessee Forward”. Each legislator or legislative staff member was provided with a USB flash drive that contained a digital copy of TAUD’s “We ARE Water” Legislative Rally book, detailed automotive campaign information, and talking points on TAUD’s Operator Certification Bill (SB1232/HB1066). The automotive campaign was very well received and most of our state legislators were unaware of the amount of jobs, revenue, and products that Tennessee utilities provide to the automotive industry. The state of Tennessee is first in the country in automotive manufacturing, producing nine vehicles between Infinity, General Motors, Volkswagen, and Nissan. The Tennessee Department of Economic and Community Development (ECD) reports that the automotive industry in Tennessee provides 105,735 jobs in 902 manufacturing companies and is responsible for 31% of Tennessee’s revenue. TAUD is proud that Tennessee’s utilities sustain such an important industry. Prior to the luncheon, Association members attended a legislative update to inform them on hot button issues. Currently, the issue most important to our industry is SB1232/HB1066, otherwise known as the Operator Certification bill. We asked those attending to explain the importance of supporting this bill for the good

of our operators and the water industry as a whole. TAUD’s Education Manager, Brent Ogles, presented the components of the bill in a very practical way, including the measures taken which led to the drafting of this bill. Additionally, detailed information on SB1232/HB1066 was sent to all TAUD members, as well as county and city mayors via e-mail. Updates on the Operator Certification bill are included in the weekly Legislative Update, which is provided to TAUD members that have opted to contribute to Activity Fees. We greatly appreciate those who have reached out to lawmakers in support of SB1232/HB1066. Essential to everyday life, utilities provide water to people’s homes but industries also rely on water to operate. From basic rinsing to the latest technology, this article reveals how water assists the state’s steadily growing auto manufacturing industry. According to ReliablePlant.com, in an article addressing Nissan’s growth in the Southeast, three factors were mentioned as being “the ‘trinity’ of basic needs for any automobile manufacturing operation.” They are highways, rails and water. Thanks to resources managed by four hundred and fifty-two (452) utilities providing clean, safe and efficient water & wastewater services, Tennessee is an ideal location. State auto manufacturers and original equipment manufactures (OEMs) save money and reduce emissions with waterbased technologies. Both, Nissan and GM use hydroforming in the manufacturing of select vehicles and their components. Hydroforming uses water combined with chemicals in a high-pressurized molding technique. Auto rails and car bodies can be made this way, which is an alternative to mechanically stamped mold construction. FORTUNE Magazine reported that manufacturers save millions in tooling costs as a result of the hydroforming technology. It is mostly used for low volume vehicles. In the production of the Corvette it saved GM a reported $25 million. Not only did the technology save GM money, but the hydroforming construction also stiffened the rails while reducing the weight of the car.

Another way auto manufacturers use water is with water-based auto painting, also called waterborne paint. This product is considered an alternative to paint that is derived of chemicals and paint-thinners, which emit volatile organic compounds (VOCs). VOCs are becoming more and more regulated as states look to offset their carbon footprint. DuPont, which has several manufacturing plants in Tennessee, is a leading manufacturer of waterborne paint used by OEMs. Water continues to be a beneficial resource to industries with a multitude of uses. As a result, auto manufacturing continues to provide business growth and an increase in available jobs across the state. Water is one of the state’s most precious commodities that sustains business and technology, but most importantly our quality of life.
