INTRODUCTION We, at Techno Screen, believe that success should be based on business goals that reflect the image of our organization, providing products and services supported by excellence, integrity, responsibility and professional ethics. Our Code of Ethics and Conduct is a document outlining the principles, values, moral and ethical foundations that define the corporate culture permeating the daily life of our organization. A culture that reflects the spirit of the company and the way our shareholders, directors, managers and employees undertake to adopt integrity, honorability, accountability and transparency as their higher values when doing business with customers, suppliers and all those involved in the commercial endeavors of Techno Screen. While we operate within the framework of professional standards,
laws, regulations and internal policies, we recognize that they do not govern all types of corporate behavior; therefore, the Code of Ethics and Conduct sets the standard for handling our relationship with all the stakeholders, and defines the rules to deal with certain conflicts of interest or deviations from previously established policies. The Code establishes clear guidelines, which rules the conduct that must be respected by our shareholders, directors, and managers; as well as permanent, temporary and contract employees at all levels; when making daily decisions, anywhere they are.

LETTER FROM THE PRESIDENT When we decided to start our company, we decided to do it differently, with a clear view to generate economic and social welfare, not only for our shareholders but also for our employees. We rely on principles and values that include integrity and responsibility toward all entities that interact within our vision. I have always believed that a successful company is not one concerned only with maintaining a market position, and achieving good financial results, year after year; but one that upholds a culture of integrity and ethics, and commits to providing a harmonious working environment, within a framework of respect for the dignity of its employees. When established within a broad framework of business ethics, a company generates value, dependability, and goodwill. All of these qualities extend to its customers,
suppliers, the State, the community, the environment, and the company’s competitors. By acting within a framework of ethics and integrity, our company protects its image, its reputation, and avoids legal problems. How do I know if I am in the presence of an inappropriate behavior and/or situation outside business our corporate values?
A: Whenever in doubt about a behavior or situation, ask yourself: Is it consistent with the Code? Is it ethical? Is it legal? Will it reflect well on me and the company? Would I want this action to be published by the media? If the answer to any of these questions is “No”, don’t do it.

Violence and Harassment • Techno Screen does not tolerate any form of physical, verbal or written violence, harassment, or any form of retaliation within the company or towards an outside interest group.
How do I identify verbal and/or physical violence at work? A: Violence at the workplace can be internal, among colleagues, or external, between company staff and customers, suppliers or others. Examples of violence in places work are: - Shouting contemptuously at others - Using foul language, intimidating or contempt. - Verbally threaten a worker or a family member - Sabotage job functions - Anonymous offensive or threatening messages - Treating others with contemptuous silence - Spreading rumors - Nicknames - Hitting or trying to attack others - Threatening to throw an object - Breaking furniture attempting to harm others

Protecting Private Property • All employees must protect company assets, such as: digital and/ or physical files, computer equipment, systems and software, telephones, wireless communication devices, photocopiers, network of contacts, intranet access, e-mail, voicemail, company products, machinery and equipment furniture, materials and office equipment, vehicles, confidential information, trademarks and other equipment and/or any resources provided for business purposes.
What is the theft of intangible assets? Theft of intangible assets is, for example, unauthorized removal of a product, equipment, company information, embezzlement, or intentionally misreporting working hours or expenses.

• We use all resources, whether those of the company or of our customers, in a responsible, professional, proper, lawful and permitted purposes only. • Theft of tangible and/or intangible assets of the company, can lead to dismissal and criminal prosecution. The company considers theft of assets belonging to other employees at the workplace, in the same manner as the theft of company assets.

• To all strategic business information, including information on: products, processes, prices, finance, marketing plans, current and former employees and projects is confidential.
• The company promotes open communication, timely and responsibly reporting our ideas and concerns in a clear and constructive manner.
• Provide company information to external sources, including family and friends, is strictly limited to those officials within the organization previously authorized by the General Directorate. • Confidential and/or strategic information will not be disclosed to other employees within the company unless there are working reasons for them to know it. • Employees must follow instructions provided for the preservation and/or disposal of sensitive company documents, including legal records. When I’m abusing domestic media? A: In general, we are abusing the resource when we use it for any purpose not related to work. However, personal use of it in one or two opportunities is acceptable. Examples of misuse: • Using the company email to send chain letters, pictures, jokes or similar items. • Make multiple calls to family and/or friends from your office phone.

Working environment • All employees are invited to contribute to the creation and maintenance of a healthy, stimulating, and productive working environment, where teamwork is encouraged and all are treated in a fair, equal and respectful manner.
Substance abuse • The use or consumption of alcohol and illegal drugs by employees on company premises during the performance of their duties is absolutely forbidden.
Family and work harmony • The company continuously promotes benefits for the employees, and encourages balance between work and family life, these benefits are communicated to all employees through policies disclosure. • Those employees who are studying, and are subjected to special conditions in their schedule, are

allowed to compensate time or change their working schedule, with prior approval of their area manager. • Household savings are encouraged through home economics training, publications, newsletters and other informative topics of interest published on the company’s intranet. • The company promotes the welfare of its employees through newsletters, health seminars, complementary and awareness programs. We invite all our employees to participate in these programs towards a healthy life. • Techno Screen attaches one hour working time for mothers to breastfeed their children.
Continuing training • The company is committed to designing and implementing annual training programs aligned with the needs of its employees and the market. The HR department is responsible for the allocation of the benefited staff.

Health and Occupational Safety • The use of the safety equipment provided for each job is mandatory, as stipulated by our policies on Occupational Safety and Health. • We seek the welfare of our employees through continuous training in industrial safety. Our employees are encouraged to participate in instructional activities designed for this purpose. • Employees are obliged to know, understand, and abide by the company’s risk prevention program (see http://techno-screen.net) and any other provision regarding their safety; as well as to discuss any doubts or questions on the subject they may have.
Conflict of interest Conflict of interest is any activity or situation considered to negatively influence the judgment of an employee so that he/she conducts the business of the company for his own benefit or that of third

parties. Below are listed, without being limited thereto, some of the situations prohibited by the company: • Participating during work hours in personal activities that interfere with or prevent them from fulfilling their job responsibilities. • Using computers and/or assets of the company for outside businesses, illegal or unethical activities such as gambling, pornography or other offensive subject matter. • Leveraging for private gain, including that of family and friends, information or assets of the company and/or customers. • Establishing personal relationships with the competition, through which the employee may filter confidential, strategic or unauthorized company information. • Receiving bonuses from customers, suppliers or potential suppliers. Those will be admitted only if they are granted for

promotional and advertising purposes. Exceptions will be individually assessed by the ethics committee.

A: Tell your manager about your brother’s job, in this new role you’ll have authority to negotiate with 123, and possibly your brother. After analyzing the case, the regional manager, will authorize you in writing or turn the account to another salesman. • Under no circumstances shall those who work for the company engage in the marketing, distribution or processing of the company’s products and services.

• Techno Screen encourages personal participation in the political process in a manner consistent with the law and respecting company procedures. However, it is prohibited for employees to use the Company’s reputation or assets, including their time at work, to pursue their own political activities or interests.
What is considered a personal activity at work? A: It is any activity carried out by employees during working hours, unrelated to their work. • Read the newspaper, websites, social networks or chats during work time. • Having an additional job to that in Techno Screen that interferes with their ability to do their job.
How do we know we are giving or receiving an acceptable gift? ACCEPTABLE • Promotional items, such as pens, notebooks, mugs, magnets, gift baskets, cards and thank you notes. • Small token gifts of low value given on special occasions such as birthdays, weddings and graduations.
NOT ACCEPTABLE • Cash, checks or gift cards. • Luxury goods of high value, such as designer pens, electronic items or luxury watches. • High-priced tickets to exclusive events and concerts. • Invitations to events outside the city paid by the customer/supplier.

We respect fair trade-oriented free competition. • Techno Screen competes fairly, and complies with all competition laws; taking into account the differences among countries, both in the scope of coverage and geographic reach. • Our employees are requested to gather, share and use information about our competitors, in a legal and ethical manner. Just as our Company values and protects its own non-public information, we respect the non-public information of other companies.
Customer relationships • We promote compliance with the guidelines set forth in this Code of Ethics and Conduct among our customers. We encourage them to conduct their activities within the framework of the applicable law. Therefore, should one of our customers seem to be involved in illegal or unethical acts, it could result in termination of our business relationship. • We are committed to customer satisfaction with the products and services we provide. Any failure to comply with the terms and conditions established by the customer should be reported to the management, so that immediate remedial action is taken.

• The products and services sold by Techno Screen are free of false information. Information on promotion negotiations, availability, quality and use of our products is provided in a timely, accurate and honest manner, through our quotations, and technical and safety sheets. ENVIRONMENT As part of our corporate social responsibility, and to mutual advantage, we seek to protect the environment as neighbors aware of the need to preserve the resources we use in our commercial business.
SUSTAINABLE CONSUMPTION • Promote the responsible use of resources, in terms of use of energy, water and consumables. • The program for the reduction, reuse and recycling must be part of their daily actions, inside and outside our facilities. The indiscriminate use of resources within the company premises constitutes a deviation to this Code. • Employees must dispose of the waste according to its type, separating it into recycling devices located throughout our facilities,
so that it is treated in the appropriate manner to reduce the environmental impact thereof.
ENVIRONMENTAL COMPENSATION • Efforts will be made to compensate the environmental impact of our operations by supporting environmental, cleanup, and recycling programs, or other related activities.

SHAREHOLDERS The Code and the Law • All employees are expected to comply with the Code and all applicable law, and government rules and regulations. Should a procedure stipulated in the Code conflict with the applicable law, the law will prevail over the Code. • We respect and promote compliance with local laws and regulations, as a priority for Company shareholders and senior management. Failure to comply with the law can result in reprimand, dismissal or even criminal prosecution. • We are committed to safeguarding our employees and facilities through equipment, devices, systems and safety procedures. • It is an ongoing responsibility for our shareholders and senior management to timely define, effectively communicate, and enforce
policies and regulations; and to assist and provide support to requests for resolution of deviations to this Code.
Confidentiality • The company respects the privacy of its employees, customers and business partners. We treat personal data responsibly, and in compliance with all applicable privacy laws.
Corporate Governance means Transparency • The financial information of the company must be presented transparently, annual auditing results will be communicated to the discretion of the General Directorate.

Human rights • Respect for human rights is a fundamental commitment for Techno Screen, so as to provide indiscriminate opportunities for professional development and recognition. Appropriate communication channels, for proper feedback and respect for the ideas of all employees have been established. In addition, we comply with applicable labor laws, including proper payment of wages and fees at all times; and practicing forced and underage labor is prohibited in our facilities.

SUPPLIERS We develop business relationships based on transparency, trust, respect and mutual benefit with our suppliers, who have contributed to the sustained success of our company.
Responsible practices • All negotiations with suppliers will be carried out within a framework of confidentiality, honesty and transparency, ensuring equal opportunities, without generating false agreement expectations. All participants must respect the congruence and consistency of the criteria to be assessed throughout the procurement process. • The practice of illegal or unethical activities on the part of a supplier, may result in termination of the business relationship.
• It is mandatory to respect the contracting terms and conditions, as well as established agreements and commitments.
Fair practices Respect for human rights, law enforcement, and verification against contracting. • We promote the implementation of the standards of our Code among all our stakeholders. Therefore, reports of possible activities that differ from it will be investigated and/or taken into consideration during contracting process.

BREACH OF THE CODE This Code of Ethics and Conduct sets out the key principles that will serve as a guide to all permanent and temporary employees, and contractors, in any situation in which a decision is required, thus conducting their activities in accordance with our corporate culture, so as to avoid any apparently improper behavior. We are all bound to know and respect Techno Screen’s ethical standards. Should you be concerned about any behavior that may represent a violation to the Code, you must report it immediately. In doing so, you will give the company the opportunity to address the problem and correct it, ideally before it becomes a violation of the law or a health or safety risk, or to the good standing of the Company. Employees with questions or concerns on conduct that could re-
present a deviation or violation to the Code should, at first, bring the subject to their manager. Should this be impossible, or place them in an uncomfortable position, employees may contact the Project and/or Administration Managers for assistance. Anonymity and confidentiality When you file your concern or suggestions via etica@techno-screen.com, you may choose to remain anonymous; however, you are encouraged to identify yourself to facilitate communication. Should you disclose your identity, the Ethics and Conduct Committee will take all reasonable precautions to keep your identity confidential, while performing a thorough and fair investigation.

The fact that an employee has honestly reported a concern, or participated in an investigation, cannot be the basis of an action that harms their employment status, including separation, demotion, suspension, loss of benefits, threats, harassment or discrimination. If you work with someone who submits a concern or provides information for an investigation, you should continue to treat that person with courtesy and respect. Would believe you have been retaliated against, please report it.

False Accusations The company will protect any employee who honestly raises a concern, but it is a violation to the Code to make a false accusation, to lie, or to refuse to cooperate with an investigation related to the Code of Ethics and Conduct. Honest reporting does not mean you must be right when you raise a concern, just make sure that the information you provide is accurate. If still in doubt, seek advice from your department manager or from members of the Ethics and Conduct Committee. The Code attempts to contemplate most of the situations an employee may encounter, but not all circumstances may be considered.

This Code of Ethics and Conduct reflects the importance of integrity in everything we do as a company. While the Code provides a broad range of guidance about the standards of ethical and professional conduct, we can not foresee all the situations that people may face in their daily working life. Therefore, the Code does not replace the need for accountability and fair judgement, and the need to seek advice on proper ethical conduct. Should you be in doubt with respect to any of the proceedings on this Code, please look for support from your department manager.
Should you think you have breached this Code, it is your responsibility to inform the Committee of Ethics and Conduct, or any other member of the company’s hierarchical chain. Lack of compliance with any part of this document may result in disciplinary action, which could involve termination of employment in accordance with local law. These measures also apply to anyone who directs or approves infractions, or has knowledge of them and does not disclose them for their immediate correction.
