Directorate members will serve for one year and can there after be re-elected for another term in office after that. Directorate will meet at least once a month. A quorum for voting purposes will be formed when…60%. …(%) of the members of the directorate are present. Minutes will be taken to record management decisions taken. Minutes of the former meeting will be given to all Directorate members at least two weeks before the time. The minutes shall be confirmed as a true record of proceedings by the next meeting of directorate and shall thereafter be signed by the chairperson. Minutes of all meetings must be kept safely and always be on hand for any inquiry of members or outside organisations with the same purpose. Any member of directorate who is absent from…70%. of subsequent meetings without a valid excuse will forfeit his / her membership. The organisation retains the right to form sub-committees. All decisions that sub-committees make must be presented to directorate. Directorate then in its turn must either except or reject the decisions made at the next meeting. By agreeing to decisions directorate ratifies them. All member of the organisation have to abide by the decisions made by Directorate members. No Directorate member or any other member will be held liable for any of the liabilities of the organisation solely by virtue of the status as members or Directorate of the organisation. In the case where a member is guilty of serious neglect of duty or where his / her conduct is contradictory to the vision, purpose or to Clause IV, membership may be terminated. In the case of membership termination an appeal can be made at covering body of authority. There shall be no membership fees until so determined by Directorate.

Any member of Directorate will not be held liable for any loss suffered by any person as a result of an act of omission which occurs in good faith while he / she is performing functions for or on behalf of the organisation.

Election of new Directorate The election of new committee members will take place in (month)‌November‌by sealed ballot. All active members of this organization will each have one vote per person. The term of office of this organization will extend from the end of December in one year to the end of December in the following year. Power of Directorate Members All directorate members are under the complete authority of the word of God, the guidance of the Holy Spirit and the laws of the countries where work will be done. Directorate has the power and authority to raise funds or to invite and receive contributions. Management has the power to buy, upgrade, maintain, hire, or exchange any property in order to achieve its purpose as is stipulated in point No. 5. Other Non-directorate positions Spiritual Administrator Ensuring of spiritual standards of unity, holiness, integrity and purity. Making sure that no favouritism creeps in among members or leadership. Intercessors There will be at least 5 dedicated intercessors at all times. They will be responsible to be watchmen. They will be responsible for spiritual protection and warfare. They will continually intercede for Leadership, countries targeted by the Holy Spirit, the organizations financial welfare and missionaries in operation. Prayer, supplications with fasting and sackcloth & ashes will be a habit of life. Prophetic Advisors There will be at least 5 prophets at all times when advice and direction are needed. They will be able to distinguish God’s voice for clear and directed guidance. They will be proven men with a strong relationship with God. They will be committed and dedicated workers in the kingdom of God who are full of faith and the Holy Spirit.

Income and property This organization is a non-profit organization and therefore undertakes to strictly use all incoming finances only for the following purposes: Personal living cost Monthly office use Monthly organization expenses Progressive or incurring expenses Supporting of other Christian projects: Missions, Poor, Hospital, Old aged home etc. Extrapolated expenses for Conferences, Seminars, Crusades, and Missionary Journeys. The Organisation will keep a thorough record of all possessions owned by it No money given to the organisation by gift or sponsors may be used for personal use of Directorate or members. The organisation may employ members if workload becomes too much. No individual has any right to any possessions owned by the organisation. In case of any investment of funds to be made only registered financial institutions may be used. These institutions are listed in Section 1 of the financial Institutions (Investment of

Expenditure Whenever funds are needed out of the organisations bank account at least 60% of the Directorate members must sign for the withdrawal of any finances. Any reasonable expenses occurred, because of service done for the organisation can be claimed back if it was arranged before hand with both Directors. Any member of the organisation can only claim any expense if it was before hand arranged with both directors. Finances The Financial year of the organisation ends at 31 February of that year. The organisation’s accounting records and reports must be ready and handed to the Director of Non-profit Organisations within six months after the financial year.

Monthly meeting A monthly meeting must be held to take stock of direction and statue of projects in operation. Directorate must seek God’s face together in prayer regularly for unity and direction.

Annual General meeting An annual general meeting must be held once a year towards the close of the organisations financial year-end. Membership to this organization is only available to the following candidates: Every person who accepts the words of the Holy Bible and the declaration of faith as was stipulated in Clause IV. Anyone who hate everything and anything that prevents him / her from following the Lord Jesus Christ and thus be His disciple. (Luke 14:23 –33) Anyone who after understanding the words and calling of our Lord Jesus Christ repents and live his / her life as a living sacrifice to the Lord. (Rom 12:1 – 3)

Any amendment to this constitution/regulations must be submitted in writing to the elected chairperson for voting by the members at a general meeting not less than 14 working days before a general meeting. The notice must indicate clearly the proposed changes to the constitution that will be discussed at the meeting. Any amendments to this constitution/these regulations may strictly only be done per (majority or percentage vote)…4 or 80% … subject to the approval of the Directorate of Witnesses for Jesus Christ. No amendment may be made that will cause the organisation to cease to exist.
12. Dissolving or Winging-up 12.1. 12.2. 12.3.
The Organisation may dissolve or cease to exist if at least two thirds of the Directorate members vote in favour of it at a meeting specifically convened for that purpose. In case where this organisation ceases to exist it must first pay off all its debt if any. Only after this was done the finances left over must be given to another non-profit organisation that has similar declarations of faith and purposes.
