Spanish Company Investment and Residency Visa Programme Spanish Residency Visas and Residency Permits allow free movement of the holders between all countries in Europe that are included within the Schengen Agreement including: • France, Germany, Austria, Switzerland, Belgium, Netherlands, Italy, Spain, Denmark, Sweden, Norway.

And also: • The Czech Republic, Slovakia Estonia, Finland, Greece, Hungary, Iceland, Latvia, Lithuania, Luxembourg, Malta, Poland, Portugal, Slovenia.

A non-EU national will be granted a 1 year Investor’s Residency Visa, including wife and immediate family, subject to:

The non-EU national will be granted successive 2 year Residency Permits, including wife and family, subject, at the time of application, to:

• The applicant being in the process of completing, or having just completed, an investment of no less than 500,000€ in real estate. • Being 18 + years old. • Having no criminal record. • Having medical insurance. • Having sufficient finance to support himself and family whilst in Spain. • Not previously being irregularly in Spain. NB All Visas are to be granted within 10 working days of a properly completed application and Visas can be for multiple entries to Spain.

• Possessing a Residency Permit as above that still has at least 90 days to run before expiry. • Continued compliance with all the same conditions as above. NB There is no limit on the number of further 2 year Residency Permits that may be granted.

Full Permanent Residence and Citizenship Option After 5 years, the non- EU national may also apply for full residence and citizenship of Spain, subject to:

Subsequent Stage The non-EU national will be granted a 2 year Residency Permit, including wife and immediate family, subject to: • Possessing an Investor’s Residency Visa, as above, that still has at least 90 days to run before expiry. • Remaining in compliance with the conditions set out above. • Having obtained a certificate confirming the possession of the investment in real estate referred to above. • Having evidence of visiting Spain at least once in the preceding year. • Having paid up to date any Spanish tax obligations. NB There is no minimum period for the visit to Spain; it can be as short as you like. If it is not desired to become tax resident in Spain, this visit should however be for less than 180 days in any one calendar year. If however, it is desired to become a Spanish citizen and take up full permanent Spanish residence, see right.

• Continued compliance with all the conditions above. • Having actually been resident in Spain for no less than 4 years and 2 months of the previous 5 years and not being absent from Spain for more than 6 months in any calendar year. NB Residence in Spain for more than 6 months in any fiscal year (From 1st January to 31st December) results in Tax Residence in Spain.

Peace of Mind An Administrative Company, based very close to Desert Springs, is set up to be the point of contact and communication in Spain on all matters related to progress of the Company Investment Programme and all aspects of the running of the Spanish Incorporated Company and your property. A dedicated web site will be established onto which all information will be freely available. It will employ multi lingual staff. The objective is for everything to be as transparent and to provide you with the peace of mind that your funds are being used solely for their intended purpose.

An easy transfer from either London or Madrid airports will provide access to flights to either Alicante, Murcia or Almeria airports in Spain. All of these airports have access to the Almanzora Valley via a modern motorway network. Routing options via other European cities are available for example; Amsterdam with their own connections into Spain – all of which adds up to easy and frequent flight options within Europe and Inter Continental from East Asia.

A true desert climate... The Almanzora has Europe’s only desert climate boasting a year round average of a full nine hours of sunshine a day. The light is luminous with brilliant clear sunny days and star-filled night skies. So much so that Europe’s only solar power station is located here, as well as one of Europe’s most important space observatories. It is, without exception, the warmest and driest place to be in Europe in the winter. In summer, it is hot and dry inland, whilst Desert Springs, up on the plateau above the Almanzora, is cooled by pleasant sea breezes.

Company Investment Programme Depending on the value of Shares purchased, in addition to participating in the above, you will receive deeds to a property at Desert Springs as soon as the property is ready to hand over and as laid out below: In respect of all the properties, they are fully furnished; air conditioning throughout; all Completion Costs paid; Permanent Services Connections installed; Residency Visa Fees paid and Property Costs for 3 years paid. Important note: this is the gross sum to be paid by each Purchaser – currently no additional taxes are applicable on a Share Acquisition.

Income Streams and Exit Strategy Clearly the assets developed and purchased will have their own income stream. Indicative financial projections are available as part of any due diligence. Profits received by the Spanish Company are distributed in proportion to your share holding into your Spanish Bank Account. Income from rental of your property will only be paid to yourself, again to your Spanish Bank Account.

The projected financials cover a 10 year period and show a capital growth potential for the hotel and educational facility of 80% to 100% after five years. The establishment of a hotel in the resort will not only create its own revenue stream, but also have a great impact on earnings for the associated businesses (source is feasibility report by Howarth HTL). This may then be invested in later phases, enabling attractive potential returns on specific investments.

All revenue and cost projections have been based on Desert Spring’s long term experience of running the existing facilities and detailed market and feasibility studies carried out by the specialist UK Tourism Consultants, Horwath HTL.

The final exit strategy available to each shareholder (which can be managed by the Administration Company), is a sale of shares in each successful business together with other shareholders. This can be done at a set date, and until then you continue to enjoy dividends from your shares.
